The purpose of this commission is to guide action-affecting development in the City and its environs. It also determines whether special proposed developments conform to the principles and requirements of the Comprehensive Plan and acts in advisory capacity to the City Commission. The board consists of nine (9) regular members, who serve three (3) year terms. The three (3) year term of Joel Keller(attended 22 of 24) ends July 2005. Issue: Should Member Keller be reappointed to the Planning & Zoning Commission? Recommendations: Staff recommends that the Honorable Mayor and City Commissioners reappoint Joel Keller or appoint Conrad Taylor or Phyllis Neal-Wilson to serve a three-year term on the Planning & Zoning Commission. Clifton and Lillie Belle Bowers: Parcels 122, 123, and 124 ISSUES Should the City serve an Offer of Judgment on Clifton and Lillie Belle Bowers in the referenced eminent domain litigation? BACKGROUND The referenced case is a condemnation action. Parcels 122, 123, and 124 have been acquired by the City of Ocoee for the purpose of widening Old Winter Garden Road. The date of value is February 18, 2004. Parcels 122, 123, and 124 were owned by Clifton and Lillie Belle Bowers. The three parcels are adjacent to one another and located on the north side of Old Winter Garden Road at its intersection with Arlington Avenue. Each parcel is a fifty foot right- of-way acquisition. Parcels 122 and 123 are vacant and unimproved. Parcel 124 is improved with a small single family dwelling built in 1966 containing 914 square feet. The home was unoccupied at the time of taking and is in very poor condition. All of the Bowers' properties are located within incorporated Orange County and have agricultural zoning but are located in an area of transition. Just to the west of the property Health Central Hospital. Between the Hospital and the property is the edge of the Ocoee City Limits. Health Central has been very active in purchasing properties in the subject neighborhood FOLEY&LARDNER LLP 006.378852.1 FOLEY for the long term future expansion of their medical campus. Both the City's appraiser, Dan DeRango, and the Bowers' appraiser, Steve Matonis, have discussed the reasonable probability of rezoning these properties with Mr. Russ Wagner, the Planning Director for the City of Ocoee, and Chris Testerman of the Orange County Planning Department. Both Planning Directors are in agreement that the subject property and the surrounding properties are all expected to be annexed to the City of Ocoee over the next few years and the land use of the properties will likely shift from a residential orientation to professional office and medical type uses. Both appraisers have assumed that there is a reasonable probability of rezoning from a residential use to a medical office/commercial use. In addition to the parent tracts of Parcels 122, 123, and 124, the Bowers own additional contiguous property as outlined on the enclosed map. This property is north of the Old Winter Garden Road frontage property and is located on the northwest corner of Jane Street and Arlington Avenue. The total contiguous ownership consists of 1.42 acres. The northern parcel is also vacant and unimproved. Dan DeRango, the City's appraiser, considered the properties as both a single ownership and as three small free standing parcels corresponding to the designated parcels scheduled for acquisition. Mr. DeRango concluded that the parent tracts for Parcels 122, 123, and 124, due to their small size and configuration would not be suitable for medical office development as stand alone parcels. He then concluded that the most likely use of the site would be for development of the entire 1.42 acres as one parcel. Mr. DeRango used five comparable sales located in the subject neighborhood, all purchased for the intended use of professional office building or medical offices. Mr. DeRango reconciled the comparable information to a $7.00 per square foot land market value. Mr. DeRango found no severance damages on Parcels 122 and 123 and estimated the contributory value of improvements on Parcel 124 at $6,000.00. Based on Mr. DeRango's appraisal, the amount deposited pursuant to the Order of Taking was $84,358.00. The initial offer made to the Bowers for the acquisition of Parcels 122, 123, and 124 was $67,567.00. This was based on an appraisal report with the date of value of December 20, 2002. Due to the passage of time and continued Order of Taking hearings, the appraisals had to be updated. Because the initial offer letter was based on an earlier appraisal report, the City has already incurred attorneys' fees liability in the amount of $5,541.00. Mr. Steve Matonis has appraised the property for the Bowers. Mr. Matonis concludes to a value of the part taken of$130,000.00 and finds $73,500.00 in severance damages for a total appraised value of $203,500.00. Mr. Matonis determined that the parent tracts of Parcels 122, 123, and 124 are too small to be considered stand alone lots. He did, however, consider the three lots on Old Winter Garden Road as the parent tract and ignored the other contiguous ownership as part of the parent tract. Mr. Matonis concludes to a value of$11.50 per square foot based on the utilization of comparable sales in the subject area. The comparable sales used by Mr. Matonis are all purchases by Health Central of properties for purposes of assemblage. In the after condition, Mr. Matonis concludes that the subject parent tract will be reduced substantially in size and that the properties along Old Winter Garden Road will no longer be suitable for development. Mr. Matonis then concludes to a $6.00 per square foot after value for the remainder, finding severance damages in the amount of$73,500.00. 2 FOLEY&LARDNER LLP 006.378852.1 FOLEY This case was set to be mediated on June 29, 2005. Kurt Ardaman, attorney for the Bowers, however, notified me at 8:15 that morning that his clients were still in Alabama and unable to attend the mediation in violation of the requirement that clients be present for mediation. The mediation was then cancelled and will be re-set sometime in October 2005. It is the City's position that the usage of the Health Central comparable sales and the artificial determination of the parent tract resulting in a severance damage claim is a vulnerable position in this litigation. The Bowers' property is within the portion of the project which is 100% funded by Orange County. The Interlocal Agreement requires Orange County approval of payment or settlement above appraised value. Prior to the mediation, the Matonis report was forwarded to Orange County. The Orange County Real Estate Management Department had an in house appraiser review the Matonis report and he has agreed with the City's position that the Matonis appraisal report is not supported by market data. Orange County has authorized me to proceed with mediation in my best judgment. In order to facilitate resolution of this matter, I recommend that the City consider making an Offer of Judgment. My recommendation on the amount is $110,00000. I arrived at this amount by splitting the difference on land value between the City's report and the Matonis report which is $130,000.00 and $78,358.00 respectively and then adding back in the $6,000.00 for the contributory value of the house on Parcel 124 and rounding to $110,000.00. This will result in additional attorneys' fee liability in the amount of $8,462.00. I have discussed this Offer of Judgment with Orange County and they approve of my recommendation. Under Florida law the Bowers have 30 days to accept or reject the Offer of Judgment. If accepted the matter is resolved and a stipulated final judgment is entered with the Court. If the offer of judgment is rejected, the case proceeds as usual. We will mediate the case in October, and if mediation is unsuccessful, the case will go to trial after the first of the year. The risk to the Bowers in rejecting an Offer of Judgment relates to the payment of experts' fees and costs. If the ultimate judgment obtained by the Bowers is not greater than the amount set forth in the offer, then the City would not be responsible for any expert fees and costs incurred by the Bowers after the date the offer is deemed rejected. RECOMMENDATION It is respectfully recommended that the Mayor and City Commissioners authorize the Assistant City Attorney to file an Offer of Judgment in the aggregate amount of$110,000.00 for parcels 122, 123, and 124, previously owned by Clifton and Lillie Belle Bowers.
