Background: Prairie Lake Village Phase 4 is a 34 lot single family subdivision addition to the highly successful subdivision development on the east side of Clarke Road north of A.D. Mims Road. U.S. Home, the subdivision home builder, had posted a Performance Bond guaranteeing the complete installation and city approval of all site work including the installation and operation of street lighting prior to U.S. Home asking the city for occupancy permits for any of the home sites. In connection with this project, a wall and landscaping will be installed on property owned by the City of Ocoee along Hackney Prairie Road to the east. A Wall and Landscape Easement Agreement is a separate item on this agenda. Recommendation: Staff recommends that the Honorable Mayor and Board of City Commissioners approve the final plat as submitted subject to approval of the Wall and Landscape Easement Agreement. Formella, Esq., Assistant City Attorney DATE: February 25, 1999 RE: Prairie Lake Village Phase 4 - Wall and Landscape Easement Agreement In connection with the above referenced project, a wall and landscaping will be installed on property which is located along Hackney Prairie Road to the east of Phase 4 and owned by the City of Ocoee. The attached Wall and Landscape Easement Agreement grants an easement to the Association to install and maintain the wall and landscaping, requires the Association to maintain the wall and landscaping, and cannot be assigned or amended without the consent of the City. It is respectfully recommended that the City Commission approve the Wall and Landscape Easement Agreement and authorize the Mayor and City Clerk to execute the same. RECITALS A. The Grantee is the owner of a parcel of land which lies within a planned development generally identified as Prairie Lake Village. B. In conjunction with the Grantee's development of Prairie Lake Village, the parties desire that the Grantee construct and maintain a wall and landscaping within a portion of the parcel of land owned by the Grantor. C. The Grantor is willing to grant to the Grantee an easement over a portion of the Grantor's lands for the aforesaid purposes, all in accordance with the terms and provisions of this Agreement. NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the Grantor hereto hereby declares, covenants and agrees as follows: AGREEMENT 1. Recitals. The foregoing Recitals are true and correct and are hereby incorporated herein. 2. Grant of Easement. The Grantor hereby grants and conveys to the Grantee a non- exclusive easement under, over, upon and across the lands described on the attached Exhibit "A" (the "Easement Area") for the sole purpose of constructing, installing and maintaining a wall and landscaping improvements within the Easement Area. This grant of easement is subject to all easements, restrictions, reservations and other matters of record. 3. Maintenance. The Grantee shall have the obligation and the full responsibility for the installation and maintenance of the wall and landscaping installed within the Easement Area. The wall and landscaping shall be in accordance with the approved Final Subdivision Plans and all applicable governmental approvals. 4. Binding Effect. All of the terms and provisions of this Agreement and all rights, privileges, benefits and burdens created hereunder shall be binding upon and inuring to the benefit of the parties hereto, and their respective successors and assigns. 5. General Provisions. This Agreement and the easement granted hereunder may not be assigned by Grantee. This Agreement may be amended only by written agreement of both parties. Grantee agrees to indemnify, defend and hold the Grantor harmless from and against any and all suits, actions, proceedings, loss, liability, costs, damages, fines, penalties and expenses, including reasonable attorney's fees and paralegal fees at trial and appellate levels, arising out of or related to any actions or proceedings which may be brought against the Grantor related to this Agreement and the easement granted hereunder. Grantee shall cause Grantor to be named as a loss payee on Grantee's liability insurance policy to protect Grantor from any loss, damage or liability arising in connection with this Agreement and the easement granted hereunder.
