SUBJECT: Approval of Admiral Pointe Phase II Subdivision Plat
(Subject to Separate Agreement Approval)
Issue: Should the Honorable Mayor and Board of City Commissioners approve the final plat as
submitted subject to execution and recording of a separate agreement between the city and owner
acknowledging that no building permits will be issued for lots 13 through 22, until lots 13
through 22 are replatted?
Background: Admiral Pointe Phase II is a 48 lot single family residential subdivision situated on
the west shoreline of Lake Olympia off of White Road. Rottlund Homes, the subdivision's home
builder, has posted a Performance Bond guaranteeing the complete installation and city approval
of all site work including the installation and operation of street lighting prior to Rottlund Homes
asking for occupancy permits for any of the home sites.
A concern regarding lots 13 through 22 by various city departments as presently shown on the
plat has necessitated additional clarifications and changes. The builder acknowledges the
problems but wishes the Mayor and City Commissioners to approve the plat as submitted. A
separate agenda item "The Agreement" explains the conditions under which the plat can be
approved. The builder, prior to selling lots 13 through 22, will replat these lots with changes as
requested by the city. The city will not issue building permits for lots 13 through 22 until the
replat is approved by the Mayor and City Commissioners, the replat is recorded, and the
Development Review Fees related to the replat are paid.
Recommendation: Staff recommends that the Honorable Mayor and Board of City
Commissioners approve the final plat as submitted in conjunction with approval of the separate
agreement.

Replat Agreement for Admiral Pointe Phase II Subdivision
Issue: Should the Honorable Mayor and Board of City Commissioners approve the agreement
subject to approval of Admiral Pointe Phase II subdivision plat?
Background: The Admiral Pointe Phase II subdivision plat as submitted for approval will
necessitate replatting of lots 13 through 22 prior to applying for building permits. In order to
prevent further delays the builder, with the acceptance of this agreement, will be able to pull
building permits on all lots except 13 through 22. At the time all concerns regarding lots 13
through 22 have been addressed, the builder will then submit for city approval a replat of lots 13
through 22.
Recommendation: Staff recommends that the Honorable Mayor and Board of City
Commissioners approve the replat agreement in conjunction with approval of Admiral Pointe
Phase II subdivision plat.

AGREEMENT
[Admiral Pointe Phase II]
THIS AGREEMENT (this "Agreement") is made this day of
199_, by and between the CITY OF OCOEE, a Florida municipal
corporation (hereinafter referred to as the "City"), whose mailing address is 150 North
Lakeshore Drive, Ocoee, Florida 34761, and SANLANDO LAND, INC., a Florida
corporation (hereinafter referred to as the "Owner"), whose mailing address is 2100 West
State Road 434, Suite C, Longwood, Florida 32779.
RECITALS
WHEREAS, the Owner owns fee simple title to certain property located in Orange
County, Florida, said property being more particularly described in Exhibit "A" attached
hereto and by this reference made a part hereof (the "Property"); and
WHEREAS, pursuant to Section 177.071, Florida Statutes, the Owner requested that
the City Commission of the City (the "Ocoee City Commission") approve a plat of the
Property (the "Plat"); and
WHEREAS, the Construction Limit Line as reflected on the Plat does not include
sufficient dimensions; and
WHEREAS, the City prohibited the issuance of building permits on Lots encumbered
by the Construction Limit Line until a replat, including a Construction Limit Line acceptable
to the City Engineer, has been approved and recorded; and
WHEREAS, the City has required that the Owner execute this Agreement as a
condition precedent to the consideration of the Plat by the Ocoee City Commission.
NOW, THEREFORE, in consideration of the mutual premises hereof, and other good
and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
parties hereto agree as follows:

SECTION 1. RECITALS. The above recitals are true and correct and are
incorporated herein by this reference.
SECTION 2. REPLAT AS CONDITION PRECEDENT TO BUILDING
PERMITS. No building permits shall be issued for Lots 13 through 22, inclusive, as shown
on the Plat of Admiral Pointe Phase II, as recorded in Plat Book , Page , Public
Records of Orange County, Florida, unless and until a replat which covers the referenced Lots,
includes a Construction Limit Line acceptable to the City Engineer, and otherwise complies
with all applicable requirements of the Florida Statutes and the Ocoee Land Development
Code, has been approved by the Ocoee City Commission and recorded in the Public Records
of Orange County, Florida.
SECTION 3. DEVELOPMENT REVIEW FEES. The Owner hereby agrees to
pay all Development Review Fees as defined in the Ocoee Land Development Code, and the
application fee in connection with the replat referenced in Section 2 above.
SECTION 4. TERMINATION. Upon satisfaction of the requirements of Section
2 above and the payment of all Development Review Fees, the City and the Owner shall
execute a Termination of Agreement, which shall become effective upon recording in the
Public Records of Orange County, Florida.
SECTION 5. BINDING AGREEMENT ON SUCCESSORS. This Agreement
shall be binding upon and shall inure to the benefit of the Owner, the City, and their respective
successors and assigns and shall run with the land.
SECTION 6. RECORDATION. The parties hereto agree that this Agreement
shall be recorded in the Public Records of Orange County, Florida, at the expense of the
Owner.
SECTION 7. APPLICABLE LAW. This Agreement and the provisions contained
herein shall be construed, controlled, and interpreted according to the laws of the State of
Florida.
SECTION 8. SEVERABILITY. If any part of this Agreement is found invalid or
unenforceable by any court, such invalidity or unenforceability shall not affect the other part of
this Agreement if the rights and obligations of the parties contained therein are not materially
prejudiced and if the intentions of the parties can continue to be effected.
SECTION 9. RECOVERY OF ATTORNEYS' COSTS AND FEES. In
connection with any litigation between the City and the Owner, including appellate proceedings
arising out of this Agreement or the violation of any law, rule, regulation, ordinance,
resolution, or permit, the prevailing party shall be entitled to recover from the other party
reasonable attorneys' fees, paralegal fees, and costs hereunder, whether incurred prior to,
during or subsequent to such court proceedings, on appeal or during any bankruptcy
proceedings.

SECTION 10. ENTIRE AGREEMENT. This instrument and its exhibits
constitute the entire Agreement between the parties and supersedes all previous discussions,
understandings, and agreements between the parties relating to the subject matter of this
Agreement. Amendments to and waivers of the provisions herein shall be made by the parties
in writing by formal amendment which shall be recorded in the Public Records of Orange
County, Florida at the Owner's expense.
SECTION 11. COUNTERPARTS. This Agreement and any amendments hereto
may be executed in any number of counterparts, each of which shall be deemed an original
instrument, but all such counterparts together shall constitute one and the same instrument.
SECTION 12. EFFECTIVE DATE. This Agreement shall first be executed by the
Owner and submitted to the City for approval by the Ocoee City Commission. Upon approval
by the Ocoee City Commission, this Agreement shall be executed by the City. The Effective
Date of this Agreement shall be the date of execution by the City.
