Contact Number: (407) 905-3100 x 10 18 City Manager: Subject: Amendment to Tomyn Road Right -of -Way Development Agreement Commission District # 3 — Richard Firstner Background Summary: On February 16, 1999, the City Commission approved and executed a Development Agreement with Heller Bros. Groves and Centex Homes. The Development Agreement functioned to terminate a Development Agreement (Heller Brothers Development Agreement) and provided for the conveyance of right-of-way from Heller and Centex Homes for a new alignment of Tomyn Boulevard and the conveyance of a future "North Road" from Heller to the City of Ocoee. This new alignment will be called "Heller Boulevard." Section 8 of the agreement specifically states..."A new road (North Road) shall be constructed at City expense extending northward from the re -aligned Tomyn Road (Tomyn Blvd.) to the existing Tomyn Road, north of the Heller C-3 Property and for Heller to donate to the City the right-of-way for North Road and a drainage easement over the Tract T Pond to accommodate drainage and retention necessary for North Road." Other Surviving Covenants from Purchase Agreements between Heller Bros. and the City exist with regards to the Heller Properties on Maguire and Tomyn Road which will be incorporated into the Amended agreement as they are difficult to find in file storage as they are not recorded as Development Agreements. Discussion: The City has entered into an Annexation and Development Agreement for Inspiration PUD on March 20, 2018. Under the terms of the Inspiration PUD Agreement, the Inspiration PUD Developer is obligated to design, engineer, permit and construct North Road (referred to therein as "Northbrooke Boulevard") in connection with the development of the Inspiration PUD Development. In order to facilitate the construction of North Road by the Inspiration PUD Developer, Heller and the City desire to amend certain terms and provisions of the Development Agreement that relate exclusively to Heller and the City and do not require a joinder and consent from Centex and to address the other surviving covenants from past land purchase agreements. By amending the Tomyn Road Right -of -Way Development Agreement, Heller Bros. Groves will donate the area of land for the new North Road, which will allow the Inspiration PUD to receive a site development permit for the construction of the new North Road and development of the approved Inspiration PUD development. Issue: Should the Honorable Mayor and City Commissioners approve an Amendment to the Tomyn Road Right - of -Way Development Agreement in order to allow Heller Bros. Groves to donate to the City the right-of-way for North Road? Recommendation: Staff respectfully recommends that the Honorable Mayor and City Commissioners approve the Amendment to Tomyn Road Right -of -Way Development Agreement. Lakeshore Drive Ocoee, FL 34761 (407)656-2322 For Recording Purposes Only AMENDMENT TO TOMYN ROAD RIGHT-OF-WAY AND DEVELOPMENT AGREEMENT This Amendment to Tomyn Road Right -of -Way and Development Agreement (this "Amendment") is made and entered as of the day of , 2019 by and between HELLER BROS. GROVES, a Florida general partnership (hereinafter referred to as the "Heller") and the CITY OF OCOEE, a Florida municipal corporation (hereinafter referred to as the "City"). PREMISES• WHEREAS, Centex Homes ("Centex"), Heller and the City have previously entered into that certain Tomyn Road Right -of -Way and Development Agreement dated February 25, 1999 as recorded on March 9, 1999 in Official Records Book 5699, Page 4137 of the Public Records of Orange County, Florida (the "Development Agreement"); and WHEREAS, Heller and the City have previously entered into that certain unrecorded Purchase and Sale Agreement dated December 21, 1999, as amended by First Amendment thereto dated February 15, 2000 (the "Purchase Agreement") with respect to the Maguire Road Widening Project; and WHEREAS, Heller is the owner of certain land located in the City of Ocoee which is zoned C-3 and located west of Maguire Road and north of Tomyn Blvd and as generally described and depicted in Exhibit "A" to the Development Agreement (the "Heller C-3 Property"); and WHEREAS, Centex was the developer of the "Brookestone Subdivision" which is referred to as the "Residential Property" in the Development Agreement and is generally described and depicted in Exhibit "A" thereto; and WHEREAS, in connection with the development of the Brookestone Subdivision, Centex and Heller entered into that certain Drainage Easement Agreement dated October 1, 1998 as recorded in Official Records Book 5583, Page 1191, as amended by First Amendment thereto dated October 10, 1999 as recorded in Official Records Book 5857, Page 4096 and further amended by Second Amendment thereto dated October 2, 2000 as recorded in Official Records Book 6099, Page 3765, all of the Public Records of Orange County, Florida (collectively, the "Drainage Easement Agreement"); and WHEREAS, the Heller C-3 Property includes an existing retention pond which, along with portions of Tomyn Blvd., was constructed by Centex as "Tract T" of the Brookestone Subdivision and has been maintained by the City as "City of Ocoee Retention Pond #63" (the "Tract T Pond"), the location of said pond being generally depicted on Exhibit `B" to the Development Agreement; and WHEREAS, the Brookestone Subdivision and its stormwater management system (referred to in the Drainage Easement Agreement as the "Grantor's Stormwater Management System" and referred to herein as the `Brookestone Stormwater Management System") have has been fully developed and constructed; and WHEREAS, Section 8 of the Development Agreement provides for the City to construct, at the City's expense, a new road ("North Road") extending northward from the re -aligned Tomyn Road (now Tomyn Blvd.) to the then existing Tomyn Road north of the Heller C-3 Property and for Heller to donate to the City the right-of-way for North Road and a drainage easement over the Tract T Pond to accommodate drainage and retention necessary for North Road; and WHEREAS, the design of North Road is subject to the approval of Heller; and WHEREAS, the design of North Road is intended to provide a publicly dedicated road from Tomyn Blvd. to certain lands north of and adjacent to the Heller C-3 Property, which lands are being developed as the Inspiration PUD (the "Inspiration PUD Land"); and WHEREAS, the City has entered into that certain Annexation and Development Agreement (Inspiration PUD) dated March 20, 2018 with Diplomat Development Group, LLC and RPM Investment Holdings, LLC (collectively, the "Inspiration PUD Developer"), as recorded on April 5, 2018 under Doc# 20180203586 in the Public Records of Orange County, Florida (the "Inspiration PUD Agreement"); and WHEREAS, under the terms of the Inspiration PUD Agreement, the Inspiration PUD Developer is obligated to design, engineer, permit and construct North Road (referred to therein as "Northbrooke Boulevard") in connection with the development of the Inspiration PUD Land; and -2- WHEREAS, in order to facilitate the construction of North Road by the Inspiration PUD Developer, Heller and the City desire to amend certain terms and provisions of the Development Agreement that relate exclusively to Heller and the City and do not require a joinder and consent from Centex and to address other matters mutually agreed upon by Heller and the City. WITNESSETH• NOW, THEREFORE, for and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable considerations, the receipt and sufficiency of which are hereby acknowledged, Heller and the City hereby agree as follows: 1. Recitals. The above recitals are true and correct and are incorporated herein by reference. 2. Definitions. All capitalized terms used herein shall be as defined in the Development Agreement unless otherwise indicated or defined in this Amendment. 3. North Road Plans. (A) Pursuant to Section 8(A) of the Development Agreement, Heller hereby approves the Preliminary / Final Design Plan for Heller Boulevard (previously known as Northbrooke Boulevard and North Road), as prepared by Tawill Engineering, Inc. under Job Number 19-001, last revised , 2019, as Stamped Approved for Construction by the City of Ocoee on 2019 (Sheets 1 — 9), along with the Landscape Plan prepared by 3D Trees LLC as last revised , 2019 (Sheets LA-1 and LA-2), the Irrigation Plan prepared by 3D Trees LLC as last revised , 2019 (Sheets IR-1 and IR-2) and the Site Lighting Calculations for Inspiration Town Center — Overall Site Lighting Photometry prepared by Duke Energy dated October 26, 2018 with such revisions to such lighting plan as may hereafter be approved by the City (collectively, the "Approved North Road Plans") and consents to the design, engineering and permitting of North Road by Tawill Engineering, Inc. instead of Donald W. McIntosh Associates, Inc. The City agrees that the Approved North Road Plans satisfy the requirements of Section 8(B) of the Development Agreement. (B) Heller consents to the construction of North Road by the Inspiration PUD Developer; provided, however, that the foregoing shall not relieve the City of its obligations under the Development Agreement with respect to the construction of North Road should the Inspiration PD Developer fail to complete North Road in accordance with the Approved North Road Plans. (C) The City agrees and confirms that Heller shall have no financial obligation to pay for, participate in or otherwise reimburse the City, the Inspiration PUD Developer, or any other person or entity for any costs and expenses associated with the design, engineering, permitting and construction of North Road or any other improvements shown on the Approved North Road Plans. -3- (D) Heller and the City agree that the legal description of North Road shall be a set forth in Exhibit "A" attached hereto, which legal description and sketch supersede and replace depiction of North Road as shown on Exhibit `B" to the Development Agreement. (E) The City shall be responsible, at its sole cost and expense, for the operation, maintenance, irrigation, repair and, if necessary, replacement, of the landscaping and irrigation system within North Road as shown on the Approved North Road Plans. (F) The City shall be responsible, at its sole cost and expense, for the operation, maintenance, repair and, if necessary, replacement, of the street lighting within North Road as shown on the Approved North Road Plans. (G) The Approved North Road Plans provide for a pedestrian cross -walk east of the intersection of North Road and Tomyn Boulevard in order to connect the sidewalk abutting the Brookestone Subdivision to the sidewalk on the east side of North Road and crossing the grassy median within Tomyn Boulevard (the "Pedestrian Crossing Improvements"). The City acknowledges and agrees that except for the Pedestrian Crossing Improvements being constructed as aforesaid by the Inspiration PUD Developer a part of the Approved North Road Plans, that the future development of the Heller C-3 Property will not require any additional pedestrian crossing improvements (such as crosswalks, accessibility ramps, median sidewalks) at the intersection of North Road / Tumblewater Boulevard and Tomyn Blvd. (H) The Approved North Road Plans do not include a sidewalk on the west side of North Road adjacent to the Tract T Pond. The City acknowledges and agrees that such sidewalks are not required to be part of the North Road Plans and that Heller will not be required to install such sidewalks when the Heller C-3 Property develops. (I) Heller has requested that the official street name of North Road be designated as "Heller Boulevard" and that the street signage reflect this name. The City agrees to that request. (J) The City agrees that off -site or other signage shall not be permitted within the median of North Road without the prior approval of Heller, which approval may be granted or withheld in Heller's sole discretion. (K) Section 8 of the Inspiration PD Agreement requires that the Inspiration PUD Developer, at its sole cost and expense, (i) extend the following utilities from the closest stub -out along Tomyn Blvd. to the Inspiration PD Land: (x) potable water line, (y) sanitary sewer line, and (z) re -use water line (the "North Road Utility Improvements") and allows for the City to request the oversizing of such lines at the City's expense, and (ii) loop the potable water main from the stub -out at the intersection of Tumblewater Blvd. and Tomyn Blvd. to Maguire Road with the design thereof to take into account the potential development of the Heller C-3 Property. The City agrees that (i) Heller shall be allowed to connect to such utility improvements in connection with the development of the Heller C-3 Property, and (ii) Heller shall have no financial responsibility with respect to the cost of any such utility improvements, including but not limited to any obligations which may otherwise arise from any "Refunding Agreement" 0 between the City and the Inspiration PD Developer under Chapter 173 of the City of Ocoee Code of Ordinances. (L) The City agrees that Heller shall not be required to contribute towards any future traffic signal which may be installed at the intersection of North Road (Heller Boulevard) / Tumblewater Boulevard and Tomyn Boulevard. 4. Tract T Pond Drainage Easement and Maintenance. A. The City acknowledges that the Tract T Pond was designed and permitted as a joint use pond to handle stormwater run-off from the Heller C-3 Property and North Road. B. Heller hereby gives, grants, bargains, sells and conveys to City a non-exclusive perpetual drainage easement over, across and under the Tract T Pond for the purpose of accepting stormwater from North Road. Heller agrees to execute such further documentation as may be requested by the City in order to evidence the grant of the foregoing drainage easement. C. The City agrees, at its sole cost and expense, to continue to operate, maintain and repair the Tract T Pond, all in accordance with all applicable laws, statutes, ordinances, rules and regulations. It is expressly agreed between the parties hereto that the City shall be the maintenance entity with respect to the Tract T Pond and shall be responsible for maintaining the Tract T Pond in accordance with all applicable permits now or hereafter issued by St. Johns River Water Management District. Furthermore, the City shall maintain the Tract T Pond in a manner consistent with the maintenance of the City retention ponds along Maguire Road, the land for which was previously conveyed by Heller to the City pursuant to the terms of the Purchase Agreement. Notwithstanding the foregoing, in the event Heller adds landscaping or other improvements to the Tract T Pond, then Heller (or its designee) shall be responsible for the maintenance of any such additional landscaping or other improvements. D. Nothing contained herein shall be construed to limit the ability of Heller to utilize the Tract T Pond as part of the stormwater management system for the Heller C-3 Property, it being recognized that the Tract T Pond is an integral part of the Heller C-3 Property. 5. Conceptual Access Plan. The City hereby approves the Conceptual Access Plan for Heller C-3 Property as shown on Exhibit "B" attached hereto and by this reference made a part hereof (the "Conceptual Access Plan"). The Conceptual Access Plan includes a full median access from Tomyn Blvd. to the Heller C-3 Property which is located between Maguire Road and North Road; provided, however, that nothing herein shall be construed (i) to require that Heller construct such full median access, or (ii) to obligate the City to pay for the design, engineering, permitting or construction of such full median access. 6. Tomyn Road Right -of -Way Vacation. A. Section 8(E) of the Development Agreement is hereby deleted. B. The City has heretofore vacated Tomyn Road pursuant to City Resolution No. 2008-16 as recorded in Official Records Book 9801, Page 6875 of the Public Records of Orange -5- County, Florida. All references herein to the "Heller C-3 Property", including the Tract T Pond, shall be deemed to include the south half of the vacated portion of Tomyn Road adjacent to the Heller C-3 Property. The north half of the vacated portion of Tomyn Road has been incorporated into the Inspiration PUD Land. The foregoing shall not be construed as a warranty or representation by the City with respect to the vesting of title to Tomyn Road in either Heller or Inspiration PD Developer as a result aforesaid vacation of Tomyn Road. 7. Surviving Covenants of Purchase Agreement. Heller and the City desire to document in the public records the following provisions of Sections 6(C), 6(E) and 6(F) of the Purchase Agreement which survived the closing thereunder for the benefit of the Heller C-3 Property and which remain in full force and effect and binding on the parties hereto: (C) The City agrees that the portion of the Parent Tracts which are zoned C-3 on the Effective Date of this Agreement shall be allowed to develop, at Seller's option, with a right -in and right -out for both the West Parent Tract and the East Parent Tract provided that there is adequate spacing so that the right-in/right-out is no closer than 330 feet north of the intersection of Maguire Road and Realigned Tomyn Road. (E) The Brookestone Plan Sheet shows the existing City Sanitary Lift Station and an 8" plug valve for the possible future connection of the Parent Tracts. The City agrees that the Parent Tracts will have the right to connect to said lift station and that if there is not adequate capacity in said lift station to handle the development of the Parent Tracts at the time of connection, then the City will, at no expense to Seller or the then owner of any portion of the Parent Tracts, cause said lift station to be upgraded so as to handle the development of the Parent Tracts. The City acknowledges that the land on which said lift station is located has previously been donated by Seller to City. (F) The parties acknowledge that the Slope Easement is needed by the City because the Project will raise the finished grade of Maguire Road. The City agrees that it will not impose a requirement in connection with the development of the Parent Tracts that the grade of the Parent Tracts be raised to match the finished grade of Maguire Road upon completion of the Project; provided, however, that the foregoing shall not be construed to prevent the developer of the Parent Tracts from voluntarily electing to raise the finished grade of the Parent Tracts or any portion thereof. References above to the "Parent Tracts" include the Heller C-3 Property. The listing of the above provisions is not intended to modify any provisions of the Purchase Agreement or any other agreements between Heller and the City. 8. Drainage Easement Agreement. The City acknowledges receipt of a copy of the Drainage Easement Agreement which provides to Heller certain easements, rights and privileges with respect to the Brookestone Stormwater Management System for the benefit of lands then owned by Heller, including the Heller C-3 Property. Among other provisions, Section 1-7 of the I on First Amendment to the Drainage Easement Agreement provides that the Brookestone Stormwater Management System has been designed and engineering to accommodate stormwater discharge from lands then owned by Heller, including the Heller C-3 Property, and Maguire Road and that Heller controls the Excess Discharge Capacity of such system (as defined therein) which may be used by Heller, its successors and assigns, for the benefit of the Heller C-3 Property. The recitation of the foregoing is not intended to amend or modify any provisions of the Drainage Easement Agreement. 9. Notice Provisions. Section 18 is revised to provide that notices to Heller Bros. Groves should be delivered to: Heller Bros. Groves, P.O. Box 770249, Winter Garden, FL 34777, Attn: Harry Heller Falk, with a copy to: Zachary Heller, Heller Bros. Packing Corp., 288 South 9 h Street, Winter Garden, FL 34787 10. Centex. Nothing contained herein shall be construed to amend the Development Agreement to affect any of the rights and privileges of Centex, its successors and assigns, under the terms of the Development Agreement. 11. Covenant Running with the Land. The Development Agreement, as amended by this Amendment, shall run with the Heller C-3 Property and be binding upon and inure to and be for the benefit of the parties hereto and their respective successors and assigns and any person, firm, corporation or entity who may become the successor in interest to the Heller C-3 Property or any portion thereof. 12. Ratification; Conflicts. Except as amended hereby, the Development Agreement remains unchanged and in full force and effect, and each of the parties hereto hereby ratifies and confirms the terms and conditions of the Development Agreement. All references herein to the Development Agreement shall refer to the Development Agreement as amended by this Amendment unless the text or context indicates otherwise. In the event of any conflict between the Development Agreement and this Amendment, it is agreed that this Amendment shall control. 13. Counterparts. This Amendment may be executed in any number of counterparts, each of which shall be deemed to be an original instrument, but all such counterparts shall constitute one and the same instrument. 14. Effective Date. This Amendment shall become effective as of the date of the last execution by a party hereto. The landscape contractor shall be responsible for all materials and all work as called for on the landscape plans and in the landscape specifications. The list of plant quantities accompanying the plans shall be used as a guide only. Contractor shall verify all quantities and report any discrepancies at time of bidding. 2. All plant materials shall be graded Florida No. 1 or better as outlined by Grades and Standards for Nursery Plants, Parts I & II, Florida Department of Agriculture and Consumer Services, Division of Plant Industry, 2ND edition, February 1998, 3. All trees are to be planted 2"-3" higherfrom the base ofthe root flare at the trunk to the finished surrounding grade. NOTE: It is critical that the root flare be exposed prior to installation to verify proper planting depth.
