RE: LEGISLATIVE RETAINER AGREEMENT
As you may recall, $7,500 was authorized last year as our share of securing the
services of Oscar Juarez as a Lobbyist for the cities of Apopka, Winter Garden
and Ocoee. His services were needed as a result of our pushing to change the
one cent gas tax allocation in the Central Florida area which meant several
million dollars to us over the next decade.
As of today, there has been no agreement reached between the City of Orlando
and the cities of Apopka, Winter Garden and Ocoee as well as Orange County
regarding the one cent gas-tax allocation. While it is apparent that a lobbyist has
become a service that our communities need to have in Tallahassee, it appears
vital that we should continue the services of the lobbyist that was able to put
together the votes in the delegation for the gas tax allocation.
As in the past, the contract for Mr. Juarez' services remains with the City of
Apopka. Last year there was a rush to hire Mr. Juarez with an oral
understanding as to how the process would work regarding the gas tax. this
year, I would recommend that the City approve the $7,560, which would be our '
allocation to defray a portion of Apopka's cost of the Legislative Retainer
Agreement accompanied with a letter written to all parties that would state the
following:
The City of Ocoee is not a party to the Legislative
Retainer Agreement. However, the City will participate
with Apopka and Winter Garden in the development of a
joint legislative 'agenda. Any of the three cities..could
propose topics to be addressed by Juarez and Associates, but
only those topics acceptable to all three, cities would be
addressed under the,Agreement. Any subject not acceptable
to any of the three cities would not be included in the joint
legislative agenda, but could be addressed independently
under a separate contract. Since Apopka is the contracting
party, all communication with Juarez and Associates would
be handled by Apopka.

LEGISLATIVE RETAINER AGREEMENT
THIS AGREEMENT is made and entered into this day of
June, 1996, by and between Juarez and Associates of 105 E. Robinson
Street, Orlando, Florida (hereinafter "Juarez") and the City of
Apopka, a municipal corporation formed under the laws of the State
of Florida at 120 E. Main Street, Apopka, Florida (hereinafter
"City") .
1. Juarez agrees to monitor the 1996 legislative committee
meetings and prepare a legislative agenda for the 1997 legislative
session for the City of Apopka through December 31, 1996. These
legislative services will include general monitoring of issues of •
importance to the City as directed by the City.
2. Juarez may at Juarez's expense utilize subcontractors to
assist in this effort if, in the judgment of Juarez, such
assistance is needed. No person hired by Juarez who will be
representing �imse i)hersell as a representative o! the interests
of the City of Apopka, Florida, shall be utilized by Juarez without
• the prior written approval of the Mayor of the City of Apopka.
Juarez shall have the primary responsibility of providing
legislative services to the City, Juarez and any subcontractor
representing the City shall be bound by the highest ethical
standards and shall represent the City in' a professional manner.

3. In return for said legislative services, the City agrees to
pay Juarez the sum of $20,000, which is due and payable upon
execution of this Agreement. It is understood that Juarez and any
subcontractor are working as independent contractors and not as
employees of the City and, therefore, no insurance or any other

4. Additionally, the City may extend this agreement through

calendar year 1997 for an additional $20, 000.00 payment provided
funds are available and budgeted in the City' s FY 1996-97 budget.
IN WITNESS WHEREOF, the parties hereto have hereunder executed
this Agreement on the date and year first above written.
