At City Attorney Rosenthal's direction the legal description and a sketch description of the easement area have been attached as Exhibit "A." Mr. Rosenthal has also reviewed the Tortoise Conservation Easement and the Title Search Report and both of those items are available in the City Clerk's office for your review. Mr. Rosenthal has confirmed to me that he has now reviewed all documents and finds them to be acceptable to the City. Orange County Parks and Recreation requests your acceptance and signature. ROSALIND AVENUE ORLANDO, FLORIDA 32801 RECREATIONAL TRAIL EASEMENT This Recreational Easement made and given as of the day of_ , 1996, (Easement) by the City of Ocoee, a Florida Municipal Corporation(the"City")whose present address is 150 N. Lakeshore Drive, Ocoee,Florida 34761 and Forest Lake Golf Club,Ltd., (hereinafter"Golf Club"), as Lessee of the subject property, (together "Grantors") to ORANGE COUNTY, FLORIDA, a political subdivision of the State of Florida("Grantee"). WITNES SETH: WHEREAS,the Grantee desires to construct and maintain a multipurpose public recreational trial and associated facilities(West Orange Trail")across certain lands for the benefit of the residents of and visitors to Orange County; and WHEREAS, the recreational trail generally will be approximately fourteen (14') feet wide with an asphalt surface for bikers,walkers,rollerbladers,wheelchairs,and other non-motorized uses. The trail also will support an adjacent Equestrian Path. Informational signage and other amenities will be erected for the safety and convenience of trail users. The design of the recreational trail's landscape, using native vegetation and xeriscape techniques, will create a linear park, and may provide a wildlife corridor for small animals to travel between natural areas along the trail; and WHEREAS, Grantors desire to convey an easement of certain lands in which they have ownership and/or long term leasehold rights, respectively, in order to contribute to and further the construction and maintenance of the West Orange Trail in order to gain benefits therefrom for Orange County's residents and visitors; and WHEREAS,the legal description of this"Easement Property"owned or leased by Grantors and over which Grantors desire to convey to County an easement as Grantee is set forth in Exhibit "A", which is attached hereto and incorporated herein by this reference; and WHEREAS,the Grantors are the holder of fee simple title to the Easement Property, or have a long term lease hold interest therein, respectively, and by this instrument the Grantors do hereby lawfully create and convey an easement to the Grantee for the reasons and purposes set forth in this instrument; NOW, THEREFORE, for and in consideration of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged; Grantors hereby convey unto Grantee an easement upon the lands hereinafter described in accordance with the terms and conditions set forth herein. 1. Conveyance and Purpose of Easement. In accordance with the provisions set forth herein,the Grantors hereby give and grant unto the Grantee a perpetual easement, with full authority to enter thereupon, and construct,repair and maintain, as the Grantee may deem necessary, any and all improvements, appurtenances, accessories, and associated facilities (the "Facilities") necessary or convenient for the operation and maintenance of the hereinabove described West Orange Trail upon the Easement Property as described in Exhibit"A";provided,however, such easement and the rights conferred thereby shall not be exercised in a manner which will unreasonably interfere with or disturb the daily operations of Golf Club. Grantee shall give to Golf Club such advance notice 2 as is reasonable under the circumstances of such repairs and maintenance which require access to the easement from or across the burdened property. Grantor Golf Club shall have the right to review the routing of the recreational trail and the screening appurtenant thereto,which review rights shall be exercised reasonably and in consideration of the purpose and ownership of the recreational trail. The Grantee shall construct the Facilities upon the Easement Property within two (2) years after the date of this conveyance. After completion of such construction, Grantee shall promptly restore the unaffected adjacent land to its original condition to the extent reasonably possible, considering the purpose and use of the West Orange Trail. During the time the West Orange Trail and Facilities are constructed within the Easement Property: (1) Grantee shall insure that the Grantee, its contractors, subcontractors and material suppliers shall keep all construction activity restricted to the Easement Property unless Golf • Club consents in accordance to any use of its burdened property for construction or accessory uses during such construction period. (2) Grantee daily shall remove any unsightly or dangerous construction debris from any construction area in the Easement Property and such debris shall be disposed of away from the premises of Golf Club. (3) The failure of Grantee, its contractors, subcontractors and material suppliers, to keep construction debris in an orderly manner within the Easement Property shall be cause for notice of such failure to be given by Golf Club to Grantee. Grantee shall have three business days after receipt of such notice within which to cure the disorderly debris conditions which give rise to 3 such notice, failing which cure, Golf Club may exert such reasonable efforts as are necessary to effect such cure and such reasonable efforts shall be at the expense of Grantee. NOTICE IS HEREBY GIVEN THAT NO CONTRACTOR,SUBCONTRACTOR OR ANY OTHER PARTY WHO MAY FURNISH (ON BEHALF OF GRANTEE) ANY MATERIAL, SERVICE OR LABOR FOR ANY IMPROVEMENTS, REPAIRS OR ALTERATIONS TO THE EASEMENT PROPERTY SHALL BE OR BECOME ENTITLED TO ANY LIEN WHATSOEVER ON ANY PORTION OF THE GRANTORS' PROPERTY OR ANY PROPERTY OWNED BY GRANTORS. GRANTEE SHALL NOT HAVE THE RIGHT TO SUBJECT ANY PROPERTY OF GRANTORS TO A LIEN. In the event a lien is filed against any property of Grantors as a result of the construction,administration,operation,maintenance,repair,or reconstruction of the Easement Property or Facilities, or as a result of other actions of Grantee, its successors, or assigns or the failure to act of Grantee, its successors or assigns, Grantee, its successors or assigns shall cause such lien to be satisfied or transferred to bond so as no longer to be a lien against the Easement Property, within ten(10) days after the lien is recorded in the Public Records of Orange County, Florida. In the event of any construction or reconstruction of the Facilities in the Easement Property, Grantee shall require the contractor to post a payment and performance bond for the full contract amount, unless this requirement is waived by Grantors in their sole discretion. Grantee shall also require the general contractor for any construction or reconstruction of the Facilities to obtain, maintain and furnish Grantors evidence of: i. general contractor's workers' compensation insurance,the statutory workers' compensation limits, and no less than $100,000.00, for Employers' Liability, with a waiver of subrogation in favor of Grantors and its consultants, agents, employees and officials; 4 ii. business automobile liability insurance for all owned, non-owned and hired vehicles with limits of not less than$1,000,000.00,per occurrence, Combined Single Limits (CSL); and iii. (a) Contractor's Public Liability and Property Damages Liability Insurance: The Contractor shall furnish evidence to the Department that, with respect to the operations he performs,he carries regular Contractors' Public Liability Insurance providing for a limit of not less than $300,000 for all damages arising out of bodily injuires to or death of one person, and subject to that limit for each person, a total limit of$2,000,000 for all damages arising out of bodily injuries to,or death of two or more persons in any one occurrence, and regular Conractor's Property Damage Liability Insurance providing for a limit of not less than$50,000 for all damages arising out of injury to or destruction of property in any one occurrence and, subject to that limit per occurrence, a total (or aggregate) limit of$100,000 for all damages arising out of injury to or destruction of property during the policy period. If any part of the work is sublet similar insurance shall be provided by or in behalf of the subcontractors to cover their operations. (b) Contractors' Protective Liability and Property Damage Liability Insurance: The Contractor shall furnish evidence to the Department that, with respect to the operations performed for him by subcontractors, he carries in his behalf regular Contractors' Protective Public Liability Insurance providing for a limit of not less than$300,000 for all damages arising out of bodily injuries to, or death of two or more persons in any one occurrence, and regular Contractors' Protective Property Damage Liability Insurance providing for a limit of not less than $50,000 for all damages arising out of injury to, or destruction of property in any one occurrence, and, subject to that limit per occurrence, a total (or aggregate) limit of$100,000 for all damages 5 arising out of injury to or destruction of property during the policy period. 2. Reservation of Rights. The Grantors hereby reserve unto themselves,their successors and assigns, the right to use the Easement Property at any time for any purpose which will not interfere with the construction, operations, use, maintenance and repair of the West Orange Trail. However, Grantors,their successors and assigns,shall not build,construct or create, nor give their consent to any other person or entity to build, construct or create, any permanent physical improvements upon the Easement Property;provided,however,Golf Club shall be allowed to extend and maintain utility improvements above and below the Easement Area in such fashion that the general physical appearance and recreational operation of the West Orange Trail shall not be substantially interrupted or diminished and further provided that the Easement Property will be restored by Golf Club to the condition in which same was found. 3. Use and Maintenance. The Grantee shall have the right to clear from the Easement Property any obstructions that interfere with the construction or maintenance of the Facilities. Grantee shall give fourteen (14) days advance notice to Golf Club concerning the removal of any such obstruction which affects the daily operations of Golf Club. As repairs or maintenance of the Facilities, including appurtenant landscape screening, become necessary,the Grantee shall use all available reasonable means to accomplish such repairs or maintenance within a reasonable time period. 4. Indemnification. To the extent permitted by law, Grantee shall indemnify and hold harmless the Grantors from any liability caused by or arising from any incident occurring upon the Easement Property and caused by the negligent act or omission of Grantee, its officers, employees or servants. 6 Further, if Golf Club's liability insurance premiums increase as a direct result of a third party claim for injuries occurring on the Easement Property, Grantee will pay the increment in cost of such insurance during the duration of such increase. Grantee's obligation under this paragraph is subject to a maximum increase of$10,000 and applies only if Golf Club provides satisfactory written documentation from the insurer that the increased amount is directly attributable to the said Easement Property claim, and if comparable coverage at a reduced cost is not reasonably available from another insurer. 5. Successors and Assigns. The rights, privileges, duties and reservations herein provided shall inure to the benefits of and shall bind the Grantors and Grantee, and their respective successors and assigns. Upon termination of Golf Club's leasehold interest in the Easement Property, all rights of Golf Club hereunder shall inure to the benefit of the City. 6. Termination. This easement and the rights and privileges conferred hereby shall cease and terminate after one(1)year of continuous abandonment of operation,use, or maintenance of the West Orange Trail and Facilities by Grantee or its successor and assigns. 7. Review Rights of Golf Club. Golf Club is granted certain rights of review as stated in Paragraph 2 hereinabove. Further, Golf Club is hereby granted the right to review and consult with Grantee concerning the informational signage which will be erected by Grantee within the Easement Area. However, no exercise by Golf Club of any right of review granted by or through this Recreational Trail Easement shall in any way be construed as professional design or approval as to the effectiveness of any feature, design,placement or Facility of the West Orange Trail to protect pedestrian and equestrian users of the said trail from golf course activities recurring upon the burdened property, either 7 currently or in the future. 8. Restrictions. This easement and the rights and privileges conferred hereby shall cease and determine should the Grantee either (i) utilize the subject property for principal purposes other than those for which this easement is granted or (ii) charge fees to the general public for the use and enjoyment of this easement. Upon the establishment of such a course of conduct by Grantee in either case, this easement shall be extinguished and full possession and use of the subject property shall return to the Grantors, their successors and assigns.
