SUBJECT: Second Amendment to Contract for Continuing Transportation Planning and Traffic
Engineering Services for City Projects
ISSUE:
Should the Mayor and City Commission approve the attached Amendment to the Contract for Continuing
Transportation Planning and Traffic Engineering Services for City projects?
BACKGROUND:
On April 15, 1997 the City and SAIC entered into a contract for Continuing Transportation Planning and
Traffic Engineering Services for the City. The contract provides for the extension of the contract term for
up to two additional one year periods, as well as the option for SAIC to submit a revised Rate Schedule
for City approval. On April 7, 1998, the City Commission took action to extend this contract for one year.
This extension will expire on April 15, 1999. The second extension, if approved, will expire on April 15,
2000.
DISCUSSION:
As outlined in the attached Contract Amendment and Revised Professional Hourly Rate Schedule, the
following amendments are proposed for the current contract between the City and JHK&Associates.
1. The term of the contract is to be extended for one year to April 15, 2000.
2. The Hourly Rate Schedule has been revised to include a modest increase in the hourly rates The
Revised Professional Hourly Rate Schedule is attached to the contract amendment as Exhibit"A".
RECOMMENDATION:
Staff respectfully recommends that the Mayor and City Commissioners approve the second Amendment
to the SAIC Contract for Continuing Transportation Planning and Traffic Engineering Services for City
projects.

SECOND AMENDMENT TO CONTRACT FOR CONTINUING
TRANSPORTATION PLANNING AND TRAFFIC ENGINEERING
SERVICES FOR CITY PROJECTS

This Second Amendment to Contract for Continuing Transportation Planning and
Traffic Engineering Services for City Projects (this Second Amendment") is made and
entered into as of_the day of April, 1999 by and between the CITY OF OCOEE, a
Florida municipal corporation ("City") and SCIENCE APPLICATIONS INTERNATIONAL
CORPORATION, a Delaware corporation, f/k/a/ JHK & Associates, Inc.
("Planner").
PREMISES:
WHEREAS, the City and Planner have hereto for entered into a certain Contract for
Continuing Transportation Planning and Traffic Engineering Services for City Projects dated
April 15, 1997, as amended April , 1998 (the "Contract"); and
WHEREAS, the Contract is scheduled to terminate on April 15, 1999, subject to the
right of the City and Planner to extend the term of the Contract for up to one additional one
year period;
WHEREAS, the City and Planner desire to extend the term of the Contract; and
WHEREAS, .Exhibit "A" to the Contract provides for annual adjustments in the
Planners Professional Hourly Rate Schedule (the "Rate Schedule"), subject to the approval of
the City; and
WHEREAS, the City desires to approve a revised Rate Schedule proposed by Planner.
NOW, THEREFORE, in consideration of the premises and other valuable
considerations, the receipt and sufficiency of which is hereby acknowledged, the parties hereto
agree as follows:
1. The recitals and premises set forth above are true and correct and are
incorporated herein by reference.
2. Pursuant to Section 5.3 of the Contract, the term of the Contract is hereby
extended for one year to April 15, 2000.
3. The City hereby approves the Revised Rate Schedule attached hereto as Exhibit
"A-2" and by this reference made a part hereof, effective as of April 16, 1999 (the "Revised
Rate Schedule"). The Revised Rate Schedule shall not be subject to change during the
remaining term of the Contract.
4. The foregoing approval of the Revised Rate Schedule shall not be construed to
authorize the Planner to exceed the approved Work Order Total for any specific Work without
the prior written approval from the City.

5. All words and phrases used herein shall be as defined in the Contract unless
otherwise indicated.
6. Except as expressly set forth in this Second Amendment, the Contract remains
unchanged and in full force and effect. In the event of a conflict between the provisions of this
Second Amendment and the Contract, it is agreed that the terms and provisions of this Second
Amendment shall control.
IN WITNESS WHEREOF, the City and Planner have executed this Second
Amendment as of the day and year first above written.

SCHEDULE OF HOURLY RATES AND OTHER CHARGES
(Effective through April 15, 2000)
1. LABOR RATES
The hourly labor rates set forth below shall be used in estimating labor costs for work orders under
the Contract between the City of Ocoee and SAIC prepared during the extended contract term. Work
SAIC is authorized to perform on a time and materials basis during the extended term of the
contract will be invoiced and paid at the hourly labor rates corresponding to the labor categories
set forth below. Billable hours will be based on actual work hours recorded by personnel engaged
in the performance of work under this Agreement. Labor charges shall be determined by
multiplying the hourly labor rate corresponding to an employee's assigned labor category
classification by the number of hours worked and recorded against the contract in a given four (4)
week time period, which have not been previously invoiced by SAIC and paid by the City of
Ocoee. The fixed hourly labor rates for the SAIC's professional services are as follows:

The hourly labor rates listed above will remain in effect through April 15, 2000. Thereafter the
rates will escalate at 5% per annum.
(1) The fully loaded hourly rates include direct labor costs, SAIC's provisional indirect rates overhead
fringe, and G&A, and a fee of 12%.

2. OTHER DIRECT COST CHARGES
Other Direct Costs shall be estimated by SAIC for work orders issued under the extended term of
the contract. Under time and material work orders these expenses shall be reimbursed at actual
cost plus an administrative handling charge of 10.3% covering our general and administrative
(G&A) indirect expense. Other Direct Costs include, but are not necessarily limited to service
center costs for. computer usage and reproduction services, publication costs, express mail
expenses and payments made to temporaries, independent translators, and independent consultants.
3. SUBCONSULTANT EXPENSES
Work order proposals shall identify the use of any proposed subconsultants and their expenses.
Under time and material type work orders, costs incurred by SAIC in making payments to
subcontractors shall be reimbursed at actual cost plus an administrative handling charge of 2.206%
covering our indirect expenses.
