Orlando/Orange County Expressway Authority: Golf Course Property The right-of-way condemned by the Orlando/Orange County Expressway Authority ("0/OCEA") through the City of Ocoee's golf course property was encumbered by a Gopher Tortoise Conservation Easement in favor of the Florida Game Fresh Water Fish Commission ("FGFWFC"). The original Conservation Easement, granted by the City to FGFWFC, contemplated that 0/OCEA may condemn a portion of the property subject to the easement for right-of-way and allows for substitute mitigation to be provided for the right-of- way acquired. As 0/OCEA has now acquired title to Parcel 62-165 it has negotiated with FGFWFC for substitute mitigation and release of the Conservation Easement on the right-of- way. Because the easement currently shows the City of Ocoee as the grantor, FGFWFC has requested that the City of Ocoee execute an amendment to the Conservation Easement. Although 0/OCEA is now the titleholder to the property we have consented to the execution by the City with a Joinder and Consent by 0/OCEA. Attached is the modification requested by FGFWFC which has been executed by 0/OCEA. We have reviewed the Conservation Easement and the legal descriptions attached and have determined that all is in order. We recommend approval of the First Amendment to the Conservation Easement and authorization to the Mayor to execute all necessary documentation. Box 4961 Orlando, Florida 32802-4961 For Recording Purposes Only FIRST AMENDMENT TO CONSERVATION EASEMENT THIS FIRST AMENDMENT TO CONSERVATION EASEMENT ("Amendment ") is made and entered into this day of , 1998, by and between the CITY OF OCOEE, a Florida municipal corporation, whose mailing address is 150 North Lakeshore Drive, Ocoee, Orlando, Florida 34761 (the "City"), and the FLORIDA GAME AND FRESH WATER FISH COMISSION, a public body, whose mailing address is 620 South Meridian Street, Tallahassee, Florida 32399-1600 (the "Commission"). WITNESSETH: WHEREAS, the City and the Commission are parties to that certain Conservation Easement dated April 20, 1993, and recorded in Official Records Book 4555, Page 4460, Public Records of Orange County, Florida (the "Conservation Easement"), which establishes a conservation easement for preservation of gopher tortoise habitat on that certain Property in Orange County, Florida as more particularly defined and described in the Conservation Easement; and WHEREAS, the Conservation Easement contemplates the taking and/or acquisition of certain lands within the Conservation Easement area for construction and operation of the Western Beltway Part A Expressway project by the Orlando-Orange County Expressway Authority ("OOCEA"), and that taking by OOCEA has occurred; and WHEREAS, the City and the Commission desire to amend the Conservation Easement to reflect the revised legal description of the Conservation Easement area as result of the taking by OOCEA. 1 ORLIIREALES11210025.1 12842/0102 7/15/98 4:10 PM For Recording Purposes Only NOW, THEREFORE, in consideration of the foregoing, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the City and the Commission do hereby covenant and agree as follows: 1. Incorporation of Recitals. The foregoing recitals are true and correct and are incorporated herein by this reference. 2. Modification of Conservation Easement Area. The Conservation Easement is hereby modified and amended to delete in its entirety the legal description of the Property as set forth in Exhibit "A" attached to the Conservation Easement, and to substitute in its place and stead the legal description of the Property as set forth on Exhibit "A" attached hereto and incorporated herein by this reference. 3. Construction of this Amendment. Except as expressly amended and modified herein, all terms and conditions of the Conservation Easement remain unchanged and in full force and effect. Any terms not otherwise defined in this Amendment shall have the same definition and meaning as set forth in the Conservation Easement. In the event of any conflict or ambiguity between the terms and conditions of this Amendment and the terms and conditions of the Conservation Agreement, the terms and conditions of this Amendment shall control. The headings of this Agreement are for purposes of reference only and shall not otherwise limit or affect the meaning hereof.
