Engineering Services for City Projects

Should the Mayor and City Commission approve the attached Amendment to the Contract for Continuing
Transportation Planning and Traffic Engineering Services for City projects?
BACKGROUND:
On April 15, 1997 the City and JHK & Associates ( TransCore ) entered into a contract for Continuing
Transportation Planning and Traffic Engineering Services for the City. This contract is scheduled to
terminate on April 15, 1998. The contract provides for the extension of the contract term for up to two
additional one year periods, as well as, the option for JHK & Associates to submit a revised Rate
Schedule for City approval.
DISCUSSION:
As outlined in the attached Contract Amendment and Revised Professional Hourly Rate Schedule, the
following amendments are proposed for the current contract between the City and JHK&Associates.
1. The term of the contract is to be extended for one year to April 15, 1999,subject to the right of the City
and JHK & Associates to extend the Contract for an additional one year period provided there is
mutual consent of both parties.
2. The Hourly Rate Schedule has been revised to include a modest increase in the hourly rates The
Revised Professional Hourly Rate Schedule is attached to the contract amendment as Exhibit"A-1".
3. JHK & Associates must notify the City on or before January 15, 1999 of their interest to extend the
contract for one additional year.
RECOMMENDATION:
Staff respectfully recommends that the Mayor and City Commissioners approve the Amendment to the
Contract for Continuing Transportation Planning and Traffic Engineering Services for City projects.

This First Amendment to Contract for Continuing Transportation
Planning and Traffic Engineering Services for City Projects (this
"First Amendment" ) is made and entered into as of the day of
April, 1998 by and between the City of Ocoee, a Florida municipal
corporation ( "City" ) and JHK & Associates, Inc . a
corporation, d/b/a TransCore ( "Planner" ) .
PREMISES•
WHEREAS, the City and Planner have hereto for entered into a
certain Contract for Continuing Transportation Planning and Traffic
Engineering Services for City Projects dated April 15, 1997 (the
"Contract") ; and
WHEREAS, the Contract is scheduled to terminate on April 15 ,
1998 , subject to the right of the City and Planner to extend the
term of the Contract for up to two additional one year periods;
WHEREAS, the City and Planner desire. to extend the term of the
Contract; and
WHEREAS, Exhibit "A" to the Contract provides for annual
adjustments in the Planners Professional Hourly Rate Schedule (The
' "Rate Schedule" ) , subject to the approval of the City; and
WHEREAS, the City desires to approve a revised Rate Schedules
proposed by Planner. '
NOW, THEREFORE, in consideration of the premises and other
valuable considerations, the receipt and sufficiency of which is
hereby acknowledged, the parties hereto agree as follows :
1 . The recitals and premises set forth above are true and
correct and are incorporated herein by reference .
2 . • Pursuant to Section 5 . 3 of the Contract, the term of the .
Contract is hereby extended for one year to April 15, 1999, subject
to the right of the parties to extend the Contract for an
additional one year period upon the written mutual. consent of. the
City and Planner.

3 . The City hereby approves the Revised Rate Schedule
attached hereto as Exhibit "A-1." and by this reference made a part
hereof, effective as of February 1, 1998 (the "Revised Rate
Schedule" ) . The Revised Rate Schedule shall not be subject to
change during the remaining term of the Contract .
4 . The foregoing approval of the Revised Rate Schedule
shall not be construed to authorize the Planner to exceed the
approved Work Order Total for any specific Work without the prior
written approval from the City.
5 . On or before January 15, i999, the Planner shall advise
the City if it is interested in an additional one year extension of
the term of the Contract and, if so, whether the Planner proposes
any changes to the Revised Rate Schedule for such extended term.
Any proposed changes to the Revised Rate Schedule shall be
submitted to the City along with the notice from the Planner
expressing its interest in extending the Contract term. In the
event the City is also interested in extending the Contract term,
then the City and Planner shall enter into a written amendment to
the Contract extending the term and setting forth such rate
schedule as may be mutually agreed upon by the parties hereto.
Nothing contained herein shall be construed to obligate the City to
agree to any extension of the term of the Contract or any revised
rate schedules proposed by Planner.
6 . All words and phrases used herein shall be as defined in
the Contract unless otherwise indicated.
7 . Except as expressly set forth in this First Amendment,
the Contract remains unchanged and in full force and effect . In
the event of a conflict between the provisions of this First
Amendment and the Contract, it is agreed that the terms and
provisions of this First Amendment shall control .
IN WITNESS WHEREOF, the City and Planner have executed this
First Amendment as of the day and year first above written.
