SUBJECT: Second Amendment to Ocoee/Orange County Sewer Territory Agreement
On November 18, 1997 the City Commission authorized execution of the Orange County/City of
Ocoee/West Oaks Square, Inc. Wastewater Agreement for De Minimus Capacity. This
agreement referred to the property that is now the site of the CentraCare facility on SR 50, which
is in the Orange County water and wastewater territory.
Under the De Minimus Capacity Agreement, Orange County was to provide water service to the
site, but made an exception to the underlying City/County sewer territory agreement by
providing that Ocoee would accept and treat sewer flow from the site due to the proximity of
Ocoee's sewer facilities compared to those of the County.
The same developer now wants to develop the parcel immediately cast of the CentraCare site,
and approached us to enter into a similar agreement for this new parcel. Both city and county
staff agreed that the De Minimus Capacity Agreement is much more cumbersome than was
anticipated, and probably costs both entities more to administer than is generated in utility
revenues.
Orange County requested that Ocoee consider incorporating both tracts into the Ocoee sewer
service territory, so that the county's normal water billing procedure, and Ocoee's normal sewer
billing procedure can be used.
The attached Second Amendment to Orange County/City of Ocoee Sewer Service Territorial
Agreement and Termination of the Orange County/City of Ocoee/West Oaks Square, Inc.
Wastewater Agreement for De Minimus Capacity(the Second Amendment) accomplishes two
things. First, it incorporates both of the sites described above into Ocoee's wastewater service

territory and simultaneously removes those sites from Orange County's wastewater service
territory, and second, it terminates the De Minimus Capacity Agreement. This proposal is
acceptable to, and is recommended by the staff of both Orange County's and Ocoee's utility and
finance departments.
Execution of this Second Amendment will enable Orange County and Ocoee to serve the sites
with water and wastewater utilities in the most efficient manner, and will minimize
administrative costs to both governments. Orange County executed the Second Amendment on
January 26, 1999.
I recommend that the City Commission authorize the Mayor and City Clerk to execute the
Second Amendment to Orange County/City of Ocoee Sewer Service Territorial Agreement and
Termination of the Orange County/City of Ocoee/West Oaks Square, Inc. Wastewater Agreement
for De Minimus Capacity.

This Second Amendment to Orange County/City of Ocoee Sewer Service Territorial
Agreement and Termination of Orange County/City of Ocoee/West Oaks Square, Inc. Wastewater
Agreement for De Minimus Capacity(the"Amendment")is entered into by Orange County, Florida
a political subdivision of the State of Florida (the "County"), the City of Ocoee, a municipality
created under Florida law and located in Orange County, Florida (the "City"), and West Oaks
Square, Inc., on thisZt day ofCkil.IA Y , 1999.
RECITALS
1. The County entered into that certain Orange County/Prima Vista Utility Company,
Inc. Sewer Service Territorial Agreement, (Contract No. S-87-8), dated June 8, 1987, as recorded
on June 10, 1987, in Official Records Book 3894, Page 1363, Public Records of Orange County,
Florida, which was assigned by the Prima Vista Utility Company,Inc. ("PVU")to the City by virtue
of that certain Assignment of Sewer Service Territorial Agreement dated November 30, 1987
(collectively the"Sewer Service Agreement").
2. The Sewer Service Agreement established the County and the City's respective
wastewater service areas and was amended on February 11, 1994,as recorded on February 23, 1994,
in Official Records Book 4702,Page 2589,Public Records of Orange County, Florida. The Sewer
Service Agreement as amended shall hereinafter collectively be referred to as the "Sewer Service
Agreement."
3. Subsequently,the City received a request to provide wastewater service to property
lying within the County's wastewater territorial area and such property is more particularly described
in Exhibit"1" attached hereto and incorporated herein,hereinafter the"Property."
4. The Property described in Exhibit"1" is located along State Road 50 at Citrus Oaks
Avenue within the City.
5. Since the County's wastewater pipeline was distant from the Property, while the
City's wastewater pipeline was across State Road 50,the County and the City agreed for the City
to provide wholesale wastewater service to the Property and on November 18, 1997, the County and
City entered into that Orange County/City of Ocoee/West Oaks Square,Inc. Wastewater Agreement
for De Minimus Capacity (hereafter the"De Minimus Capacity Agreement").
6. West Oaks Square, Inc. was a party to the De Minimus Capacity Agreement as the
contract purchaser of the Property.
7. West Oaks Square, Inc. completed the purchase of the Property and warrants that
there are no liens or encumbrances on the Property.
8. The City has since received a request to provide wastewater service to property
adjacent to West Oaks Square, Inc.'s property which such adjacent property is more particularly
described in Exhibit "2a" attached hereto and incorporated herein, hereinafter the "Adjacent
Property."
9. In order to assure that wastewater service is provided in an orderly and economical
manner, the County and City have agreed to amend the Sewer Service Agreement to add the
Property and the Adjacent Property into the City's sewer service territorial area which is referred to
as the"Utility's Potential Contract Territory"in the Sewer Service Agreement.

10. In order to facilitate amendment of the Sewer Service Agreement, West Oaks Square,
Inc. consents to termination of the De Minimus Capacity Agreement and consents to the City
becoming the retail wastewater service provider for the Property and the Adjacent Property.
NOW, THEREFORE, in consideration of the recitals, agreements and mutual covenants
contained herein, and other good and valuable consideration,the receipt and sufficiency of which
are acknowledged by the parties, the parties agree as follows:
1. The above recitals are true and correct and are incorporated herein as a material part
of this Amendment.
2. The Exhibit"A" attached to the Sewer Service Agreement is hereby deleted in its
entirety,and the Utility's Potential Contract Territory shall be amended to lie within the boundaries
described in the new Exhibit"A" attached hereto and incorporated by this reference into the Sewer
Service Agreement.
3. Except as revised by this Amendment,the provisions of the Sewer Service Agreement
shall remain unchanged and in full force and affect.
4. The County, City and West Oaks Square, Inc. agree that the De Minimus Capacity
Agreement is hereby terminated and of no further force and effect and acknowledges that the City
does not owe the County any capital charges for other fees pursuant to the De Minimus Capacity
Agreement.
5. West Oaks Square, Inc. and the City acknowledge that the City will be the retail
provider of wastewater services to the Property and that the County will have no further
responsibilities for the provision of wastewater services to the Property.
6. This Amendment shall be recorded in the Public Records of Orange County.

7. This Amendment shall become effective as of the date the last party hereto fully
executes this Amendment.
