Booker Reis, and the POWR Campaign. Members of Carlman Booker Reis will be at
the July 20 City Commission meeting to give you a status report of what they have
done as well as future plans for this campaign.

Attached is our update report about the POWR campaign for the July 20 city commission
meeting. The numbering does not indicate an order of importance, but is included to offer
commissioners an easy way to refer to each activity should they have questions following
Karl s brief presentation.

Commission Meeting Status Report
July 20, 1999
PROGRESS TO-DATE:
1. Developed all aspects of the May 18 campaign kick-off.
2. Created the following promotional and collateral material: campaign logo, cling
stickers, pencils, letterhead, information brochure (to be printed), Power Point
presentation, monthly newsletter bill insert, media information kit and community
signage for street and city hall.
3. Met with the following businesses and negotiating their participation and support of
the campaign, including an incentive program: Lowe's, Winn-Dixie, Borders
Bookstore, Health Central.
4. Communicating regularly with St. John's River Water Management District to
implement the campaign and seek their input and support. (In addition to the
POWR collateral material mentioned above, they have provided a large variety and
quantity of water conservation collateral free-of-charge to support our education
efforts.)
5. Negotiated a commitment from The West Orange Times to support the campaign
with weekly editorial coverage. Providing weekly copy andfor photos about the
POWR campaign.
6. Working with the West Orange Chamber of Commerce on a wide variety of
activities to support the campaign, including presentations at chamber functions
throughout the year, regular information in the chamber newsletter, information
about the campaign inserted into their membership mailings and more.
7. Developed opportunities with the Parks and Recreation Department to promote the
program to children enrolled in their summer activities, including a presentation on
June 30 and participation in the August 12 Rec Center grand opening.
8. Designed and implementing a monthly bill insert newsletter that includes water
conservation tips, news about program activities in the community, upcoming
events and progress in meeting our goals.
9. Updated the city's Web site to include information about the program and links to
other resources, including the St. John's River Water Management District.

10. Identified a program ambassador to assist staff in implementing speaking
engagements.
11. Researched and developed a speakers bureau program, including a Power Point
and poster board presentation, and supporting script. Identified and scheduling
presentations to such organizations as Kiwanis, Rotary, Lion's, Cub and Boy
Scouts, and women's club; church groups; garden clubs; senior groups; home
owners associations; public library, etc.
12. Identified significant user communities and working to schedule a speakers bureau
presentation and/or water conservation workshop.
13. Developed an art and essay contest for the schools to promote water conservation.
Janet Shiro will coordinate the art contest and use the winning photos for the City of
Ocoee Year 2000 calendar. CBR will coordinate the essay contest with winning
essays published in The West Orange Times-
14. Designed display boards for the citys booth at the West Orange Business Expo and
recommended it be displayed afterwards at City Hall.
UPCOMING ACTIVITIES
1. Work with Cathy Sills to include the POWR brochure in information mailed to new
customers.
2. Continue to identify and meet with businesses in the community to negotiate their
participation and support of the campaign.
3. Arranging water plant tours for Cub and Boy Scout troops, Leadership West Orange
and others.
4 Meet with representatives from the elementary schools, middle school and West
Orange High School to present the curriculum program and discuss additional
opportunities to promote the program and involve students during the 1999-2000
school year.
5. Contact local restaurants to encourage them to implement the National Restaurant
Association's 'Water on Request' policy and provide the restaurants with POWR
table tents with this message.
6. Plan a water conservation workshop for the community featuring county extension
office representatives, horticulturists, etc.

7. Contact local Realtors to include the campaign brochure in their information packets
for new home owners.
8. Contact local plumbers and lawn maintenance companies to discuss/negotiate ways
in which they can support the campaign.
9. Request display of the POWR logo on local bank and hotel marquees.
10.Update the program information quarterly on the city s Web site.
11.Produce the monthly bill insert newsletter.
12.Write and submit weekly copy to The West Orange limes.
13.Continue scheduling and coordinating monthly speakers bureau presentations.

LETTER OF AGREEMENT

Dear Ms. Shira:
The purpose of this document is to serve as a letter of agreement ("Contract") retaining
Carlman Booker, Inc. d/b/a Carlman Booker Reis Public Relations ("Agency") to serve as
public relations counsel to the City of Ocoee ("Client") in connection with its community
water conservation program.
Scope of Work
Agency will provide Client with consulting services for its community water conservation
program ("Project"). In support of the Project, Agency will provide public relations counsel
and support to implement the campaign strategies and tasks outlined in its written proposal
attached as Addendum A. By April 30, 1999, Agency and Client will meet and mutually
agree upon a Task Schedule and Timeline and the estimated hours required. Your account
team will meet with you at least monthly to determine immediate and long-term priorities for
the Project and will present quarterly project status reports to the Ocoee City Commission.
Agency/Compensation
Agency charges will be based on the following billings rates: Agency president at $200/hour;
Agency vice presidents at $160/hour; account executives at $125/hour; assistant account
executives at $85/hour; with clerical support available at a fee of $35/hour. Hourly rates
may not be changed without the prior Client approval. The Agency anticipates that the
staffing needed to implement the Project will result in an average billing rate of
approximately $100/hour during the term of this Contract.
The Client will initially pay to Agency a retainer in the amount of $8,000 ("Retainer"). By
April 30, 1999, the Agency and Client will meet and mutually agree on a Retainer schedule
for the balance of the Initial Term of this Contract. The monthly fees charged by Agency
will not exceed the Retainer balance unless pre-approved by Client. Any such pre-
approved fees beyond the Retainer balance will be invoiced in arrears to Client.

Agency will provide the Client with itemized monthly invoices by the 25th of each month
for work performed during the previous month. The invoices will detail the work performed
by each person working on this account and the hourly rate of the person performing such
work.
The Retainer balance held by Agency will be used to pay each monthly invoice. Any
unused Retainer balance will carry forward to the next month.
The total Project fee, including Agency fees and all other related expenses, will not exceed
$125,000 during the initial term of this Contract, without prior Client approval. All Retainer,
monthly and expense invoices will reference the Project Purchase Order number issued
by the Client. Monthly Retainers are due by the first of each month to ensure
uninterrupted Client service. Agency must receive initial Retainer before any work is
performed on Client's behalf.
Crisis Response Situations
For the purposes of this contract, a crisis is defined as "a significant business disruption
which could or has resulted in extensive news media vulnerability, coverage and/or public
scrutiny." Should crisis situations arise requiring immediate involvement from the Agency,
Client will incur fees at time and a half of Agency's usual hourly fees; provided, however,
that no work will be performed pursuant to this paragraph unless requested by Client and
agreed upon by both Agency and Client as work occurring during a "crisis" as defined
herein.
Agency Activity Reports
Agency will prepare and submit monthly activity reports which document all efforts made
on the Client's behalf.
Project Change Authorizations
It is not unusual for priorities to change or be added within a contract period. To ensure
that all parties agree on priorities, Agency will provide Project Change Authorization (PCA)
forms for Client's signature. Signed PCAs must be received before Agency authorizes
significantly increased hours and expenses.
Contract Length
This contract retains Agency a term commencing on April 1, 1999 and ending on March
31, 2000 ("Initial Term"). After the Initial Term, this Contract may by mutual agreement be
extended to September 30, 2000 and may thereafter be extended by mutual agreement
for additional one-year terms. This Contract may be terminated by Client as follows: (1)
without cause by 90 days written notice from Client to Agency, or(2)with cause by 30 days
written notice from Client to Agency. The Client may also terminate this Contract as of
September 30, 1999 if Client's City Commission fails to appropriate funds for the

continuation of this Contract in its fiscal year 1999/2000 budget and gives written notice
of such intent to Agency on or before September 1, 1999. This Contract may be
terminated by Agency upon 30 days notice in the event of a default by Client. After the
Initial Term, this Contract may be terminated by Agency, with or without cause, on 90 days
written notice by Agency to Client.
Agreed upon Retainers will be paid by Client through the date of any such termination.
Code of Ethics/Confidentiality
Agency subscribes to the Code of Ethics of the Public Relations Society of America which
includes the assurance that Agency will "scrupulously safeguard the confidences and
privacy rights of present, former and prospective clients or employers." Agency will take
all reasonable measures to maintain confidentiality of client-related information and
materials, subject to compliance with the Florida Public Records Law.
Expense Reimbursement/Billing Procedure
Agency expenses incurred on behalf of the Client will be billed separately each month.
These expenses include, but are not limited to, travel, copies, mileage, courier services,
postage, photography, long distance, printing, etc., and are subject to a standard Agency
administration fee. Major expenses and advertising costs are invoiced in advance.
Agency invoices are due to Agency 30 days after receipt by Client. Invoices shall be
addressed to the Director of Finance of Client. Payments shall be made by Client to
Agency at the following location: 1495 North Maitland Avenue, Maitland, FL 32751, with
payments past due subject to an automatic finance charge of 1.5% per month. A 50%
deposit is required for all printed materials upon approval of final artwork. All materials
related to the account will be provided to Client upon receipt of satisfactory final payment
due at the conclusion of this Contract. In the event of default of payment for goods and
services rendered so that legal action becomes necessary, the Client agrees to pay all
reasonable attorneys' fees, collection and/or legal costs incurred by Carlman Booker, Inc.
Key Personnel
Prior to the start of any work under this Contract, the Agency has submitted to the Client
resumes of key professional personnel who will be involved in performing all activities
described in the Scope of Work. The Client hereby acknowledges its acceptance of such
personnel to perform services under this Contract. At any time hereafter that the Agency
desires to change the key professional personnel in an active assignment, it shall submit
the qualifications of the new professional personnel to the Client for prior approval.

Client's Designated Representative
The client designates the City Manager or his designated representative to represent
Client in all matters pertaining to and arising from the work and performance of this
Contract. The City Manager of Client has, until further notice, designated Janet Shira,
Community Relations/Project Director, as his designated representative.
Ownership of Work Product
It is understood that all work product generated by Agency pursuant to this Contract shall
be the property of the Client, subject to payment of all monies due to Agency.
Coordination with Water Rate Consultant
Agency agrees to coordinate the implementation of the Project with the Client's water rate
consultant which is conducting a water rate study.
Release and Hold Harmless
To the extent permitted by law, Client agrees to release, hold harmless, defend and
indemnify Agency from any damages, costs or expenses, liability or causes of action which
it or others may have or claim against Agency, arising out of the dissemination by Agency
on Client's behalf of information or materials provided or approved by Client to be so
disseminated.
Facsimile Approval Process
Fax machines expedite Agency/Client approval process, enabling Agency to meet short
deadlines and take advantage of limited opportunities. Client agrees that a facsimile
Agency approval form signed by an authorized representative of the Client is sufficient
means of approval.

1. A campaign logo, theme and support material, including letterhead, information
brochure, a Power Point or slide presentation and print ads (includes an additional
one-time $8,000 to $10,000 design fee, which will be included in Project budget).
2. Media relations, including an information-packed media kit, individual media
briefings and tours of the water utility facilities, news releases, feature story
negotiations and public service announcements
3. A campaign kick-off event
4. A newsletter or comprehensive bill insert
5. A curriculum education kit for grades K-12
6. Presentations to home owners associations; Rotary; Kiwanis; garden club, church
and senior groups; and the West Orange Chamber of Commerce

8. Promotional items imprinted with the campaign logo. Possibilities include cling
stickers for the bathroom mirror and/or kitchen window reminding residents of
appropriate water conservation tips, an information wheel with a cut-out window that
turns to reveal various water conservation tips, or a water drop that measures
rainfall.
9. Hosting a program for local Boy Scout troops to earn their water conservation
badge
10. Contests or event drawings to receive free water conservation kits
11. Web site information
12. An annual report to the community on the success of the campaign
13. Neighborhood Education Campaign: A street-by-street education initiative to
targeted neighborhoods as the budget allows to showcase the conservation
program and literally bring the message "home".

Research and develop a 12-month communications plan and budget.
Meet with the St. John's River Water Management District to present our plan and
seek input on how to develop/measure our goals.
Coordinate development/selection of the campaign logo.
Plan the May kick-off event, including:
Determine/confirm the kick-off event date: May 18
Coordinate printing of The Orlando Sentinel bag wrappers, street banner
signage, a banner plane, and any other immediate collateral needs
determined with the client
Select an elementary school to coordinate the date and kick-off activity,

Determine our water reduction goals for this program.
Determine, and budget for, all collateral needs for the twelve months of the
program, including promotional products and incentive gifts (static cling-stickers,
coffee mugs, license plates, water bottles, pencils for school children); design and
printing of the newsletters, eaucauonal materials and the community signage and
magnetic logo signage for city vehicles; etc.
Meet with identified business partners to discuss/negotiate their participation in the
program. Create opportunities to promote their support via news releases, the
monthly customer newsletter, logo inclusion on future collateral, etc. For instance,
partner with Lowe's or Scotty's to create a display of water conservation
appliances/attachments, offer classes on water conservation for home and lawn,
participate in the incentive program for customers who are successful in meeting
their individual goal by offering discounts. Partner with the West Oaks Mall to plan
a mall event and offer mall discounts as part of the incentive program.
Meet with The West Orange Times to negotiate/discuss their editorial and
promotional support of this program, such as a regular community water
conservation column to provide tips and report on the progress of the program.
Schedule a follow-up meeting with the chamber to discuss/develop opportunities to
promote the program to its members throughout the coming year. Ask business
members to participate in the incentive program by offering discounts and other
benefits to customers who meet their individual goals. Dedicate space in monthly
chamber publications to promote the program via the logo and/or business water
conservation tips.
Contact the parks and recreation department to discuss/develop opportunities to
promote the program to children enrolled in their summer activities.
Design/develop a monthly bill insert newsletter to start with the mailing of bills in
June. Topics would include water conservation tips, news about program activities
in the community, upcoming events and progress in meeting our goals, including
profiles of successful neighborhoods, businesses. Draft copy and print the June
newsletter.
Complete the planning for and implementation of the program kick-off, including the
school event, the chamber event, the city commission presentation, media relations,
and all other kick-off activities.
Meet monthly with Janet Shira to review and discuss ongoing implementation of the
plan, our progress in meeting our goals and any emerging opportunities.

Introduce an awards program for businesses which show a reduction in water

include an art contest for the elementary schools, an essay contest or science
project for the middle school, and, for the high school, producing a documentary
about the program for the AN club or a conservation skit for the drama club.

plan, our progress in meeting our goals and any emerging opportunities.
