Shira, P.E., City Engineer/Utilities Director er SUBJECT: Reflections Subdivision — Groundwater Seepage Improvements In accordance with the direction provided by the City Commission at the April 24, 2000 stormwater workshop, we have asked PEC to provide a proposal for the design of underdrain improvements necessary to alleviate groundwater seepage problems in the Reflections subdivision. PEC proposes to complete the design and permitting for a fee of $15,655 plus $500 for reimbursable expenses. A copy of their proposal is attached for your review. I recommend that the City Commission authorize the Mayor and City Clerk to execute Work Order No. 21 in the amount of $15,655 plus $500 for reimbursable expenses. (3) Effective Date: June 6, 2000 1 OE-I80/Status.wo WORK ORDER FOR ENGINEER'S SERVICES AGREEMENT WORK ORDER NO. 21 PROJECT: The Reflections Subdivision- Groundwater Seepage Improvements ENGINEER: Professional Engineering Consultants, Inc. Execution of the Work Order No. 21 shall serve as authorization of ENGINEER to provide professional engineering services as described in Attachment "A" which is attached hereto and made a part hereof. ENGINEER shall provide said service pursuant to Work Order No. 21, its attachment and that certain Agreement of June 2, 1992 between CITY and ENGINEER which is incorporated herein by reference as if it had been set out in its entirety. Whenever the Work Order conflicts with said Agreement, the Agreement shall prevail. TIME FOR COMPLETION: The work authorized by this Work Order shall be completed by Friday, December 31, 2000. COMPENSATION: The CITY shall compensate the ENGINEER a negotiated fixed fee in the amount of Fifteen Thousand Six Hundred Fifty-Five Dollars ($15,655) for the professional services required under this Work Order. An additional amount, not to exceed Five Hundred Dollars ($500) shall be paid as direct reimbursable charges for copying and reproduction expenses. FOLEY & LARDNER By: City Attorney 2 P-0004.WO The Reflections Subdivision Groundwater Seepage Improvements ATTACHMENT "A" Scope of Services ATTACHMENT "A" SCOPE OF SERVICES WORK ORDER NO. 21 THE REFLECTIONS SUBDIVISION - GROUNDWATER SEEPAGE IMPROVEMENTS I. PURPOSE During September 1998, groundwater seepage related problems were observed and documented by City staff in the vicinity of 880 Cool Springs Road. Recently, November 1999, PEC (David Hamstra) conducted a field review with the City of Ocoee (Jim Shirai to further investigate the groundwater seepage problem areas at three (3) specific locations within the Reflections Subdivision (refer to Figure 1). These three (3) areas consist of the following: • Three (3) lots along Cool Springs Circle; • Four (4) lots along Sparkling Water Circle; and • Entrance/landscape island at the Community Center. The purpose of this project is to alleviate groundwater seepage conditions which are currently occurring within the The Reflections Subdivision. Although the geotechnical subconsultant will be tasked with determining the most feasible and effective means of alleviating the groundwater seepage conditions, it is most likely that a system of underdrains will be constructed at selected locations to intercept the groundwater flow before seepage onto the land occurs. Such a system of underdrains have recently been completed in several subdivisions within the City which previously experienced groundwater seepage conditions identical to those within The Reflections Subdivision. Following is a detailed scope of work and the associated fees (Exhibit "B") anticipated for this project. A. Geotechnical Engineering Services - The following general geotechnical engineering services are to be provided: 1. Drilling approximately ten (10) hand auger borings and installing water table piezometers along the alignment of the proposed underdrain systems, or as deemed appropriate by the geotechnical engineer. 1 P-0004.SCO ATTACHMENT "A" SCOPE OF SERVICES WORK ORDER NO. 21 THE REFLECTIONS SUBDIVISION - GROUNDWATER SEEPAGE IMPROVEMENTS 2. Estimate the seasonal high groundwater elevation within the right-of-way and/or along the property lines. 3. Prepare an engineering report summarizing the results of the subsurface investigation and recommendations (e.g., location, diameter, and lineal footage of the proposed underdrain system). B. Land Surveying Services - The following general land surveying services are to be provided: 1. Conduct an abbreviated topographic survey of the project limits which shall include: ground elevations along the right-of-way; edge of pavement; top of curb and gutter; centerline of roadway; and/or property corners as directed by the ENGINEER. 2. Prepare a AutoCAD basemap, utilizing existing plat and/or construction plans for The Reflections Subdivision, at a plan scale sufficient to provide adequate detail of the areas proposed for underdrain related improvements. Abbreviated contours, property boundaries, easements, roadways, driveways, mailboxes, etc. will be located on the above referenced base plan. The ENGINEER and surveyor shalt coordinate with all applicable entities for the purposes of locating above ground and underground utilities (e.g., storm sewer, water, sanitary sewer, electrical, telephone, etc.), and will direct the SURVEYOR as to actual survey requirements. 3. Installing a minimum of two (2) vertical benchmarks within the project area. Vertical datum for establishment of each benchmark will be based on Orange County datumQr local assumed datum. 4. Where conflicts with existing utilities are anticipated, a vertical location between structures may be required, and will be performed as directed by the ENGINEER. 2 P-0004.SCO ATTACHMENT "A" SCOPE OF SERVICES WORK ORDER NO. 21 THE REFLECTIONS SUBDIVISION - GROUNDWATER SEEPAGE IMPROVEMENTS C. Civil Engineering Services - The following general engineering services are to be provided: 1. The ENGINEER shall coordinate with the City and sub-consultants to facilitate the final design of the proposed drainage improvements (underdrain system). 2. The ENGINEER shall prepare construction drawings for the proposed drainage improvements which are consistent with the format currently being used for the City's Capital Improvement Program (CIP), and includes the following five (5) sheets: • Cover Sheet and Vicinity Map (sheet 1); • General Notes (sheet 2); • Detail Site Plans (sheets 3 and 4); and • Detail Sheet (sheet 5). 3. The ENGINEER shall prepare technical specifications to address the design elements contained in the construction drawings. It is anticipated that the City will utilize the Contractors already pre-qualified in the City's Capital Improvement Program(CIP), and therefore the format for the CIP will be utilized. 4. Coordinate with the City and Contractor to assist with resolution of construction related issues and provide interpretation and clarification of the construction documents. II. CONDITIONS AND ASSUMPTIONS The following conditions and assumptions are noted as qualifications to this proposal. This Scope of Services has assumed that a St. Johns River Water Management District (SJRWMD) Environmental Resource Permit (ERP) application is not required. If in fact an ERP application is required, preparation and processing of the application may be provided as an additional service performed, based on the attached hourly rates (Exhibit "C"), upon authorization by the Owner. 3 P-0004.SCO ATTACHMENT "A" SCOPE OF SERVICES WORK ORDER NO. 21 THE REFLECTIONS SUBDIVISION - GROUNDWATER SEEPAGE IMPROVEMENTS 2. Engineering services related to construction administration, including: site inspections during construction; review of shop drawings; review of partial pay requests, etc; are not included within this proposal. Only construction administration assignments discussed within other sections of this proposal are included herein (e.g., resolution of construction related issues). 3. This proposal does not include fees to prepare drainage easement related documents. If required, the survey subconsultant shall prepare a fee proposal for additional services. 4. Construction testing services, geotechnical engineering and testing, boundary and topographic surveys, landscape and irrigation design and non-utility engineering (e.g., power, gas, telephone, cable television, site lighting) services will be provided by others. 5. Underground utility location information will be provided by the servicing utility. Any utility investigation required in addition to information made available by the utility companies may be provided as an additional service performed based on the attached hourly rate sheet (Exhibit "C"). In the case where an underground contractor is required, those costs will be billed directly to the Owner as they are incurred. III. ADDITIONAL ENGINEERING SERVICES The following Additional Engineering Services are not included under the Basic Scope of Professional Services. These services, if required, may be performed upon proper authorization by the City. 1. Services which would be required to prepare and process a St. Johns River Water Management District (SJRWMD) Environmental Resource Permit (ERP) application will be provided as an Addendum to this Work Order agreement. 2. Services resulting from significant changes in the general scope, extent or character of the Project or its design including, but not limited to, changes in size, complexity, Owner's schedule or character of construction. 4 P-0004.SCO ATTACHMENT "A" SCOPE OF SERVICES WORK ORDER NO. 21 TILE REFLECTIONS SUBDIVISION - GROUNDWATER SEEPAGE IMPROVEMENTS 3. Services resulting from revising previously accepted studies, reports, design documents or Contract Documents when such revisions are required by changes in laws, rules, regulations, ordinances, codes or orders enacted subsequent to the preparation of such studies, reports or documents, or are due to any other causes beyond Engineer's control. 4. Services resulting from the award of more than one individual prime contract for construction of the Project. 5. Further biding and negotiating services including assistance in connection with bid protests and rebidding or renegotiating contracts for construction, materials, equipment or services, provided that rebidding is not required by errors or omissions of the Engineer. 6. Providing any type of property surveys or related engineering services needed for the transfer of interests in real property, field surveys for design purposes, engineering services needed for the transfer of interest in real property, field surveys for design purposes, engineering surveys, staking to enable Contractor(s) to proceed with their work, and providing other special field surveys. 7. Preparing to serve or serving as a consultant or witness for Owner in any litigation, arbitration or other legal or administrative proceeding involving the Project. 8. Services in connection with work directive changes and changes orders to reflect changes requested by Owner. 9. Services in making revisions to construction documents occasioned by the acceptance of substitutions proposed by Contractor; and services after the award of each contract in evaluating and determining the acceptability of more than three substitutions proposed by Contractor. 5 P-0004.SCO ATTACHMENT "A" SCOPE OF SERVICES WORK ORDER NO. 21 THE REFLECTIONS SUBDIVISION - GROUNDWATER SEEPAGE IMPROVEMENTS 10. Additional or extended services during construction made necessary by a significant amount of defective or neglected work of the Contractor, acceleration of the progress schedule involving services beyond normal working hours, and default by any Contractor. 11. Services to verify the accuracy of drawings or other information furnished by Owner. 12. Services required due to conditions different from those itemized under Basic Scope of Professional Services or due to events beyond the control of the Engineer. 13. Survey services related to construction survey and/or as-built surveys. IV. COMPENSATION I. Engineering services itemized herein shall be performed on a Lump Sum Basis. Seepage Problem Areas - Reflections Subdivision We have reviewed the available information and propose to perform a water table investigation in the pavement areas which presently exhibit surficial distress. Based on the available information and visual inspection, it appears that the pavement distress is due to high ground water conditions saturating the pavement base.Typically.an underdrain system installed outside the curb (adjacent to the distressed pavement area) is effective in mitigating this problem. The underdrain outfall pipe will be tied into a nearby stormwater manhole. In addition. underdrains are not effective in all soil types. Such an underdrain system will have to be constructed as part of the reconstruction of the pavement. Page 2 of B SCOPE OF WORK To provide data for the geotechnical investigation, we recommend the following work: O Obtain utility clearance in the areas to be drilled. O Drilling approximately ten (10) shallow hand auger borings and installing water table piezometers in each of these borings. O Measure the depth to the stabilized water in each piezometer. O Elevation survey of the top of the pavement and the measured water table altitude in the critical areas as well as the pond/lake. DELIVERABLES Our deliverables will include a report documenting the following: 0 The results of our geotechnical field investigation. O A detail for the recommended underdrain. O Locations where underdrains are needed (illustrated on the autocad basemap provided by PEC) O Possible locations (manholes) where the underdrains can be tied in. This information will be used by PEC to prepare construction plans. Note that our fee estimate herein does not cover inspection during construction but we can provide such a service on an hourly basis if needed. SCHEDULE This work can be completed within 2 weeks of your authorization to proceed. Page 3 of 8 ESTIMATED FEE The estimated fee for these services is approximately $3,000 as itemized in the attached Table I (attached). AUTHORIZATION See attached Table 2 for our authorization of this offer. To authorize this proposal, please fill out the information in Table 3 and return by mail or fax. CONDITIONS OF AGREEMENT Special conditions of this agreement are contained in Table 4. General conditions of this agreement are contained in Table 5. GENERAL CONDITIONS OF AGREEMENT 1 PARTIES AND SCOPE OF WORK: Devo Seereeram Ph.D.,P.E.(hereinafter referred to as"Devo")shall be performing the work. "Work" means the specific geotechnical investigations, testing, and engineering or other service performed by Devo as set forth above. "Client" refers to the person or business entity ordering the work to be done by Devo. If the Client is ordering the work on behalf of another, the Client represents and warrants that the Client is the duly authorized agent of said party for the purpose of ordering and directing said work. The ordering of work from Devo shall constitute acceptance of the terms of Devo's proposal and these General Conditions. 2 PAYMENT: Invoices will be submitted upon completion of work or at monthly intervals for continuing projects. Payment terms are Net 30 Days, unless alternative arrangements are stated under the Specific Conditions. Charges at 1%%per month will be levied on invoices not paid within 30 days from invoice date. Client agrees to pay Devo's cost of collection of all amounts due and unpaid after 60 days,including court costs,reasonable attorneys fees,filing fees,and certified mail postage. Failure to make payment within 30 days of invoice shall constitute a release of Devo from any and all claims which Client may have, either in tort, or contract,and whether known or unknown at the time. 3 OBLIGATION TO PAY: Devo will perform services under this agreement with professional skill and care. Devo does not guarantee Governmental or Regulatory Agency approval of Clients project. Clients obligation to pay for Devo's services is in no way dependent upon Client's ability to obtain financing,payment from third parties,approval of Government or Regulatory Agencies,or upon Clients successful completion of project. 4 ACCESS TO SITE: Client grants Devo the right of entry to the project by Devo,his employees,agents, and subcontractors in order to perform the services under this agreement. If the Client does not own the project,Client warrants and represents to Devo that Client has the authority and permission of the owner and occupant of the project site to grant this right of entry to Devo. Devo shall take reasonable measures and precautions to minimize damage to the project site from Devo's activities and use of equipment. Client recognizes that the performance of the services included in this Agreement may cause alteration or damage to the site. Client accepts the fact that this is inherent in the work and will not look to Devo for reimbursement or hold Devo liable or responsible for any alteration or damage required to perform our scope of work. Should the Client not be the owner of the property,then Client agrees to notify the owner of the aforementioned possibility of unavoidable alteration and damage and to idemnify,and defend Devo against any claims by the owner or persons having possession of the site through the owner which are related to such alteration or damage. Devo has not included in his fee the cost of restoration of damage which may occur. If Client desires or requires Devo to restore the site to its former condition, Devo will, upon written request, perform additional work as Is necessary to do so and the Client agrees to pay Devo the cost thereof. 5 DAMAGE TO EXISTING MAN-MADE OBJECTS: Unless Devo has assumed in writing the responsibility for locating subsurface or latent conditions, Client agrees to indemnify Devo and save him harmless from all claims, suits, losses, costs, expenses, including all attorneys' fees as a result of personal injury,death,or property damage occurring with respect to Devo's performance of his work and arising from subsurface or latent conditions or damage to subsurface or latent objects,structures, lines or conduits, where the actual or potential presence and location thereof was not revealed to Devo by Client. -- 6 SAMPLE DISPOSAL: Unless otherwise agreed,laboratory test specimens or samples will be disposed Immediately upon completion of the test. GENERAL CONDITIONS OF AGREEMENT 7 WARRANTY AND LIMITATION OF LIABILITY: Devo's geotechnical engineering services will be performed in accordance with his proposal and with generally accepted principles and practices. In performing his professional services, Devo will use that degree of care and skill ordinarily exercised under similar circumstances by reputable members of his profession. This warranty is in lieu of all other warranties and representations,either express or implied. Statements made in Devo's reports are opinions based on engineering judgement and are not to be construed as representations of fact. Should Devo be found to be negligent in the performance of professional services or work,or to have made and breached any express or implied warranty,representation or contract,Client agrees that the maximum aggregate amount of Devo's liability shall be limited to$50,000 or the total amount of the fee paid to Devo for his work performed with respect to this project,whichever is less. In the event Client is unwilling or unable to limit Devo's liability in accordance with the provisions above, Client may request in writing, within five days of Client's acceptance of the Agreement, to increase the limit of Devo's professional liability to $1,000,000 by agreeing to pay Devo a sum equivalent to an additional amount of 4%of the total fee to be charged for Devo's services. This charge is not to be construed as being a charge for insurance of any type,but is increased consideration for the greater liability involved. 8 INDEMNITY: Subject to the foregoing limitations,Devo agrees to indemnify and hold Client harmless from and against any and all claims,suits,costs,and expenses,including reasonable attorneys fees and court costs arising out of Devo's negligence to the extent of Devo's negligence. Client shall provide the same protection to the extent of its negligence. In the event that Client or Client's principal shall bring any suit, cause of action, claim or counterclaim against Devo, the party initiating such action shall pay to Devo the costs and expenses incurred by Devo to investigate,answer and defend it, including reasonable attorney's fees, witness fees, and court costs to the extent that Devo shall prevail in such a suit. 9 THIRD PARTY RELIANCE: The services under this Agreement are being performed for and on behalf of the Client for the Client's exclusive use. Devo assumes no responsibility for third party use of or reliance on Devo's findings,opinions,conclusions,or recommendations unless such use or reliance by Third Parties is authorized in writing by Devo. 10 ENTIRE AGREEMENT: This Agreement constitutes the entire understanding of the parties,and there are no representations,warranties,undertakings made other than as set forth herein. This agreement may be modified only in writing,signed by each of the parties hereto. 11 CANCELLATION: This contract is cancellable by either party at any time for any reason. Work performed to the time of notice shall be paid as interpolated within and defined by the contract. All such work shall become the property of the Client upon such payment.
