A tentative listing was given to all departments allowing an opportunity for them to request any items that would meet that department's needs. All requests for transfer were approved by the City Manager and are not included on this list. --= Item number 100; Emerson Microwave will be deleted from the list after being declared surplus. The Protective Inspections Department will dispose of the microwave as it is considered a fire hazard. Item number 131; Omega PBX Phone System was previously declared as surplus property at the February 20, 2001 City Commission meeting. The Information Systems Department was unable to locate a buyer for this equipment; therefore, it will be sold at the surplus auction. Staff is requesting the approval of the City Commission to contract George Gideon Auctioneers, Inc. as the auctioneer for the City's surplus property. This action will present the City with the opportunity of a larger coverage area and would alleviate the overtime and advertising costs incurred in performing the auction in-house. The surplus items will be delivered to the Gideon property located at 2753 N. Orange Blossom Trail (Hwy. 441), Zellwood, FL 32798. Gideon performs governmental auctions the third Saturday of each month; therefore, if the City is having a problem with storage space, it would have the option to send items to Gideon that have been declared as surplus for the next month's auction. George Gideon Auctioneers sells surplus property to the public from numerous governmental agencies such as: Cities of Winter Park, Altamonte Springs, Apopka, Casselberry, Deland, Eatonville, Lake Mary, Longwood, Maitland, Ocala, Oviedo, Sanford, Winter Springs and numerous Counties including: Marion, Osceola, Seminole, Volusia, and other Schoo oards, PoW Protect Rcceo's Water Resources i , p. 2 - Surplus Sheriff's Offices, and Utility Authorities. Many of these agencies schedule their auctions annually or semi-annually. Gideon has over (20) twenty years experience and has received excellent references from the cities that we have contacted. Information on the company is attached. Gideon advertises each auction and draws buyers from all over the country. The company is licensed, bonded, and insured. The City is permitted to piggyback on the City of Ocala's contract which states that Gideon would receive 7.5% commission on all titled items (vehicles), and 10% on all non-titled items. This gives the auctioneer an incentive to sell the City's property at top dollar. There will also be a delivery or towing charge for any items requiring delivery to the auction site. Gideon will do Internet auctions for specialty items for an additional charge at the City's request. Any items that do not sell that particular day will be listed on the next scheduled auction. A detailed report of all items sold and their respective amounts will be forwarded to the City along with payment within (10) ten working days of the auction. The Surplus Auction will be held on Saturday, November 17, 2001 at 9:30 a.m. at George Gideon Auctioneers Inc., 2753 N. Orange Blossom Trail, Zellwood, Florida 32798, unless directed otherwise by the City Commission. This will allow ample time for the Surplus Auction to be advertised, tagged, and delivered. Gideon has advised the City that there will not be an auction in December. The next auction will be held on January 19, 2002. Box 1179, Zellwood, Fl., 32798, herein referred to as CONTRACTOR, and THE CITY OF OCOEE, a political subdivision of the State of Florida, whose address is 150 N. Lakeshore Drive, Ocoee, Fl. 34761-2258 herein referred to as CITY. WITNESSETH: WHEREAS, the CONTRACTOR agrees to provide Auctioneer services to the CITY in accordance with this Agreement; and WHEREAS, The City of OCOEE Code authorizes procurement of services from contracts of other local governments; and WHEREAS, the CONTRACTOR and CITY agree to incorporate by reference the terms and conditions of the enclosed agreement dated November 11,1999. NOW, THEREFORE, in consideration of the mutual understandings and covenants set forth herein,the CITY and CONTRACTOR agree as follows: Section 1. Incorporation by Reference. The CONTRACTOR and CITY agree to incorporate by reference the terms and conditions of the enclosed agreement attached as Exhibit A. In answer to you questions George is doing a great job for us. He has internet advertising plus a good following of dealers that he-calls upon whenever he has special equipment and machinery. This gives us a larger base to solicit. He is very fair and complete in his record keeping of the sales. He provides us 3 different types of reports for each auction when they deliver the check. Those reports are valuable in the event you are asked to verify the sales of any vehicles or equipment. Besides,he and Anita are really good personable people that handle their customers on a one on one basis, not as a source of income only. We send our large equipment and vehicles to a spring or early summer auction. Usually I'll wait until he has several govt. agencies grouping together and join in with them. This brings in the specialty dealers because of the volume we all have. But, George is having auctions almost twice a month if anyone needs to sell one or more items. We also wait until the new vehicles are delivered-usually in the summer. We were piggybacking Volusia County bid,but lately we just go to him and haven't been questioned about it. I would hate to switch because of the good relationship we have built up. He is so honest about things we need to sell and takes the bad- the bikes and small office junk stuff-with the good. All we have to do is provide them with a list items to be auctioned about a month prior to the auction (the third Saturday of every month except August & Dec). They will come out and take pictures of any big items for the brochure. Then about two days before the auction, we take our stuff over and they combine into lots for us. About a week later, we have a check for the items. They have a must sell policy, so we don't get stuff back if it doesn't sell. If you received this RFP by means other than the mail system, you must furnish your firm's name, address, telephone and fax number to the Buyer identified in paragraph 1.4 above in order to receive any addendum to this RFP. 1.6 RESPONSE MATERIAL OWNERSHIP All proposals become the property of the City of Ocala upon receipt and will only. be returned to the proposer at the City's option. Selection or rejection of the proposal will not affect this right. The City shall have the right to use all ideas contained in any proposal received in response to this RFP. Disqualification of a proposal does not eliminate this right. ' 1.7 REJECTION OF PROPOSALS The City of Ocala reserves the right to reject any or all proposals, to waive informalities and minor irregularities and to accept any portion of the proposal or all items proposed in response to this RFP. In addition, the City reserves the right to cancel this RFP if it is in the best interest of the City to do so. Failure to furnish all information or to follow the proposal format requested in this RFP may disqualify the proposal. Any exceptions to the Scope of Work must be identified in the proposal. 5 1.8 SELECTION PROCESS The selection process may involve background checks and on-site visits to Proposer's place of business. The selection criteria is included in the RFP package. At its direction, the City may require any Proposer to make an oral presentation of the proposal. These presentations shall provide an opportunity for the Proposer to clarify their qualifications, approach to the project, and ability to furnish the required services. The firms shall furnish such additional information as City of Ocala may reasonable require. This includes information which indicates financial resources as well as ability to provide the services. The City reserves the right to make investigations of the qualifications of the firm as it deems appropriate. 1.9 AWARD The City anticipates award to the respondent who submits the proposal judged by the City to be the most advantageous. Final approval of the awarded proposer shall be by the City Council at a regularly scheduled public meeting. , The Proposer understands that this RFP does not constitute an agreement or a contract with the Proposer. An official contract or agreement is not binding until proposals are reviewed and accepted by appointed staff, approved by the appropriate level of authority within the City, and executed by the parties. 1.10 INCURRING COSTS The City of Ocala shall not be obligated or be liable for any costs incurred by proposers prior to issuance of a contract. All costs to prepare and submit a response to this solicitation shall be borne by the proposer. 1.11 ACCEPTANCE OF PROPOSAL CONTENT The contents of the proposal of the successful bidder will become contractual obligations if acquisition action ensues. Failure of the successful proposer to accept these obligations in a contract may result in cancellation of the award and such vendor may be removed from future participation. 1.12 VENDOR SELECTION It is the City's intent to select a vendor within sixty (60) calendar days of the deadline for receipt of proposals. However, proposals must be firm and valid for award for at least ninety (90) calendar days after the deadline for receipt of proposals. 6 • 1.13 CONTRACT TERM The initial contract term shall be for five (5) years with five (5) one-year renewal options. 1.14 TAXES The City as purchaser of services is exempt from Federal, State, and Local government taxes. The following exemption number appears on the face of the purchase order: Florida Sales Tax Exemption Number 52-20-024837, Federal Tax Number is 59-6000392. 1.15 AVAILABILITY OF FUNDS Financial obligations of the city payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted, or otherwise made available. In the event funds are not appropriated the city shall notify the vendor of such occurrence and any resulting contract will become null and void without penalty to the city. 1.16 STATEMENT OF WORK This is the most important section of the RFP; it is the foundation of the development of any resulting contract. See Section 4.0 entitled Statement of Work for further clarity and description of services required. 1.17 SITE VISITS The city reserves the right to visit any proposer's site at any time. 1.18 INDEMNIFICATION To the extent authorized by law, the contractor shall indemnify, save, and hold harmless the City's officer's, employees, and agents, against any and all losses, demands, payments, suits, actions, recoveries, judgements, claims, damages, liability and court awards including costs, expenses, and attorney fees incurred as a result of any action or omission by the contractor or its employees, agents, subcontractors, or assignees pursuant to the terms of the contract resulting from this RFP. 1.19 VENUE The laws of the City of Ocala and Marion County shall govern in connection with the formation, performance and the legal enforcement of any resulting contract. • INSURANCE REQUIREMENTS FOR THE CITY OF OCALA (each entity will have their own Insurance Requirements) 4 1. INDEMNIFICATION CLAUSE: The Contractor shall indemnify and hold harmless the City and their elected officials, employees and volunteers from and against all claims, damages, losses, and expenses, including legal costs, arising out of or resulting from the performance of this contract, provided that any such claim, damage, loss or expenses is attributed to bodily injury, sickness, disease, personal injury or death, or to injury to or destruction of tangible property - including the loss or loss of use resulting there from and is caused in whole or in part by any negligent act or omission of the Contractor. 4 2. SAFETY/ENVIRONMENTAL: The Contractor is responsible at all times for precautions to achieve the protection of all persons including employees and property. The Contractor shall make special effort to detect hazardous conditions and shall take prompt action where necessary to avoid accident, injury or property damage. EPA, DEP, OSHA, and all other applicable safety laws and ordinances shall be followed as well as, American National Standards Institute Safety Standards. All spills, accidents, injuries or claims or potential claims shall be reported promptly to the City Risk management Department. 4 3. ADDITIONAL INSURED: The City of Ocala shall be added to all third party coverage required by and provided for this contract as an `ADDITIONAL INSURED". 4. MISCELLANEOUS PROVISIONS: A. SEVERABILITY OF INTERESTS: "The Contractor shall arrange for its liability insurance to include, or be endorsed to include, a severability of interest/cross liability provision, so that the City of Ocala (where named as an additional insured) will be treated as if a separate policy were in existence, but without increasing the policy limits." B. INSUR.ANCE REQUIREMENTS: These insurance requirements shall not relieve or limit the liability of the Contractor. The City does not in any way represent that these types or amounts of insurance are sufficient or adequate to protect the Contractor's interests or liabilities, but are merely minimums." No insurance is provided by the City under this contract to cover the Contractor/Subcontractors." 8 C. DUPLICATE COVERAGE: 1. Insurance required of the Contractor or any other insurance of the Contractor shall be considered primary, and insurance or self-insurance of the City shall be considered excess, as may be applicable to claims against the City which arise out of this contract. 2. Insurance written on a "Claims Made" form is not acceptable without Risk Management Department consultation. 3. No work shall be commenced under this contract until the required Certificate(s) have been provided. Work shall not continue after expiration (or cancellation) of the Certificate and shall not resume until new Certificate(s) have been provided. D. DEDUCTIBLES: The Contractor's deductibles/self-insured retentions shall be disclosed to the City and may be disapproved by the latter. They shall be reduced or eliminated at the option of the City. The Contractor is responsible for the amount of any deductible or self-insured retention." E. CER'1'thiCATES: The Contractor shall provide a Certificate of Insurance, issued by a company authorized to do business in the State of Florida and with an A.M. Best Company rating* of at least B+, showing the City of Ocala as an Additional Insured. The (Contracting Department should be shown as the Certificate Holder, and providing for 30 day cancellation notice. *Non-rated insurers must be approved by the City Risk Manager. J 5. LIABILITY INSURANCE: "General liability insurance, with combined single limits of not less than $200,000 per occurrence* shall be provided and maintained by the Contractor. The only aggregate limit acceptable is a"project aggregate" and the Certificate must show an appropriate endorsement (ISO CG2501 or equal)". If the Commercial General Liability form is used: Coverage A - shall include premises, operations, products, and completed operations, independent contractors, contractual liability covering this contract and broad form property damage coverages. Coverage B —shall include personal injury. Coverage C—medical payments, is not required. 9 If the Comprehensive General Liability form is used, it shall include at least: Bodily Injury and Property Damage liability for premises, operations, products and completed operations, independent contractors, and property damage resulting from explosion, collapse or underground (XCU) exposures. • Either in a single policy or in a combination of underlying and umbrella on excess policies. AI 6. BUSINESS AUTO LIABILITY: Business auto Liability insurance shall be provided by the Contractor with combined single limits of not less than $200,000 per occurrence and is to include bodily injury and property damage liability arising out of operation, maintenance or use of an auto, including owned, non-owned and hired automobiles and employee non-ownership use. 7. WORKERS' COMPENSATION: The Contractor shall purchase and maintain Workers' compensation insurance for statutory requirements and employers liability limits of at least $100,000 each accident and $100,000 each employee $500,000 policy limit for disease and shall be responsible for ensuring that any subcontractor has statutory, coverage. The city need not be named as an Additional Insured, but'a"subrogation waiver endorsement is required". 8. DISHONESTY BOND: The Successful bidder must furnish a Dishonesty Bond with a Federally approved Bonding Company in the amount of Ten Thousand Dollars ($10,000.) . 10 SECTION 2 SPECIAL TERMS AND.CONDITIONS 2.1 ADDITIONAL SERVICES Services not specifically identified in this request may be added to any resultant contract upon mutual consent of the contracting parties. 2.2 PROPERTY SALES FIGURES Any property sales figures stated in this request are for guidance only in assisting respondents to prepare their proposal. The title page must be signed by a representative who is authorized to contractually bind the proposer. The signature block shall show the typewritten name of the individual signing. Each proposal shall be prepared simply and economically, providing a straightforward, concise delineation of the proposer's capabilities to satisfy the requirements of the RFP. The emphasis in each proposal must be on completeness and clarity of content. In order to expedite the evaluation of proposals, it is essential that the proposal is accompanied with brochures, promotional materials, or displays properly identified. All information under this section must be submitted with the proposal in order for it to be responsive. 3.2 PROPOSAL FORMAT The proposal must be submitted on 8 '/2n x 11" paper, numbered, typewritten, • with headings, sections, and sub-sections identified appropriately. The proposal must be divided into four (4) sections with references to parts of this RFP done on a section number/paragraph_ number basis. The four (4) sections shall be named: 1. Required Submittals 2. Qualifications 3. Scope of work/Methodology 4. Fee and Commission Proposal 3.3 REQUIRED SUBMITTALS The Proposer shall submit the required information at the time of submittal of Request for Proposals. Failure to provide the required information will affect the evaluation of the proposal. A. Letter of transmittal: This letter will summarize in a brief and concise manner, the Respondent's understanding of the scope of work and make a positive commitment to perform the work in a timely manner. The letter should name all of the persons authorized to make representations for the agent of the Respondent must sign the Letter of Transmittal indicating the agent's title or authority. The letter should not exceed two pages in length. 12 B. Type of Business: The Respondent shall identify the type of business entity involved (e.g.; sole proprietorship, partnership, corporation, joint venture, etc.). The Respondent shall identify whether the business entity is • incorporated in Florida, another state, or a foreign country. C. FEIN: Provide the Federal Employer Identification Number of the Respondent. Social D. SSN: IN the case of a sole proprietorship or partnership, provide Security numbers for all owners/partners. E. Principals: The Proposer must name all persons or entities serving, or intending to serve as principals in the Proposer's firm. F. Corporate Information: If a Proposer is a corporation, shall provide a copy of the certification from the Florida Secretary of State verifying Proposer's corporate status and good standing, and in the case of out-of- state corporation, evidence of authority to do business in Florida. G. License Sanctions: List any regulatory or license agency sanctions. H. Current Workload: Provide. a listing of current and projected workload. The Proposer shall include a graph or other informational diagram/format indicating the allocated and available man-hours. The Proposer shall indicate his/her ability to perform on a timely fashion. Acknowledgment of Addenda: Include a signed and dated copy of last addendum issued by the City, if any. J. Drug-Free Workplace: Whenever two or more proposals are equal with, respect to price, quality, and service are received by the City for the procurement of commodities or contractual services, a proposal received from a business that completes the attached Drug-Free Workplace form certifying that it is a Drug-Free Workplace shall be given preference in the award process. K. Summary of Litigation: Provide a summary of any litigation, claim(s), or contract dispute(s) filed by or against the Proposer in the past five (5) years which is related to the services that Proposer provides in the regular course of business. The summary shall state the nature of the litigation, claim, or contract dispute, a brief description of the case, the outcome or projected outcome, and the monetary amounts involved. L. Additional Data: Any additional information which the Proposer considers pertinent for consideration should be included in a separate section of the submittal. 3.4 CONTRACT IDENTIFICATION Address the priority of the project regarding staff availability and commitment in ensuring the project or services will be completed on time. Identify three (3) current contract activities with any existing Federal, State, County or Local Government agency related to these services. Indicate when involvement occurred and length of activity, type of activity with such agency and indicate extent of involvement with such entities. 13 3.5 QUALIFICATIONS The Respondent shall include qualifications and experience of the firm/individual(s) who will provide the services. The City is requesting the Respondents to limit the information provided under this section to a maximum of ten (10) pages. The submission must include: a. Brief history and organizational structure of your firm. b. Details of qualifications of the firm and specific individuals to be assigned to the project. c. Past performance in similar activities in Florida. List projects of similar nature within the past three (3) years. Title and brief description of each project to include: ❖ Client (contact person, address, telephone number and fax number) ❖ Year of contract ❖ Nature of work involved in each project d. In addition to the answers to specific questions above, the City is interested in the reasons you believe your firm should be selected for this project. In particular, the City is interested in the unique capabilities of your firm and the individuals that distinguish your firm. Be specific and relate this discussion to how the City will benefit from your selection. Please limit your response to not more than two (2) pages. e. Auctioneer to provide a list of buyers (names only) from the previous two (2) auctions of like size of over $300,000. in proceeds. 3.6 DESCRIPTION OF SERVICES Bidders should submit a detailed description or plan of operations which demonstrate an understanding of and the capability to assume responsibility to publicly auction City equipment/materials. The plan should detail methods of preparing merchandise for, advertising, conducting, and accounting for a sale. Plan should specifically address at a minimum: ❖ Frequency and dates of sales. Sales are to be held at least once monthly or more frequently. • ❖ Fee structure. This data must be provided on the Proposal Form attached. ❖ Ability and cost to transport vehicles and miscellaneous equipment from each entity to the auction site. 14 ❖ Ability to accept material during normal weekdays (except holidays) year round. ❖ Ability to safely store materials awaiting auction. Fully explain the City's and auctioneer's liability during storage periods. ❖ Ability to advertise and draw adequate public attendance at auctions. It is anticipated that the auctioneer will print brochures and advertise the public auction appropriately. ❖ Procedures to physically arrange set up and conduct public auctions. ❖ Records provided to the City and retained by the auctioneer. ❖ Procedures to collect and remit funds to the City providing normal schedule for the receipt of funds. It is anticipated that the net proceeds due the City will be paid within ten (10) working days after the auction is completed. 3.7 CITY REQUIREMENTS: In the operation of this agreement, City shall be responsible for the following: • ❖ Submit to Auctioneer a list of property. It is understood that minor changes in said list may be submitted to Auctioneer at any time prior to two (2) weeks in advance of the auction. ❖ Maintain any records considered necessary by the City, other than those provided by the auctioneer. ❖ Shall own and supply to the Auctioneer crates for hauling miscellaneous equipment to auction. ❖ City shall provide the Certificate(s) of Ownership and all other documents necessary to effect transfer of title for motor vehicles, trailers, and vehicle equipment. At the opinion of Auctioneer, vehicles may not be offered at auction unless the Certificate of Ownership and all other documents necessary to effect a transfer of title for motor vehicles, trailers, and vehicle equipment are submitted at least five (5) days prior to sale. City agrees to pay advertising and all other costs as provided below on any property withdrawn from the sale as a result of the failure by City to submit the required documents specified above. 3.8 AUCTION REQUIREMENTS: Auctioneer shall conduct said public auction of property in accordance with the following requirements: ❖ Sale will be open to the general public and there will be no fee to participate as a potential buyer. ❖ Sale of property may be made only to the highest responsible bidder. 15 •'• Unless otherwise directed by the City, unsold vehicles and equipment will be • rescheduled and attempted to be resold at the next available auction, at no additional cost to the City. 3.7 FEE AND COMMISSION PROPOSAL The price proposal should include a commission charge percentage. — Fee Schedule Form Included in this RFP. 3.8 DRUG FREE WORKPLACE AFFIDAVIT FORM Pursuant to Section 893.02(4), Florida Statutes, each proposer shall complete this form. However, if you have previously provided this completed form to the city and it was received on or after January 1st of the calendar year, a new form is not required for the balance of the calendar year. If a proposer submitted a form previously indicate so. 3.9 STATEMENT OF NO PROPOSAL If you do not intend to submit a proposal fill out and return this form only. 3.10 SELECTION COMMITTEE A selection committee will be appointed and will meet within one (1) week of the closing date for receiving proposals. The purpose of the first meeting will be to create a short list of proposals received. The short list will consist of not less than three (3) firms nor more than five (5) firms.
