ISSUE:
Should the Mayor and City Commissioners approve the Final Subdivision Plan for Goodman
Center (f/k/a— Heavener Subdivision)?
BACKGROUND:
Goodman Centre includes 30.4 acres and is located in the northwest quadrant of the SR 50 —
Clarke Road intersection. The property has frontage on both SR 50 and Clarke Road, but does
not include the corner itself. The parcel at the corner contains about 3.3 acres and is known as
the Ozanian Property. The subject property is currently undeveloped with a large number of
trees on the site. The property has C-2 zoning and the surrounding property has P-S and C-2
zoning (east — vacant land [Ozanian Property], Don Pablo's restaurant), R-1-AA, R-3 and PUD
zoning (north —conservation area, retention pond, vacant land), and Orange County A-1 zoning
(west — wetlands). The Preliminary Subdivision Plan for Goodman Center (f/k/a — Heavener
Subdivision) was approved last December.
DISCUSSION:
This subdivision plan will include a total of 6 commercial lots with one lot facing SR 50 (Lot 5),
two lots facing Clarke Road (Lots 1 & 2), and with three interior lots (Lots 3, 4 & 6) facing a
private internal road (Jacob Nathan Blvd.). The internal private road system will provide
circulation from SR 50 to Clarke Road, to the adjacent Ozanian Property and to the adjacent
commercial property to the north (part of the Lake Lotta Commercial Center PUD). The western
portion of the subject property (about 15.5 acres) is part of a large wetland area and will be a
separate tract dedicated to the City (Tract A).
The subdivision improvements will include right turn lanes from SR 50 and from Clarke Road
into the site at the point where the internal roads meet those collector roads. The internal
circulation roads will be private, but there will be turn lanes as appropriate to safely direct traffic
within the subdivision and onto the collector roads. Condition of Approval # 57 describes an
additional access point from Clarke Road that was addressed by the City Commission when the
PSP was approved.

There is an existing 30' platted road right-of-way along the boundary between Lot 1 of this
subdivision and the Ozanian Property. It is anticipated that the northern half of that right-of-way
will be vacated with the Plat for the subdivision. There is also an existing temporary construction
easement and an access and drainage easement near the northern boundary of Lot 2. Except
for the drainage easement, those easements will be terminated with a Termination of
Easements Agreement when the new retention pond is constructed just north of the property.
Approval of this subdivision plan will also be deemed to be approval of the Termination of
Easements Agreement and authorization for execution of the Agreement.
Although it is not normally allowed, due to unique circumstances with this subdivision, there will
be a limited amount of filling of an area below the current 100 year flood elevation along the
western portion of the site. The required compensating storage volume will be provided with the
construction of a new retention pond adjacent to the expanded existing pond located just north
of the subdivision.
Drainage and Storm Water Agreement:
The City currently owns and maintains a retention pond just north of the subject property. That
retention pond currently treats storm water drainage from Clarke Road and some of the adjacent
properties pursuant to an existing Development Agreement. That agreement also grants the
majority of Lots 1 and 2 of this subdivision the right to use that retention pond. The developer
has requested that the City enter into a Drainage and Storm Water Agreement with the
Developer to allow for an expansion of the existing retention pond so that other portions of this
subdivision may also utilize the City pond.
The City and the developer negotiated the terms of a Drainage and Storm Water Agreement
during the review process for the Preliminary Subdivision Plan (PSP). That Agreement was
approved by the City Commission with the approval of the PSP and has now been finalized and
it will be executed prior to City Commission action on the FSP. The Agreement will be recorded
in the Public Records by the City immediately following City Commission approval of the FSP.
Pursuant to the Agreement, the developer will convey to the City additional property adjacent to
the existing pond to accommodate the expanded retention pond which the developer shall
construct at his expense. The City will continue to hold ownership of the entire expanded
retention pond, but the developer will bear the expense of maintenance of the entire expanded
retention pond, with the provision that if the developer fails to adequately maintain the retention
pond, the City may do so at the developer's expense.
Declaration of Easement Document:
In addition to the storm water retention pond agreement, there will also be a Declaration of
Easement which provides for cross access between the Goodman Centre property and the
adjacent Ozanian Property using the private internal road. The location of the private internal
road through the subdivision, and in particular its intersection with SR 50, was a matter of
discussion and negotiations during the review of the Preliminary Subdivision Plan. The adjacent
property to the east, the Ozanian Property, currently has an approved Conceptual Plan that
provides for access to SR 50. The City, the Developer and the owner of the Ozanian Property
have negotiated a Declaration of Easement document which will provide for joint access over the
private internal road as shown on the subdivision plan. That document was approved by the City
Commission with the approval of the PSP and has now been finalized and it will be executed
prior to City Commission action on the FSP. It will be recorded in the Public Records by the City
prior to the pre-construction meeting or prior to platting the property, whichever occurs first.

Grading/Tree Protection Issues on Three Lots:
Lots 3, 4 and 6 in Goodman Centre back up to the wetland area (Tract A) that will be dedicated
to the City. Since the existing grades on the back portion of those lots are fairly low relative to
the retention pond to the north (designed to treat storm water from these lots), it appears that
there may need to be a significant amount of fill placed on the back of those lots. If a significant
amount of fill will be needed, essentially all of the existing trees on the back portion of those lots
will need to be removed. There has been significant discussion of this issue during the review of
the FSP. However, the Developer has indicated that since he does not know what will be built
on those lots at this time, he cannot make any additional provisions on the Plans to ensure that
existing trees will be preserved on those lots. Therefore, Condition of Approval # 60 has been
provided to address this issue. It indicates that significant amounts of fill will be required on
those three lots, but that every effort will be made to preserve trees when those lots are
developed.
Development Review Committee Discussion:
The Final Subdivision Plan for Goodman Center was reviewed by the Development Review
Committee (DRC) on August 8, 2002. The presentation included a staff report with attached
memos from the City Attorney, the Engineering Department and the Planning Department, with a
recommendation to approve the FSP subject to satisfactorily addressing all of the outstanding
issues listed in those memos (copies attached). There was discussion during the DRC meeting
to clarify a few minor issues. The Committee voted unanimously to recommend approval of the
Final Subdivision Plan, subject to making the necessary revisions listed in the attached memos,
with the following additional changes:
• The force main sanitary sewer line to be constructed along the Clarke Road right-of-way
in front of Lot 1, currently shown to be located within Tract F, will be relocated so it is just
within the existing Clarke Road right-of-way line.
• A modification to the wording in City Attorney comment # 7 related to the acquisition of a
utility easement for the force main sanitary sewer line to be constructed on the Worsham
property east of Clarke Road. (Note: The attached revised memo from Scott Cookson
dated August 14, 2002, includes the revision recommended by the DRC.)
• A modification to the Termination of Easements Agreement related to exactly which
existing easements will be terminated. (Note: The attached revised memo from Scott
Cookson dated August 14, 2002, includes an attachment that incorporates the revision
recommended by the DRC.)
• A recommendation from the Director of Planning and from the DRC to change the name
of the subdivision from the Heavener Subdivision (as approved with the PSP) to
Goodman Centre. This approval will require separate action by the City Commission.
All of the Plan revisions must be made prior to the pre-construction meeting.
Note: The plans that were considered by the DRC were date stamped received by the City on July 25,
2002. The plans that are being considered by the PAZ Commission and the City Commission are date
stamped received by the City on August 9, 2002. Even though there is a different date stamp on the
plans, they are the same plans that were considered by the DRC.)

PLANNING & ZONING COMMISSION RECOMMENDATION:
On August 13, 2002, the Planning and Zoning Commission considered the Final Subdivision
Plan for Goodman Center (f/k/a — Heavener Subdivision). There was discussion on a variety of
issues and there was concern about the fact that there are still several changes to be made on
the plans. However, the Commission was assured that the remaining issues were fairly minor
and would be easily corrected. The most significant issues were grading and tree protection,
particularly on Lots 3, 4 and 6. After hearing the Applicant's explanations, some of the Members
felt that Condition of Approval # 60, related to grading and tree preservation at the rear of Lots 3,
4 and 6, was not necessary. There was consensus to support the Developer's approach to
expand the adjacent City retention pond rather than constructing a large pond at the rear of
those lots.
The applicant and his Engineers were present to clarify the outstanding Staff comments and
answered questions. When the discussion was finished, the Planning and Zoning Commission
voted unanimously to recommend approval of the Final Subdivision Plan in accordance with the
Staff recommendation, except that the Commission's vote included deleting Condition of
Approval # 60.
RECOMMENDATION:
Based on the recommendations of the Development Review Committee and the Planning and
Zoning Commission, Staff respectfully recommends that the Mayor and City Commission: 1)
approve the proposed name change of the subdivision from the Heavener Subdivision (as
approved with the PSP) to Goodman Centre; and 2) approve the Final Subdivision Plan
for Goodman Centre, as date stamped received by the City on August 9, 2002, subject to
making the necessary revisions listed in the attached memos prior to the pre-
construction meeting, as well as the additional changes included in the DRC
recommendation. Please note the P & Z recommendation to delete Condition of Approval #
60.

In connection with the above-referenced application, we have reviewed the
following documents:
L Final Subdivision Plan for Goodman Centre prepared by Harb Design Group, Inc.
stamped received by Foley & Lardner August 5, 2002 (the"Plan"); and
2. Response to Comments Letter dated July 29, 2002 from Harb Design Group, Inc.
stamped received by the City of Ocoee July 31,2002.
This Memorandum has been revised pursuant to discussions had between the
Developer and the City since the original submittal date of August 7, 2002. This
Memorandum supersedes our prior Memoranda dated April 4, 2002 and July I1, 2002. Based
upon our review of the documents noted above pursuant to the Land Development Code, we
have the following comments:
1. As previously discussed, the vacation of the platted right-of-way along the
southern portion of Lot 1 will be accomplished by the recording of the plat
without showing the right-of-way. This will effectively vacate the
northern half of this right-of-way with the southern half remaining as a
platted right-of-way on the Ozanian property. Please be advised that we
will require a note on the plat of Goodman Centre which provides that the
owner of Lot 1 has no right or claim to any portion of that portion of the
right-of-way remaining on the Ozanian property at such time as the
remaining portion of the right-of-way is vacated. [Informational Note:
No action required by Developer at this time].
2. Please be advised that at the last TSRC meeting it was requested that we
prepare the termination document for the easements referenced in

Condition of Approval 12. Attached please find a copy of the proposed
termination document. Please be advised that this termination document
must be approved along with this Plan. [Based on discussion at the
August 8, 2002 DRC meeting and the determination that there are
existing drainage improvements which will remain along the northern
portion of Lot 2, the Termination of Easements Agreement has been
modified so as to only terminate the access easement portion of the
Drainage and Access Easement Agreement and not the drainage
easement portion of the Drainage and Access Easement Agreement.
A copy of the revised Termination of Easements Agreement is
attached hereto.]
3. Please submit a copy of the current Plan to Craig A. Minegar, Esq.,
attorney for the owner of the Ozanian property, so that he is fully informed
as to the current plan for development. Please copy the City Planning
Department and this office on the transmittal letter. [As of August 13,
2002 this item remains outstanding].
4. [Repeat Comment] Please he advised that the form of the Declaration of
Easement was agreed upon prior to approval of the Preliminary
Subdivision Plan. Please submit the exhibits (legal descriptions) to be

5. Sheet C-3A currently shows the force main going through the portion of
the right-of-way which will not be vacated with the plat of this subdivision
(through that portion on the Ozanian half of the original right-of-way).
City Staff should determine whether this is acceptable or whether the force
main should be within the northern half of the right-of-way to he vacated.
In the event the force main remains on the Ozanian side of the right-of-
way, if Ozanian submits an application to vacate the remainder of the
right-of-way, please be advised that the City would need to reserve a
utility easement over the vacated right-of-way. [Informational note to
City Staff; no action required by Developer at this time].
6. Sheet C-3A also shows the force main going through an existing Florida
Power Easement recorded in Official Records Book 4836, Page 3331,
Public Records of Orange County, Florida. Pursuant to the terms of this
easement, "Grantor covenants and agrees that no trees, buildings or
obstacles will be located or constructed within the Easement Area nor
shall the ground elevation be altered more than two feet" Furthermore,
the easement requires that as a condition precedent to Grantor exercising
any right compatible with Florida Power's rights under the easement,
Grantor is to obtain from Florida Power prior written consent that the right
does not interfere with Florida Power's use of the Easement Area. The
required consent appears to apply to all improvements contemplated
within the Easement Area including, the force main, landscaping and

access roads. In addition, Florida Power's consent is required prior to the
conveyance of Tracts D, E and F to the City. Please advise us of any
contact you have had with Florida Power concerning this easement. [It is
our understanding that the force main will be moved outside of the
Florida Power Easement. However, prior to a pre-construction
conference the Developer needs Florida Power's consent to the
improvements contemplated within the Easement Area].
7. Sheets C-3A and C-3B also show the force main crossing Clarke Road,
extending north of the existing Don Pablos site over the Worsham
property and tying into the existing 8' sanitary line through the Don
Pahlos site. Please be advised that the City Attorney will assist as needed
in obtaining the required easement but that this matter has been turned
over to the Engineering Department and the Developer. All required
easements will need to be in place prior to commencing construction of
the subdivision infrastructure. To that end, please include the following
Condition of Approval on the Plan:

TERMINATION OF EASEMENTS AGREEMENT
THIS TERMINATION OF EASEMENTS AGREEMENT (this "Termination
Agreement") is made and entered into this day of , 2002 by and
between H. SCOTT GOLD, TRUSTEE, whose address is 860 N. State Road 434, Suite 7,
Altamonte Springs, Florida 32714 (hereinafter referred to as the "Owner") and the CITY OF
OCOEE, a Florida municipal corporation, whose address is 150 North Lakeshore Drive, Ocoee,
Florida 34761 (hereinafter referred to as the "City").
WHEREAS, John H. Worsham, Jr. and Mary G. Worsham, his wife (the "Worshams")
and the City entered into that certain Drainage and Access Easement dated October 8, 1991 as
recorded in Official Records Book 4336, Page 3640, Public Records of Orange County, Florida
(the`Drainage Easement"); and
WHEREAS, the Worshams and the City also entered into that certain Non-Exclusive
Temporary Drainage Easement Agreement dated October 8, 1991 as recorded in Official
Records Book 4336, Page 3643, Public Records of Orange County, Florida (the "Temporary
Easement"); and
WHEREAS, the Worshams subsequently conveyed to the Owner the property burdened
by the Drainage Easement and the Temporary Easement; and
WHEREAS, the City and the Owner have entered into that certain Drainage and
Stormwater Agreement as recorded in Official Records Book , Page , Public
Records of Orange County, Florida (the"Stormwater Agreement"); and
WHEREAS, the completion of construction and acceptance of the New Retention Pond,
as defined in the Stormwater Agreement, obviates the need for the Drainage Easement and the
Temporary Easement; and

WHEREAS, the Owner and the City desire to enter into this Termination Agreement in
order to terminate both the Drainage Easement and the Temporary Easement.
NOW, THEREFORE, by execution of this Termination Agreement, the Owner and the
City hereby terminate and release the Drainage Easement and the Temporary Easement and
forever release, remise and discharge the Easement Property, as that term is defined in both the
Drainage Easement and the Temporary Easement, from the encumbrance of such easements.

The following comments are offered at this time as part of the third staff review for the
aforementioned Plans. There are two main issues remaining from previous comments dated,
July 9, 2002. The first, is Review Comment #1, dated July 9,2002, and the second is Review
Comment it 6,dated July 9,2002. The requests are as follows.
I. Repeat Comment, July 9, 2002- In order to fulfill the hydraulic requirement for the
storm sewer system, a hydraulic analysis for the 10-yr, storm should be submitted along
with stornnvater spread calculations for local streets, as noted under article 6, section 6-
7(h), of the Land Development Code.
On July 31, 2002, the Engineering Department received half of the subdivision's
hydraulic analysis. A telephone request from the City to Harb Design Group was made
on August 1, 2002. Harb Design Group was advised to submit the missing half of the
hydraulic analysis along with spread calculations. To date, the City's Engineering
Department has not received these missing items.
2. Repeat Comment, July 9, 2002-The transitions in grades from the southern entrance to
SR 50 are of some concern. Sheets C-2 and C-9 show that the proposed transition in
grade from the interior roadway unto SR 50 ranges from approximately 7% to 2.5% in a
relatively short distance of 40' to 45'. These rapid changes may prove to be somewhat
hazardous and difficult for motorists, especially large trucks entering and exiting the
proposed subdivision. Please be advised that the maximum change in grade without
using vertical curves on local streets with designed speeds of 20-30 mph is 1.2 to 1.0%.
If the algebraic difference of intersecting grades exceeds these values, a vertical curve
may be required, per FDOT Green Book and Orange County Construction Standards for
Streets and Highways. One possible alternative would be to design two-reversed vertical
curves 100' in length to provide for a smoother transition.
The more recent plans dated July 30, 2002 reflected a change in the radius from 75' to
100'. According to the attached diagram, referenced from the Engineering Reference
Manual, Sixth ED., by Michael R Lindeburg, the length of curve (LC) is that portion that
is shown in Fig. 17.18. Per the City's Land Development Code, page 18124, the
minimum lengths for all vertical curves should be 100'. The current plans reflect two
curves with lengths of approximately 44' and 95'. Please revise the curves.

These comments list the few remaining concerns of the Planning Department related to the
mast recent application submittal. It is likely that most of these issues can be addressed very
easily. A Development Review Committee (DRC) meeting will be scheduled as soon as
possible to present this project for a final Staff recommendation.
1) The last two rows in the Index of Drawings on the cover sheet list two drawings related
to the master storm water system that have been included in the previous submittals.
However, those two drawings were not included in this submittal.
2) This submittal includes two sheets (L1 and L2) that constitute the Landscape Plan for
the subdivision, stapled to the back of the plan set as requested. Those two sheets
need to be added to the Index of Drawings on the cover sheet.
3) Near the top right corner of Sheet Li, there is a note that reads "Prop. sign 12'ht. & 14'
w. (see detail)". Sheet L2 includes a detail drawing for that sign, showing that the sign
will be 12' tall and 7' wide. Revise the note near the top right corner of Sheet L1 to be
consistent with the detail drawing on Sheet L2.
