Parker, District 4 STAFF REPORT DATE: February 27, 2003 TO: The Honorable Mayor and City Commissioners FROM: Robert Lewis, AICP, Planning Manager ,.�N THROUGH: Russ Wagner, AICP, Community Development Director SUBJECT: Towne Square Shopping Center Development Agreement (Chef Depot/Old Wal-Mart) ISSUE: Should the Mayor and City Commissioners approve a proposed Development Agreement for the Towne Square Shopping Center? BACKGROUND: The Towne Square Shopping Center is located at the northwest corner of SR 50 and Maguire Road. Before the new Wal-Mart Supercenter was built near the Hospital, Wal-Mart was the anchor tenant in this shopping center. Chef Depot, specializing in sales of commercial and residential kitchen equipment and supplies, is the new tenant occupying the space that had been occupied by Wal-Mart. In connection with the internal building improvements being made for this new tenant, the shopping center owner intends to also make site improvements to the parking lot and common areas surrounding the Chef Depot store. Recognizing the importance of upgrading the appearance of the Towne Square Shopping Center, the attached Development Agreement references the Site Construction Plans that identify certain improvements that will be made and the timing of when those improvements will be made. DISCUSSION: The site improvements that will be made to the subject property are identified in the Site Construction Plans for Chef Depot at Towne Square, dated February 2003. Those plans are incorporated into the Development Agreement by reference. The Agreement also provides a time frame for making those site improvements. According to the Agreement, the Phase 1 improvements will be completed within six (6) months of the effective date and the Phase 2 improvements will be completed with eighteen (18) months of the effective date. February 27,2003 Honorable Mayor and City Commissioners Page 2 Phase 1 improvements include expanding and upgrading the landscaping along Maguire Road and within the parking lot area directly in front of the Chef Depot building. Screening walls will also be provided to screen most of the loading and service areas located on the east side of the building from Maguire Road. The entire parking lot area will be seal-coated with Phase 1. Phase 2 improvements include expanding and upgrading the landscaping along SR 50 and within the rest of the parking lot area in front of the building. The site improvements being made to the eastern portion of the shopping center per this Agreement will not be enough to entirely meet current Land Development Code requirements for new commercial development. However, they will be a substantial improvement to the shopping center, consistent with the intent of the State Road 50 Activity Center Special Development Plan. When the Site Construction Plans for Chef Depot at Towne Square were reviewed by Staff, both the Assistant City Attorney and the Planning Division made comments that identified a variety of minor issues that should be addressed on the plans. The comments requested various minor changes to the plans, mainly to ensure consistency and to clarify some details. The Staff memos listing those comments are attached to this Staff Report. Since none of these issues are very significant, they can be easily resolved with revisions to the Plans and an administrative Staff review for compliance with the comments listed in the attached memos. STAFF RECOMMENDATION: Based on the discussion above, Staff respectfully recommends that the Mayor and City Commission approve the Towne Square Shopping Center Development Agreement, subject to making the minor revisions identified in the attached memos from the Assistant City Attorney and from the Planning Division, to be administratively reviewed and approved by Staff. If an Irrigation Plan is to be included, please provide us a copy of this sheet and revise each sheet to refer to "Sheet of 12." If an Irrigation Plan is not to be included, please delete the reference thereto on the Cover Sheet. 4. WITNESSETH: WHEREAS, the Owner owns fee simple title to certain lands located in Orange County, Florida, and within the corporate limits of the City of Ocoee, Florida, said lands being more particularly described in Exhibit "A" attached hereto and by this reference made a part hereof (hereinafter referred to as the "Property"); and WHEREAS, the Owner and the City desire to execute this Agreement in order to evidence their mutual agreement as to certain matters related to, and as a condition to the approval of, certain improvements to be made to the Property. NOW, THEREFORE, in consideration of the premises and other good and valuable considerations exchanged between the parties hereto, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: Section 1. Recitals. The above recitals are true and correct and incorporated herein by this reference. Section 2. Development of the Property. (A) The Owner hereby agrees to make certain improvements to the Property in accordance with this Agreement and all permits and approvals issued by the City and other governmental entities with respect to the Property. 006 284117. (B) In connection with tenant improvements to the Property to be occupied by the business known as Chef Depot, the City agrees to issue building permits upon compliance with all applicable City codes relating to the tenant improvements. (C) The City and Owner hereby agree that the improvements to the Property shall be made in two (2) phases, all as set forth in those certain Site Construction Plans for Chef Depot at Town Square, dated February 2003, prepare by Design Service Group, Job No. 02064 and incorporated herein by this reference (the "Development Plans"). The first phase improvements (the "Phase I Improvements") shall be completed within six (6) months of the Effective Date. The second phase improvements (the "Phase II Improvements") shall be completed within eighteen (18) months of the Effective Date. Section 3. Notice. Any notice delivered with respect to this Agreement shall be in writing and be deemed to be delivered (whether or not actually received)when (1) hand delivered to the other party at the address appearing on the first page of this Agreement, or (ii) when deposited in the United States Mail, postage prepaid, certified mail, return receipt requested, addressed to the party at the address appearing on the first page of this Agreement, or such other person or address as the party shall have specified by written notice to the other party delivered in accordance herewith. Section 4. Covenant Running with the Land. This Agreement shall run with the Property and inure to and be for the benefit of the parties hereto and their respective successors and assigns and any person, firm,corporation, or entity who may become the successor in interest to the Property or any portion thereof. Section 5. Recordation of Agreement. The parties hereto agree that an executed original of this Agreement shall be recorded by the City, at the Owner's expense, in the Public Records of Orange County, Florida. The City will, from time to time upon request of the Owner, execute and deliver letters affirming the status of this Agreement. Section 6. Applicable Law. This Agreement and the provisions contained herein shall be construed, controlled, and interpreted according to the laws of the State of Florida. Section 7. Time of the. Essence. Time is hereby declared of the essence to the lawful performance of the duties and obligations contained in this Agreement. Section S. Agreement; Amendment. This Agreement constitutes the entire agreement between the parties, and supersedes all previous discussions, understandings and agreements, with respect to the subject matter hereof. Amendments to and waivers of the provisions of this Agreement shall be made by the parties only in writing by formal amendment. Section 9. Further Documentation. The parties agree that at any time following a request by the other party, each shall execute and deliver to the other party such further documents and instruments, in form and substance reasonably necessary to confirm and/or effectuate the obligations of either party hereunder. 006.28411]. -2- Section 10. Specific Performance. In addition to each and every remedy now or hereafter existing at law or in equity, the parties hereto expressly agree that City shall have the right to enforce this Agreement by an action for specific performance. Section 11. Attorneys' Fees. In the event that either party finds it necessary to commence an action against the other party to enforce any provision of this Agreement or because of a breach by the other party of any terms hereof, the prevailing party shall be entitled to recover from the other party its reasonable attorneys' fees, paralegal fees and costs incurred in connection therewith, at both trial and appellate levels, including bankruptcy proceedings, without regard to whether any legal proceedings are commenced or whether or not such action is prosecuted to judgment; provided, however, that notwithstanding the foregoing and without regard to the prevailing party, the Owner shall bear its own attorneys' fees and costs and shall reimburse the City for its attorneys' fees and costs in connection with any proceeding in which the Owner seeks to challenge the validity or enforceability of any provision of this Agreement. Section 12. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall be deemed to be an original but all of which together shall constitute one and the same instrument. Section 13. Captions. Captions of the Sections and Subsections of this Agreement are for convenience and reference only, and the words contained therein shall in no way be held to explain, modify, amplify or aid in the interpretation, construction, or meaning of the provisions of this Agreement. Section 14. Severability. If any word, sentence, phrase, paragraph, provision, or portion of this Agreement is for any reason held invalid or unconstitutional by any court of competent jurisdiction, such portion shall be deemed a separate, distinct, and independent provision and such holding shall not affect the validity of the remaining portion hereof so long as the purpose and intent of this Agreement can still be achieved. Section 15. Effective Date. Parker, District 4 MEMORANDUM DATE: February 26, 2003 TO: Carolyn Alexander, Development Review Coordinator FROM: Robert Lewis, AICP, Planning Manager SUBJ: Planning Comments Chef Depot at Towne Square, 1st Staff Review Site Plan (Administrative Review), Received February 11, 2003 This site plan is intended to be used as an Exhibit to the Development Agreement between the Towne Square Shopping Center property owner and the City of Ocoee. The Development Agreement is scheduled for review by the City Commission on March 4, 2003. When the Agreement is reviewed by the City Commission, Staff will be recommending approval of the Agreement, subject to making revisions to the site plan to satisfy the Staff comments (City Attorney and Planning) through an administrative review. These comments list the concerns of the Planning Division related to the current plan submittal. Most of these issues are minor and should be easily resolved. 1) Provide a note indicating that all concrete curbing around landscape islands must be in good condition. The note should also state that existing curbing that is intended to remain is not in good condition, that curbing must be removed and replaced with new curbing. 2) Provide phase lines on all plan Sheets 2-7 as applicable. 3) Provide appropriate signage and/or striping along the entire drive aisle in front of the building indicating "No Parking - No Loading - Fire Lane". 4) Provide appropriate signage along the east side of the building identifying parking and loading areas. 5) The plans show that the area that had been the fenced-in sales area for landscape materials for the Wal-Mart store on the east side of the building will be opened up. The chain link fence will be moved a little closer to the building and a landscape area will be provided along the east side of the relocated fence. Please provide information on the plan drawings to clarify the use of the area between the building and the relocated fence -traffic circulation /parking/ loading area, or sales/display area. 6) In order to facilitate traffic circulation in the parking and loading area on the east side of the building, it is suggested that the north end of the relocated fence and the new landscape area be shortened by about 25 feet. February 26,2003 Carolyn Alexander, Development Review Coordinator Page 2 7) Sheet 4 shows to 6' screen walls to be constructed along the east side of the building (one 36 LF and the other 133 LF). Provide cross section detail drawings for those 6' screen walls with more information on the materials to be used and the appearance of the walls. 8) Sheet 7 shows a set of cross section arrows on either side of a landscape island located about 170 feet north of SR 50, with a "F' — "P' label. When the typical cross section detail drawings on Sheet 8 are reviewed, it appears that this "F" — "F" label should be a "B"—"B" label. 9) Sheet 6 shows a set of cross section arrows with a "A" — "A" label for the landscape buffer along Maguire Road, and Sheet 7 shows a set of cross section arrows with a "A" — "A" label for the landscape buffer along SR 50. Therefore, it appears that the typical cross section detail drawing for the on Sheet 8 for the "A" — "A" cross section should be revised as follows: a) The note at the top-right that reads "Exist. Maguire Road Right-of- Way"should be changed to read 'Exist. Maguire Road or SR 50 Right-of-Way b) The note at the bottom that reads "(Phase I)"should be changed to read "(Phase I& lQ". 10) In addition to the shrubs shown in the landscape area adjacent to the relocated fence on the east side of the building, climbing vines should also be provided along the fence. 11) The landscape plan currently shows a significant number of Drake Elm trees to be provided in the buffer areas along Maguire Road and along SR 50. Drake Elm trees are considered understory trees, not shade trees, and they are deciduous trees. Therefore, rather than using all Drake Elm trees in those buffers, revise the landscape plan to show a mixture of trees as follows: a) SR 50 Buffer — Provide at least 4 shade trees (i.e. — live oak, laurel oak) reducing the Drake Elms by an equal number, and replace at least half of the remaining Drake Elms with non-deciduous understory trees. b) Maguire Road Buffer, east of the parking lot — Provide at least 4 shade trees (i.e. — live oak, laurel oak) reducing the Drake Elms by an equal number, and replace at least half of the remaining Drake Elms with non-deciduous understory trees. c) Maguire Road Buffer, east of the building— Provide at least 3 shade trees (i.e. — live oak, laurel oak) reducing the Drake Elms by an equal number, and replace at least half of the remaining Drake Elms with non-deciduous understory trees.
