Director of Public Works DATE: May 4, 2004 RE: Approval of Master Contract for Sensus Metering Systems ISSUE: Should the Mayor and City Commissioners approve and execute the Master Contract by and between the City of Ocoee and Sensus Metering Systems—North America, Inc. BACKGROUND: The Utility Department was asked by the Finance Department to secure a contract with the Sensus Metering Systems—North America for the procurement of various meter sizes, sensors, housings for the sensors and the associated bronze, brass and cast iron hardware for the installation of the meters. This master contract will enable the Utility Department to expedite large meter and accessory purchases for the City of Ocoee as well as maintaining a consistent pricing of those meters and installation parts. DISCUSSION: The City of Ocoee desires to reduce cost associated with accurately measuring, recording, and reporting the types and quantities of products the City of Ocoee provides to its customers. Sensus Metering Systems will provide those products as outlined in Exhibit"A"attached to the master contract. The term of the Agreement will be in effect for one (1) year and following the completion of the initial one (1) year term, the contract may be renewed on an annual basis, at the sole discretion of the City of Ocoee for five (5) additional one (1) year terms to be mutually agreed to by all parties to the contract. Each renewal period can be rescinded by a succeeding administration. The City of Ocoee currently uses the Sensus Metering System exclusively and is in the process of converting pre-existing (non-Sensus) meters to the Sensus Metering System with the ultimate goal of converting the City of Ocoee's meter reading process to a Sensus radio read system. STAFF RECOMMENDATION: Staff recommends that the City Commission approve and execute the Master Contract by and between the City of Ocoee and Sensus Metering Systems —North America, Inc. to improve and enhance all future purchasing processes for the equipment and associated parts from this vendor. Master Agreement Between And SENSUS METERING SYSTEMS - NORTH AMERICA INC. For Meters, and Related Components and Services This Master Agreement ("Agreement") made and entered into on this , 2004, by and between,_City of Ocoee and Sensus Metering Systems- North America Inc. (hereinafter called SMS) with offices located at 8609 Six Forks Road, Raleigh, NC 27615, which term shall include the successors of SMS, wherever the context so requires or admits. Whereas Ocoee desires to reduce cost associated with accurately measuring, recording and reporting the types and quantities of products Ocoee provides its customers (hereinafter called "Metering Services"). Whereas, SMS is a leading provider of Metering Services; Whereas, Ocoee has adopted SMS metering equipment as a system standard for metering installations; and NOW, THEREFORE, in consideration of these premises and the mutual covenants herein contained, it is agreed as follows: 1. ENGAGEMENT OF SENSUS 1.1.1. Ocoee hereby engages SMS and SMS hereby accepts said engagement for the purpose of providing those products described in Exhibit A—Quotation#4156. 1.1.2. There will be no obligation between SMS and Ocoee for performance until Ocoee engages SMS with a written notice to proceed. 2. SCOPE OF METERING SERVICES 2.1. The Metering Services provided to Ocoee by SMS may include, but may not be limited to the following: 2.1.1. Equipment and materials for metering, and the recording and reporting of metering data; 2.1.2. Professional or other services regarding the specification, selection, application, and installation of metering equipment; 2.1.3. Equipment testing, repair, rebuilding, and recycling. 2.2. The Metering Services provided to Ocoee shall include furnishing materials and other items as provided for in Exhibit A attached hereto at the rates listed therein. 2.3. From time to time Ocoee and SMS may jointly agree to perform specific tasks under this agreement as may be necessary to carry out the purpose of this agreement. These additions, changes, or alterations will be agreed upon by both parties and outlined in the form of a specific "task assignment". 3. COORDINATION AND SERVICES PROVIDED BY SMS 3.1. Ocoee shall designate a representative to coordinate and administer this agreement. The Ocoee representative will be assigned to perform day to day administration and liaison functions, to make available to SMS appropriate personnel, to the extent practical, and to furnish records and available data necessary to providing Metering Services, if necessary. 3.2. For the purpose of this Agreement, Ocoee representative is Robert Holland, Utilities Superintendent. 3.3. It shall be the responsibility of SMS to coordinate all activities with the Ocoee representative. 4. DURATION OF AGREEMENT 4.1. This Agreement shall commence on the day and year above and continue and remain in full force and effect as to all terms, conditions, and provisions as set forth herein for an initial period of one (1) year. In the event this Agreement is terminated, by either party, SMS shall be paid for any unpaid billings for all materials delivered up to the date of notice of termination. 4.2. Following the completion of the initial one (1) year term this Agreement may be renewed on an annual basis, at the sole discretion of the City of Ocoee for five (5) additional one (1) year terms based upon price terms to be mutually agreed to by the parties. Each renewal period can be rescinded by a succeeding administration. 4.3. Any other provision in the Agreement to the contrary not withstanding, the term of this Agreement after the initial year shall be contingent upon the existence of lawfully appropriated funds for each subsequent year of the term. 5. PRICE ADJUSTMENT 5.1. Not later than sixty (60) days before the expiration of either the initial term or any renewal term of this Agreement, SMS shall provide the City with notice of prices it intends to charge for the prospective renewal period, which annual price adjustment which shall be determined as follows: 5.1.1. The Consumer Price Index for ALL Urban Consumers published monthly by the U.S. Department of Labor, Bureau of Labor Statistics for professional or other services; and 5.1.2. The Producer Price Index for Capital Equipment as published by the same agency for equipment and materials listed in Exhibit A. 5.2. In the event this publication ceases, another index shall be mutually agreed upon. Failing the parties agreement on prices for the applicable renewal tern, the Agreement shall terminate on the 90`h day following the last day of the applicable expired term. Price increases required to comply with new regulations may be implemented as necessary upon the mutual good faith agreement of the parties. 6. TAXES 6.1. Ocoee will be responsible for any city, state, or federal sales taxes, if any, that may be applicable to products provided under this Agreement 7. MEETINGS AND PUBLIC HEARINGS 2 7.1. SMS will, upon request by The Utility, attend all meetings and public hearings as required. 8. DELAYS 8.1. Neither party shall be considered in default in the performance of its obligations hereunder to the extent that the performance of such obligation is prevented or delayed by any circumstance which is not in the reasonable control of either party hereto caused by any one of the following: acts of war whether declared or undeclared); adverse governmental action (whether Federal, State of Local) strike, lockout or labor unrest (unless caused by the obligated party's willful conduct); riots, terrorism, vandalism; sabotage; civil commotion; explosion; fire or any other casualty; acts of God; adverse weather conditions, blight or epidemic; drought; floods; unknown site conditions, or other similar cause or circumstance which is not in the reasonable control of either party hereto. "Force Majeure" shall note include lack of funds or any general economic and/or market factors. 9. PAYMENTS 9.1. Ocoee will reimburse SMS for the Metering Services rendered hereunder in accordance with the following terms: 9.1.1. The amount Ocoee shall pay SMS for all Metering Services provided under the terms of this agreement shall not exceed the lawfully appropriated indebtedness as appropriated by The Utility. 9.2. For the services and any materials provided by SMS hereunder: 9.2.1. SMS shall submit an invoice immediately upon shipment of materials and 9.2.2. The Utility will pay SMS the invoiced amount within 30 days after receipt of said invoice, per the Laws of Florida. 9.3. Ocoee may reject any invoice within 10 days after receipt. Ocoee will return the invoice to SMS stating the reason for rejection. Upon receipt of an acceptable, revised invoice, Ocoee will, within 21 days, pay SMS the revised amount. 10. INSURANCE REQUIREMENTS 10.1. Before starting and until acceptance of the Metering Services by the Utility, and without limiting its liability under the Agreement, SMS will procure and maintain, at its sole expense, insurance of the types and in the minimum amounts stated below: Schedule Amount Workers' Compensation Florida Statutory coverage Statutory Limits (Workers' Compensation) & Employer's Liability(including $500,000 per accident(Employer's Liability) appropriate Federal acts) Commercial General Liability Premises-Operations $1,000,000 each occurrence Products-Completed Operations $2,000,000 annual aggregate Contractual Liability combined single limit for bodily injury Independent Contractors and property damage Automobile Liability All autos-owned, hired, or non-owned $24,000,000 each occurrence combined single 3 limit 10.2. Such insurance shall be written by a company or companies licensed to do business in the State of Florida and satisfactory to The Utility. Prior to commencing any work under the Agreement, certificates evidencing the maintenance of said Insurance shall be furnished for The Utility's approval. The Certificate of Insurance shall provide that no material alteration or cancellation, including expiration and non-renewal, shall be effective until 30 days after receipt of written notice by The Utility. 10.3. SMS shall specify The Utility and the City of Ocoee as an additional insured for all coverages except Workers' Compensation and Employer's Liability. Such insurance shall be primary to any and all other insurance or self-insurance maintained by The Utility. SMS shall include a Waiver of Subrogation on all required insurance in favor of The Utility, its board members, officers, employees, agents, successors, and assigns. 10.4. SMS's Commercial General Liability insurance policy shall be effective one year after Final Completion of the Metering Services. 10.5. All indemnification agreements in the Agreement are separate and are not limited by the insurance amounts stated above. 11. INDEMNIFICATION 11.1 SMS shall hold harmless, indemnify, and defend The Utility against any claim, action, loss, damage, injury, liability, cost and expense of whatsoever kind or nature (including, but not by way of limitation, attorney's fees and court costs) arising out of injury (whether mental or corporeal) to persons, including death, or damage to property, arising out of or incidental to the negligent acts or omissions of SMS in the performance of this Agreement or work performed thereunder. For purposes of this Indemnification, the term "The Utility" shall include its governing board, officers, employees, agents and assigns. This indemnification shall survive the term of this Agreement for incidents that occurred during the term of the Agreement. 12. PATENTS & COPYRIGHTS 12.1. SMS shall hold harmless, indemnify, and defend The Utility from and against liability or loss, including but not limited to any claims, judgments, court costs and attorneys' fees incurred in any claims, or any pretrial, trial or appellate proceedings on account of infringements of patents, copyrighted or uncopyrighted works, secret processes, trade secrets, patented or unpatented inventions, articles or appliances, or allegations thereof, pertaining to the Metering Services, or any part thereof, combinations thereof, processes therein or the use of any tools or implements used by SMS. 12.2. SMS will, at its own expense, procure for The Utility the right to continue use of the Metering Services, parts or combinations thereof, or processes used therein resulting from a suit or judgment on account of patent or copyright infringement. 12.3. If, in any such suit or proceeding, a temporary restraining order or preliminary injunction is granted, SMS will make every reasonable effort, by giving a satisfactory bond or otherwise, to secure the suspension of such restraining order or temporary injunction. 12.4. If, in any such suit or proceeding, any part of the Metering Services is held to constitute an infringement and its use is permanently enjoined, SMS will, at once, make every reasonable effort to secure for The Utility a license, authorizing the continued use of the Metering Services. If SMS fails to secure such license for The Utility, SMS will replace the Metering Services with non-infringing Metering Services, or modify the Metering Services in a way satisfactory to The Utility, so that the Metering Services is non-infringing. 4 13. WARRANTY 13.1. SMS warrants that all workmanship and materials shall be free of any defects. Contractor further warrants that all repair or replacement work performed to repair or replace defective work or materials shall also be warranted to be free of defects SMS shall commence and diligently pursue the correction of any defect in materials not later than fifteen (15) day period, then Owner may repair or replace such defects and SMS shall reimburse Owner for the costs thereof, including all interest, attorneys' fees and costs of collection. SMS shall assign and/or transfer to the Owner all manufacturer's direct warranties for components, materials or appliances. Additional warranty provisions for materials and equipment furnished by SMS to the extent not inconsistent with the above warranty are outlined in Exhibit B -"The Sensus Guarantee". 14. NONWAIVER 14.1. Failure by either party to insist upon strict performance of any of the provisions of the Contract will not release either party from any of its obligations under the Contract. 15. OWNERSHIP OF DOCUMENTS AND EQUIPMENT 15.1. SMS agrees that upon completion of the Metering Services, all drawings, designs, specifications, renderings, notebooks, tracings, photographs, reference books, equipment, expendable equipment and materials, negatives, reports, findings, recommendations, data and memoranda of every description, arising out of or relating to the Metering Services rendered by SMS under this Agreement exclusively prepared for The Utility, are to become the property of The Utility. The use of these materials in any manner by The Utility shall not support any claim by SMS for additional compensation. SMS shall have no liability to The Utility for damages, claims and losses, including defense costs, arising out of any use of the aforementioned documents for any purpose other than as set forth in this Agreement without the written authorization of SMS. 16. PUBLIC RECORDS 16.1. This Agreement and any related documents are considered public records under the "Public Records Law", Florida Statues, unless specifically exempted by law. 17. HEADINGS 17.1. Headings appearing herein are inserted for convenience or reference only and shall in no way be construed to be interpretations of text. 18. NEGOTIATED AGREEMENT 18.1 Except as otherwise expressly provided, all provisions of this Agreement shall be binding upon and shall inure to the benefit of the parties, their legal representatives, successors and assigns. The parties agree that they have had meaningful discussion and negotiation of the provisions, terms, and conditions contained in this Agreement. Except as otherwise expressly provided, all provisions of this Agreement shall be Therefore, doubtful or ambiguous provisions, if any, contained in the Agreement shall not be construed against the party who physically prepared this Agreement. 19. ENTIRE AGREEMENT 19.1. This Agreement, together with any Purchase Orders and executed Task Authorizations, constitute the entire agreement between the parties hereto for the Metering Services to be performed and furnished by SMS hereunder. No statement, representation, writing, understanding, or agreement made by either party, or any representative of either party, which are not expressed herein shall be binding. All changes to, additions to, modifications of, or amendment to this Agreement, or any of the terms, 5 provisions and conditions hereof, shall be binding only when in writing and signed by the authorized officer, agent or representative of each of the parties hereto. 20. ASSIGNMENT 20.1 SMS shall not assign the Contract as a whole or in part without the written consent of the Utility, nor shall SMS assign any monies due or to become due to them hereunder without the previous written consent of The Utility. Assigning the Contract shall not relieve SMS or their surety from any contract obligations. 21. APPLICABLE STATE LAW; VENUE; SEVERABILITY 21.1 The rights, obligations and remedies of the Parties as specified under the Contract will be interpreted and governed in all respects by the laws of the State of Florida. If any provision of the Contract be determined by the courts to be illegal or in conflict with any law of the State of Florida, the validity of the remaining provisions will not be impaired. The parties agree that this Agreement was entered into in Orange county, Florida; and that the parties engage in substantial business activity in Orange County, Florida, and that payment is due in Orange County, Florida, and that the exclusive and sole venue for any collection or enforcement action under this Agreement shall be brought in the Ninth Judicial Circuit in and for Orange County, Florida. 21.2 WAIVER OF JURY TRIAL. The parties do hereby waive trial by jury in any action proceeding or claim which may be brought by any party on any matter or dispute concerning or arising out of this Contract, the Work or this Project. 22. TERMINATION FOR DEFAULT 22.1 Default. If SMS refuses or fails to perform any of the provisions of this contract with such diligence as will ensure its completion with the time specified in this contract, or any extension thereof, or otherwise fails to perform or timely satisfy the contract provisions, or commits any other material breach of this contract, the Utility may notify SMS in writing of the delay or non-performance, and if not cured in ten (10) days or any longer time specified in writing by the Utility, the Utility may terminate this contract or such part of the contract as to which there has been delay or a failure to properly perform. 22.2 Compensation. Payment for completed goods delivered and accepted by The Utility shall be at the contract price. Payment for the protection and preservation of property shall be in an amount agreed upon by SMS and The Utility. The Utility may withhold from amounts due SMS such sums as The Utility deems to be necessary to protect The Utility against loss because of outstanding liens or claims of former lien holders and to reimburse The Utility for the excess costs incurred in procuring similar goods and services. 23. TERMINATION FOR CONVENIENCE. 23.1 Termination for convenience. When the interests of the Utility so require, the Utility may terminate this contract in whole or in part, for the sole convenience of the Utility. The Utility shall give written notice of the termination to SMS specifying the part of the contract terminated and when termination becomes effective. 23.2 SMS Obligations. SMS shall incur no further obligations in connection with the terminated work and on the dates set in the notice of termination SMS will stop work to the extent specified. SMS shall also terminate outstanding orders as they relate to the terminated work. 6 23.3 Right to goods. The Utility may require SMS to transfer title and deliver to The Utility in the manner and to the extent directed by The Utility: any completed goods; and the partially completed goods and materials, parts, tools, dies, jigs, fixtures, plans, drawings, information, and contract rights, hereinafter called "manufacturing material," as The Utility has specifically produced or specially acquired for the performance of the terminated part of this contract. 23.4 SMS shall, upon direction of the Utility, protect and preserve property in the possession of SMS in which The Utility has an interest. If The Utility does not exercise this right, SMS shall use SMS's best efforts to sell such goods and manufacturing materials. Use of this section in no way implies that The Utility has breached the contract by exercise of the termination for convenience clause. In the event of such termination for convenience, SMS shall be entitled to recover the reasonable costs of any completed goods; and the partially completed goods that SMS has specifically produced or specially acquired for the performance of the terminated part of this contract. SMS shall not be permitted to recover lost profits or special damages for portions of the contract that were not performed by reason of such termination for convenience. SMS shall submit a detailed termination claim specifying the amounts due because of the termination for convenience, together with cost or pricing data to the extend required by the Utility 7 IN WITNESS WHEREOF, the parties hereto have duly executed this Agreement, in duplicate, the date and year first above written.
