Subject: Approval of Contractual Agreement for the Ocoee Youth Council (OYC) Coordinator
Background Summary:
The contractual agreement between the City of Ocoee and OYC Coordinator, Dorcas Dillard, expired
on September 30, 2019. During the period of this agreement, Dorcas Dillard, received $800.00 per
month. At their Regular City Commission Meeting on October 1, 2019, the City Commission discussed
the contract and reducing the monthly fee. Following the discussion, City staff was directed to bring the
contract before the Commission for approval.
Issue:
Should the Honorable Mayor and City Commissioners authorize a monthly fee and execute a contractual
agreement with OYC Coordinator, Dorcas Dillard?
Recommendations:
Staff recommends that the Honorable Mayor and City Commissioners consider authorization of a
monthly fee and execution of a contractual agreement with OYC Coordinator, Dorcas Dillard.

The cost of the OYC Coordinator is adequately funded in the Youth Initiatives line item in the FY 19-20

CONTRACTUAL AGREEMENT
COMES NOW, Dorcas Dillard (hereinafter referred to as the Independent
Contractor) and the City of Ocoee (hereafter referred to as the City) and enter
into the following agreement:
1. The City of Ocoee and the Independent Contractor enter into this
Contractual Agreement subject to the conditions and considerations set forth below
and shall begin on October 1, 2019, and terminate on September 30, 2020, unless
extended in writing by the City.
2. During the period of this agreement, the Independent Contractor shall
receive $ per month.
3. During the period of this agreement, the Independent Contractor shall
coordinate the activities and function of the Youth Services Council and
interact with the City Commission and City Staff while performing in an
adequate and acceptable manner. The Independent Contractor shall serve
at the will of the City and the City or Independent Contractor may terminate
this agreement at any time for any reason or no reason, consistent with
applicable law. In the event either party terminates this agreement, they shall
make reasonable efforts to give at least two (2) weeks notice; however, such
notice is not required in case of operational inconvenience.
4. Not less than thirty (30) days prior to the termination date of this Contractual
Agreement, the Independent Contractor shall advise the City as to whether she

wishes to be considered for an additional contract period. The City, at its option,
may discuss future contracts uponmutually acceptable conditions. Nothing herein
shall create any obligation on behalf of the City to renew a contract or to employ
the Independent Contractor except as provided herein.
5. As an Independent Contractor, the Independent Contractor recognizes
and agrees that she will not receive any fringe benefits, and shall be entitled only
to the pay as set forth in paragraph 2 above.
