BACKGROUND SUMMARY:
The proposed Plat is a replat of West End Professional Park. The site consists of 11.87 acres and is located on
the south side of Old Winter Garden Road, east of Maguire Road, and abuts the Florida Turnpike. This Plat
includes easements for public utility connections, a renamed Brushy Creek Court to S. Bluford Avenue, and
easements for the stormwater management system.
With the approval of the Lake Lilly Professional Center Subdivision Plat, the City Commission is also affectively
rescinding a Replat that was approved by the City Commission, but not recorded. The West End Professional
Park Replat was approved by the City Commission on December 4, 2001, but was not recorded.
ISSUE:
Should the Honorable Mayor and City Commission approve the Lake Lilly Professional Center Subdivision Plat
and Second Amendment to Declaration of Covenants, Conditions, and Restrictions and authorize Mayor and City
Clerk to execute same?
RECOMMENDATIONS:
Staff recommends the Honorable Mayor and City Commission approve the Lake Lilly Professional Center
Subdivision Plat and Second Amendment to Declaration of Covenants, Conditions, and Restrictions and authorize
Mayor and City Clerk to execute same.

DECLARATION OF COVENANTS, CONDITIONS AND
RESTRICTIONS OF LAKE LILLY PROFESSIONAL CENTER
(f/k/a WEST END PROFESSIONAL PARK)
THIS SECOND AMENDMENT TO DECLARATION OF COVENANTS,
CONDITIONS AND RESTRICTIONS OF LAKE LILLY PROFESSIONAL CENTER
(fVa WEST END PROFESSIONAL PARK) (this "Second Amendment") is made and entered
into as of the day of , 2020 by HELLER BROS. GROVES, a Florida
general partnership, whose mailing address is P.O. Box 770249, Winter Garden, Florida 34777-
0249 (hereinafter called the "Declarant").
WITNESSETH:
WHEREAS, Declarant executed that certain Declaration of Covenants,
Conditions and Restrictions of West End Professional Park recorded on July 20, 1995 in Official
Records Book 4918, Page 4879, as amended by that certain First Amendment to Declaration of
Covenants, Conditions and Restrictions of West End Professional Park recorded on July 6, 2006
in Official Records Book 8737, Page 488, both of the Public Records of Orange County, Florida
(collectively, the "Declaration"); and
WHEREAS, Declarant owns (i) all of the Property subject to the Declaration
except for Tracts "A" and `B", inclusive of the Plat of West End Professional Park Unit 1, and
(ii) all of the Additional Land; and
WHEREAS, the Association owns Tracts "A" and `B", inclusive, of the Plat of
West End Professional Park Unit 1; and
WHEREAS, the Declarant, the Association and the City have entered into that
certain Development Agreement (Lake Lilly Center formerly known as West End Professional
Park) dated January 7, 2020 as recorded on January 27, 2020 under Document #20200053277 in
the Public Records of Orange County, Florida (the "Development Agreement"), which
Development Agreement requires that certain amendments be made to the Declaration; and

WHEREAS, Lots 1 through 6, inclusive, of the Plat of West End Professional
Park Unit 1 have been replatted and a portion of the Additional Land adjacent thereto has been
platted by that certain Plat of Lake Lilly Professional Center Subdivision (as hereinafter
defined); and
WHEREAS, Turnover has not occurred; and
WHEREAS, Declarant has the power to amend the Declaration pursuant to
Section 2(A) of Article VII of the Declaration; and
WHEREAS, Declarant has the power to annex all or a portion of the Additional
Land pursuant to Section 13 of Article VII of the Declaration; and
WHEREAS, Declarant desires to amend the Declaration as set forth herein in
order to annex a portion of the Additional Land and comply with requirements of the
Development Agreement.
NOW, THEREFORE, in consideration of the foregoing, the Declaration is
hereby amended as more particularly described below:
1. Recitals. The foregoing recitals are true and correct and are incorporated herein by
this reference.
2. Name of Subdivision. "West End Professional Park" shall hereinafter be known as
"Lake Lilly Professional Center." All references to "West End Professional Park" in the
Declaration are hereby deleted and replaced with "Lake Lilly Professional Center."
3. Definitions. All capitalized terms used herein shall have the same meanings as
defined in the Declaration unless otherwise defined herein and except as set forth below:
(A) Section 1.2 of Article I is hereby amended to read as follows:
1.2 "Articles of Incorporation" or "Articles" shall mean and refer to
the Articles of Incorporation of Lake Lilly Professional Center Property Owners
Association, Inc. (formerly known as West End Professional Park Property Owners
Association, Inc.), as they may be amended from time to time.
(B) Section 1.3 of Article I is hereby amended to read as follows:
1.3 "Association" shall mean and refer to "Lake Lilly Professional Center
Property Owners Association, Inc." All references to "West End Professional Park
Property Owners Association, Inc." contained in the Declaration are hereby deleted and
replaced with "Lake Lilly Professional Center Property Owners Association, Inc."
(C) Section 1.14 of Article I is hereby amended to read as follows:
1.14 "Property" shall mean the Property described in Exhibit "A-1" attached
hereto and by this reference made a part hereof.

(D) A new Section 1.19 of Article I is hereby added as follows:
1.19 "Plat of Lake Lilly Professional Center Subdivision" shall mean the
Plat of Lake Lilly Professional Center Subdivision as recorded in Plat Book , Page
of the Public Records of Orange County, Florida.
4. Annexation of a Portion of the Additional Land. Pursuant to Section 13(A) of
Article VII of the Declaration, the portion of the Additional Land included within the Plat of
Lake Lilly Professional Center Subdivision is hereby annexed into and included with such
property already subject to the Declaration and is hereby made subject to the provisions of the
Declaration and the jurisdiction of the Association and shall be held, transferred and occupied
subject to this Amendment and the Declaration. All references in the Declaration to the
"Property" shall hereinafter refer to the real property described in Exhibit "A-1" attached
hereto.
5. A new Section 5 of Article II is hereby added as follows:
Section 5. Status of Association. The Association shall at all times be in good
standing with the Florida Secretary of State.
6. Section 10 of Article III is hereby amended to read as follows:
Section 10. Exempt Property. The following Property subject to this Declaration shall
be exempt from the assessments, charges and liens created herein: (i) all Property
dedicated and accepted by the local public authority and devoted to public use; (ii) all
.Common Areas as defined herein; (iii) all property exempt from ad valorem taxation
under the laws of the State of Florida, but only to the extent expressly agreed to by the
Association or the Declarant; and (iv) any property owned by the City or any other
governmental entity.
7. A new Section 11 of Article III is hereby added as follows:
Section 11. Option of City to Collect Assessments. In the event, but only in the event,
that the Association shall fail to levy, collect and enforce any assessments provided for
herein, the City shall have the right, but not the obligation, to levy, collect and enforce
such assessments at a level allowing for adequate maintenance of the Common Areas.
8. Section 1 of Article IV is hereby amended to read as follows:
Section 1. Limited Application. The provisions of this Article are applicableonly to
Lots 1 through 6, inclusive, of the Plat of Lake Lilly Professional Center Subdivision.
9. Section 2(C) of Article IV of the Declaration is hereby deleted in its entirety.
10. A new Section 5 of Article IV is hereby added as follows:
Section 5. Enforcement of Private Restrictions. In connection with the sale of any
Site by the Declarant (or its successors and assigns), the Declarant may, at its option,

impose additional restrictions and conditions with respect to such Site (collectively,
"Private Restrictions"). To the extent that the Declarant imposes any Private
Restrictions on a Site, the Declarant may, but shall not be required to, grant to the
Association the right to enforce any such Private Restrictions and in such event any such
Private Restrictions shall be enforceable in the same manner as if imposed by this
Declaration.
11. A new Section 5 of Article VI is hereby added as follows:
Section 5. Stormwater Management System.
A. Maintenance of SWMS by Declarant. Notwithstanding the conveyance of the
retention ponds to the Association or any provision to the contrary contained in this
Declaration, Declarant shall remain responsible for the maintenance of the
Stormwater Management System ("SWMS"), including all retention ponds, until
such time as:
i. The entire SWMS for Lake Lilly Professional Center is
constructed and the appropriate certificate of completion is issued by both the City
and the St. Johns River Water Management District ("SJR)VMD");
ii. The retention pond(s) intended to be conveyed to the Association
have in fact been conveyed to the Association;
iii. The Association is designated as the maintenance entity on the
records of the SJRWMD and all transfer records required by the SJRWMD have been
executed and accepted by SJRWMD;
iv. The City has been provided with a copy of Declarant's proposed
maintenance plan with respect to the SWMS; and
V. The City has been provided with a written statement from the
Association acknowledging receipt of Declarant's proposed maintenance plan with
respect to the SWMS and that the Association is responsible for the maintenance of
the SWMS.
B. Turnover of SWMS to Association. At Turnover, the Declarant shall deliver to the
newly elected Board of Directors the maintenance plan for the SWMS accompanied
by an engineer's certification that the SWMS is functioning in accordance with all
approved plans and permits. In the event that the engineer's report indicates any
corrective action is required, the Declarant shall diligently undertake such corrective
action at the Declarant's expense and post a cash bond with the Association for the
estimated costs of such corrective action.
C. Right of Governmental Entities to Enforce. SJRWMD, the City and any
governmental entity having jurisdiction shall have the right to enforce, by a
proceeding at law or in equity, the provisions contained in this Declaration which

relate to the maintenance, operation, and repair of the SWMS. SJRWMD and the
City have the right to take enforcement action, including civil action for an injunction
and penalties, against the Association to compel the Association to correct any
outstanding problem with any portion of the SWMS or, if applicable, in mitigation or
conservation areas under the responsibility or control of the Association.
Additionally, the City shall have the right, but not the obligation, to repair and
maintain such portions of the SWMS should the Association fail to do so and
obtain reimbursement from the Association, or from the Declarant if. (i) Turnover
has not yet occurred, or (ii) if the Declarant is still responsible for the maintenance
of the SWMS.
D. Transfer of SWMS. In the event of termination, dissolution or final liquidation of
the Association, the responsibility for the operation and maintenance of the
Surface Water or Stormwater Management System must be transferred to and
accepted by an entity which would comply with Section 40C-42.027, F.A.C., and
such transfer must be approved by SJRWMD and the City prior to such
termination, dissolution or liquidation. Upon occurrence of such termination,
dissolution or liquidation, or if the same occurs without the approval of the City,
then the City may continue to levy and collect assessments and impose liens with
respect to such assessments notwithstanding the dissolution of the Association. If
the Association ceases to exist, all of the Owners shall be jointly and severally
responsible for the operation and maintenance of the SWMS facilities in
accordance with the requirements of the SJRWMD Permit.
12. Section 1 of Article VII is hereby amended to read as follows:
Section 1. Duration. The covenants and restrictions of this Declaration shall run with
and bind the Property and shall inure to the benefit of and be enforceable by the
Declarant, the Association, any member of the Association and/or the Owner of any Site
subject to this Declaration, their representatives, heirs, successors and assigns for a term
expiring on January 1, 2050, after which time they shall automatically be extended for
successive periods of ten (10) years, unless otherwise amended as hereinafter provided.
13. Section 2 of Article VII is hereby amended by the addition of a new Subsection H as
follows:
H. Approval of the City of Ocoee. Any amendment to this Declaration which would
alter any provision relating to the rights of the City under this Declaration must have the
prior written approval of the City before becoming effective.
14. Section 5 of Article VII is hereby amended by the addition of a new Subsection C as
follows:
C. The City shall have the right, but not the obligation, to maintain all Common Area
should the Association fail to do after notice from the City. To the extent that the
City undertakes such action, the City shall be entitled to reimbursement from the
Association and shall be entitled to require the Association to levy assessments for
the purposes of paying such reimbursement.
15. Declarant's Certification. The Declarant hereby certifies that it has made a good
faith determination that this Second Amendment will not have a material adverse effect on any
Owner.
16: Effective Date. This Second Amendment shall be effective upon recording in the
Public Records of Orange County, Florida.
17. No Other Chan1jes. Except as expressly modified herein, all other provisions of the
Declaration remain in full force and effect and are hereby ratified and confirmed.
