Background Summary:
Four projects are part of the current fiscal year's production schedule for improvements around the City
Hall/Starke Lake area with total funding of almost $2.2 million. Two Stormwater Management budget
projects will directly affect Starke Lake. The largest of these is the City Hall Regional Stormwater Pond
($1,760,000), which has received $1,080,000 in grant assistance. The other is stabilization of the lake
shoreline ($100,000). Lakeshore Drive is proposed for relocation and reconstruction as Phase 2 of an
overall program of revitalization for this facility. The Starke Lake Beautification Program, which is part of
the Parks & Recreation budget ($125,000), will provide enhancements to the western shoreline facilities
used by residents and visitors. These four projects are tightly interrelated through their impacts on a
common area of the city, the need for some components to be done before others, and the need for
strong coordination of activities.
Normally, a construction program of this size would warrant acquisition of engineering services through a
separate CCNA-compliant process. However, three factors argue against such an approach. First,
timing of construction is of vital importance in order for the work to be completed in accordance with
grant-imposed deadlines and other City-sponsored functions that utilize the area's facilities. The CCNA
selection process requires a minimum of two months to complete. An alternative accelerated design
process could be undertaken, but it would impose significant cost increases.
Second, the firm of Professional Engineering Consultants, Inc. (PEC) prepared the preliminary designs
for the Lakeshore Drive, Starke Lake shoreline stabilization, and City Hall Regional Pond. They have the
knowledge and staff resources to complete the design work for all four components within the imposed
schedule.
Third, the cost of the design services is projected to be $120,851.68, which is within the range of
engineering service task work orders anticipated within the established continuing contract for such work
between the City and PEC. The proposed fee is approximately five percent (5%) of the anticipated cost
of construction for all project phases.
Issue:
City Commission authorization is required to declare that the process described in the Consultants'
Competitive Negotiation Act (s. 287.055, F.S.) is not applicable due to the presence of a public
emergency related to the imposed production schedule.
Recommendations
Authorize City Engineering staff to issue a purchase order in the amount of $120,851.68 to the PEC firm
in order to provide timely production of design documents for all four City Hall Campus project
components.

All required funds are authorized in the FY 2006 and FY 2007 adopted City budgets. Sufficient funds are

Approval of Purchase Order and Proposal for engineering services to be supplied by Professional
Engineering Consultants, Inc. associated with the design and construction of stormwater,
roadway, and park improvements in and around the City Hall
ISSUE
The City proposes to relocate and reconstruct Lakeshore Drive immediately adjacent to City Hall, construct a
new regional pond to the north of City Hall, stabilize the Lake Starke shoreline in the area affected by Lakeshore
Drive reconstruction, and rebuild/enhance the recreational facilities located along Starke Lake in the project
area. The combined cost ofthese four projects exceeds the threshold for CCNA procurement of engineering
servIces.
BACKGROUNDIDISCUSSION
The City Commission has authorized the design and construction of four major improvement projects within the
area of City Hall. Grant funds amounting to $1,080,000 have been authorized by State agencies to fund the
stormwater portion ofthe work; however, the inter-related nature of the four projects requires them to be done
concurrently through an integrated project in order to avoid costly duplication of work and a schedule that meets
the requirements of grant providers and other City-sponsored activities in the area.
The engineering firm of Professional Engineering Consultants, Inc. (PEC) has prepared the conceptual plans and
done other preliminary work on these projects, making them the most qualified firm to undertake the design
phase of the four-part project. Utilization of the CCNA procurement process will impose significant time delays
without offering any advantages to the City or the engineering community. Awarding the work to PEC under
the terms of the City's continuing services contract is the most sensible approach.

SCOPE OF SERVICES

CITY HALL REGIONAL STORMW A TER POND
INTRODUCTION:
The City of Ocoee has requested that Professional Engineering Consultants, Inc. (PEC) prepare a
scope of work and fee proposal under Contract No. 0404 to design and implement a regional
stormwater pond located immediately north of the City Hall complex. The project area is located in
Section 18 of Township 22 South, Range 28 East within the Starke Lake drainage basin. More
specifically, the project area is located south of Silver Star Road (State Road 438), immediately east
of Bluford Avenue, and immediately west of Lakeshore Drive / Starke Lake (refer to Figure 1).
Recently, the Florida Department of Environmental Protection (FDEP) identified Starke Lake as an
impaired water body based on nutrients. In an effort to reduce pollutant loadings to Starke Lake, the
City of Ocoee elected to implement a regional stormwater pond to remove pollutants from the 231
acre contributing drainage basin associated with the downtown Ocoee area. In an effort to offset the
$2.8 million capital costs associated with the regional pond, PEC, on behalf of the City ofOcoee, has
pursued and secured $1.4 million from FDEP, through the TMDL Water Quality Non-Point Source
Reduction Grant Proposal application (DEP Agreement No. S0319).
The objective of this project is to provide engineering services for the design, preparation of bid
documents (construction plans and project manual), and acquisition of permits and easements in
order to provide complete bid documents to implement the regional storm water pond. The
improvements will also involve a control structure, decorative retaining walls to maximize storage,
pedestrian bridge over the pond (by others), aerators / fountains (by others), and a walking path.
PROFESSIONAL ENGINEERING SERVICES:
Professional Engineering Consultants, Inc. (Consultant) shall provide the following engineering
services enumerated below:
1. Coordinate with Southeastern Surveying and Mapping Corp. (SSMC) to finalize the survey
drawings in support of final design services. The survey drawings shall consist of a
boundary, location and topographic survey for the proposed pond site. SSMC shall also
prepare rear yard drainage easement documents (legal descriptions and sketches) associated
with 3, 17 and 25 Lakeview Street in order to expand the stormwater pond improvements. In
addition, SSMC will survey the City Hall campus area to allow City staff to implement
various drainage improvements. It should be pointed out that SSMC surveyed a significant
portion of the regional stormwater pond site under the purchase order associated with the
Lakeshore Drive drainage improvements.

2. Conduct a field review to confirm the content and accuracy of the survey drawings as well as
establish the contributing basin area to the proposed regional stormwater pond.
3. Coordinate with the various utility entities in order to verify / confirm the location of existing
underground utilities in the vicinity ofthe proposed regional stormwater pond improvements.
In addition, coordinate closely with the City ofOcoee regarding the existing utilities located
behind the City Hall facility.
4. Conduct a pre-application meeting with the SJR WMD to establish the design criteria, type of
permit and the permit application fee.
5. Coordinate with Geotechnical & Environmental Consultants, Inc. to establish the subsurface
conditions and the seasonal high water table elevations in the vicinity of the proposed
regional stormwater pond.
6. Coordinate with Lotspeich and Associates, Inc. to establish the jurisdictional wetland limits
associated with the existing City Hall drainage ditch and provide permitting assistance
associated with the surface water impacts.
7. Perform a hydrologic / hydraulic analysis in order to design the stormwater pond and control
structures. The Consultant shall utilize the ICPR (Interconnected Channel and Pond
Routing) model to flood route the runoff hydro graphs through the stormwater pond to
establish flood stages and rates for the various design storm events. The basin parameters, as
well as the hydraulic characteristics, shall be based on a report entitled Starke Lake / Lake
Olympia Drainage Basin Study prepared by PEC (dated March 1996).
8. Prepare construction plans and a project manual to form a complete bid package ready to
award for construction. All design parameters, surveys and construction plans shall be
submitted in English Standard units. At a minimum, it is anticipated that the preparation of
the construction drawings for the proposed pond improvements will include the following
thirteen (13) sheets:

The Consultant shall also prepare a Project Manual to support the construction plans which
will be included in the final bid package. It is anticipated that the City ofOcoee shall prepare
and provide the "front-end" documents and general conditions.
9. Prepare and submit an Environmental Resource Permit (ERP) application to the SJRWMD
(Altamonte Springs Service Center). The Consultant is responsible for responding to all
reasonable "requests for additional information" (RAI) letters from the WMD in order to
acquire the necessary permit. In other words, the Consultant shall be responsible for
addressing all technical issues but will not be required to defend an administrative hearing
without additional compensation.
10. Prepare probable construction costs for the proposed improvements. Statements of probable
construction costs and detailed cost estimates prepared by the Consultant represents his best
judgment as a design professional familiar with the construction industry.
11. Conduct a status meeting with the City of Ocoee to discuss 90% review comments.
12. Prepare 100% construction plans and the "draft" project manual based on the City's 90%
review comments and submit to the City of Ocoee for review.
13. Coordinate with the City ofOcoee and SSMC regarding the drainage easement documents.
14. Conduct a status meeting with the City of Ocoee to discuss 100% review comments.
15. Prepare for and conduct a presentation to the City Commissioners.
16. Prepare "final" construction plans and project manual based on the City's 100% review
comments, and submit signed and sealed work products to the City in order to solicit
construction bids.

17. Prepare a Storm Water Pollution Prevention Plan (SWPPP), as well as the Notice ofIntent
(NOI), and submit to the FDEP (Florida Department of Environmental Protection) 48 hours
prior to the commencement of construction.
GENERAL:
The Consultant will adhere to the following procedures throughout the course of the contract.
1. Ninety percent (90%) and one hundred percent (100%) complete plans shall be furnished to
the City of Ocoee for review and approval prior to final plans submittal. For each plan
submittal, five (5) sets shall be given to the City ofOcoee. Upon final review and approval,
the Consultant shall submit five (5) sets of the final bid documents, five (5) signed and sealed
sets of the final construction plans, plus thirty (30) unsealed sets of the final construction
plans.
2. Final construction cost estimates shall show quantity breakdowns of all items following the
Florida Department of Transportation (FDOT) numbering system. All back-up cost estimate
worksheets shall be provided to the City for their record.
3. Digital copies of all work products shall be provided to the City of Ocoee on a compact disc
(CD).
BASIS OF PROPOSAL / ASSUMPTIONS:
The following conditions and assumptions are noted as qualifications to this proposal.
1. This scope of work has assumed that three (3) drainage easement documents will be required
to implement the proposed pond improvements associated with 3, 17 and 25 Lakeview
Street. If, due to utility conflicts or site constraints, the proposed regional stormwater pond
improvements require additional temporary construction and/or permanent drainage
easements, then SSMC shall prepare an amendment to the work order to provide additional
services to prepare the necessary easement documents.
2. This scope of work has assumed that no wetland mitigation is required by the SJR WMD or
the FDEP.
3. This scope of work has assumed no permlttmg with the Florida Department of
Environmental Protection (FDEP) associated with relocation of existing water and/or
wastewater utilities.

4. For the purpose of this proposal, it is assumed that a Maintenance of Traffic (MOT) Plan will
not be part of the construction plans but will be prepared by the Contractor, ifneeded, and
submitted to the City of Ocoee for approval prior to construction.
5. This scope of work has assumed that the Consultant shall provide no construction
administration services (e.g., pre-bid meeting, pre-construction meeting, shop drawing
reviews, conduct site inspections, etc.).
6. This scope of work has assumed that certain components of the project as proposed will be
completed by others not presently included as a sub-consultant to PEC (i.e., work associated
with the pedestrian bridge over the pond and the aerators / fountains).

Dear Mr. Hamstra:
Geotechnical and Environmental Consultants, Inc. (GEe) is pleased to provide this proposal for the
above-referenced project. This proposal was requested by you and our scope of services is based
on the information you provided regarding this project.
This site is located in Section 18, Township 22 South, Range 28 East between Bluford Avenue and
Lakeshore Drive in Ocoee, Florida. The site is also just north of the Ocoee City Hall and Police
Station. The site includes approximately one acre. Site development plans include a regional
stormwater pond at the west end of the site, a sheet pile weir with a pedestrian walkway across the
top that also will serve as a water level control structure for the pond, and keystone walls at two
separate locations within the stormwater pond. The eastern side of the site includes the outfall ditch
from the pond to Starke Lake on the east side of Lakeshore Drive.
The purposes of the geotechnical engineering services will be to explore subsurface conditions at the
site and to use the data obtained to provide geotechnical engineering recommendations to help guide
site preparation and design of the stormwater pond, sheet pile weir, pedestrian walkway, and
keystone walls. Our recommended scope of geotechnical services includes the following:
. Stake boring locations at the site.
.. Clear utilities at the boring locations.
+ Mobilize mud bug mounted rotary drilling equipment and personnel.
.. Perform 4 Standard Penetration Test (SPT) borings to 40 feet below existing grade for the
sheet pile weir (2 borings) and Keystone wall areas (1 boring in each area).

The geotechnical engineering report will document subsurface conditions at the boring locations,

foundation design. Specific geotechnical recommendations for design and construction of the
proposed weir and Keystone wall foundations will also be included in this report.
Our estimated fee to provide the described scope of services Is a lump sum $9,425.40. Please note,
this proposal was written assuming the boring locations will be accessible by mud bug mounted
drilling equipment. If other types of drilling equipment becomes necessary due to site and/or
weather conditions, appropriate adjustments to the actual fees will be necessary. Our schedule to
complete the described work will be about 3 to 4 weeks from your notice to proceed.
You may confirm your verbal authorization to proceed by completing the attached Proposal
Acceptance Sheet and returning a copy to us.

TERMS AND CONDITIONS
Title
1. PRIVITY: Client acknowledges that this agreement with
GEC includes GEC's employees and agents and said
employees and agents shall also considered in privity of
this agreement to the same extent as GEC and client.
2. PAYMENT TERMS: Unless otherwise specified in the
proposal, invoice payments are due within 10 days of date
of invoice. GEC reserves the right to stop work on any
project, when any invoice becomes past due, until Client's
account is current. Past due invoices will be subject to a
service charge of 1.5% per month. Should it become
necessary for GEC to retain the services of legal counselor
a collection agency to collect past due accounts, Client
agrees to bear all costs of collection, including but not
limited to reasonable Attorney's Fees, Court Costs, Filing
Fees, and agrees to a non-jury triai in Orange County,
Florida.
3. OBLIGATION TO PAY: GEC will strive to perform
services under this Agreement with ordinary professionai
skill and care. GEC does not guarantee Governmental or
Regulatory Agency approval of Client's project. Client's
obligation to pay for GEC's services is in no way dependent
upon Client's ability to obtain financing, payment from
third parties, approval of Government or Regulatory
Agencies, or upon Client's successful com pletion of project.
4. WARRANTY: GEC will strive to use that degree of care
and skill ordinarily exercised under similar conditions by
reputable members of our profession practicing in the
same locality at the same time under similar conditions.
No other warranty, express or implied, is made or Intended
by our proposal or by our oral or written reports.
5. LIMITA TION OF LIABILITY: GEC's /lability for damages
due to an error, omission, or other professional
negflgence will be limited to a sum not to exceed
$50,000 or our fee, whichever is greater. In the event
Client does not wish to limit our professional liability to
this sum, GEC agrees to increase this limitation to a
maximum of $500,000 upon receiving Client's written
request and agreement by Client to pay additional
consideration of 5% of our total fee or $500.00
whichever is greater.
6. INDEMNIFICATION: Client shall indemnify and hold GEC
harmless for any losses or damages caused by the negligent
acts of Client or other consultants employed by Client. GEC
shall indemnify and hold Client harmless for any losses or
damages caused by the sole negligent acts of GEC, subject to
the limitations in parag raph 5.
7. THIRD PARTY RELIANCE: The services under this
agreement are being performed for the Client's exclusive use.
GEC assumes no responsibility for third party use of or
reliance on GEC's findings, opinions, conclusions, or
recommendations unless such use or reliance is authorized in
writing by GEC.
8. DISCLOSURES BY CLIENT: Client shall provide GEC all
information that is known or suspected by Client which may be
reasonably necessary for completion of the services to be
performed by GEC. Such information includes records of
environmental assessment activities undertaken at the project
site, locations of buried utilities, and any hazardous
substances known or suspected to exist on site or adjacent
property.

Geotechnical and Environmental Services
Prior to the commencement of services on a project, or at
anytime thereafter when new information becomes
available to the Client, Client shall provide prompt, full and
complete disclosure to GEC of new information that could
affect GEC's performance of its services or could pose
potential hazardous conditions or risk to the health or
safety of GEC's employees, agents, and subcontractors.
9. RIGHT OF ENTRY: Client grants to GEC right of entry to
the project site by GEC, its employees, agents, and
subcontractors in order to perform the services under this
agreement. If Client does not own the project site, Client
warrants and represents to GEC that Client has the
authority and permission of the owner and occupant of the
project site to grant this right of entry to GEC.
Reasonable precautions shall be taken by GEC to minimize
damage to the project site from GEe's activities and use of
equipment. Client recognizes that the performance of the
services included in this agreement will cause alteration
and damage to the site. Client accepts the fact that this is
inherent in the work and will not look to GEC for
reimbursement or hold GEC liable or responSible for any
aiteration or damage reqUired to perform our scope of
work. Should Client not be the owner of the property,
then Client agrees to notify the owner of the
aforementioned possibility of unavoidable alteration and
damage, and to indemnify and defend GEC against any
claims by the owner or occupant which are related to such
alteration or damage including underground utilities and
hazardous substances.
10. UNANTICIPATED HAZARDOUS CONDITIONS:
Hazardous substances may exist at a site where there is no
reason to believe that they could or should be present.
GEe and the Client agree that the discovery of
unanticipated hazardous substances constitutes a changed
condition and would reqUire a renegotiation of the scope of
work or termination of services. GEC and Client also agree
that the discovery of unanticipated hazardous substances
may make it necessary for GEC to take immediate
measures to protect health and safety. GEC agrees to
notify Client as soon as practicable should unanticipated
hazardous substances or suspected hazardous substances
be encountered. Client encourages GEC to take any and
all measures that, in GEC's professional opinion, are
justified to preserve and protect the health and safety of
GEC's personnel and the public. Client agrees to
compensate GEC for the additional cost of such protective
measures. In addition, Client waives any claim against
GEC and agrees to defend, indemnify, and hold harmless
GEC from any claim or liability for injury or loss arising
from GEC's discovery and handling of unanticipated
hazardous substances.
11. HANDLING OF HAZARDOUS SAMPLES: In the event
that obtained samples or materials contain, or are
suspected to contain, hazardous substances or hazardous
waste as defined by federal, state, or local requirements,
GEC will, after completion of testing, (1) return such
samples and materials to the Client or owner, or (2) using
a hazardous waste or hazardous materials manifest signed
by the Client, have such samples and materials transported
to a location selected by Client for final disposal. Client
agrees to pay all costs associated with the storage,
transport, and disposal of samples and materials. Client
shall assume all potential liability as generator of the
waste, including liability under CERCLA for "arranging" for
the disposition of the hazardous substances.
12. CONFIDENTIALITY: Subject only to the exceptions set forth
herein GEC agrees to maintain the confidentiality of all
information collected in the performance of the services. GEC
shall release such information only to the Client or the Client's
authorized representative, its employees and subcontractors
in the performance of their services, or to persons designated
by the Client to receive such information. GEC shall instruct
its employees and subcontractors to maintain the
confidentiality of the information. When required by law, rule,
or canon of professional ethics, it shall be GEC's responsibility
to report certain findings to the appropriate regulatory
agency. Client agrees to hold GEC harmless for any damages
resulting from GEC's disclosure which GEC believed to be
required by law or canon of professional ethics.
13. TERMINATION: This agreement may be terminated by GEC
or Client upon receipt of seven (7) days written notice. GEC
shall be paid for services rendered to the date of termination.
14. CORPORATE ENTITY: The Client acknowledges that GEC
is a corporation and agrees that any claim made by Client
arising out of an error or omission of a Director, Officer,
Employee or Agent of GEC, in the execution or performance
of this Agreement shall be made against GEC and not against
such Director, Officer, Employee or Agent and shall be limited
by Paragraph 5 above.
15. PRIORITY OVER FORM AGREEMENTS: Client agrees that
these terms and conditions shall govern and supercede any
form agreements signed by GEC and/or Client such as Client
Purchase Orders, Work Orders, etc., and that such forms may
be issued by Client as a matter of convenience without
altering any of the terms or conditions herein.
16. SURVIVAL: All provisions of this agreement for indemnity or
allocation of responsibility or liability between Client and GEC
shait survive the completion of the services and the
termination of this agreement.
17. SEVERABILITY: In the event that any provision of this
agreement is found to be unenforceable under law, the
remaining provisions shall continue in full force and effect.
18. ASSIGNMENT: This agreement may not be assigned by
either party without the prior permission of both.
19. ENTIRE AGREEMENT: This Agreement, including referenced
Proposal, represents the entire agreement and understanding
between Parties. This Agreement is to be Governed and
Construed in accordance with the laws of the State of Florida,
and the venue for any legal proceedings shall be Orange
County, Florida.

This Scope of Services sets forth the terms under which Lotspeich and Associates, Inc. (L&A)
(the Consultant) will provide ecological consulting services to Professional Engineering
Consultants, Inc. (PEC) (the Client).
SUBJECT: City Hall Regional Stormwater Pond - City of Ocoee
in Sections 17 and 18, Township 22 South, Range 28 East
City ofOcoee, Orange County, Florida
1.0 SCOPE OF SERVICES
Provide necessary biological support data in order to represent the Client's interest with
governmental agencies with statutory authority regulating land use in the State of Florida, and
provide ecological consulting services needed for compliance with the potential permitting
requirements ofthe U.S. Army Corps of Engineers (USACE), the St. Johns River Florida Water
Management District (SJRWMD), the Florida Fish and Wildlife Conservation Commission
(FFWCC), the U.S. Fish and Wildlife Service (USFWS), and the city ofOcoee in compliance
with existing rules, regulations, and policies as ofthe date of initiation ofthis Scope of Services.
Specifically, the city of Ocoee proposes to construct a regional stormwater pond on lands to the
north of the municipal complex, between Bluford Avenue and Lakeshore Drive.
The Scope of Services is separated into tasks for clarity. The services outlined within Task I
include the research and compilation ofthe ecological documentation necessary to evaluate the
project area and determine any potential impacts associated with the proposed drainage
improvements, while Task II includes coordination necessary for permitting the proposed
improvements with the applicable regulatory agencies. This Scope of Services is further
defined by the attached Summary Fee Sheet and the tasks outlined below.
1.1 Task I - Preliminary Ecological Assessment/Field Identification of Wetlands
1.1.1 Research existing published literature and available documents pertinent to the
project site.
1.1.2 Review existing databases from the USFWS and the FFWCC for the presence
of federal and state listed plant and animal species, including a search of the
FFWCC database for the presence ofthe Southern Bald Eagle on-site or within
a one (1) mile radius of the project area.
1.1.3 Review site conditions and field flag/delineate the limits of wetland/surface
water areas potentially within the jurisdiction of governmental agencies with
statutory permitting authority following the Corps of Engineers Wetlands
Delineation Manual (1987) and the Unified Wetland Delineation Methodology
for the State of Florida dated 1 July 1994.

Coordinate with surveyors in locating the wetland flags, as necessary.
1.2 Task II - Report/Permit Coordination
1.2.1 Prepare an Ecological Assessment Report for inclusion in the Environmental
Resource Permit application which will include the following information
pertinent to the project site:
· Existing site conditions (including a FLUCFCS map);
· Approximate landward extent of wetlands;
· Potential for occurrence of listed plant and animal species, including
wetland dependent animal species;
· Projected wetland impacts and analysis of proposed wetland impacts
utilizing the Unified Mitigation Assessment Methodology (UMAM)
and/or Wetland Rapid Assessment Process (WRAP);
· A discussion of secondary and cumulative impacts associated with the
project;
· A discussion of avoidance and minimization of wetland impacts
associated with the project (alternate site plans must be prepared by
others if required by the agencies), and;
· Proposed use of an approved mitigation bank to off-set projected
wetland impacts.
1.2.2 Participate in a pre-application conference with the SJRWMD.
1.2.3 Assist the project engineer in the preparation of an Environmental Resource
Permit (ERP) application for submittal to the SJRWMD/USACE.
1.2.4 Prepare responses to Requests for Additional Information (RAI) from the
SJRWMD and the USACE.
1.2.5 Coordinate with the SJR WMD and the USACE regarding wetlands or protected
speCIes Issues.
1.2.6 Coordination/meetings with the project team (Limited to four (4) Senior
Specialist Hours).
2.0 ADDITIONAL SERVICES
The following additional services may be provided at the Client's request and authorization.
Additional services are not covered under the limiting fee for this Scope of Services. Upon

written authorization, these services shall be provided by the Consultant and billed to the Client
in accordance with the current year's Fee Schedule:
2.1 Meetings in excess of those defined above.
2.2 Conduct quantitative surveys for listed plant or animal species.
2.3 Develop management plans for anyon-site listed plant and animal species.
2.4 Develop or implement final mitigation plans to satisfy permitting requirements relevant
to wetland, upland, and listed species impacts.
3.0 LIMITING ASSUMPTIONS
The following assumptions outline the limits of defined tasks as required of Lotspeich and
Associates, Inc. to provide the requested ecological consulting services for the City Hall
Regional Stormwater Pond-City of Ocoee project.
3.1 The landward extent of jurisdictional wetlands within the project area will be field
flagged once for the City Hall Regional Stormwater Pond-City of Ocoee project. If
greater than a three-month period elapses between agency Jurisdictional Determinations
and the field location of wetland flags such that additional site investigations are
necessary to facilitate the location ofthe wetland flags, these services will be submitted
as an additional cost.
3.2 If natural disasters or vandals should remove flags, the flags will be reset. The
additional hours required for this service will be limited to those estimated for Item
1.1.3.
3.3 If governmental regulations change during the course ofthis project or between initial
field reviews and permit application submittal such that additional site reviews are
requested by the governmental agency, any such required modifications or additional
site reviews will be submitted as an additional cost. Environmental permitting criteria
will be established during pre-application meetings with the applicable governmental
agencies prior to final project design.
3.4 Modifications to the final work product performed at the request of the Client that are
not the result of the Consultant's errors or omissions shall be billed to the Client on an
hourly basis as additional services in accordance with the current year's Fee Schedule.
3.5 No subsurface, soil, water, or hazardous materials investigations are included within the
scope of this project.

3.6 No archaeological investigations or coordination with the Florida Division of Historic
Resources (DHR) and/or the State Historic Preservation Officer (SHPO), such as that
usually required by the USACE and the SJRWMD during permitting, are included
within this scope of services.
3.7 Services in addition to or in excess of tasks and hours identified in Section 1.0 will be
considered additional services and will require a modification to the contract.
3.8 The Consultant assumes no responsibility for work performed by others or for terms or
agreements not specifically described herein. Our agreement is to provide the services
described herein in a thorough, competent, and professional manner and cannot in any
manner be construed by the Client as a guarantee or warranty of assurance that the
results obtained and the reports and data provided will result in approval by any agency,
administrative board, or governmental unit of the proposed activities to be undertaken
by the Client.
3.9 The parties deem the work to be done as the performance of services of a landscape
architect or engineer within the meaning and intent of the Florida Statute 713.03.
3.1 0 The Consultant shall not be considered in default of this agreement for delays in
performance caused by circumstances beyond the reasonable control of the non-
performing party. For purposes of this agreement, such circumstances include, but are
not limited to, abnormal weather conditions; floods, earthquakes, fire, epidemics; war,
riots, and other civil disturbances; strikes, lockouts, work slowdowns, and other labor
disturbances; sabotage;judicial restraint; and inability to procure permits, appointments,
licenses, or authorizations from any local, state, or federal agency for any of the
supplies, materials, accesses, or services required to be provided by the Consultant
under this agreement.
Should such circumstances occur, the non-performing party shall, within a reasonable
time of being prevented from performing, give written notice to the other party,
describing the circumstances preventing continued performance and the efforts being
made to resume performance of this Scope of Services.
3.11 The services will be performed on behalf of and solely for the exclusive use of the
Client and it's successors or assigns.
3.12 The services performed by the Consultant shall be conducted in a manner consistent
with that level of care and skill ordinarily exercised by members of the environmental
consulting profession in the same locale and acting under similar circumstances and
conditions. Except as set forth herein, the Consultant makes no other representation,
guarantee, or warranty, expressed or implied, in fact or by law, whether of

merchantability, fitness for any particular purpose or otherwise, concerning any of the
services that may be furnished by the Consultant to the Client.
3.13 This Scope of Services is based on existing rules, regulations, and policies in force on
the date of this agreement.
3.14 Permit fees are not included within the Summary Fee Sheet that accompanies this Scope
of Services.
3.15 Engineering drawings prepared for inclusion in permits will be prepared by others and
are not included within this Scope of Services. Presentation materials will be prepared
by others.
3.16 Permit applications, if necessary, are to be completed by others.
3.17 The wetland delineation conducted on behalf of Client will be conducted following all
applicable federal, state, and local regulations. Reasonable scientific judgement and all
practicable information available to Consultant will be utilized. However, unless
reviewed and approved by the applicable governmental agencies, any wetland
delineation should be considered preliminary and subject to final survey and agency
verification.

Dear Mr. Hamstra,
We are pleased to submit our proposal for surveying services on the above referenced project.
SCOPE OF WORK:
Provide a Boundary and Topographic Survey in accordance with Chapter 61G17-6 F.A.C.
to include the following:
1. Establish the location of all boundary comers and reset any missing comers.
2. Locate all improvements and utilities, as evidenced by above ground features or as
marked by the designated utility company representative.
3. Obtain spot elevations on natural ground and existing improvements suitable for
interpolation of one foot contours to be shown on the final drawing.
4. Establish a minimum of two (2) site bench marks.
5. Topographic coverage will be limited to the site bound on the West by Bluford
Avenue; on the South by Oakland Street; on the East by Starke Lake and on the
North by the North bank of the drainage ditch, plus 25 feet.
6. Locate wetlands line as flagged by clients Environmental Consultant if required.
7. Locate soil borings as established by clients Geotechnical Consultant ifrequired.
8. Perform up to six (6) underground utility verification test holes using damage free
vacuum excavation methodology at conflict locations as directed by PEC staff.

This AGREEMENT, entered into this 21st day of April 2007. by and between the above listed
(hereafter called the "'Client") and Dale and Company, (hereafter called the "Landscape Architect")
RE: CITY OF OCOEE CITY HALL POND
WITNESSETH:
ARTICLE 1: ADDRESSES
That the Client does hereby employ the Landscape Architect to render professional selvices for
the above listed project.
ARTICLE 2: SERVICES
The professional services of the Landscape Architect shall be as follows: 1. Site analysis &
layout. 2. Preliminary landscape design. 3. Cost estimate. 4. Final landscape design &
plant list. 5. Details. 6. Specifications. 1. Meetings w/client (6hr.). 8. Irrigation design.
9. Fountain & landscape illumination design & specifcations.
ARTICLE 3: PAYMENT
The Client agrees to pay the Landscape Architect for professional services as follows for
landscape design not to exceed $3,960.00 (three thousand nine hundred & sixty dollars). If during
the progress of the development of plans or during construction, the Client finds it necessary to
cause the Landscape Architect to perform additional services other than those defined in Article 2,
the payment for such additional work shaH be hourly at the following rates: Principal $90'.OOlhour;
Assistant $60.00/hour; Word Processing $30.00/hour. Interest of I ~% per month will be charged
on invoices not paid within 30 days of invoice date. In occurrence of non-payment of invoice,
collection procedures including court costs and attorney's fees will be the responsibility of the
Client and the Client agrees to the venue location in Orange County, Florida.

ARTICLE 4: ITEMS SUPPLIED AND EXTRA WORK
a. The Client shall furnish to the Landscape Architect at the Client's expense all necessary
property line topographic data applicable to the designated improvement. If additional topographic
data is required beyond those first furnished, the additional information shall be furnished by the
Client at the Client's expense.
b. The Landscape Architect shall be reimbursed for blueprinting and duplication of other
documents at the cost of reproduction, handling and delivery.
c. The Landscape Architect shall be reimbursed for authorized travel at .40/mile and
li'ling expenses related to this Agreement.
ARTICE 5: OBSERVATION AND INSPECTION
The Landscape Architect shall provide inspections and reports as defined in Article 2. If
no inspection or reports are included in the contract amount, they may be provided as an additional
service. The payment for such work shall be at an hourly rate as defined in Article 3.
ARTICLE 6: ABANDONMENT AND IMPROVEMENT
If the Client finds it necessary to abandon the project, the Landscape Architect shall be
compensated for all work completed under Article 2. Scheduled items not completed, but upon
which work has been perfonned, shall be paid for upon basis of estimated extent of completion.
ARTICLE 7: OTHER PARTIES
a. It is mutually agreed that this Agreement is not transferable by either signatory to a
third party without the consent of the other principal party. .
b. Plans and specifications are instruments of service and remain the property of the
Landscape Architect.
ARTICLE 8: TERMINATION
This Agreement shall be terminated at any time by the Client or the Landscape Architect
upon giving thirty (30) days written notice. Termination by the Client shall comply with Article 6.
In witness whereof the parties hereto have executed this Agreement as of the day and year first
above viritten.
