(Fire Deputy Chief Van Camp) Background Summary: The Ocoee Fire Department (OFD) utilizes Bound Tree Medical (BTM) to purchase EMS supplies that are stocked on all rescue and engine units and used by Department personnel on medical calls. In 2018, and again in 2020, BTM offered to extend the terms of its contract with Seminole County to the City of Ocoee for OFD to utilize, which the Honorable Mayor and City Commissioners approved. The established arrangement with BTM has been shown to be an effective and efficient method to procure EMS supplies for OFD. Seminole County's contract with Bound Tree expired on May 7, 2023. On April 28, 2023, Seminole County approved a new amendment to renew and extend the expired contract. OFD would like to continue to piggyback off of Seminole County's new contract # IFB-604500-23/GCM, including any renewals or future amendments, in order to secure the most competitive pricing for the EMS supplies, pharmaceuticals, and narcotics necessary to effectively serve the community's needs. Issue: Should the Honorable Mayor and City Commissioners approve piggybacking on Seminole County's contract # IFB-604500-23/GCM with Bound Tree Medical, including any renewals or amendments? Recommendations: Staff recommends approval to piggyback Bound Tree Medical's contract # IFB-604500-23/GCM with Seminole County, including any renewals or amendments. Attachments: 1. By entering into this Adoption Agreement, Customer hereby agrees to comply with the Term Contract for EMS Medical Supplies and Related Components between Seminole County and Bound Tree Medical, LLC (“Seminole County Agreement”), bid number IFB-604-500-23/GCM, which has an effective date of April 28,2023 and an expiration date of April 27, 2026, with 2 optional 1 year renewal terms. Customer agrees to comply with all terms and conditions of the Seminole County Agreement. Customer shall be responsible for issuing its own purchase orders made pursuant to the Seminole County Agreement and shall pay all invoices within thirty (30) days of receipt. Customer warrants it will not request or accept lower-priced quotes from Company on any products otherwise available under the Seminole County Agreement. Products sold by Company carry only those warranties provided by their manufacturers. This warranty shall apply to both products and equipment, if any, purchased pursuant to the Seminole County Agreement. THERE ARE NO OTHER EXPRESSED OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. COMPANY’S SOLE OBLIGATION AND CUSTOMER’S EXCLUSIVE REMEDY FOR BREACH OF ANY WARRANTY SHALL BE, AT COMPANY’S OPTION, TO REPAIR OR REPLACE THE PRODUCT, OR TO ISSUE A REFUND OR CREDIT. Company and Customer may terminate this Adoption Agreement upon thirty (30) days’ notice to the non-terminating party. If Customer breaches any terms and conditions of this Adoption Agreement and/or the Seminole County Agreement, Company may, at its sole discretion, immediately terminate this Adoption Agreement. This Adoption Agreement shall continue for the duration of the Seminole County Agreement. If the Seminole County Agreement is terminated prior to the end of its term, this Adoption Agreement will terminate upon thirty (30) days’ written notice to Customer. Any changes or modifications to the original language contained herein must be agreed upon in writing by the Company before this Adoption Agreement will take effect.
