Thank you for taking the time to meet yesterday with Mack McLaughlin and me to discuss
Mack's tentative plans for the acquisition of approximately 11 acres of property which adjoins his
property on the north. As we discussed, Mack had looked into the possibility of acquiring this land and
annexing it into the city several years ago. A major stumbling block at that time was the county's
insistence that the city and county first complete a joint area -wide study prior to amending the JPA map
with respect to this property. The county had indicated that the city was in concurrence with this
position, but a review of my correspondence file indicates that both Ellis and Russ denied this.
In any event, in anticipation of our meeting next week I am enclosing copies of correspondence
which should bring you up to speed on what transpired in 1999. FYI, my notes also indicate that Jim
Shira advised me that there is a 6" water line running along the front of the property but that the nearest
gravity sewer manholes were approximately 1/4 mile east of the property. 1 do not know how sewer is
being handled in the residential development approved to the east of Mack's property. This may, of
course, have an impact on the county's position regarding the annexation and development of the
property to the north. The other big difference at this time which may change the county's position is
the opening of the western expressway.
We will get revised conceptual plans to you before the meeting. In the meantime, if you have
any questions or comments, please give me a call.

RE: Possible acquisition, annexation, and rezoning
Dear Mack:
As I mentioned in our last conversation, because the property you are interested in is outside the
corporate limits of Ocoee but within the Ocoee - Orange County Joint Planning Area, the City would
have to notify the County of the proposed annexation and rezoning. If the County were to object to
the proposed rezoning it is far less likely that the City would move forward. Accordingly, I met
today with the County's Planning Director, David Heath, and Chief Planner, Chris Testerman, to
discuss this matter.
David and Chris indicated that they would oppose the proposed annexation and rezoning as it
appears to be spot zoning. I pointed out that there is a shortage of industrially zoned land in this area
and that the coming beltway is increasing the demand. They acknowledged that this area is probably
in the beginning of a transitional phase but, until they can get together with the City and jointly plan
the whole area, they would not support a rezoning in such close proximity to single family.
I asked them when they expected to get together with the City to do an area plan. They stated that
they are currently working with the City to clean up some other areas within the JPA and didn't
know when they could undertake this new effort. I did get them to acknowledge that the opening
of the beltway interchange on Clarcona Ocoee north of your property would bring with it tremendous
pressure to rezone property for commercial and industrial uses. Moreover, they stated that after that
happens, the property in question has a much better chance of being rezoned to light industrial.

Nonetheless, they were firm in saying that they would not support such a rezoning until they had a
chance to get together with the City to do the aforementioned joint planning.
Finally, I had a brief conversation with Ellis Shapiro last week. He agreed that the property is in a
transitional state and seemed to agree that it will ultimately become light industrial. I am scheduled
to meet with him next Wednesday at 3:00 to discuss this in further detail. It might be advisable for
you to participate directly in the meeting if you are available. Please let me know if you would like
to do so.

I am enclosing a copy of a letter which I received this morning from David Heath, Planning Director
for Orange County. As you will see, Mr. Heath has maintained the county's position that the
possible annexation and rezoning of the property immediately to the north of your current property
is premature.
As we had previously discussed, before we can move forward with the annexation we must amend
the joint planning area map. Without Mr. Heath's support, we are unable to move forward with the
necessary amendment. I have called Ellis Shapiro to enlist his aide in our efforts to convince Mr.
Heath that now is an appropriate time to move forward with the JPA Amendment. I will also
attempt to contact Mr. Heath directly and try to change his mind.
In the meantime, if you have any questions or comments regarding the attached letter, or regarding
our plan of action, please do not hesitate to give me a call.

Dear Mr. Glass:
This is in response to your letter dated August 2, 1999, concerning the FX
Production Services' potential acquisition of adjacent property. In order to
develop this property as industrial on central services, it would need an
amendment to the above referenced agreement and subsequent annexation.
Although we are processing amendments to this agreement at this time, we feel,
with concurrence of Ocoee, that this particular change is premature. In light of
the various transportation improvements and growth pressures occurring in this
area, there first needs to be an area -wide analysis of existing and proposed land
uses and required infrastructure. Subsequent to this analysis, the County would
entertain looking at this request in more detail.

Dear Mack:
As we recently discussed, after receiving the letter from David Heath which indicated that the
County would not support a Joint Planning Area Map Amendment until an area -wide study had been
completed, I telephoned Ellis Shapiro to find out whether the City's position had changed in this
matter. Ellis told me that Mr. Heath's statement regarding the City's concurrence was inaccurate.
Shortly after I spoke with Ellis, Russ Wagner called and told me he thinks the County would like
to push the City to do an area -wide analysis but that they will probable settle for a typical annexation
analysis if we push forward.
Russ suggested that we go ahead and file an application for annexation as soon as possible along
with an application for a Small Scale Comprehensive Plan Amendment and an application for
rezoning. Once these applications have been filed, his staff will prepare the necessary analysis and
staff report. These will then be submitted to Orange County in support of the requested Joint
Planning Area Map Amendment.
Obviously, before we can submit these applications we must get the property under contract and
obtain authorization from the current owner to process the applications. We would also have to pay
the attendant application fees. The current application fee for an annexation of 10 acres or more is
$1,250.00. The application fee for a rezoning is $1,125.00. Finally, the application fee for a
Comprehensive Plan Future Land Use Map Amendment is $1,500.00.

Finally, Russ told me that, because of staffing shortages, he cannot give us an accurate estimate of
how long it will take to process the applications. Accordingly, the contract for acquisition of the
property will need to contain contingencies to allow us to back out if all of these requested actions
are not properly adopted by the City and County within a reasonable period of time. My best guess
is that it would take four to six months to get the necessary approvals, provided that no one
challenges the comp plan amendment or rezoning.
After you have had an opportunity to review this letter, please give me a call to discuss it.

As we progress towards the. June 12 work session, one of the long standing issues has been the
relationship ofthis property to the future Clark Road extension north. of Clarcona Ocoee Road.
We have attempted to answer this specific question for over 2 1 years (yes, years) and have
been stifled in our attempts to determine the potential location ofthe extension and the impacts
on Mr. Dill's property. We have been waiting patiently for the City to complete the Clark
Road Study being prepared by Dyer Riddle Mills & Precourt (DRMP). Though this study has
been delayed on a number of occasions, it is our understanding the study is complete, or at
least complete enough to identify the two critical questions: 1) the recommended centerline
location, and 2) the proposed road cross section.
We are in need of your assistance in authorizing the release of the information related. to thesse
two questions so that we may address this matter as related to Mr. Dill's property.
The Project Manager with DRMP is Greg Kern at 407 -896 -0594. We would appreciate your
assistance in authorizing the release of this information.

In response to your request, attached are the mailing labels for your use in conjunction with
the June 12 P &Z /City Commission work session.
We realize this type of work session is a variation from the standard procedures and we look
forward to the opportunity to discuss the development proposal for the Dill properties with
staff, the P &Z Commission and the City Commission.
In notifying the abutting property owners of this meeting, we are hopeful that the notice will
clarify that not only is this a work session that is open to the public to attend, but most
importantly that it is an open discussion with the developer and the City. However, the public,
{ although invited, will not be participating in the meeting for public input. Further, that this
meeting will not eliminate the standard public participation meetings that will occur as a part
of the standard review of the zoning and development approval process.
We feel this clarification is an important part of the letters to these residents to avoid any
confusion as to their rights and opportunities to speak for or against the development approvals
at the various stages of the process such as rezonings and subdivision plans.
