Subject: Notification of an Emergency Purchase Oxidation Ditch Rotor #4 Components in
accordance with Section 21.6 of the City of Ocoee Code of Ordinances. (Acting Utilities

Background Summary:
On Sunday, October 6, 2024, Rotor #4 in the Oxidation Ditch at the City of Ocoee's Wastewater Treatment
Plant (WWTP) experienced a major mechanical failure resulting in the loss of half of the plant's treatment
capability. Upon inspection, it was determined that the rotor gearbox and tail bearing had failed. Staff
reached out to Veolia Water Technologies, the original designer of the WWTP and Sole Source vendor for
Kruger wastewater treatment plant parts. Veolia had the parts in stock and provided a quote of $122,978.64
for the repair and estimated the repair could be done the week of October 21, 2024. Staff notified the City
Manager of the expense of the emergency repair and authorized Veolia to schedule the repair after receiving
approval from the City Manager.
Issue:
Provide notification to the Mayor and City Commissioners of an Emergency Purchase that exceeds the City
Manager’s normal purchase authority in accordance with Section 21.6 of the City of Ocoee Code of
Ordinances.
Recommendations:
Provide notification to the Mayor and City Commission of an Emergency Purchase that exceeds the City Manager’s
normal purchase authority in accordance with Section 21.6 of the City of Ocoee Code of Ordinances.

1. CO MPENSATIO N . F or s erv ic es per formed on a lump s um bas is , Client agr ees to c ompens ate Veolia in ac c ordanc e with the pay ment s c hedule
(miles tone pay ments or otherwis e) s pec ified in the Q uote.
2. INVO ICES AND PAYMENT . Unles s other wis e s tated in the Q uote, inv oic es will be s ubmitted as work is per formed and pay ment is due within thir ty
(30) day s of the inv oic e. Pay ment of inv oic es s hall be in U.S. dollar s . Client s hall notify Veolia within fifteen (15) day s of r ec eipt of inv oic e of any
c harges as s oc iated with the inv oic e that Client dis putes and c ontends that Client does not owe to Veolia. If Client s o notifies Veolia, and if only a
por tion of the inv oic e is dis puted, Client s hall pay the undis puted portion within thirty (30) day s of rec eipt or s uc h portion s hall be deemed
delinquent. Any c harges dis puted by Client in good faith will not be deemed delinquent. Howev er, s hould Veolia hav e to r es or t to legal ac tion to
c ollec t dis puted c har ges and Veolia is s uc c es s ful in s uc h ac tion, then Veolia will be entitled to rec ov er its legal fees and ex pens es and c ollec t
interes t at the r ate of one and one-half (1-1/2%) per c ent per month on the c ollec ted dis puted c harges beginning thirty (30) day s after r ec eipt by
Client of the inv oic e firs t c ontaining the c ollec ted dis puted c har ge. Client will be c har ged interes t at the rate of one and one-half (1-1/2%) per c ent
per month on the unpaid balanc e on all delinquent inv oic es . In the ev ent that Client ter minates or s us pends Veolia’s s er v ic es or work prior to
c ompletion, Client s hall pay, upon demand by Veolia, all outs tanding inv oic es . Inv oic es not paid on demand when s erv ic es are terminated or
s us pended s hall be deemed delinquent. All c os ts and ex pens es , inc luding reas onable legal fees and pers onnel c os ts inc urred by Veolia to c ollec t
c harges as s oc iated with delinquent inv oic es , or whic h are in dis pute between Client and Veolia, s hall be paid by Client. Veolia r es erv es the right to
c eas e or s us pend any or all wor k or s erv ic es under this Agr eement, upon fiv e (5) day s ’ wr itten notic e to Client, in the ev ent Client fails to pay
Veolia’s inv oic es to Client when due and pay able under this Agr eement or if, in the Veolia’s reas onable opinion, Client’s financ ial c ondition or other
c irc ums tanc es reas onably s ugges t a future inability to pay and, thus , do not war rant Veolia’s ongoing perfor manc e of its work or s erv ic es .
3. INDEPENDENT CO NT RACT O R . Veolia s hall be an independent c ontrac tor and s hall be fully independent in per for ming the s er v ic es or work and
s hall not ac t or hold its elf out as an agent, s erv ant or employ ee of Client. T his paragraph applies equally to Client.
4. VEO LIA’S LIMITED WARRANTY F O R SERVICES . T he s ole and ex c lus iv e war ranty whic h Veolia mak es with r es pec t to the s er v ic es is that the
s ame s hall be performed in ac c ordanc e with generally ac c epted pr ofes s ional prac tic es , and in c omplianc e with the s pec ific ations prov ided to Veolia
by Client; but only to the ex tent dis c los ed to and ac c epted by Veolia. Claims for defec ts , defic ienc ies , error s or omis s ions or any other c laims for
defec tiv e s erv ic es mus t be made in wr iting within thirty (30) bus ines s day s of Client’s dis c ov ery of s uc h alleged defec t, defic ienc y, error or omis s ion
or other c laim (inc luding defec ts that would hav e been dis c ov ered by a reas onably pr udent inv es tigation). In the ev ent Veolia’s perfor manc e of the
s er v ic es or any por tion thereof, fails to c onform to the abov e s tated limited war ranty, Veolia s hall ex peditious ly initiate r e-perfor manc e of the
nonc onfor ming s erv ic es , or upon the mutual agreement of the par ties , refund the amount of c ompens ation paid to Veolia for s uc h nonc onforming
s er v ic es .

5. CLIENT ’S WARRANT Y . Client warrants that a) it will prov ide to Veolia all av ailable infor mation r egar ding the s ite, s truc tures , fac ilities , buildings
and land inv olv ed with the work and that s uc h information s hall be tr ue and c orr ec t; b) that all wor k (whic h it per forms that is lik ely to affec t Veolia’s
wor k , if any ) s hall be perfor med in ac c ordanc e with generally ac c epted profes s ional pr ac tic es ; c ) and it has title to or will prov ide right of entry or
ac c es s to all property nec es s ary to per form the work .
6. INDEMNITY . Subjec t to the limitations s et for th in Sec tion 8 below, Veolia s hall indemnify, defend and hold Client harmles s from any c laim, c aus e
of ac tion or liability inc urr ed by Client as a r es ult of thir d par ty c laims for per s onal injury, death or damage to tangible pr operty, to the ex tent c aus ed
by Veolia's negligenc e or willful mis c onduc t. Veolia s hall hav e the s ole authority to direc t the defens e of and s ettle any indemnified c laim. Veolia’s
indemnific ation is c onditioned on Client (a) pr omptly notify ing Veolia of any c laim, and (b) pr ov iding reas onable c ooperation in the defens e of any
c laim. Subjec t to the limitations s et for th in Sec tion 8 below, Client agrees to indemnify, defend and hold Veolia har mles s fr om and agains t any
c laim, c aus e of ac tion or liability inc ur red by Veolia as a res ult of death or bodily injuries to any per s on, des truc tion or damage to any tangible

liabilities , c laims , s uits , c os ts , damages , inv es tigation and c lean-up c os ts , fines , penalties , inc luding reas onable attor ney s ’ fees , r es ulting from or
relating to the ac tual alleged or thr eatened dis c harge, es c ape or releas e of tox ic , haz ar dous , offens iv e, or dangerous materials , s ubs tanc es ,
c hemic als or was tes at, on, into, or fr om the Pr oper ty or fac ilities , ex c ept to the ex tent that any s uc h los s is c aus ed by the negligenc e or willful
mis c onduc t by Veolia or its offic ers , dir ec tor s , or employ ees . T his pr ov is ion s hall s ur v iv e the ex piration or ter mination of this Agr eement and the

punitiv e damages of any k ind whether ar is ing in c ontrac t, in tor t (inc luding negligenc e), or by operation of law. Veolia’s total liability, whether ar is ing
from or bas ed upon breac h of war ranty, br eac h of c ontr ac t, tort, inc luding negligenc e, err ors and omis s ions , s tr ic t liability, indemnity or any other
c aus e or bas is whats oev er, is ex pres s ly limited to the net fee r ec eiv ed by Veolia. T his pr ov is ion limiting Veolia’s liability s hall s urv iv e the
termination, c anc ellation or ex pir ation of the Agreement.
9. INSURANCE . Dur ing the per formanc e or s erv ic es or work under this Agreement, Veolia will, at its own ex pens e, c arry Work ers ’ Compens ation
Ins ur anc e/Employ er 's Liability Ins uranc e within limits required by law; Commer c ial G ener al Liability Ins uranc e for bodily injury and for pr oper ty
damage; and Comprehens iv e Automobile Liability Ins uranc e for bodily injury and property damage. At Client’s reques t, Veolia s hall pr ov ide a
Cer tific ate of Ins uranc e demons trating Veolia’s c omplianc e with this s ec tion. Suc h Certific ate of Ins uranc e s hall pr ov ide that s aid ins ur anc e s hall
not be reduc ed in c ov er age or c anc eled until at leas t ten (10) day s after wr itten notic e has been prov ided to Client.
10. FO RCE MAJEURE . Neither party s hall be r es pons ible or liable to the other for default or delay in the perfor manc e of any of its obligations
her eunder (other than the pay ment of money for s er v ic es already r endered) c aus ed in whole or in part by s trik es or other labor diffic ulties or
dis putes ; gov er nmental or der s or r egulations ; war, r iot, fire, ex plos ion; terror is m, ac ts of G od; ex tr eme weather, s tor ms named by NO AA, or any
other c aus es whic h are bey ond the reas onable c ontr ol of the res pec tiv e party. In the ev ent of delay in per formanc e due to any s uc h c aus e, the time
for c ompletion will be ex tended by a period of time reas onably nec es s ary to ov er c ome the effec t of the delay. The party s o prev ented from
c omply ing s hall within a r eas onable time of its k nowledge of the dis ability adv is e the other party of the effec tiv e c aus e, the performanc e s us pended

c omply ing s hall adv is e the other party when the c aus e of the delay or default has ended, the number of day s whic h will be r eas onably r equir ed to
c ompens ate for the period of s us pens ion and the date when perfor manc e will be res umed. Any additional c os ts or ex pens es ac c ruing or ar is ing
from the delay ing ev ent s hall be s olely for the ac c ount of Client.
CO VID-19: Veolia s hall not be held liable in the ev ent of a non-c omplianc e with its obligations s et for th herein to the ex tent s uc h non-c omplianc e
is due to the c ons equenc es of the Cov id-19 pandemic inc luding without limitation (i) obligation to c omply with the legis lation enac ted or meas ur es
tak en by the authorities to addres s the Cov id-19 pandemic (inc luding mandator y c los ures , r equis itions , trans port limitations , s oc ial dis tanc ing
requirements ), (ii) obs er v anc e of hy giene and s ec ur ity r ules and rec ommendations r es ulting from the Cov id-19 pandemic , (iii) inability to s upply or
dis tribute to relev ant pers onnel appropriate pers onal pr otec tiv e equipment for the tas k s to be per formed, as a res ult of s hor tages of s upply
res ulting fr om the Cov id-19 pandemic , (iv ) inability of a Veolia s ubc ontr ac tor or s upplier to c omply with its obligations for the r eas ons mentioned
abov e; and to the ex tent the res ulting impediments c annot be reas onably ov erc ome.”
In the ev ent s uc h c ons equenc es of the Cov id-19 pandemic render Veolia's per for manc e hereunder more onerous than c ould hav e been
antic ipated at the date hereof the par ties s hall negotiate alter nativ e c ontrac tual terms , inc luding for deliv ery /perfor manc e dates or s er v ic e lev els ,
whic h r eas onably allow for the impac t of the c ons equenc es of the Cov id-19 pandemic referred to her einabov e.
11. NO T ICE . Any notic e, c ommunic ation, or s tatement r equir ed or permitted to be giv en hereunder s hall be in writing and deemed to hav e been
s uffic iently giv en when deliv ered in pers on or s ent by United States mail or email, to the phy s ic al or email addres s of the party for whom it is
intended, or to s uc h other addres s for either party as the party may by wr itten notic e des ignate.
12. ASSIG NMENT /SUBCO NT RACT . Neither par ty hereto s hall as s ign this Agreement or any par t thereof or any inter es t therein without the pr ior
written appr ov al of the other party her eto (ex c ept in the ev ent that s ubs tantially all of the as s ets of the Client’s fac ility are s old). Veolia s hall hav e
the r ight to s ubc ontr ac t any por tion of the work .
13. MO DIFICATIO N . In the ev ent modific ations and/or c hanges ar e reques ted by Client after s erv ic es hav e been per formed, whic h, modific ations
and/or c hanges are thr ough no fault of Veolia, or in the ev ent additional wor k not c ov ered by the Agreement is reques ted by Client, Veolia s hall
hav e the r ight to rev iew s uc h r eques ts and notify Client of the effec t on pr ic e, s c hedule or any other obligations as s umed by Veolia under this
Agr eement. Subjec t to the av ailability of required r es ourc es and on a s c hedule c ompatible with Veolia’s other s c hedules and c ommitments , Veolia
s hall initiate work on any s uc h c hanges .
14. DELAYED AG REEMENT S AND INFO RMATIO N . T he per formanc e by Veolia of its obligations under this Agreement is c ontingent upon the Client
per forming its obligations in a timely manner and c ooperating with Veolia to the ex tent r equir ed for c ompletion of the work . Delay s by Client in
pr ov iding infor mation or appr ov als , or per forming its c ontr ac tual obligations may r es ult in an adjus tment of c ontr ac t pr ic e and s c hedule.
15. CO NSTRUCTIO N PHASE . To the ex tent the wor k is related to or followed by c ons truc tion work by others , Veolia s hall not be res pons ible for the
means , methods , tec hniques , s c hedule, s equenc es or pr oc edur es of c ons tr uc tion c ontrac tors , or the s afety prec autions and pr ogr ams inc ident
thereto, and s hall not be res pons ible for the c ons truc tion c ontrac tor 's failur e to perfor m the work in ac c ordanc e with its c ontrac tual requirements .
Veolia will not direc t, s uperv is e or c ontrol the work of Client’s c ontr ac tor s or Client’s s ubc ontrac tor s .
16. REPO RTS, DO CUMENTS AND INFO RMATIO N . All dev ic es , des igns (inc luding drawings , plans and s pec ific ations ), es timates , pric es , notes ,
elec tronic data and other doc uments or information prepar ed or dis c los ed by Veolia, and all r elated intellec tual proper ty r ights , s hall remain Veolia’s
pr oper ty. Veolia grants Client a non-ex c lus iv e, non-trans ferable lic ens e to us e any s uc h mater ial s olely for Client’s us e of the work . Client s hall not
dis c los e any s uc h material to third parties without Veolia’s prior written c ons ent.
17. LIMITED USE O F REPO RT . Any report prepared as part of the wor k will be prepar ed s olely for the us e of Client. T hird parties ar e not to r ely upon
the repor t, unles s both Veolia and Client c ons ent in wr iting to s uc h relianc e. In the ev ent that Client prov ides the report to a third par ty without
Veolia’s wr itten c ons ent, Client will indemnify Veolia for any r es ulting los s or har m.
18. DISPO SAL O F CO NTAMINAT ED MATERIAL . It is unders tood and agr eed that Veolia is not, and has no res pons ibility as , a generator, oper ator,
owner, treater, or s tor er of pre-ex is ting s ubs tanc es or was tes found or identified at wor k s ites . Veolia s hall not direc tly or indirec tly as s ume title to
s uc h s ubs tanc es or was tes and s hall not be liable to third par ties alleging that Veolia has or had title to s uc h mater ials . Client will indemnify and
hold harmles s Veolia fr om and agains t all inc urr ed los s es , damages , c os ts and ex pens es , inc luding but not limited to attor ney s ' fees , aris ing or
res ulting from ac tions br ought by thir d parties alleging or identify ing Veolia as a generator, oper ator, s torer, tr eater or owner of pr e-ex is ting
s ubs tanc es or was tes found or identified at work s ites .
19. SUSPENSIO N O R T ERMINAT IO N . In the ev ent the work is terminated or s us pended by Client prior to the c ompletion of the s erv ic es c ontemplated
her eunder, Veolia s hall be paid for : (i) the s erv ic es render ed to the date of termination or s us pens ion, (ii) the demobiliz ation c os ts , (iii) the c os ts
inc ur red with res pec t to non-c anc elable c ommitments , and (iv ) r eas onable s erv ic es prov ided to effec tuate a profes s ional and timely pr ojec t
termination or s us pens ion.
20. G O VERNING LAW . T his Agreement s hall be gov er ned by and interpreted purs uant to the laws of the State of North Car olina. Any litigation s hall be
heard in a s tate or federal c ourt in Wak e County, Nor th Carolina.
21. HEADING S AND SEVERABIL ITY . Headings prec eding the tex t of enumer ated s ec tions ar e ins er ted s olely for c onv enienc e and s hall not c ons titute
a par t of the Agreement nor affec t the meaning, c ontent, effec t or c ons truc tion of this Agreement. Ev er y part, ter m or pr ov is ion of this Agreement is
s ev erable from all other s . Notwiths tanding any pos s ible futur e finding by a duly c ons tituted author ity that a par tic ular part, ter m or prov is ion is
inv alid, v oid or unenforc eable, this Agreement has been made with the c lear intention that the v alidity and enfor c eability of the remaining par ts ,
terms and prov is ions s hall not be affec ted thereby.
22. MISCEL L ANEO US . Veolia tak es all is s ues s ur rounding probity and c onfidentiality v ery s er ious ly in all of its dealings with c ompetitors and
s tak eholder s . In this s pirit and for the s ak e of trans parenc y, we infor m y ou that the public ly tr aded par ent c ompany Veolia Env ironnement S.A.,
rec ently ac quired a 29.9% interes t in Suez S.A (“Suez ”) and launc hed a public bid for the remainder of Suez ’ s har e c apital. Cons is tent with our

c ommitment to c ompetition law c omplianc e, Veolia will c ontinue to ac t entirely independent of Suez until all relev ant antitr us t approv als of Veolia’s
ac quis ition of Suez hav e been obtained and we will of c our s e let y ou k now if this would c hange before the end of the tender proc eedings .
Spec ific ally, none of Veolia’s repres entativ es s it on the board of Suez , Veolia has no influenc e ov er the s tr ategy or operations of Suez , and Veolia
has no ac c es s to c ompetitiv ely s ens itiv e infor mation about Suez ’s operations . Ac c ordingly, Veolia’s ongoing pr ojec t to ac quir e Suez will hav e no
effec t on our partic ipation in, or res pons e to, this tender.
23. ENTIRE AG REEMENT . The ter ms and c onditions s et forth her ein, along with the Q uote, c ons titute the entir e Agr eement and unders tanding of the
par ties relating to the wor k or s er v ic es prov ided by Veolia to Client, and merge and s upers ede all prior agr eements , c ommitments , repres entations ,
writings and dis c us s ions between them, and s hall be inc orporated in all wor k orders , purc has e or der s and authoriz ations unles s other wis e s o
s tated by ty ped or handwritten, but not by pre-pr inted, wor ds therein. The ter ms and c onditions may be amended only by a written ins tr ument
s igned by both parties .
24. ESCALAT IO N . If during the per formanc e of the c ontr ac t, the pr ic e of labor, material, freight, and other c os ts s ignific antly inc reas e, thr ough no fault
of Veolia, the pric e s hall be equitably adjus ted and s ubjec t to es c alation. A s ignific ant pric e inc r eas e s hall mean any pric e inc r eas e from pr opos al
date to material proc ur ement greater than 2.0% fr om s tated pric es . Delay s and c os ts as s oc iated with a F or c e Majeure ev ent s hall als o be equitably
adjus ted and s ubjec t to a c hange in pric e and/or s c hedule. Es c alation to be bas ed on c os t inc reas es , (without additional pr ofit, ov er head or margin)
and s hall inc lude labor, material, freight, and other c os ts to Veolia that oc c ur in the s pec ified time per iod. Any r ev is ions or c hanges r eques ted by the
c us tomer will be pr ic ed on a c as e-by -c as e bas is . Suc h pr ic e inc reas es s hall be doc umented thr ough third party s ourc es .
