Background Summary:
The Ocoee Music Festival has consistently showcased national talent over the past two decades, earning a
reputation as one of the region's premier music events. Each year, the festival draws acclaimed artists from
across the country, offering attendees unforgettable performances spanning various genres. This long-
standing tradition of featuring top-tier talent has helped the festival grow in popularity and prestige, making it a
highly anticipated event for music lovers both locally and beyond. In addition to its cultural value, the festival
has a significant impact on the local economy, bringing in thousands of visitors who support nearby
restaurants, hotels, shops, and small businesses, contributing to the community's economic growth and
vitality. This year, the festival is part of the already successful series of events specifically planned as part of
the City's centennial year.
Despite rising costs in many areas, the festival remains committed to offering cost-friendly entertainment for
the community. This year’s event is made possible in part by careful budgeting and strategic partnerships,
allowing the city to deliver a high-quality experience without placing additional financial strain on the city or
attendees, or reliance on sponsorship. One such partnership is with Cox Media Group. Cox Media Group, one
of the largest multimedia companies in the world, is able to bring in entertainers at lower pricing than current
national published rates, and they also bring enhanced marketing capabilities. This year's Ocoee Music
Festival looks to continue the long tradition of showcasing national talent on November 14th and 15th, and in
accordance with the City of Ocoee Purchasing Rules and Regulations, the contract for entertainment with Cox
Media Group exceeds the City Manager's approval, requiring approval from the City Commission.
Issue:
Should the Honorable Mayor and City Commissioners approve the contract with Cox Media Group for the
2025 Ocoee Music Festival entertainment in the amount of $280,000?
Recommendations:
Staff respectfully recommends the Honorable Mayor and City Commissioners approve the contract with Cox
Media Group for the 2025 Ocoee Music Festival entertainment in the amount of $280,000.

This agreement, made and entered into by and between the City of Ocoee, Fl and Cox Radio, LLC, for
its stations WMMO-FM and WWKA-FM, whose mailing address is 4192 N John Young Parkway, Orlando,
FL 32804 agree and understand as follows:
WMMO-FM and WWKA-FM to provide:
• CMG to negotiate all national headline and national support artist performing at the festival
• CMG to be responsible for all artists contracts and payments (not to include local contest
wining artists promised by City of Ocoee)
• CMG had the ability to secure event media sponsors with festival approval and such approvals
won’t be unreasonably withheld
• CMG to work with Ocoee’s preferred stage/sound and lighting vendor and will facilitate
negotiation of national artist production needs.
• Booking of agreed upon headline bands/artists.
• We will work as the go between the artist/management and the City of Ocoee and its designees.
• CMG to provide the following marketing:
o 98.9 WMMO
o Air a minimum of 140 :30 recorded promos between October 20th – November 14th,
2025.
o Air a minimum of 60 live liners between October 20th – November 14th, 2025.
o Conduct an App Keyword Weekend of Winning for a pair tickets in the VIP section.
o Organic social posts.
o Inclusion in shared eblast deployed 3+ to 24,000+
o Event page posting at WMMO.com
o Two app PUSH notifications.
o Station activation on-site with 1-2 10x10 station branded tents, signage, station vehicle
on Friday, November 14th.
o Air talent on-stage to intro bands and make announcements.
o Playlist of station produced music to play between acts.
o K92.3
o Air a minimum of 140 :30 recorded promos between October 20th – November 14th,
2025.
o Air a minimum of 60 live liners between October 20th – November 15th, 2025.
o Conduct an App Keyword Weekend of Winning for a pair tickets in the VIP section.

City of Ocoee to provide:
• Exclusive radio partnership.
• 5 pair of VIP tickets for WMMO and 5 pair of VIP tickets to WWKA
• Prominent location for station activation on-site at event
• Opportunity for stations to display signage throughout the park
• Opportunity for station air talent to intro artists on-stage
• Station logos included on city marketing assets such resident communications, stage banners,
posters etc…
• The ability to have WMMO-FM and WWKA-FM on site and on stage to introduce the bands.
• CITY OF OCOEE to provide artist hospitality needs per contract rider. CMG to facilitate and work
with Ocoee event committee on fulfillment
• CITY OF OCOEE to provide all artist ground transportation needs. (Let us know if you need help)
• Cox Radio, LLC to have first right of renewal for 2026 event.
• $280,000 made payable to Cox Radio, LLC for payment and securing of 1 National headline and
1 national support act for 11/14 and 11/15, 2025.
o We will require $100,000 within ten (10) business days of agreement execution (To pay
for holds)
o The remaining $180,000 to be paid on or before November 1, 2025.
THIS AGREEMENT IS SUBJECT TO THE TERMS AND CONDITIONS ATTACHED HERETO AND SHALL
NOT BE EFFECTIVE UNTIL SIGNED BY AUTHORIZED REPRESENTATIVES OF BOTH COX RADIO, LLC
AND THE CITY OF OCOEE.
Indemnification:
(a) City’s of Ocoee’s obligation to indemnify is subject to the limits of Section 768.28, Florida Statutes,
and that the City does not waive its rights under the doctrine of sovereign immunity
Governing Law and Jurisdiction. This Agreement is made in the state in which both parties are located
and shall be governed exclusively by the substantive laws of such state without giving effect to any
conflict-of-laws rules requiring the application of the substantive law of any other jurisdiction. Cox
Radio, LLC and the City of Ocoee knowingly and voluntarily intend and agree that the mandatory,
exclusive venue for any action in any way related to this Agreement or its enforcement shall be the
federal court for the district in which Cox Radio, LLC is located or, in the alternative, any state court of
competent jurisdiction in the county where the parties are located. All Parties hereby knowingly and
voluntarily waive any and all objections to venue and personal jurisdiction in the foregoing courts and
submit themselves to the jurisdiction thereof. Each Party hereby waives any right it may have to assert
the doctrine of forum non conveniens or similar doctrine or to object to venue with respect to any
proceeding brought in accordance with this paragraph, and stipulates that the aforementioned courts
shall have in personam jurisdiction and venue over each of them for the purpose of litigating any
dispute, controversy, or proceeding arising out of or related to this Agreement.
Insurance. City of Ocoee agrees to secure and maintain (or have the applicable third party secure and
maintain) commercial general liability (CGL) (or equivalent insurance) for property loss or damage and
personal or bodily injury or death of any person with a combined single limit of not less than Two Million
Dollars ($2,000,000) per occurrence. Such CGL insurance shall cover claims arising from or related to
products and completed operations, broad form property damage liability, provide coverage for
contractual liability, and name the following parties as additional insureds: Cox Radio, LLC, its
subsidiaries, affiliates and all companies directly or indirectly controlling, controlled by, or under
common control and their respective shareholders, officers, directors, members, agents, employees,
assigns, trustees, and successors. All insurance provided by City of Ocoee shall be primary, and any
insurance maintained by Cox Radio, LLC shall be excess and not contributing with insurance. City of
Ocoee shall arrange with its insurance companies to endorse such required insurance policies
accordingly. In addition, City of Ocoee shall ensure that Cox Radio, LLC is notified in writing of
cancellation or of any restrictive amendment of the policies at least thirty (30) days prior to the effective
date of such cancellation or amendment, in accordance with this Agreement.
Amendment and Authorized Signatories. No supplement, modification, or amendment of this
Agreement shall be binding unless in a writing specifically referencing this Agreement and executed by
authorized representatives of both Parties. Each of the individuals executing this Agreement certifies
that he or she is duly authorized to do so.

STATUTES, TO THE CONTRACTOR’S DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS

The contractor must comply with public records laws, specifically to:
1. Keep and maintain public records required by the public agency to perform the service.
2. Upon request from the public agency’s custodian of public records, provide the public agency with
a copy of the requested records or allow the records to be inspected or copied within a reasonable
time at a cost that does not exceed the cost provided in this chapter or as otherwise provided by law.
3. Ensure that public records that are exempt or confidential and exempt from public records
disclosure requirements are not disclosed except as authorized by law for the duration of the contract
term and following completion of the contract if the contractor does not transfer the records to the
public agency.
4. Upon completion of the contract, transfer, at no cost, to the public agency all public records in
possession of the contractor or keep and maintain public records required by the public agency to
perform the service. If the contractor transfers all public records to the public agency upon completion
of the contract, the contractor shall destroy any duplicate public records that are exempt or
confidential and exempt from public records disclosure requirements. If the contractor keeps and
maintains public records upon completion of the contract, the contractor shall meet all applicable
requirements for retaining public records. All records stored electronically must be provided to the
public agency, upon request from the public agency’s custodian of public records, in a format that is
compatible with the information technology systems of the public agency.
