(Utilities Director Bolling) Background Summary: The City of Ocoee’s Wastewater Treatment Permit requires that the City maintain a Sanitary Sewer Collections System Action Plan to prevent sewer overflows and wastewater leakages that may endanger public health and the environment. As part of this plan, the City is required to conduct pipe condition assessments on 10% of the gravity sanitary sewer system annually for the next 10 years starting in Fiscal Year 2025/26. This information is to be used in conjunction with other infrastructure performance indicators to identify, plan for, and complete repairs, replacements, maintenance activities, expansions, and upgrades to the sewer system. An annual report must be submitted to the Department of Environmental Protection by June 30, annually. This approach creates a long-term repair plan designed to improve capital planning by matching available funds and manpower and assisting staff with planning for grant opportunities. RedZone Robotics specializes in wastewater infrastructure condition assessments using autonomous robots specially designed to overcome challenging underground pipe conditions. RedZone Robotics is the sole owner developer, and distributor of RedZone Robotics equipment, and their software includes AI predictive tools to better prioritize repair and replacements. GPS coordinates recorded during the assessment also provide the pipe's center line and manholes for GIS mapping. The RedZone robot is the only product that requires fewer manhole access points, minimizing impacts on traffic flow in the area and limiting the need for extensive Maintenance of Traffic (MOT). The approved City of Ocoee Budget for Fiscal Year 2025-2026 includes a $120,000 budget for the condition assessment of 10% of the gravity sewer system (41,373 feet of linear pipe and 213 manholes). The Utilities Department has received a quote to inspect the first 10% of the total gravity system for a total cost of $94,959.66, $25,040.34 below the budgeted amount. Issue: Should the Honorable Mayor and City Commissioners approve Contracting Red Zone Robotics for the Collection System assessment and approve RedZone Robotics as a sole source vendor for the City of Ocoee? Recommendations: Staff recommends that the Honorable Mayor and City Commissioners authorize the City Manager to cause the sanitary sewer system condition assessment by contracting with RedZone Robotics in the amount of $94,959.66 for Fiscal Year 2025-26 and add Red Zone Robotics to the approved Sole Source List for City of City of Ocoee ▪ 1 N. The scope of work consists of approximately 41,373LF of 8"pipe to be inspected by primarily Solo® autonomous robots. RedZone will also inspect 213 manholes utilizing Solo® Inspection technology or other 360-degree video platforms, according to NASSCO MACP Level 1. RedZone will perform any necessary site reconnaissance to ensure safe and efficient data collection. RedZone will deliver the entire collection system to the City of Ocoee via NASSCO Exports and RedZone supplied viewer software, Integrity, for advanced viewing and integration into Esri’s ArcGIS platform. To the extent that there is any conflict between the terms and conditions contained herein and the Agreement, the terms and conditions of the Agreement shall control. 1 . G E N E R A L C O N D I T I O N S Customer shall be responsible for all requirements and instructions that it furnished to Consultant pursuant to this Agreement, and for the accuracy and completeness of all programs, reports, data, and other information furnished by Customer to Consultant pursuant to this Agreement. Consultant may use and rely upon such requirements, programs, instructions, reports, data, and information in performing or furnishing services under this Agreement, subject to any express limitations or reservations applicable to the furnished items. Customer shall arrange for access to and make all provisions for Consultant to enter upon public and private property as required to perform services under the Agreement. Customer shall inform Consultant in writing of any specific requirements of safety or security programs that are applicable to Consultant, as a visitor to any Site under study in advance of performing services. If Consultant cannot continue its work due to circumstances caused or allowed by Customer’s act or omission and to the extent such Customer does not provide written notice to Consultant of such circumstance a reasonable period of time prior to Consultant commencing (or attempting to commence) work, then Consultant reserves the right to charge Customer for downtime and hourly costs and expenses on a time and material basis, including without limitation modification of travel or lodging plans. 2 . C U S T O M E R ’S R E S P O N S I B I L I T I E S Customer shall pay Consultant as set forth in the Agreement. 3 . T E R M S O F P A Y M E N T Consultant will not be responsible for liability, loss, or expense (including damage caused by the backup of basement sewers) where the primary cause of the claim or damage is pre-existing conditions including faulty, inadequate or defective design, construction, maintenance or repair of property or contamination of the subsurface where the condition existed prior to the start of Consultant’s work at the location in question 4 . P R E -E X I S T I N G C O N D I T I O N S Unless caused by the negligence or willful misconduct of Consultant, Consultant shall not be responsible for any additional costs or claims associated with the treatment, storage, disposal of the removed debris, or breach of the above representation, at any time during or after the completion of the project. 5 . E N V I R O N M E N T A L C O N D I T I O N S Any material, equipment, structure, or service item that is not explicitly a part of this Agreement is specifically excluded from Consultant’s Work. 6 . S C O P E L I M I T A T I O N S Consultant shall not be liable for delays in the progress of the Work due to acts of government, acts of God, adverse weather, war, riot, labor disputes, civil insurrection or any other causes beyond Consultant’s reasonable delays. Further, Consultant shall not be responsible for delays in the project cause by the failure of material/equipment suppliers to deliver material, equipment or services in the time and manner agreed upon or in the time and manner anticipated. 7 . P E R F O R M A N C E D A T E S The following contract amendment procedure is to be used for work performed for the Customer by Consultant, which is beyond the scope of the proposal. (a) As change order items are identified and before any work is done, Consultant and the Customer will review and agree on the work to be performed; (b) A contract amendment or change order will be completed regarding scope and price and any schedule impact. All parties involved will sign the contract amendment or change order; and (c) Consultant will perform the work and bill the Customer in accordance with Section 3 of the Agreement. For time and materials work, back-up documentation will be provided. 8 .
