Subject: Approval of a 6-month Extension to the Temporary Operator Agreement with SSS
Down To Earth OPCO LLC, Extending the Term from June 1, 2026, to November 30, 2026, for
Interim Operation of the Forest Lake Golf Course. (Parks and Leisure Director Johnson)
Background Summary:
On April 1, 2025, the City Commission approved SSS Down To Earth OPCO LLC (DTE) as the interim
operator for Forest Lake Golf Club following a competitive selection process that included three qualified local
vendors. The interim agreement authorized DTE to manage golf course operations beginning May 1, 2025,
through October 31, 2025, while the City evaluated the long-term operational direction of the facility.
Since assuming operations, DTE has maintained daily golf course operations, food and beverage services,
staffing, maintenance coordination, and customer service functions while working collaboratively with City staff
during the transition period. To ensure continuity of operations and avoid disruption to golf course services, the
City Commission previously approved additional 30-day and 90-day extensions extending the agreement
through May 31, 2026.
The City is continuing to evaluate long-term operational planning for Forest Lake Golf Club, including future
operational structure, capital improvement priorities, financial sustainability, and overall facility strategy. A
future City Commission workshop in June will provide policy direction regarding these operational
considerations, and will include discussion on long-term operations for the range, the food and beverage
service, and agronomy.
The attached agreement amendment extends the current interim operating agreement with DTE through
November 30, 2026, to allow adequate time for implementation of Commission direction resulting from the
future workshop and any associated operational transition planning. The amendment does not modify the
scope of services, operational responsibilities, or compensation terms contained in the existing agreement.
Issue:

Recommendations:
Staff recommends the Honorable Mayor and City Commission approve a 6-month extension to the Temporary
Operator Agreement with SSS Down To Earth OPCO LLC, extending the term from June 1, 2026, to
November30, 2026, for interim operation of the Forest Lake Golf Course.

FOURTH AMENDMENT TO MANAGEMENT AGREEMENT
FOREST LAKE GOLF CLUB
This Fourth Amendment to Management Agreement (this “Amendment”) is made and entered
into effective as of __________, 2026 (the “Effective Date”), by and between the CITY OF
OCOEE, a Florida municipal corporation (“Owner” or “City”), and SSS TWIN RIVERS OPCO
LLC, an Ohio limited liability company, doing business as DTE Golf (“Manager”).
RECITALS
WHEREAS, Owner and Manager entered into that certain Management Agreement for the Forest
Lake Golf Club effective as of April 22, 2025 (the “Agreement”); and
WHEREAS, pursuant to the Agreement, the Term is scheduled to expire on October 31, 2025,
unless extended or earlier terminated; and
WHEREAS, Owner and Manager desire to amend the Agreement to extend the Term.
AMENDMENT
NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree
as follows:
1. Extension of Term. Section 1 (n) of the Agreement is hereby amended to provide a new
Expiration Date of November 30, 2026, unless earlier terminated in accordance with the
Agreement.
2. No Other Changes. Except as expressly modified by this Amendment, all other terms and
conditions of the Agreement shall remain unchanged and in full force and effect.
3. Counterparts. This Amendment may be executed in counterparts, each of which shall be
deemed an original, but all of which together shall constitute one and the same instrument.
Electronic signatures shall be deemed original signatures for all purposes.
