Subject: Approval of the Agreement between the City of Ocoee and Fullers Crossing 429, LLC,
for Fullers Cross Commercial PUD. (Development Services Director Lepp)
Background Summary:
The Fullers Cross Commercial Planned Unit Development (PUD) property is located in Commission District 3,
on the south side of Fullers Cross Road and west of Ocoee-Apopka Road. The development proposes
commercial/office development on approximately 3.8 acres. The project will have two (2) access points. The
main entrance will be full access off Fullers Cross Road, and the second access point will be a Right-in/Right-
out off Ocoee Apopka Road. This agreement with Fullers Crossing 429, LLC, revises the original agreement
dated June 15, 2004, by removing the shared access easement to the west of the property with the City of
Ocoee Police Training Facility to allow the development to move forward with a full access entrance on Fullers
Cross Road for the proposed Fullers Cross Commercial PUD.
Issue:
Should the Honorable Mayor and City Commission approve the revised agreement with Fullers Crossing 429,
LLC, to remove the shared access easement to the Police Training Facility, allowing the Fullers Cross
Commercial PUD to move forward with a full access entrance on Fullers Cross Road to access the proposed
development?
Recommendations:
Staff recommends that the Honorable Mayor and City Commission approve the revised agreement with Fullers
Crossing 429, LLC, to remove the shared access easement to the Police Training Facility, allowing the Fullers
Cross Commercial PUD to move forward with a full access entrance on Fullers Cross Road to access the
proposed development.

AGREEMENT BETWEEN THE CITY OF OCOEE AND
FULLERS CROSSING 429, LLC
THIS AGREEMENT ("Agreement") is entered into as of the day of ,
2026, by and between the CITY OF OCOEE, a Florida municipal corporation, whose address is
1 North Bluford Avenue, Ocoee, Florida 34761 ("City"), and FULLERS CROSSING 429,
LLC, a Florida limited liability company, whose address is 529 E Crown Point Road, Ste. 100,
Ocoee, FL 34761 ("FC 429, LLC"). The City and FC 429, LLC may each be referred to
individually as a "Party" or collectively as the "Parties."
RECITALS
WHEREAS, FC 429, LLC owns the property located at 2280 Fullers Cross Road, Ocoee,
Florida, 34761 (“FC 429 Property”), and directly west of that property the City owns the property
located at 1707 East Crown Point Road, Ocoee, Florida, 34761(“City Property”)(collectively
referred to as the “Properties”);
WHEREAS, the FC 429 Property is subject to the Planned Development Agreement for
the Fullers Cross Commercial Planned Unit Development (“PUD”), as set forth in the
Development Agreement dated as of June 15, 2004, made by and between Daryl M. Carter, Trustee
of the Carter-Fullers Cross Land Trust (the “Previous Property Owner”), and the City;
WHEREAS, the Previous Property Owner of the FC 429 Property and the City entered
into a Shared Access Easement Agreement dated June 15, 2004 (“Shared Access Agreement”),
related to the Properties;
WHEREAS, the City of Ocoee previously commenced construction on the City Property;
WHEREAS, FC 429, LLC desires to begin construction on the FC 429 Property;
WHEREAS, the Parties agree to terminate the Shared Access Agreement in accordance
with the terms of said agreement;
WHEREAS, the Parties seek to amend and supersede certain buffer requirements of the
PUD to accommodate the Parties’ development objectives;
WHEREAS, the City has a vested interest in the efficient delivery of utility services to its
properties and adjoining properties, including the installation of water and sewer infrastructure to
support future development;
WHEREAS, an easement (the “North Easement”) exists on the property owned by FC
429, LLC, as depicted in Exhibit "A" attached hereto; and
WHEREAS, the City agrees to install and maintain certain water and sewer infrastructure
on the North Easement that will support the Properties as specified in this Agreement;
WHEREAS, there is an existing agreement between the Ownership of the two properties
that the first property to submit for a building permit is obligated to develop and construct the
shared access entrance;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties
agree as follows:
1. Scope of Installations
1.1 Water Main Installation and Maintenance. The City agrees to install and
maintain a Water Main as specified on the attached Exhibit “B” within the North Easement
dedicated by FC 429, LLC to provide domestic water service to the FC 429 Property and the City
Property which is located to the west of FC 429 Property. This will allow for other properties in
the vicinity to connect in the future. The City shall bear all associated costs for installation and
ongoing maintenance of the public water main.
1.2 Tee and Valve Installation. The City shall install, at no cost to FC 429, LLC, one
(1) Tee and one (1) Valve along the Water Main. The City assumes all maintenance responsibility
for these installations.
1.3 Sewer Force Main Installation and Maintenance. The City agrees to install and
maintain a Sewer Force Main as specified on the attached Exhibit “C” within the City’s Right of
Way to provide sewer services to the FC 429 Property and the City Property located to the west of
FC 429 Property, at the City's expense. This will allow for other properties in the vicinity to
connect in the future.
1.4 Force Main Tee and Valve Installation for FC 429, LLC. The City shall install,
at no cost to FC 429, LLC, one (1) Tee and one (1) Valve along the Sewer Force Main with the
City assuming maintenance responsibility.
2. Sewer Contribution and Service Agreement. FC 429, LLC has agreed to forgo the reserved
sewer capacity and instead contribute $98,706.23 and right of way toward the Installations noted
in Section 1. Of this amount, the previously paid $98,706.23 for reserved sewer capacity shall be
credited toward the total contribution, leaving a remaining balance of $0.00 with 12.84 Equivalent
Residential Units (ERU) for sewer capacity. In consideration of this payment, the City agrees to
provide sewer service to the FC 429 Property in accordance with the terms of this Agreement
3. Easement Terminations and Landscape Buffer
3.1 Termination of Shared and Cross Access Easements. FC 429, LLC hereby
agrees that it shall diligently undertake, at its sole cost and expense, to terminate the Shared and
Cross Access Easements. FC 429, LLC shall cause the termination of said Shared and Cross
Access Easements to be completed prior to the City's issuance of the first building permit for any
construction on, about, or related to the FC 429 Property. FC 429, LLC further agrees to pay all
recording costs associated with the termination of the Shared and Cross Access Easements. In
consideration of paragraph 2 above and the Termination of Shared and Cross Access Easements
(Paragraph 3), FC 429, LLC agrees to absorb the full cost of developing and constructing the
dedicated access from Fuller’s Cross Road and Ocoee-Apopka Rd.
3.2 Preservation of West Boundary Landscape Buffer. FC 429, LLC agrees to preserve
during construction the existing trees in the West side, 10-foot Orange County Drainage Easement
and abide by the restrictions set forth in the easement document. FC 429, LLC will pursue a non-
substantial PUDamendment, to waive the existing buffer condition of the PUD prior to the
commencement of construction. City approval will not be unreasonably withheld.
4. Access Rights. Subject to review and approval by the City, the City agrees that FC 429, LLC,
at FC 429, LLC’s sole cost, may install full access (Right In, Right Out, Left In, Left Out) at the
Fullers Cross Road entrance and Right In, Right Out at the Ocoee Apopka Road entrance, subject
to, and in accordance with, all applicable City code, permitting, engineering requirements , and
City of Ocoee ownership of Ocoee Apopka Road. These access modifications shall be processed as
a non-substantial PUD amendment. FC 429, LLC shall receive transportation/road impact fee
credits for said cost of construction for off-site improvements.
5. General Provisions
5.1 Compliance with Laws. The Parties agree to comply with all applicable federal,
state, and local laws, regulations, and ordinances in performing their respective obligations under
this Agreement.
5.2 Indemnification. FC 429, LLC agrees to indemnify, defend, and hold harmless the
City, its officials, employees, and agents from and against any and all claims, liabilities, damages,
lawsuits, losses, and expenses, including reasonable attorney fees, arising from or related to
activities or performance in connection with this Agreement although neither Party shall be
obligated for its own negligence.
5.3 Force Majeure. Neither Party shall be liable for delays or failure to perform any
obligation under this Agreement due to circumstances beyond its reasonable control, including
acts of God, natural disasters, war, or government action.
5.4 Termination. This Agreement may only be terminated by an instrument in writing
executed by the then owners of the FC 429 Property and the City Property, and their respective
mortgagees, if any.
5.5 Entire Agreement. This Agreement constitutes the entire understanding between
the Parties with respect to the subject matter hereof and supersedes all prior discussions,
agreements, or understandings of any kind.
5.6 Governing Law and Venue. This Agreement shall be governed by the laws of the
State of Florida. Venue for any dispute arising out of this Agreement shall be exclusively in the
state courts located in Orange County, Florida.
5.7 Severability. If any provision of this Agreement is held to be invalid, illegal, or
unenforceable, the remaining provisions shall remain in full force and effect.
5.8 No Partnership or Joint Venture. The Parties are not partners and the
development of the FC 429 Property and the City Property does not constitute a joint venture of
the Parties.
5.9 Non-Waiver of Governmental Powers. Nothing contained herein shall be
construed as a waiver of or contract with respect to the regulatory and permitting authority of the
City as it now or hereafter exists under applicable laws, rules, and regulations, and nothing in this
Agreement relieves FC 429, LLC from complying with all applicable City Codes, requirements
and policies.
5.10 Sovereign Immunity. Nothing contained in this Agreement or any record or
communication arising out of or concerning this Agreement shall be considered or deemed a
waiver of the City's sovereign immunity protections or any other defenses or immunities afforded
under law to the City and its officials, employees and agents.
5.11 Binding Effect. This Agreement shall run with the Properties and shall be binding
upon and inure to the benefit of FC 429, LLC and the City, and their respective successors and
assigns. This Agreement shall be enforceable at law and in equity, including but not limited to
enforcement by action for specific performance. In the event of litigation, the prevailing party shall
be entitled to recover its reasonable attorneys' fees and costs, both at trial and appellate levels from
the non-prevailing Party.

PERMIT(S) FOR THIS PROJECT. THE TTC/MOT PLAN SHALL
INCLUDE ALL APPLICABLE FDOT INDICES, STATE THE DURATION
OF WORK, AND MEET ALL APPLICABLE FDOT REQUIREMENTS.
THE CONTRACTOR SHALL PROVIDE ALL PEDESTRIAN AND
VEHICULAR MOT.
6. REPLACE ALL SOD AND LANDSCAPING THAT IS DAMAGED
DURING CONSTRUCTION AND REPAIR ALL EXISTING
IRRIGATION.
7. CONTRACTOR TO COORDINATE WITH THE CITY AND ORANGE
COUNTY PUBLIC WORKS DEPARTMENT ON WORK WITHIN CITY
AND COUNTY RIGHT OF WAY.
8. CONTRACTOR SHALL ASSUME THE EXISTING MAINS ARE NOT
RESTRAINED. FOR TIE-INS, EXCAVATE EXISTING PIPE JOINTS,
FITTINGS AND VALVES AND RESTRAIN IN ACCORDANCE WITH CITY
OF OCOEE ENGINEERING STANDARDS AND DETAILS.
9. CONTRACTOR SHALL HAND DIG UTILITIES FOR WORK IN THE
SOUTHWEST AND SOUTHEAST INTERSECTION OF FULLERS
CROSS ROAD AND OCOEE APOPKA ROAD. CITY TO BE NOTIFIED 48
HOURS IN ADVANCE OF HAND DIG WORK AND CITY TO PRESENT
DURING WORK.
10. ALL NEW MAINS TO BE RESTRAINED.
11. DEPTH OF EXISTING UTILITIES UNDER ROADWAY ARE
UNKNOWN. CONTRACTOR SHALL CONFIRM DEPTH PRIOR TO
INSTALLATION OF NEW PIPE.
12. CONTRACTOR SHALL BE RESPONSIBLE FOR TREE
REMOVAL/CLEARING WITHIN LIMITS OF WORK INCLUDING BUT NOT
