Shutts & Bowen, LLP 300 Orange Ave. Suite 1600 Orlando, FL 32801 FOURTH AMENDMENT TO DEVELOPMENT AGREEMENT (The Regency at Ocoee) This FOURTH AMENDMENT TO DEVELOPMENT AGREEMENT (The Regency at Ocoee) ("Fourth Amendment") is made and entered into this _ day of , 2026 ("Effective Date"), by and between the CITY OF OCOEE, a Florida municipal corporation, whose mailing address is 150 North Lakeshore Drive, Ocoee, Florida 34761, Attention: City Manager ("City"), and OCOEE ACQUISITION COMPANY, LLC, a Florida limited liability company, with an address of 5911 Turkey Lake Road, Suite 303, Orlando, Florida 32819 (collectively, the "Developer"). The City and the Developer are sometimes collectively referred to herein as the "Parties" and individually as a "Party." WITNESSETH: WHEREAS, Developer and City entered into that certain Development Agreement executed on May 3, 2022 and recorded on May 9, 2022, DOC # 20220294398 in the Public Records of Orange County, Florida, as amended by that certain First Amendment to Development Agreement executed on June 6, 2023 and recorded on June 13, 2023, DOC # 20230329692, as amended by that certain Second Amendment to Development Agreement executed on April 16, 2024 and recorded on April 19, 2024, DOC # 20240229060, and as amended by that certain Third Amendment to Development Agreement executed on December 17, 2024 and recorded on December 19, 2024, DOC # 20240720694 (collectively, the "Agreement"); WHEREAS, the City and Developer entered into that certain Hold Harmless and Indemnification Agreement dated May 29, 2026 (the "Hold Harmless Agreement"), pursuant to which Developer agreed to indemnify, defend, and hold the City harmless, to maintain insurance, and to assume responsibility for private improvements and the public utilities serving the Project in connection with the City's issuance of certificates of occupancy in advance of final completion of the Project; and WHEREAS, the Parties desire to amend the Agreement to provide for the phased completion of site work and the issuance of certificates of occupancy in accordance with the conditions specifically provided herein; and WHEREAS, any capitalized term not otherwise defined herein shall have the meaning ascribed to it under the Agreement. ORLDOCS 24132295 2 NOW, THEREFORE, for and in consideration of the mutual obligations contained herein and the sum of ten dollars ($10.00) and other good and valuable consideration the sufficiency of which is hereby conclusively acknowledged the Parties agree as follows: AGREEMENT 1. Recitals. The Recitals contained above are true and correct and are incorporated in this Fourth Amendment in full as if set forth herein. 2. Issuance of Certificates of Occupancy. a. The City agrees to issue certificates of occupancy for buildings within each "Phase" or "Sub -Phase" of the development, as identified in the phasing delivery plan, attached hereto as Exhibit "A" (the "Phasing Plan"). As a condition precedent to the City's inspection of any building and the issuance of any certificate of occupancy for a building within a Phase or Sub -Phase, Developer shall first complete the site work for that Phase or Sub -Phase, including, but not limited to, landscaping, utility connections, and irrigation installation, and the City shall have issued a Partial Certificate of Completion for that site work. A Partial Certificate of Completion certifies that the site work for the Phase or Sub -Phase is substantially complete, certifies the site work only, and does not authorize occupancy of any building. Upon completion of the site work closeout for a Phase or Sub -Phase, and Developer's delivery to the City of the closeout documentation for that site work, including (i) engineering certifications, consisting of the engineer of record's certification letter, as-builts, and the surveyor's certification letter, (ii) utilities documentation, (iii) landscaping documentation, including the landscape architect's letter of completion, and (iv) administrative documents, including recorded easements and the maintenance agreement, the City shall issue a Certificate of Completion for that site work. Following issuance of the applicable Partial Certificate of Completion, the City shall complete its building inspections and, subject to the building's compliance with the Florida Building Code and the City's land development regulations, shall issue a certificate of occupancy for the building. The City shall have no obligation to issue any certificate of occupancy except in accordance with the foregoing. The City shall have no obligation to issue a certificate of occupancy for any building within a Phase or Sub -Phase unless fire and emergency access to that Phase or Sub -Phase, including all required fire apparatus access roads, the roundabout, hydrants, and water supply for fire protection, is complete. Subject to the foregoing, and except as required for fire and emergency access as set forth in this Section and in the Phasing Plan, the Sub - Phases may be completed out of numerical order. For example, a certificate of occupancy may be issued for Phase 4 before Phase 3(a). Notwithstanding the foregoing, Phase 3(b) must be completed before Phase 3(a). In addition, all Phase 4 site work shall be completed at one time and as a single phase, and Phase 4 shall not be divided into sub -phases for purposes of site work completion or the issuance of certificates of occupancy unless the City and Developer agree to a sub -phasing plan documented in a further amendment to the Agreement. Without limiting the foregoing, and in order to provide adequate fire and emergency access: the City shall have no obligation to issue a Certificate of Completion for the Phase 3(a) site work, or a certificate of occupancy for Building 1 (Phase 3(a)), until the Phase 3(b) site work is complete; and (iii) the City shall have no obligation to issue a certificate of occupancy for any building within Phase 4 until all Phase 4 site work is complete. c. Developer has completed Phase 1 and the City has previously issued a Partial Certificate of Completion for Phase 1 site work for Old Winter Garden Road, subject to Developer's completion of the final phase, which includes the `final lift' of asphalt for Old Winter Garden Road. Upon completion of the final phase, Developer shall provide the City with any necessary bill of sale for the public utilities in Phase 1, consistent with the applicable Florida Department of Environmental Protection permit, together with any other transaction documents reasonably necessary to convey the Phase 1 public improvements and utilities to the City. The City agrees to issue certificates of occupancy for each Sub -Phase, subject to conditions described herein, prior to Developer's completion of the `final lift' of asphalt for Old Winter Garden Road, provided that fire and emergency access to each Sub -Phase is and remains complete and available. d. The City has previously issued a Partial Certificate of Completion for Phase 2(a) site work and a Certificate of Occupancy for Building 7 (located in Phase 2(a)) and Developer has provided an indemnity therewith pursuant to the Hold Harmless Agreement described in the Recitals. At the City's request, Developer shall provide, within a commercially reasonable period, all reasonably necessary transaction documents related to Phase(2)a. e. Any active construction on the Project shall not materially interfere with the use and occupancy of the improvements within the completed Sub -Phases, or with fire and emergency access to those improvements. Developer shall maintain fire and emergency access to the occupied Sub -Phases at all times and shall take all reasonable safety measures, including fencing off active construction areas and securing all construction equipment and staging, to ensure the safety of the residents and their guests and invitees. Developer's indemnification, insurance, and other obligations under the Hold Harmless Agreement continue to apply to the occupancy of buildings in advance of completion of all site work, and nothing in this Fourth Amendment limits, supersedes, or releases those obligations. 3. Insurance. The insurance requirements of Section 6 of the Hold Harmless Agreement are incorporated into this Fourth Amendment by reference and apply to each Partial Certificate of Completion, Certificate of Completion, and Certificate of Occupancy (as defined in the Hold Harmless Agreement) contemplated herein. Without limiting that incorporation, Developer shall maintain, through final completion of the Project and the City's acceptance of the Public Utilities (and in no event less than the term of the Hold Harmless Agreement), commercial general liability 3 ORLDOCS 24132295 2 insurance of not less than $1,000,000 per occurrence and $2,000,000 aggregate, including products -completed operations. Each policy required or maintained under this Section, shall meet all requirements set forth in the Hold Harmless Agreement and Developer shall maintain such insurance continuously through completion of all Phase 4 site work, including the final lift of asphalt for Old Winter Garden Road and the City's issuance of the final Certificate of Completion for the Project. To avoid any ambiguity, the final lift of asphalt for Old Winter Garden Road is a project closeout item, is not a Phase 4 Sub -Phase, and is not included within 'all Phase 4 site work' for purposes of this Fourth Amendment. These are minimum requirements only and do not limit Developer's indemnification or other obligations under the Hold Harmless Agreement, the Agreement, or this Fourth Amendment. Nothing herein waives, reduces, or supersedes any insurance or other requirement, or any right, remedy, or protection of the City, under those instruments or any other instrument relating to the Project; any provision affording the City greater coverage or protection controls. 4. Counterparts. This Fourth Amendment may be executed in two or more counterparts, each of which shall be and be taken to be an original and are collectively but one instrument. 5. Effect on Agreement. Except as modified herein, the Agreement shall remain in full force and effect, binding upon each of the Parties. In the event of a conflict between the Agreement and this Fourth Amendment, the terms of this Fourth Amendment shall control.
