(Finance Director Weber) Background Summary: Finance staff continually evaluates industry best practices and emerging technologies to improve efficiency and compliance with public finance and government accounting standards. Following a review of available solutions, staff recommends contracting with Fifth Asset, Inc. for the DebtBook debt and cash management SaaS platform. The proposed solution provides unified debt, cash and investments in a single platform that centralizes data and streamlines critical workflows. The DebtBook platform will enable staff to optimize cash flow and debt structures, ensuring resilient liquidity, stronger financial performance, and continued public trust. It will also assist in the preparation of note disclosures required in the City's annual comprehensive financial report (ACFR) to comply with Government Accounting Standards Board (GASB) pronouncements. Under Fifth Asset, Inc.'s OMNIA cooperative purchasing contract (Region XIV Education Service Center as lead agency), DebtBook's proposal includes a three-year contract for FY2027 at a cost of $20,000; FY2028 at a cost of $21,000; and FY2029 at a cost of $22,060. The implementation phase of the software platform will take place during the current fiscal year. Issue: Should the Honorable Mayor and City Commission approve the contract with Fifth Asset, Inc. for the DebtBook debt and cash management Saas platform? Recommendations: Staff recommends the Honorable Mayor and City Commission: 1. Approve the three-year agreement with Fifth Asset, Inc. through September 30, 2029, for the DebtBook debt and cash management Software-as-a-Service (SaaS) platform piggybacking the OMNIA Partners cooperative purchasing Contract No. 159808, including authorized contract extensions as provided in the OMNIA Partners cooperative purchasing contract. 2. Approve the software implementation during fiscal year 2026 at a cost of $2,500. 3. Authorize the Mayor, City Clerk, City Manager, and staff to execute all documents necessary to implement and administer the agreement. 4. Authorize the City Manager to approve change orders to this agreement up to the limit of his procurement authority for each change order, and up to the budgeted amount for all change orders. This Order Form sets forth the Services to be provided to Customer, including the specific Products to be provided to Customer through its access to the Applica/ons Services. 2.Term. The Ini/al Term of this Order Form begins on the Order Form Effec/ve Date as indicated above and will con/nue for 3 years. Therea]er, this Order Form will renew in accordance with the Agreement (as defined below). 3.Fees. DebtBook will invoice Customer upon the Order Form Effec/ve Date and Customer will pay Fees herein for the first year of the Ini/al Term in accordance with the payment terms of the Agreement. All Fees therea]er will be due and payable annually and subject to the payment terms of the Agreement. Each invoice will be emailed to Customer’s billing contact indicated herein. 4.The Cash SFTP Integra2on includes bank connec/ons through a third-party provider and the addi/onal terms applicable to such party found at the following link will be made a part of the Agreement: h`ps://www.debtbook.com/cash- management-terms-s]p-integra/on. 5.OMNIA. This Order Form is subject to the terms established under that certain Master Agreement dated as of February 19, 2026, and referenced as Contract #159808 (the “OMNIA Agreement”), by and between DebtBook and OMNIA Partners, Inc. (“OMNIA”), on its behalf and on behalf of other par/cipa/ng governmental agencies. The Master Services Agreement (the “Agreement”) incorporated into the OMNIA Agreement and this Order Form govern the direct contractual rela/onship between DebtBook and Customer. IV.General Terms This Order Form and the Services are governed by the Agreement as set forth under OMNIA Agreement. The Agreement governs the direct rela/onship between DebtBook and the Customer, and this Order Form is issued pursuant to, and incorporates by reference, the terms of the Agreement. The Agreement will run concurrently with the Term of any Order Form then outstanding. The Agreement supersedes any prior discussion or representa/ons regarding Customer’s purchase and use of the Products and Services described in this Order Form. Each of the undersigned represents that (1) they are authorized to execute and deliver this Order Form on behalf of their respec/ve party, (2) they are authorized to bind their respec/ve party to the terms of the Order Form, and (3) if Customer is a Government En/ty, sufficient funds have been appropriated and are available to pay any Fees due under the Order Form in Customer’s current fiscal year. This Order Form and any other documents executed and delivered in connec/on with the Agreement may be executed in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement. If permi`ed by applicable law, electronic signatures may be used for the purpose of execu/ng this Order Form by email or other electronic means. Any document delivered electronically and accepted is deemed to be “in wri/ng” to the same extent and with the same effect as if the document had been signed manually.
