Background Summary:
On October 2, 2007, the City Commission awarded the professional architectural and engineering
services for the development of the new Police Headquarters to HKS Architects, Inc. On December 13,
2007, the City Commission voted to purchase and renovate the existing State Farm Building located at
646 Ocoee Commerce Parkway, Ocoee, Florida. HKS has completed a walk-thru of the building and has
proposed the following design services.
HKS Architects proposes to retrofit the existing office building of approximately 16,000 SF into the new
Police Headquarters. This will include assisting the City with a space requirements program; which is
anticipated to include an intake/release function, holding cells, inmate interview rooms, and evidence
room, police officer locker and gear room, police officer briefing room, and general office spaces. Once
the test fit plan is approved by the City, HKS shall produce detailed construction documentation;
including drawings and specifications for the construction requirements of the project. HKS shall also
provide construction administration assistance to the City. There may be additional costs in association
with the anticipated mechanical, electrical, plumbing, fire protection, and voice/data engineering
services.
HKS shall also provide space planning and interior design services for the areas vacated by the Police
Department as an additional service, once the scope for these areas is defined.
Issue:
Approval of Professional Architectural and Engineering Services Contract with HKS Architects, Inc. for
the Interior Renovation of the New Police Headquarters.
Recommendations
Staff recommends that the City Commission approve the Contract for Professional Architectural and
Engineering Services for the Interior Renovation of the New Police Headquarters to HKS Architects,
Inc. in the amount of $68,000.00; and authorize the additional space planning and interior design
services for the areas vacated by the Police Department; and authorize the Mayor, City Clerk, and Staff
to execute all necessary contract documents.

HKS appreciates this opportunity to submit our proposal to provide interior design services including
program verification and space plarming services for the Owner's new facility as outlined herein
We understand the scope of this project to include the following general project assumptions:
. Retrofit of an existing office building ofapproximately 16,000 SF into the new Police
Headquarters
. A program of space requirements including approximately 105 employees shall be provided by the
Owner HKS shall conduct program verification interviews with the Owner to confum progmm.
. The addition of, but not limited to, an intake 1 release function, holding cells, inmate interview
moms, an evidence room, police officer locker and gear room, police officer briefing room, and
general office spaces are anticipated
. Electronic CAD files are not available for HKS' use in preparing drawing backgrOlmds for Test

BASIC SERVICES
Phase 1:
Progtam Verification & lest Fit
HKS shall review the program of space requirements provided by the Owner and conduct
program verification meetings to confirm program details. Truee (3) meetings with the
Owner and key representatives are anticipated. Based upon an approved program of
space requirements, HKS shall prepare a Test Fit in the new facility for Owner review
and approval Two (2) minor revisions of less than 40% of the Test F it are anticipated
We understand that no CAD files are available for HKS' use, and have included

Phase 2:
Construction Documentation
Based on an approved lest Fit plan, HKS shall advance the design of the project through
Construction Documentation, including DIawings and Specifications setting forth in detail
the cOilStruction requirements for the project. Construction described shall include
ArchitectuIal Floor Plans, Reflected Ceiling Plans, Power, Data, Communication Plans,
finish and Door Schedules and Details, Sections, Millwork and Elevations,
No services are included for mechanical, electrical, plumbing, fire protection, site wOlk,
structural modifications or the building exterior envelope We recommend that these
consultants' fees be obtained once the scope is more clearly defmed in Phase I
Phase 3:
Constr uction Administntion
Construction administration services will include site visits at intervals appropriate to the
stage of construction to become familiar with the progress and quality of the work and
determine if the work is proceeding in a manner indicating that the completed construction
will be in general accordance with the Contract Documents, Related reports and
communications will be prepared and distributed to the Contractor and the Owner
SCHEDULE
Once our team has been authorized to begin these services, we will move the documentation of the project
forward per the agreed upon project schedule In the event the schedules are extended through no fault of
HKS, our fee will be equitably aqjusted,

GENERAL PROVISIONS
Direct Project expenses for travel, plotting, reproduction, deliveries, postage, faxes, and toll telephone calls
are expenses reimbursable to HKS and will be invoiced at a multiple of 1 10 times the direct cost to HKS
Expenses are estimated at $4,000 00 for this project
Requested additional se1vices beyond the basic services listed herein shall be proposed under separate
covet on an as-needed basis
HKS will invoice for services and reimbursable expenses on a monthly basis, with payment expected
within thirty days ofreceipt of invoice. Payments more than forty-five days past due will accrue interest at
the rate of seven percent per annum, but in no event higher than the highest rate allowed by law
The Drawings, Specifications and other documents, and the designs prepared by HKS for this Project are
the Instruments of the Architect's Service for use solely with respect to this project The AIchitect shall
retain all common law and statutory intellectual property rights in and to the Instruments of Service lhe

Recommended Provisions
Indemnification
To the fullest extent permitted by law, HKS shall indemnify and hold harmless the CITY, its officers, and
employees from all damages, losses, or expenses, including attorneys' fees, recoverable under applicable
law, arising from any claims, demands, causes of action of whatever kind or nature to the extent arising out
of, or related to the performance of the services under this Agreement by the HKS, its subconsultants,
officers, employees, or agents. This indemnification shall extend to claims of loss to the extent caused by
any negligent or intentional act or omission of the HKS or any of its agents, employees, or subcontractors.
Termination
(a) The CITY may, by written notice to the HKS, terminate this Agreement, in whole or in part, at any
time, either for the CITY'S convenience or because of the failure of HKS to fulfill HKS' Agreement
obligations. The CITY shall have the absolute right and option to terminate this Agreement without cause
at the completion by HKS of any phase of work identified herein. Upon receipt of such notice, HKS shall:
(I) immediately discontinue all services affected unless the notice directs otherwise, and
(2) deliver to the CITY all plans, specifications, studies, reports, estimates, summaries, and such
other information and materials as may have been accumulated by HKS in performing this
Agreement, whether completed or in process.
(b) If the termination is for the convenience of the CITY, HKS shall be paid compensation for services
performed to the date of termination. HKS shall be paid no more than a percentage of the Fixed Fee
amount equivalent to the percentage of the completion of work contemplated by the Agreement.
(c) If the termination is due to the failure ofHKS to fulfill its Agreement obligations, the CITY may take
over the work and prosecute the same to completion by Agreement or otherwise. In such case, HKS shall
be liable to the CITY for reasonable additional costs occasioned to the CITY thereby. HKS shall not be
liable for such additional costs if the failure to perform the Agreement arises out of causes beyond the
control and without the fault or negligence ofHKS. Such causes may include, but are not limited to, acts of
God or of the public enemy, acts of the CITY in either its sovereign or contractual capacity, fires, floods,
epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe weather; but, in every
case, the failure to perform must be beyond the control and without the fault or negligence of HKS.
(d) If, after notice of termination for failure to fulfill Agreement obligations, it is determined that HKS had
not so failed, the termination shall be deemed to have been effected for the convenience of the CITY. In
such event, adjustment in the Agreement price shall be made as provided in subsection (b) of this Section.
(e) The rights and remedies of the CITY provided in this clause are in addition to any other rights and
remedies provided by law or under this Agreement.
Audit of Records
(a) The CITY may perform or have performed an audit of the records of HKS during performance of this
Agreement and after final payment only to ensure payment to subconsultants or vendors of the HKS for this
Agreement. This audit would be performed at a time mutually agreeable to HKS and the CITY subsequent
to the close of the final fiscal period in which the last work is performed. Total compensation to HKS may
be determined subsequent to an audit as provided for in subsection (b) and of this subsection, and the total
compensation so determined shall be used to calculate final payment to HKS if it has evidence that
subconsultants or vendors have not been paid.
(b) HKS agrees to maintain all books, documents, papers, accounting records and other evidences
pertaining to work performed under this Agreement in such a manner as wiII readily conform to the terms
of this Agreement and to make such materials available at HKS' office at all reasonable times during the
Agreement period and for five (5) years from the date of final payment under the contract for audit or
inspection as provided for in subsection (a) of this Section.
(c) In the event any audit or inspection conducted after final payment, but within the period provided in
subsection (b) of this Section reveals any overpayment to the HKS by the CITY under the terms of the
Agreement, HKS shall refund such overpayment to the CITY within thirty (30) days of notice by the
CITY.
Conflict of Interest
(a) HKS agrees that it will not engage in any action that would create a conflict of interest in the
performance of its obligations pursuant to this Agreement with the CITY or which would violate or cause
others to violate the provisions of Part III, Chapter 112, Florida Statutes, relating to ethics in government.
(b) HKS hereby certifies that no officer, agent or employee of the CITY has any material interest (as
defined in Section 112.312(15), Florida Statutes, as over 5%) either directly or indirectly, in the business of
the CONSULTANT to be conducted here, and that no such person shall have any such interest at any time
during the term of this Agreement.
(c) Pursuant to Section 216.347, Florida Statutes, HKS hereby agrees that monies received from the CITY
pursuant to this Agreement will not be used for the purpose of lobbying the Legislature or any other State
or Federal Agency.
(d) HKS hereby certifies that neither HKS, nor any officer, agent nor employee of HKS has any material
interest, either directly or indirectly, in the business of the project, or any of the Contractor, subcontractors
or vendors.
Compliance with Laws and Regulations
ln providing all services pursuant to this Agreement, HKS shall abide by all statutes, ordinances, rules, and
regulations pertaining to, or regulating the provisions of, such services, including those now in effect and
hereafter adopted, including, but not limited to, those relating to environmental concerns. Any violation of
said statutes, ordinances, rules, or regulations shall constitute a material breach of this Agreement, and shall
entitle the CITY to terminate this Agreement immediately upon delivery of written notice of termination to
HKS.
Public Records Law
HKS acknowledges the CITY's obligations under Article l, Section 24, Florida Constitution and Chapter
119, Florida Statutes, to release public records to members ofthe public upon request. HKS acknowledges
that CITY is required to comply with Article I, Section 24, Florida Constitution and Chapter 119, Florida
Statutes, in the handling of the materials created under this Agreement and that said statute controls over
the terms of this Agreement.
Independent Contractor
It is agreed that nothing herein contained is intended or should be construed as in any manner creating or
establishing a relationship of copartners between the parties, or as constituting HKS including its officers,
employees, and agents, the agent, representative, or employee of the CITY for any purpose, or in any
manner, whatsoever. HKS is to be and shall remain an independent HKS with respect to all services
performed under this Agreement. Persons employed by HKS in the performance of services and functions
pursuant to this Agreement shall have no claim to pension, workers' compensation, unemployment
compensation, civil service or other employee rights or privileges granted to the CITY's officers and
employees either by operation of law or by tlw CITY.
Dispute Resolution and Exclusive Venue
(a) As a condition precedent to the filing of any suit or other legal proceeding, the parties shall endeavor to
resolve claims, disputes or other matters in question by mediation. Mediation shall be initiated by any party
by serving a written request for same on other party, The parties shall, by mutual agreement, select a
mediator within fifteen (15) days of the date of the request for mediation. If the parties cannot agree on
selection of a mediator, then the CITY shall select the mediator who, if selected solely by the CITY, shall
be a mediator certified by the Supreme Court of Florida. No suit or other legal proceeding shall be filed
until the mediator declares an impasse, which declaration, in any event, shall be issued by the mediator not
later than sixty (60) days after the initial mediation conference.
(b) The sole and exclusive venue for any mediation shall be in Orange County, Florida. Any legal
proceeding of any nature brought by either party against the other to enforce any right or obligation under
this Agreement or any Services Authorization issued under this Agreement, or arising out of any matter
pertaining to this Agreement or the work to be performed hereunder, shall be submitted for trial, without a
jury, before the Circuit Court of the Ninth Judicial Circuit, in and for Orange County, Florida. The parties
consent and submit to the jurisdiction of such court and agree to accept service of process outside the state
of Florida in any matter to be submitted to any such court pursuant hereto. The CITY and HKS expressly
waive all rights to trial by jury regarding any legal proceeding of any nature brought by either party against
the other to enforce any right or obligation under this Agreement or any Services Authorization issued
under this Agreement, or arising out of any matter pertaining to this Agreement or the work to be
performed hereunder. As noted herein, the sole and exclusive venue for any litigation or other legal
proceeding between the parties shall be the Circuit Court of the Ninth Judicial Circuit, in and for Orange
County, Florida.
Assignment
This Agreement or any money due or to become due hereunder may not be assigned by HKS to any other
party without the prior written approval of the CITY of such proposed assignment. HKS specifically
agrees not to assign, sell, or transfer any accounts receivables under this subcontract to any third party
factoring company or related business. THE CITY SHALL NOT BE LIABLE TO ANY THIRD
PARTIES FOR PAYMENT OF ANY ASSIGNED ACCOUNTS RECEIVABLES.
No Contingent Fees
HKS warrants that it will not employ or retain any company or persons, other than a bona fide employee
working solely for HKS, to solicit or secure this Agreement and that HKS has not paid or agreed to pay any
persons, company, corporation, individual or firm, other than a bona fide employee working solely for
HKS, any fee, commission, percentage, gift, or other consideration contingent upon or resulting from the
award or making of this Agreement. For the breach or violation of this provision, CITY shall have the right
to terminate the Agreement at its discretion, without liability and to deduct from the Agreement price, or
otherwise recover, the full amount of such fee, commission, percentage, gift or consideration.
Ownership of Documents
All deliverable reference data, survey data, plans, specifications and reports that result from the HKS'
services under this Agreement shall become the property of the CITY after final payment for the specific
service provided is made to HKS or upon any termination of this Agreement and payment of all
outstanding amounts due to HKS. No changes or revisions to the documents furnished by HKS shall be
made by CITY or its agents without the written approval of HKS, unless HKS has been terminated
hereunder.
