Background Summary:
On December 30, 1987, the City entered into various Waste Water Developer Agreements which
reserved sewer capacity with the City (the "WDA's). The WDA's were entered into in connection
with the City purchase of its sewer system from Prima Vista Utilities ("PVU"), The sewer capacity
was originally scheduled to expire on December 31, 1997, In October 1992, the City extended the
reservation of capacity to December 31, 2002. In May 1995, the City further extended the
reservation of capacity to December 31, 2007. The reserved sewer capacity has now expired and
is required to be surrendered to the City, absent a further extension by the City. The City is
required to purchase the surrendered capacity in accordance with the terms of the WDA's,

Should the City Commission approve the Staff Proposal for the purchase of the surrendered Prima
Vista Utility Reserved Wastewater (Sewer) Capacity?
Recommendations:
City Staff recommends that the City Commission approve the attached "Outline of City of Ocoee
Agreement Regarding Expiring Prima Vista Sewer Capacity", authorize that the Outline be
presented to the holders of the expired capacity, authorize the City Staff to accept the surrender of
the sewer capacity reserved with the City under the December 30, 1987 Waster Water Developer
Agreements, as amended, authorize the Mayor and City Clerk to execute amendments to the
December 30, 1987 Waster Water Developer Agreements, as amended, consistent with the
Outline, and authorize payment from the Wastewater Capital Fund for the purchase of the
surrendered sewer capacity in accordance with the Outline.

Vista Utility Reserved Wastewater (Sewer) Capacity?
BACKGROUND/DISCUSSION
On December 30, 1987, the City entered into various Waste Water Developer's Agreements (the
"WDA's). The WDA's were entered into in connection with the City purchase of its sewer system from
Prima Vista Utilities ("PVU") and in partial settlement of litigation regarding the City's purchase of
PVU. The WDA's were drafted by legal counsel for PVU and predate the current City Attorney. The
WDA's reserved sanitary sewer capacity and allowed connection to the City sewer system without the
payment of any capital charges to the City, it being recognized that the capital charges were paid to
PVU prior to the City's purchase of the system from PVU and that PVU used those funds to
construction a portion of the sewer system acquired by the City. A copy of Waste Water Developer's
Agreement Number OWW-87-8 is attached to this report. This WDA is representative of all of the
WDA's.
Portions of the reserved capacity under the WDA's have previously been utilized by the original
signatories or their assigns, have previously been connected to the sewer system and are not
affected by the expiration of the reservation of capacity which relates to future connections to the
sewer system. Portions of the unused sewer capacity have over the years been assigned to third
parties in connection with the sale of land benefited by such capacity. The remaining unused
capacity is held by the original signatories to the WDA's. The current holders of reserved sewer
capacity under the WDA's have been paying Revenue and Maintenance Fees to the City. In many

cases these fees have been paid by a reduction of reserved capacity and surrender thereof to the
City rather than by a cash payment. This has reduced the capacity being surrendered as of
December 31,2007 and the reduced number is reflected in attached Summary of Balances prepared
by the Finance Department.
The reserved sewer capacity was originally scheduled to expire on December 31, 1997. In October
1992, the City extended the reservation of capacity to December 31,2002 as part of an amendment
to the WDA's. The 1992 Amendment and extension was part of a settlement of a dispute regarding
the payment of revenue and maintenance fees in connection with the reserved sewer capacity under
the WDA's. In May 1995, the City further extended the reservation of capacity to December 31,2007,
again as part of the settlement of a dispute regarding the application and calculation of revenue and
maintenance fees. The 1995 "Water and Sewer Revenue Maintenance Fee Agreement" also
reaffirmed the perpetual reservation of reserved water capacity pursuant to separate agreements with
some of these developer's regarding the reservation of potable water capacity.
Scott Gold on behalf of BML Investments originally requested that the sewer capacity reservation be
further extended. That request was rejected by City staff, in part, because the current sewer capital
charges (which are subject to an annual upward adjustment) are substantially below the cost that
would be paid to purchased the reserved capacity under the terms of the WDA's. The City staff also
concluded that it was in the best interests of the utility system to eliminate the requirement to maintain
the reservation of sewer capacity due to uncertainty as to when such capacity might actually be
utilized. While the City will no longer collect revenue and maintenance fees on the surrendered
capacity, the economic impact on a cash flow basis is minimal since most of these fees were being
paid by the surrender of reserved capacity and not by a cash payment.
The reserved sewer capacity has now expired and is required to be surrendered to the City pursuant
to Section 7.1 of the WDA The City is required to purchase the surrendered capacity in accordance
with the terms of the WDA's, The provisions of Section 16.1 (2) of the WDA provides: "If any
Developer surrenders its Capacity to the Utility, then it shall be refunded all amounts paid by it or
transferred to the Utility on its behalf for plant and line capacity charges for such surrendered
Capacity. ......Said payment will occur at the later of the time that the capacity is surrendered to the
Utility or at such time as the Utility sells said Capacity to another developer."
The exact dollar amount to be paid by the City for the surrendered capacity has been the subject of
discussions between the City, Mr. Gold and Tom Cloud, who represents some but no all of the
holders of the reserved capacity. They originally proposed that the amount to be paid for the
surrendered capacity would be the "fair market value of the Owner's present capacity" (or $16.4963
per gallon). This proposal was rejected by the City staff. While the City staff has not attempted to
review all of the records from the original 1987 transaction, it is believed that those records will not
provide a clear answer as to the dollar amount of the reimbursement due in connection with the
surrendered capacity. There is a reasonable argument that the surrendered capacity should be
purchased at a cost of $2.50 per gallon based on Exhibit "J" to the WDA. However, Mr. Cloud
advises that Exhibit "J" does not include the costs incurred by the parties to the WDA's in making
certain sewer line extensions which they claim to be reimbursable in calculating the amount to be
paid for the surrendered capacity. After further discussions with Mr. Gold and Mr. Cloud, they
suggested a "compromise" of a cash payment of $10.61 per gallon for each gallon surrendered. City
staff also rejected this proposal.
The attached Outline of City of Ocoee Agreement Regarding Expiring Prima Vista Sewer Capacity is
the result of the staff discussions with Mr, Gold and Mr. Cloud. The Outline has not been presented

to or formally approved by the holders of the reserved sewer capacity under the WDA's. The Outline
proposes 3 Options which may be selected by the holders of the reserved capacity. These Options
deal with both the dollar amount and the timing of payments to the Developer with a lesser amount
being offered for a cash payment and a greater amount being offered for capacity which remains as a
credit until used. Option A is an all cash purchase by the City at $4.62 per gallon. Option B is a
credit of $10.61 per gallon which is not convertible to cash, but may be applied towards future sewer
capital charges. Option C is a credit of $7.61 per gallon which is convertible to cash on a quarterly
basis to the extent the City receives sewer capital charges from third parties and which may also be
applied towards future sewer capital charges The Finance Department in conjunction with the
, Utilities Department has prepared the attached Financial Analysis indicating the potential costs to the
City under each proposal. The Outline provides the Developer's with the ability to select a
combination of the Options so that the actual cost will fall within the ranges presented in the Financial
Analysis.
Staff believes that the proposed Outline is a fair settlement to both the City and the holders of
reserved sewer capacity. Absent an agreement with the holders of the capacity, the City could face
significant costs in researching and documenting the history of the Prima Vista transactions. The City
could also face the prospect of litigation over the amount to be paid for the surrendered capacity.
Staff believes that the Outline reduces this exposure and is likely to be accepted by all parties.
Following approval of the staff recommendation by the City Commission, a letter would be sent to all
holders of reserved capacity informing them of the City's action and asking them to select among the
3 options (in whole or in part). An agreement would then be prepared with the each holder of the
reserved sewer capacity to implement this action.)

Outline of City of Ocoee Aereement Reeardine Expirine Prima Vista Sewer Capacity
(Attached to City Commission Aeenda Item for Meetine of Mav 6. 2008)
1. All Sewer Service Capacity allocated under the December 30, 1987 Waste Water
Developer's Agreements, as amended ("WDA") are terminated as of January 1,2008 and
are required to be surrendered to the City unless such capacity has (i) been connected and
used on or before December 31, 2007, or (ii) the Developer or its assigns has applied to
FDEP for a FDEP permit to utilize such capacity prior to December 31, 2007 and the
City has signed off on such application prior to submittal to FDEP. Capacity which
terminated on January 1, 2008 is no longer available for use by the Developer.
2. Each Developer holding Sewer Service Capacity must execute a document re-assigning
such capacity to the City. Section 16 of the WDA provides that any Developer who
surrenders Sewer Service Capacity to the City is entitled to be refunded all amounts paid
by it or transferred to the City on its behalf for plant and line capacity charges for such
surrendered Capacity. Such payment is to made by the later of the date that the Capacity
is surrendered to the City or at such time as the City sell such Capacity to another
Developer.
3. It is in best interests of the City and the Developer to provide for the surrender of such
Sewer Service Capacity in an orderly manner and to obtain an amendment to the WDA in
connection therewith. In consideration for the surrender of such Sewer Service Capacity
to the City and the execution of an amendment to the WDA, the City agrees that the
Developer or its assigns may elect any of the following or a combination thereof:
a. Receipt of a cash payment at the rate of $4.62 per gallon of sewer capacity
surrendered to the City, such payment to be made within thirty (30) days following the
surrender of such Sewer Service Capacity to the City and the execution of an amendment
to the WDA.
b. Convert the surrendered sewer capacity to a Sewer Credit Account at the
rate of$1O.61 per gallon of Sewer Service Capacity surrendered to the City. The Sewer
Credit Account may be used as a credit against the then applicable Plant Capacity
Charges. The Sewer Credit Account may only be used to pay Plant Capacity Charges for
the lands which are the subject the applicable WDA and may not be assigned or
transferred to other land. The City shall not be obligated to purchase for cash any
balances in the Sewer Credit Account.
c. Convert the surrendered sewer capacity to a Sewer Credit Account at the
rate of$7.61 per gallon of Sewer Service Capacity surrendered to the City. The Sewer
Credit Account may be used as a credit against the then applicable Plant Capacity
Charges. The Sewer Credit Account may only be used to pay Plant Capacity Charges for
the lands which are the subject the applicable WDA and may not be assigned or
transferred to other land. Additionally, the City will buy down on a quarterly basis any
unused balances within such Sewer Credit Account at the rate of$7.61 for each gallon of
Sewer Service Capacity sold by the City to third parties after January 1,2008 with

respect to which the City receives a cash payment of the then current Sewer Capital
Charges; provided, however, that to the extent more than one Developer or their assigns
elects this Option 2.c., then the $7.61 per gallon payment will be a total payment
allocated on a pro rata basis among all of the surrendered sewer capacity which is subject
to this buy down provision. Such quarterly payments shall be based on the rate
established in this paragraph times the number of gallons of sewer capacity sold by the
City to third parties for cash during the applicable quarter. The Sewer Credit Account
balance will be reduced on a dollar for dollar basis for each dollar paid by the City to the
Developer.
4. The obligation to buy down the Sewer Credit Account as set forth in Paragraph 3.c above
shall not apply to any cash payments received from signatories to a WDA or their
successors or assigns, but will only apply to cash purchases from third parties.
5. The payments set forth above supersede any and all repayment obligations of the City
under the WDA.
6, The Sewer Credit Accounts referenced above will not have any expiration date and will
run with the land which is the subject of the applicable WDA.
7. A condition of receipt of the payments set forth above is a representation by the
Developer that it is the current holder of the surrendered sewer capacity, that it has not
assigned to a third party the capacity being surrendered, and that its agrees to indemnify
and hold the City harmless from any claims by third parties that the they are an assignee
of any capacity which has been surrendered to the City by the Developer.
8. In all cases, the Developer will pay the applicable Plant Capacity Charges and such other
charges as may from time to time be imposed by the City for the purchase of Sewer
Service Capacity. To the extent the Developer has a Sewer Credit Account, it may use
such account on a dollar for dollar basis against such charges.
9. The Developer will continue to pay Revenue and Maintenance Fees with respect to any
Sewer Service Capacity which is not surrendered to the City (i.e., capacity reserved under
an FDEP Permit, but which has not been connected to the City sewer system on
December 31,2007). The Developer may use the Sewer Credit Account on a dollar for
dollar basis to pay any such Revenue and Maintenance Fees.
10. The City does not guarantee or reserve for the use of the Developer any of the
surrendered Sewer Service Capacity. The Developer may separately reserve Sewer
Service Capacity on the same basis as other customers of the Utility.
11. The Developer's exemption from the payment of Sewer Capital Charges under Chapter
173 of the City Code shall terminate on December 31, 2007.
12. All references herein to "Plant Capacity Charges" refer to and are the same as the "Sewer
Capital Charges" under Chapter 173 of the City Code.
13. The foregoing will be documented by an amendment to the WDA.

14. In addition to the items set forth above, the Amendment to the WDA shall provide that it
is in settlement of all claims which may be raised thereunder or under the Prima Vista
Purchase and Sale Agreement of December 3, 1987 or under the two judicial stipulations
referenced in paragraph 2.h thereof.
15. The City acknowledges that the reserved water capacity does not have an expiration date
and is not affected by the surrender of the sewer capacity. The Developer shall remain
obligated to pay Water Capital Charges and Revenue and Maintenance Fees on any
reserved water capacity.

Financial Analysis
City staff proposes three surrender options be presented to the holders of the Prima Vista
reserved wastewater capacity. Collectively, this capacity (123,755 gallons) represents
6.9% of the permitted capacity of the plant.
Wastewater capacity for the City's system is currently sold at $4,578 per ERU (270 gals),
Revenue from wastewater capacity sales for the previous three years has averaged
$1,682,850 annually, A major development has paid for capacity each of the years. The
prior two years capacity sales averaged $165,945. These revenues and other net revenues
of the system are pledged as security for both the 1997 and 2003 Water and Sewer
System Improvement Bonds, Annual debt service on the bonds is $1,485,920 with
$772,137 paid from this revenue source. Total outstanding bonds are $21,275,000,
The financial impact for each surrender option is discussed below and presented on Table
1. Cash outlays will be funded from the Wastewater Capital Fund,
Option A:
The holder of the capacity will receive a cash payment of $4.62 per gallon of sewer
capacity surrendered to the City. Payment will be made within thirty days following the
surrender of the capacity and the execution of an amendment to the Water Developer's
Agreement (WDA). The total cash outlay of this option is $571,748.84.
Option B:
The holder of the capacity will receive a credit of $10,61 per gallon of sewer capacity
surrendered to the City. The gallons will be credited to a Sewer Credit Account and may
be used as a credit against the then applicable Plant Capacity Charges, Only lands
specified in the applicable WDA may draw on the account to pay plant capacity charges.
The capacity in this account may not be assigned or transferred to any other land, The
City is not obligated to purchase any balance in the Sewer Credit Account. The value of
this option is $1,313,042; however, this option does not require a cash outlay.
Option c:
The holder of the capacity will receive a credit of $7.61 per gallon of sewer capacity
surrendered to the City. The gallons will be credited to a Sewer Credit Account and may
be used as a credit against the then applicable Plant Capacity Charges. Only lands
specified in the applicable WDA may draw on the account to pay plant capacity charges.
The capacity in this account may not be assigned or transferred to any other land. The
City will buy down quarterly any unused balances in the Sewer Credit Accounts. This
buy down will be at the rate of $7.61 for each gallon of sewer capacity sold by the City to
third parties for cash at the current rates. The rate for 2008 is $16.96 per gallon, If more
than one capacity holder elects this option then the $7.61 per gallon payment will be a
total payment allocated on a pro rata basis. The potential cash outlay for this option is
$941,777, The potential revenues generated from the sale by the city to third parties at
the present day rate would be $2,098,337, This results in a net increase of $1,156,560 in
revenues.
