Background Summary:
The City of Ocoee is currently purchasing bulk sodium hypochlorite for water and wastewater treatment
from Odyssey Manufacturing, piggybacking its contract with Hernando County. This contract is no longer
available. Odyssey has been awarded a new contract with Pembroke Pines at $.795 per gallon whereas
the pricing is fixed through September 30, 2009 and is to be renewed thereafter. There are no other
conditional changes between the two contracts. Staff will present an additional agenda item upon receiving
a copy of the renewal of the contract.
Issue:
Should the Commission approve the utilization of Odyssey Manufacturing for the purchase of bulk sodium
hypochlorite for the sewer and water plants, by piggybacking off of the Pembroke Pines Contract?
Recommendations
Approval to utilize Odyssey Manufacturing for the bulk purchase of sodium hypochlorite by piggybacking off
of Pembroke Pines RFP #PSUT-08-01, for a not to exceed cost of $30,000 for the remainder of the
2008/2009 Fiscal Year.

Financial Impact:
This is an administrative item; Staff would like to continue to utilize Odyssey Manufacturing for the purchase
of bulk sodium hypochlorite for water and wastewater treatment. A total of $138,500 was budgeted for
sodium hypochlorite. $85,740 has been spent and it is anticipated that the remainder of the Fiscal Year will
not exceed a cost of $30,000 for a total of $115,740, which is $22,760 under budget..

OCOEE UTILITIES DEPARTMENT FOR FY 2009
Dear Pat,
As a follow-up our previous phone conversation, the purpose of this letter is to provide the City of
Ocoee a proposal to continue to use sodium hypochlorite at your Utilities in bulk deliveries for next
year. As you know, you have been "piggybacking" off of Hernando County's sodium hypochlorite
bid for the past two years at a delivered price of$.70 per gallon (my offer letter to you dated
September 26, 2006). Odyssey had provided guaranteed pricing under this piggyback arrangement
through June 19,2008. This contract is no longer available to piggyback. As such, Odyssey
Manufacturing is pleased to offer the City of Ocoee. Utilities Departm~nt its Ultra Chlor 12.5%
sodium hypochlorite a. effective October 1,2008 through September
30, 2009 to your "bulk" tanks at any 0 your ti Ity sites that are tanker accessible (NET 30). This
price is fixed and not subject to any escalation or fuel or other surcharges during this period. The
City ofOcoee would "piggyback" off the ecent sodium hypochlorite bid. I
have attached a copy ofthe bid package, bid and bid tab and renewal information. Ten)' Burzo is the
Purchasing Buyer for the City of Pembroke Pines @954-437-1111. Odyssey guarantees deliveries on
48 hours notice. However, in no event, will Odyssey Manufacturing ever let you run out of bleach for
any reason and will make emergency deliveries on a much shorter notice with no minimum delivery
required at no additional charge. As we discussed, this proposal is based on "bulk" deliveries
(typically tanks at least 800 gallons) to customer-owned tanks. Additionally, Odyssey would agree to
meet the attached "Product Guarantees" that Pembroke Pines specified.
This proposal represents a $.095 per gallon increase in your sodium hypochlorite cost which is about
13.6% increase. As you know, chemical prices increased dramatically over the past year. I have
attached the Producer Price Index for general chemical manufacturing. As you can see, prices have
increased over 22.5% in the past twelve months most of which has been from increases in fuel and
energy. Odyssey's electricity costs have gone up about 25% over the past year and our electric utility
has recently filed for a 30% rate iticrease. Natural gas prices have almost doubled in the past six
months and diesel fuel is now $5 per gallon (our tankers get 5 mpg). Caustic prices have more than
doubled over the past year (this and chlorine are the two feed stocks to make soditun hypochlorite).
One of our plants uses salt as a raw material and we have been hit with significant fuel increases to
import our salt from the Netherlands as well as significant currency penalties because of the weak
dollar. Energy and fuel increases have created a tremendous burden on not just consumers but
businesses as well. Frankly. we are the onlv chemical comoany in Florida that has honored its

contractual obli2ations over the past six months and not declared Force Maieure because of increases
in fuel and en~rgyl In addition, we have been told by our raw material suppliers that our prices will
be increasing 20% - 30% this Fall when our contracts expire. The proposed increase is very modest
in light of these facts and the fact you have had the same fixed pricing for the past two years.
I have also attached copies of all the recent bids tabs in the State of Florida over the past month so
that you can assess that the proposed price is very reasonable: (I) Odyssey was the low Bidder at
Charlotte County@$.815 for 550,000 gallons on 8/13/08; (2) Odyssey was the low Bidder at Bay
County @$I.I0 for 250,000 gallons on 8/13/08; (3) Odyssey was the low Bidder at the City of Palm
Coast@$.795 for 425,000 gallons on 8/13/08; (4) Allied was the "apparent" low Bidder at Port
Orange @$.807 for the WTP and $.817 for the WWTP for 552,000 gallons but the bid was awarded
to Odyssey @$.82 for quality and service reasons with Allied; (5) Allied was the "apparent" low
Bidder at the City of Ormond Beach@$.799 for 280,000 gallons on 8/13/08 but the bid was awarded
to Odyssey @$.805 because of quality and service reasons with Allied; and (6) Odyssey was the low
Bidder at the City of Pembroke Pines @$.795 for 300,000 gallons.
Odyssey Manufacturing is the largest sodium hypochlorite manufacturer in the southeast and our
sodium hypochlorite currently serves the majority ofthe~ater and wastewater plants that use bulk
bleach in peninsular Florida. We have also done a significant number of ''turn-key'' installations and
have also installed storage tanks at many locations and assisted customers with their conversions. As
part of its chemical supply contract, Odyssey agrees to provide unlimited technical assistance at your
plants at no charge. As you are aware, we have provided the City ofOcoee with a variety of technical
assistance in the past seven years.
As we discussed previously, we manufacture only one product, sodium hypochlorite, utilizing a
Kvaemer Chemetics chlor-alkali plant integrated with a Powell Continuous Bleach Plant. As the only
chi or-alkali manufacturing facility in Florida, we can offer a unique combination of high quality
combined with a very competitive cost structure. We make our raw materials (chlorine and caustic)
on-site out of salt and demineralized water utilizing a membrane cell electrolysis process. Not only
does this process result in a high quality bleach, but also makes our product cost very competitive as
we do not have to payout of state third parties to make the raw materials for us and have them
shipped down by railcar. The following additional information is provided to assist in you:
"True Cost"
Odyssey's unique manufacturing process results in significantly higher quality sodium hypochlorite
that does not breakdown and decompose like other sodium hypochlorite. Thus, you will probably
save about 10% to 100% of your feed because of the higher quality sodium hypochlorite which
translates into a savings of about $.06 to $.65 per gallon. In a recently documented study, Charlotte
County's Eastport WWT plant cut its sodium hypochlorite consumption by over 50% from FY 1999
to FY 2000 despite higher flows when they switched suppliers to Odyssey Manufacturing Co. Please
call our current customers to confirm this!
Because of our manufacturing process, we make our own chlorine and caustic and thus are not subject
to the wide price fluctuations in this market or the availability of materials. Thus, we are able to
actually "guarantee" pricing for one or more years and would honor any contractual agreement. In
addition to the wide variations and availability of the chlorine and caustic markets, other sodium
hypochlorite manufacturers face multi-million dollar costs to install containment and chlorine
scrubbers for their chlorine railcars under the BPA's Risk Management Plan (RMP) mandate. The
RMP requires any entity over the minimum threshold of chlorine to take ALL measures necessary to
protect the public. The only true measure available to protect the public is to install an expensive

chlorine scrubber system and containment building for the chlorine railcars. For a bleach
manufacturer with chlorine railcars, this expense would be several million dollars. As the only cl1lor-
alkali manufi1cturer in the State of Florida, we have no railcars of chlorine on-site and thus would not
be impacted by this requirement. With regard to availability, Odyssey is the only sodium
hypochlorite supplier that does not rely on railcar shipments of chlorine gas into the State of Florida.
As you know, railcar shipments of chlorine gas were suspended on three occasions after 9/11 for
terrorist concerns and six occasions over the past few summers because of the hurricanes.
Reliability
Odyssey's unique manufacturing process provides its customers a high degree ofreliability:
. Largest sodium hypochlorite manufacturing plant in Florida.
. Largest provider to the water and wastewater market with over 96% ofthe bulk sodium
hypochlorite market in peninsular Florida.
. Odyssey's Ultrachlor sodium hypochlorite is used at the majority of power plants in Florida.
. History of meeting all demands from all of our customers
. Safest.manufacturing process in the State of Florida in that we are well under the RMP and the
PSM thresholds for hazardous chemicals.
. Minimum amounts of chlorine gas on-site which are well under the RMP and PSM thresholds
thus there is no likelihood of an accidental release which would curtail production.
. Odyssey Manufacturing is located east of the City of Tampa in an industrial park. We are not
located on a peninsula or near the Gulf or Bay and thus are probably less prone to flooding
damage from a hurricane than most other bleach manufacturers.
. Odyssey Manufacturing Company's manufacturing facility is the only facility in the State of
Florida fed directly off of the transmission grid from its own substation. Thus. any service
restoration would most likely be significantly quicker in the event of a major hurricane.
. Odyssey Manufacturing is the only 24 hourI 7 day a week sodium hypochlorite manufacturing
operation in the State of Florida with a manned control room. Thus, we can respond quickly to
emergent customer needs.
. Odyssey has an agreement with a sodium hypochlorite manufacturer affiliated by some common
ownership (Sentry Industries in Miami, Florida) to serve as a backup source of bleach in the event
of a catastrophic event.
Ouality
Our sodium hypochlorite is a high strength product with superior ratio control and without all the
impurities that most bleach contains. Our bleach is NSF certified and made from a continuous as
opposed to a batch bleach plant. What this means to you, the Customer, is:
. Low or zero metal contaminants resulting in significantly slower Product degradation leading to
overall cost savin2S due to reduced sodium hvoochlorite consumotion
. Lower Maintenance Costs caused by pluggages and wear because of impurities in the bleach
. Improved Drinking and Effluent Water Quality
. Superior control of excess alkalinity of Product resulting in less overall chemical add itional
requirements and more stable chemical feed rates ( e.g., better pH control of your finished water)
. Less oxygen formation during storage and handling (e.g., which form bubbles in tank and lines)
resulting in reduced downtime and more accurate CI feed rates
. Lower levels of sodium chlorate formation resulting in improved water quality
. Lower suspended solids resulting in improved water quality and less feeder maintenance

. Minimal insoluble buildup on the inside of pipes and feeders resulting in less O&M
. Significantly lower levels of bromate than other bleach manufacturers (this became regulated in
drinking water for all plants beginning January of 2004)
Based on testing done by several water and wastewater plants, along with Sentry Industries, we are
the only sodium hypochlorite manufacturer in Florida who always passes the 3-minute Filter Test
procedure and have the best times ever recorded by Novachem Laboratory which is an industry leader
in sodium hypochlorite testing.
Service
. Odyssey's delivery fleet of tractors and trailers is brand new and our drivers are Odyssey
employees. We do not use "contract haulers". Our tankers are "state of the art" FRP tankers and
thus will not contaminate the product as can happen from the conventional steel-lined tankers.
Additionally, potential contamination is also eliminated since we only use our tankers to haul
sodium hypochlorite and no other products.
. We are the only sodium hypochlorite manufacturer who focuses primarily on municipal and
private water and wastewater treatment along with industrial customers.
. Odyssey guarantees delivery on 48 hours notice and most of the time can make deliveries on 24
hours notice or shorter.
. Odyssey has three "degreed" engineers in its company to provide support to its customers. Our
Operations Manager is a Chemical Engineer who has extensive experience in the production of
bleach, handling of acid and caustic, and repackaging of chlorine gas.
Service Work
Better quality bleach has historically not been available until Odyssey began manufacturing
operations. Thus, many customers who were satisfied with their current supplier became even more
satisfied with our bleach and many reported lower consumption levels because of the reduced
degradation. In addition to a high quality sodium hypochlorite, Odyssey is willing to provide repair
and maintenance services as requested and has done so as required at your facilities.
Odyssey Manufacturing has performed over five hundred ''turnkey'' sodium hypochlorite conversion
projects including TOHO Water Authority (Parkway WTP, Camelot WTP and Hannony WTP),
Orange County (ERF, NWRF, Cypress Walk WRF, University Shores WRF), Tampa Bay Water
(Cypress Creek and Surface WT plants), Winter Haven Cypress Wood WWT plant, Casselberry
wwr plant, Utilities, Inc. (Despinar, Wekiva WfIWWT plants), UCF WT plant, Titusville (Blue
Huron WWT plant and Osprey WWT plant), Manatee County WT plant, Manatee County SW WWT
plant, City of Bradenton WWT plant, Sarasota County Venice Gardens RO plant, Siesta Key repump
station, Sarasota County repump Station No. I, City of Casselberry 3-WT plants, Crystal River WWT
plant, City of Palmetto WWT plant, Sebring WWT and 4- WT plants, City of Mulberry WWT and 2-
WT plants, Palm Coast RO plant and WWT plant, Marco Island RO Plant, Deltona 17-WT plants,
Jacksonville Utilities Management WWT and WT plants, Lehigh Acres Booster Station, Lee County
North Reservoir, Gulf Environmental RO plant, Lake Fairways WT plant, South Martin County
WWT plant, and the City of Stuart WT plant. We have assisted with the design, engineering, startup,
tank installation and performed service work on numerous other conversions. All told, we have done
more conversion than all the engineers and contractors in the State of Florida combined. Weare also
a licensed plumbing contractor who has service agreements with most of the utilities in Florida
including the City of Cocoa. We have performed a significant amount of service work at your plants

including an emergency 6" CPVC line repair on a Saturday morning enabling the RO plant to keep
running during a period when you could not get enough water from Tampa Bay Water.
As your chemical supplier, we are available to provide any required assistance you might request and
have done so in the past.

Dear Mr. Friedrichs,
Odyssey Manufacturing Company is pleased to submit our proposal for the above referenced bid for
the sodium hypochlorite. In accordance with your instructions, we have enclosed one original and a
duplicate copy of the "Bid Fonns" and aU other requested documentation. Odyssey Manufacturing is
also pleased to offer the City of Pembroke Pines a bid price of$.795 per gallon for its Ultrachlor 12.5
Trade Percent sodium hypochlorite for one (1) year (NET 30). This price is fixed for one year and
there are no fuel surcharges, delivery fees or other hidden charges. Odyssey agrees to the one year
renewal subject to mutual agreement between Odyssey and Pembroke Pines after the first twelve
months. This Bid is offered under the terms and conditions outlined in the Pembroke Pines RFP No.
PSUT-08-0I. This proposal is for bulk deliveries to the Utilities Department facilities that allow
tanker access and are listed in the solicitation. All of the facilities listed in the solicitation meet these
criteria.
The following requested information is provided to assist in your Bid Evaluation:

Over the past eight years, Odyssey Manufacturing .Co. has provided superior service to most of the
utilities in Florida including never missing a delivery, providing emergency support on numerous
occasions and providing a significant amount oftechnical assistance. As you know, we are the only
chemical manufacturer/distributor that is open for manufacturing and deliveries 24 hours per day and
7 days per week (including holidays) and can be reached @800-0DYSSEY or facsimile (813) 630- .
2589. Additionally, Odyssey Manufacturing also agrees to provide unlimited technical assistance to
Martin County to assist it with its operations at no charge as part of the sodium hypochlorite supply.
Such assistance includes, but is not limited to, operator training sessions, startup services, site
inspections on behalf of the owner, drawing review, engineering and design. Odyssey has performed
over five hundred chemical system installations in the State of Florida and assisted with numerous
others. This is more than five hundred more than any other chemical supplier and also more than all
of the engineers and contractors in the State of Florida combined.
Odyssey Manufacturing Co. represents the newest trend in the water treatment business - Chloralkali
bleach superplants as a disinfection alternative. Odyssey Manufacturing is a new venture that
manufactures bulk sodium hypochlorite utilizing a Kvaemer Chemetics chlor-alkali plant integrated
with a Powell Continuous Bleach Plant. We are focused primarily on municipal and private water.

primarily to serve many the Customers who are'switching from chlorine gas to bulk sodium
hypochlorite and need a competitively priced, reliable, high quality supply of sodium hypochlorite.
As the only chlor-alkali manufacturing facility in Florida, we can offer a unique combination of high
quality combined with a very competitive cost structure. We make our raw materials (chlorine and
caustic) on-site out of purified salt and demineralized water utilizing a membrane cell electrolysis
process. Not only does this process result in high quality b.leach, but also makes our product cost
very competitive as we do not have to payOut of state third parties to make the raw materials for us
and have them shipped down by railcarl. As you know, railoar shipments to Florida have been
suspended on ten occasions over the past couple of years for up to four days due to terrorist threats
and hurricanes. Thus, we are able to offer fixed pricing which is a major benefit to our customers as
they consider alternative disinfectant systems. Additionally, this provides us a significantly higher
level of reliability than any other Florida sodium hypochlorite manufacturer as we are not dependent
on railcar shipments of chlorine gas into Florida.
Odyssey combines great service with the best quality bleach in Florida. Our sodium hypochlorite is a
high strength product (12.5 Trade Percent Available Chlorine) with superior ratio control and without
all the impurities that most bleach contains. What this means to you the Customer is:

SEcrION IV FIRST AID MEASURES
INHALATION: Remove from exposure and get fresh air. Use a bag valve mask or similar device to perform
artificial respiration (rescue breathing) ifneeded. Keep warm and at rest Get medical attention immediately if
artificial respiration is required.
SKIN CONTACT: Remove contaminated clothing,jewelry, and shoes immediately. Flush affected area with large
amounts of water, preferably a safety shower. Use soap or mild detergent and large amounts of water until no
evidence of chemical remains (at least 15-20 minutes). For burns, cover affected area securely with sterile, dry,
loose fitting dressing. Ifskin is bwncd, get medical attention immediately.
EYE CONTACT: Wash eyes immediately with large amounts of water, occasionally lifting upper and lower lids,
until no evidence of chemical remains (at least 15 minutes). Continue irrigating with a normal saline solution
until ready to transport to physician. Cover with sterile bandages. Get medical attention immediately.
INGESTION: Rinse mouth with water. Drink large quantities ofmilk (water ifno milk is available). Milk of
magnesia may be helpfUl. DO NOT USE ACIDIC ANTIDOTES SUCH AS SODIUM BICARBONATE.
When vomiting occurs, keep head low,er than hips to help prevent aspiration. Ifperson is unconscious, do not
induce vomiting and turn their head to the side. Never make an unconscious person vomit or drink fluids. Get
medical attention.
NOTE TO PHYSICIAN: For inhalation, consider oxygen. For ingestion, avoid gastric lavage, emesis, sodium
bicarbonate and acid solutions. Consider the use of antacids.

FIRE AND EXPLOSION HAZARDS: Negligible fire ha.7Md. Oxidizer. This material will react with some metals
and cause liberation of oxygen. May ignite or explode on contact with combustible materials. Toxic fumes can
be liberated by contact with acid or heat.
EXTINGUISHING MEDIA: Regular dry chemical, carbon dioxide, water, or foam suitable for surrounding fire.
For large fires, use regular foam or flood with fine water spray.
FIRE FIGHTING: Wear self-contained breathing apparatus and full protective clothing. Move container from fire

SECTIONVI ACCIDENTAL RELEASE MEASURES
OCCUPATIONAL RELEASE: Do not touch spilled material. Stop leak ifpossible without personal risk. For
small spills, collect spilled material in appropriate container for disposal and consider absorbing with sand or
other non-combustible material (e.g., do not use sawdust or other combustible material). Be advised, however,
that the use of absorbing material is creating hazardous waste and this absorbing material must now be disposed
of properly. Collect spilled material in appropriate container for disposal. For small dry spills, move containers
away from spill to a safe area. For large spilJS.dikefor later disp6sa1. Ifpossible, do not allow material to enter
sewers, streams, ponds or storm conduits as concentrated solutions will seriously injure aquatic life. Keep
unnecessary people away, isolate hazard area and deny entry. Contain in as small an area as possible, such as a
holding area for dilution and neutralization. Contain spill in plastic drums when available. Dispose ofin
accorilance with Federal, State, and local regulations. Personnel engaged in cleanup operations must be
equipped with NIOSH approved respirator protection, rubber boots, gloves, and clothing to avoid body contact.

other cleaning agents that may hberate chlorine gas vapors (e.g., acidic agents).
Store and handle in accordance with all current regulations and standards including NFP A 430 Code for the Storage
of Liquid and Oxidizing Materials.

HEALTH EFFECTS:
INHALATION
ACUTE EXPOSURE: May cause severe bronchial irritation, sore throat with possible blistering, coughing,

stomatitis, nausea, labored breathing. shortness of breath and pulmonary epedema. 10-20 mg/m3 causes
burning of the nose and throat; 40-60 mg/m3 may be fatal. If sufficient amounts are absorbed, may cause
effects as detailed in acute ingestion.
CHRONIC EXPOSURE: No data available.
SKIN CONTACT
ACUTE EXPOSURE: Extent of damage depends on concentration, pH, volume of solution and duration of
contact. May cause redness, pain, blisterin& itchy eczema and chemical bwns. Sensitization reactions are
possible in previously exposed persons. . .
CHRONIC EXPOSURE: Effects depend on .concentration and duration of exposure. Repeated or prolonged
contact with corrosive substances may result in dermatitis or effects similar to acute exposure. Allergic
dermatitis has also been reported.
EYE CONTACT
ACUTE EXPOSURE: May cause redness, pain, and blurred vision. Solutions of 5% splashed in human eyes
have caused a burning sensation and later only slight superficial disturbance of the corneal epithelium which
cleared completely in the next day or two without special treatment. However, one animal stUdy reports a 5%
solution causing only moderate irritation with clearing within 7 days. A higher concentration of 15% tested
on rabbit eyes caused immediate severe pain, hemorrhages, rapid onset of ground-glass appearance of the
corneal epithelium, moderate bluish edema of the whole cornea, chemosis and discharge for several days.
Such eyes have sometimes healed in 2-3 weeks with slight or no residual corneal damage but they had
neovascularization of the conjunctiva and distortion of the nictitating membrane by scarring.
CHRONIC EXPOSURE: Depending on concentration and duration of exposure, symptoms may be as those of
acute exposure.
INGESTION
ACUTE EXPOSURE: May cause irritation and erosion of the mucous membranes, vomiting (possibly bloody)
and abdominal pain and spasms. A drop in blood pressure, shallow respiration, edema (possibly severe) of
pharynx, larynx, and glottis, confusion, convulsions, delirium and coma may occur. Cyanosis and circulatory
collapse are possible. Esophageal or gastric perforation and strictures are rare. Death may occur, usually due to
complications of severe local injury such as toxemia, shock, perforations, hemorrhage, infection and
obstruction. Massive ingestions may produce fatal hyperchloremic metabolic acidosis or aspiration
pneumonitis.
CHRONIC EXPOSURE: Sensitization reactions are reported in individuals who are exposed in small amounts
through their water supply. High doses have caused sperm abnormality in mice.

SUCCESSFUL BIDDER'S RESPONSIBILITY:
Shipments shall bear warning labels as specified by USDOT regulations.

The delivery site is located within a well field zone. Proper handling and delivery
procedures shall comply with the Department of En vir ohm ental Resources Management

GENERAL CONOITIONS,INSTRUCTIONS AND INFORMATION FOR BIDDERS.
1. SUBMISSION AND RECEIPT OF BIDS
A. Proposals, to receive consideration, must be received prior to the specific time
opening as designatedinthe ihvilalion.
B. Unless otherwise specified, bidders must use ttle proposal form furnished by the
City. Failure to do so may cause the bid to be rejected. Removal of any part of
the bid may invalidate the bid.
C. Proposals having any erasures or corrections must be initialed by bidder in ink.
Bids shall be signed in ink. All quotations shall be typewritten or filled in with pen
and ink.
2. WARRANTIES FOR USAGE:
Whenever a bid is sought, seeking a source of supply for a specified time for materials or
service, the quantities or usage shown are estimated only. No guarantee or warranty is
given or implied by the City as to the total amount that mayor may not be purchased
from any resulting contracts. These quantities are for bidders information only and will be
used for tabulation and presentation of bid.
3. PRICES TO BE FIRM:
Bidder warrants by virtue of bidding that prices, terms, and conditions quoted in his bid
will be firm for acceptance for a period of sixty (60) days from date of bid opening unless
otherwise stated by the City or bidder.
4. DELIVERY POINT:
All items shall be delivered F.O.B. destination, and delivery cost and charges included in
the bid price. Failure to do so may be cause for rejection of bid.
5. BRAND NAMES:
If and wherever in the specifications a brand name, make,name of manufacturer, trade
name, or vendor catalog number is mentioned, it is for the purpose of establishing a
grade or quality of material only; Since the City does not wish to rule out other
competition and equal brands ormakes, the phrase .OR EQUAL" is added. However, if
a product other than that specified is bid, it is the vendors responsibility 10 name such a .
product is equal to that specified. Evidence in the form of samples may be requested if
brand is other than that specified. Such samples are to be furnished before the date of
bid opening, unless otherwise specified.
6. QUALITY:
All materials used for the manufacture or construction of any supplies, materials, or
equipment covered by this bid shall be new, the latest model, of the best quaIHy, and
highest grade workmanship, unless otherwise noted.
7. SIGNATURE REQUIRED:
All quotations must be signed wilh the firm name and by an officer or employee having
authority to bind the company or firm by his signature. FAILURE TO PROPERLY SIGN
PROPOSAL SHALL INVALIDATE SAME. AND IT MAY NOT BE CONSIDERED FOR
AWARD

The material delivered under this proposal shall remain the property of the seller until a
physical inspection and actual usage of this material and/or services is made and
thereafter accepted to the satisfadion of the City and must comply with the tenns herem,
and be fully in accord with specifications and of the highest quality. In the cvent the
material and/or services supplied to the City are found to be defective or do not conform
to specifications, the City reserves the right to cancel the order upon written notice to the
seUer and return product to seller at the sellers expense.
9. VARIATIONS TO SPECIFICATIONS:
The specifications, as set forth, are guideline specifications only_ The specifications do
not have to be strictly adhered to; however, any variation to these specifications must be
specifically listed and included with the bid documents. Any variation to these
specifications must be within reason, and must meet minimum bid specifications.
10. DELIVERY;
Time will be of the essence for any orders placed as a result of this bid. Purchaser
reserves the right to cancel such orders, or part thereof, without obligation if delivery is
not made at the time(s) or place(s) specified.
11. DEFAULT PROVISION:
In the case of default by the bidder or contractor, the City of Pembroke Pines may
procure the articles or services from any other sources and hold the bidder or contractor
responsible for any excess costs occasioned or incurred thereby.
12. PRICING:
Prices should be stated in units of quantity specified in the bidding specifications. In case
of discrepancy in computing the amount of the bid, the unit prices quoted will govern.
13. COPYRIGHT OR PATENT RIGHTS:
Bidder warrants that there have been no violations of copyrights or patent rights in
manufacturing, producing, or selling other goods shipped or ordered as a result of this
bid, and seller agrees to hold the purchaser harmless from any and aU liability, loss or
expense occasioned by such violation.
14. SAMPLES:
Samples, when requested, must be furnished before, or at the bid opening, unless
otherwise specified, and delivered free of expense to the City and if not used in testing or
destroyed, will upon request within thirty (30) days of bid award be returned at the
bidders expense.
15. TAXES:
The City of Pembroke Pines is exempt from any taxes imposed by state and/or Federal
Government. Exemption certificates certified on request. (Not applicable on construction
remodeling projects.)

The signed bid shall be considered an offer on the part of the bidder or contractor, which

Pembroke Pines and in case of default on the part of the bidder or contractor after such
acceptance, the City of Pembroke Pines may take such action as it deems appropriate
including legal action for damages or specific perfonnance.
19. RESERVATIONS FOR REJECTION AND AWARD:
The City of Pembroke Pines reserves the right to accept or reject any and all bids or parts
of bids, to waive irregularities and technicalities, and to request rebids. The City also
reserves the right to award a contract on such items(s) or service(s) the Cily deems will
best serve its interests. All bids shall be awarded to the most responsive/responsible
bidder, provided the (Cily) may for good cause reject any bid or part thereof. It further
reserves the right to award a contract on a split order basis, or such combinations as
shall best serve the interests of the Cny unless otherwise specified. No premiums,
. rebates or gratuities pennitted, either with, prior to, or after award. This practice shall
result in the cancellation of said award and/or return of items (as applicable) and the
recommended removal of bidder from bid list(s).
20. CONFLICT OF INSTRUCTIONS:
If a conflict exist between the General Conditions and Instructions stated herein and
specific conditions and instructions contained in proposal fonn, the proposal form shall
govern.
21. LAWS AND REGULATIONS:
All applicable laws and regulations of the Federal Government, State of Florida and

22. DAVIS-BACON & RELATED ACTS:
Contractors or their subcontractors are required to compiy with a/l aspects of the Davis
Bacon Act as it applies to construction, alternations or repairs of public buildings or publiC
works.
The Davis-Bacon Act requires that each contract over $2.000 to which the United States
or the District of Columbia is a party for the construction, alteration, or repair of public
buildings or public works shalf contain a clause setting forth the minimum wages to be
paid to various classes of laborers and mechanics emp/oyed under the contract. Under
the provisions of the Act, contractors or their subcontractors are to pay workers employed
directly upon the site of the work no less than the locally prevailing wages and fringe

The law restricts the percentjige of payment that local governments may withhold from
contractors during construction. Once a construction project is substantially completed,
the law requires local governments to develop a list of items (punch list) for tinal
acceptance of construction services. ~218. 70, Florida Statutes.
24. FLORIDA MUNICIPAL CONSTRUCTION INSURANCE TRUST
The Contractor may be required to participate in the Florida Municipal Construction
Insurance Trust (FMCI) program. This program provides members with a vehicle by
which they may purchase certain insurance coverage through owner controlled insurance
programs (OCfP) which are intended to be a comprehensive insurance product that
covers specified risks associated with contractors and subcontractors performing the
construction of member's public facilities.
25. TAX SAVER PROGRAM
The Contractor shall cooperate on certain projects to allow the City to avail itself of a
sales tax savings program.
26. PUBLIC ENTITY CRIMES:
· A person or affiliate who has been placed on the convicted vendor list following a
conviction for a public entity crime may not submit a bid on a contract to provide any
goods or services to a public entity, may not submit a bid on a contract with a public
entity for the construction or repair of a publiC building or public work, may not submit
bids on leases of real property to a public entity, may not be awarded or perform work as
a contractor, supplier, subcontractor, or consultant under a contract with any public entity,
and may not transact business with any public entity in excess of the threshold amount
provided in Section 287.017, for CATEGORY TWO for a period of 36 months from the
dale of being placed on the convicted vendor list..

The Contractor shall not commence work under this contract until he has obtained all insurance
required under this paragraph and such insurance has been approved by the Risk Manager of the
city nor shall the Contractor allow any Subcontractor to commence work on his sub-conttaCI until
all similar such insurance required of the subcontractor has been obtained and approved.
CERTIFICATES OF INSURANCE, refleding evidence of the required insurance, shall be filed
with the Risk Manager prior to the commencemeht of the WORK. These Certificates shall
contain a provision that coverages afforded under these policies shall not be canceled until at
least thirty (30) days prior wrillen notice has been given to do business under the laws of the
State of Florida. Financial Ratings shall be no less than "A" in the latest edition of "Bests Key
Rating Guide", published by A.M. Best Guide.
Insurance shall be in force until all work required to be performed under the terms of the Contract
is satisfactorily completed as evidenced by the formal acceptance by the City. In the event the
insurance certificate provided indicates that the insurance shall terminate and lapse during the
period of this contract, then in the event, the Contractor shall furnish, at least thirty (30) days prior
to the expiration of the date of such insurance, a renewed certificate of insurance as proof that .
equal and like coverage for the balance of the period of the contract and eJdension thereunder is
in effect. The Contractor shall not continue to work pursuant to this contract unless all required
insurance remains in full force and effect.
The Contractor shall hold the City of Pembroke Pines, Florida, their agents, and employees.
harmless on account of claims for damages to persons, property or premises arising out of the
operations to complete this contract and specificallv name the City as an additional insured under
their policv.
The City reserves the right to require any other insurance coverage it deems necessary
depending upon the exposures.
