ISSUE:
Should the Honorable Mayor and City Commissioners approve the Hackney Prairie Relief School Site Tri -Party
Interlocal Agreement between the City of Ocoee, Orange County Public Schools, and Orange County?
DISCUSSION:
The proposed Hackney Prairie Relief School is proposed to be open in 2013. The site straddles the municipal
boundaries of the City of Ocoee and unincorporated Orange County. The largest portion of the site, approximately
13 acres, lies within unincorporated Orange County. The rest of the site, approximately three (3) acres, is within
the City Limits of Ocoee. The three (3) acres in Ocoee will contain a stormwater retention pond only.
Recognizing the complexities involved in developing a site within multiple jurisdictions and to ensure the timely and
efficient construction of the elementary school site, the City of Ocoee, Orange County Public Schools, and Orange
County have resolved to memorialize a Tri -Party Interlocal Agreement ( "ILA ") that will provide: (i) a process by
which the plan for development shall be reviewed, and (ii) various conditions of that development. The City of
Ocoee, Orange County Public Schools, and Orange County have participated in 2 community meetings in order to
identify and address the concerns of residents living around the school site.
The ILA shall incorporate the following conditions:
• OCPS shall submit a land use plan and development plan to Orange County for approval. The City agrees
to allow the venue for development review of the entire school site to be the Orange County Development
Review Committee ( "DRC "). The City shall be provided an opportunity to provide comments and
suggestions to the DRC as part of the review process.
• No waivers shall be requested for school site acreage as the site will be considered in its entirety'
regardless of municipal jurisdiction.
• Water, wastewater and reclaimed water service shall be provided to the school site without annexation of
the site into the City limits.
• Offsite improvements to Hackney Prairie Road from its eastern terminus at the Remington Oaks
subdivision to the edge of the City's Forest Oak Water Treatment Plant driveway; improvements to Timber
Ridge Trail from its southern terminus at the Sawmill subdivision to the edge of Hackney Prairie Road; and
improvements to connect Rich Drive to Hackney Prairie Road shall be made by OCPS.
• Conveyance of land from the City to OCPS to facilitate the offsite improvements and improve access to
that portion of the property located in the City.
The Orange County Board of County Commissioners will consider this ILA sometime in August 2011.
STAFF RECOMMENDATION:
Staff recommends that the Honorable Mayor and City Commissioners approve the Hackney Prairie Relief School
Site Tri -Party Interlocal Agreement between the City of Ocoee, Orange County Public Schools, and Orange
County.

TRI -PARTY INTERLOCAL AGREEMENT
THIS TRI - PARTY AGREEMENT (hereinafter "Agreement ") is made and entered
into by and among the Board of County Commissioners of Orange County, Florida, a
charter county and political subdivision of the State of Florida, whose post office address is Box
1393, Orlando, Florida 32802 -1393 (hereinafter, "the County "), the City of Ocoee, a municipal
corporation existing under the laws of the State of Florida, whose address is 150 N. Lakeshore
Drive, Ocoee, Florida 34761 (hereinafter, " the City "), and the School Board of Orange
County, Florida, a public corporate body existing under the constitution and laws of the State
of Florida, whose address is 445 West Amelia Avenue, Orlando, Florida 32801 (hereinafter,
"OCPS ").
WITNESSETH:
WHEREAS, OCPS is the owner of certain real property more particularly described in
attached Exhibit "A" (OCPS Real Estate Inventory No.: 19- E -N -7), (hereinafter the "School
Site ") a portion of which lies in unincorporated Orange County and a portion in the City of
Ocoee; and
WHEREAS, the School Site consists of the following separate tax parcels: (i) Parcel No.
03- 22 -28- 0000 -00 -046 being located in unincorporated Orange County and being depicted on
the attached Exhibit `B" (the "OCPS- County Property "), and (ii) Parcel No. 03-22-28- 0000 -00-
007 being located within the corporate limits of the City of Ocoee and being depicted on the
attached Exhibit "C" (the "OCPS -Ocoee Property "); and
WHEREAS, the overall School Site is depicted on the attached Exhibit "D "; and
WHEREAS, OCPS, the County, and the City wish to continue a good working
relationship that ensures the timely and efficient construction of an elementary school on the
School Site; and
WHEREAS, OCPS, the County and the City have agreed to expedite the development
review process by allowing the County to be the venue for development review and the City
shall participate in such venue; and
WHEREAS, prior to the approval of this Agreement, a community meeting has been
held by OCPS with participation by both the County and the City and that all aspects of the

development contemplated by this Agreement, including the improvements to Rich Drive, were
discussed at such meeting; and
WHEREAS, OCPS is in the process of obtaining the necessary land use and
design /development approvals for construction of an elementary school on the School Site; and
WHEREAS, the County and the City have requested that certain offsite infrastructure
improvements be made by OCPS immediately adjacent of the School Site; and
WHEREAS, OCPS, the County, and the City wish to memorialize those agreed upon
rezoning and design /development review procedures and offsite improvements in this
Agreement; and
WHEREAS, OCPS, the County, and the City have authority pursuant to section 163.01,
Florida Statutes, to enter into interlocal agreements.
NOW THEREFORE, in consideration of the covenants and conditions herein and for
other good and valuable consideration, each to the other given, the receipt and sufficiency of
which is hereby acknowledged by all parties, OCPS, the County, and the City hereby agree as
follows:
1. RECITALS. The foregoing recitals are true and correct and are incorporated herein
by this reference.
2. ZONING. OCPS shall submit that land use plan attached hereto as Exhibit "E"
(hereinafter the "Conceptual LUP ") as part of OCPS's rezoning application to the County. The
LUP shows the OCPS -Ocoee Property in order to lend context to the overall design of the School
Site. However, the County's approval of a change in zoning from R -CE -C to the Planned
Development (PD) classification, if granted by separate approval process, shall only apply to the
OCPS- County Property (hereinafter "County Rezoning ").
3. DEVELOPMENT REVIEW PROCEDURE. OCPS shall submit that development
plan attached hereto as Exhibit "F" (hereinafter the "Conceptual DP ") to Orange County as part
of OCPS's application for development plan ( "DP ") approval. The City agrees to allow the
venue for design/development review of the entire School Site to be the Orange County
Development Review Committee (hereinafter "DRC ") , upon the condition that no structures or
improvements shall be located within the OCPS -Ocoee Property except for those related to the
stormwater management system for the School Site. The City shall be provided an opportunity to
provide comments and suggestions to OCPS, County and DRC as part of DRC's review and
approval of the DP. Any plans and /or permits, or revisions thereto, related to the School Site,
including but not limited to the Conceptual LUP and the Conceptual DP, shall be submitted by
OCPS to the City concurrent with any submittal to the County. The City and the County shall
both have the same time period within which to review and comment on any such submittal. The
City shall receive at least 5 days prior notice of any DRC or Board of County Commissioners
meeting at which matters related to the School Site will be considered. All plans related to the
School Site (i) shall incorporate the types of site features which have been typically required by

the City for schools constructed within the corporate limits of the City, including fencing,
lighting, stormwater management, utilities and access issues, (ii) shall provide for the off -site
improvements referenced in Section 8 hereof, and (iii) shall otherwise be consistent with this
Agreement. Any comments by the County and /or the DRC thereon shall be provided by the
County to the City concurrent with its delivery to OCPS. The DRC and the County shall not
take any actions or grant any approvals with respect to the School Site which in any way conflict
with the provisions of this Agreement. The City shall be provided an opportunity to comment on
all OCPS submittals to the County with respect to the School Site. OCPS and the County shall
consider in good faith any comments made by the City; provided, however, that OCPS shall be
required to make any changes requested by the City which ensure an OCPS submittal is
consistent with this Agreement.
4. COMMUNITY AND PUBLIC MEETINGS. As to the County Rezoning, pursuant to
Orange County Code section 38 -1759 (a) and (b), prior to OCPS's submission of is LUP
application, OCPS shall schedule a community meeting, mail out notices of the community
meeting, publish in a newspaper of general circulation notice of the community meeting and
host the community meeting. The district Commissioners of the County and City along with the
district County Planning and Zoning Commissioner and appropriate City and County staff shall
be invited to the community meeting and to all public hearings.
5. WAIVERS. A waiver of Orange County Code section 38 -1755 (1)(a) shall not be
required since the entire School Site, regardless of municipal jurisdiction, includes lands the
total acreage of which, once developed, shall be approximately 16.63 acres.
6. UTILITIES. The School Site is located in the wastewater and water territorial areas of
the City as set forth by the Territorial Agreements by and between the City and the County. City
policy requires that property receiving sewer and water service from the City be annexed as a
condition for the receipt of such service. The School Site is located within the Clarcona Rural
Settlement and under the terms of a pre- existing Joint Planning Area Agreement between the
City and the County cannot be annexed into the City. Accordingly, subject to the terms and
conditions set forth herein, the City agrees to provide sewer, water and reuse service to the
School Site without such property being annexed into the City. Therefore, in consideration for
the City's agreement to provide sewer, water and reuse service to the School Site, OCPS agrees
as follows:
A. OCPS will pay to the City the sewer and water capital charges for a customer located
outside of the corporate limits of the City;
B. OCPS will pay the monthly charges for sewer and water service (and, if applicable,
reuse water) for a customer located outside of the corporate limits of the City;
C. The wastewater utility plan for the School Site will provide for a stub -out to connect
to the Forrest Oaks Water Plant;
D. The wastewater, water and reuse utility plans for the School Site will be subject to the
review and approval of the City based on the City of Ocoee Utility Standards; and
E. OCPS will be responsible, at its expense, for extending sewer and water lines to the
School Site in accordance with the connection points set forth on the Conceptual DP.

7. DRAINAGE IMPROVEMENTS /PONDS. OCPS shall be responsible for obtaining
all permits and approvals from St. Johns Water Management District (hereinafter the
"SJRWMD ") which shall be necessary for the construction of those drainage improvements for
the School Site shown on the DP (hereinafter the "Drainage Improvements "). OCPS shall, at its
own cost and expense, g Improvements the Drainage Im rovements to be constructed in accordance with
the DP and with the permits issued by the SJRWMD provided, however, that OCPS shall,
simultaneously to its submittal to SJRWMD, also submit all drainage calculations to County and
City for review and comment. OCPS will meet within the School Site, and /or in accordance with
any County standard roadway design for stormwater management, the requirements for any
additional stormwater as a result of the improvements referenced in Section 8.A and 8.B below.
The City will be provided on a timely basis with copies of all County and SJRWMD permits
issued with respect to the Drainage Improvements and stormwater management system for the
School Site.
8. OFFSITE IMPROVEMENTS. It is the desire of the parties involved to provide
adequate and safe access to the School Site. The following offsite improvements shall be made
to the right -of -ways adjacent to the School Site.
A. HACKNEY PRAIRIE ROAD. The following improvements shall be made to

Hackney Prairie Road at the sole cost of OCPS:
i. Improvements & Sidewalks: OCPS shall improve Hackney Prairie Road
from its existing eastern terminus at the Remington Oaks subdivision to
the eastern edge of the City of Ocoee's Forest Oak Water Treatment
Plant's (hereinafter the "Water Treatment Plant ") driveway. OCPS shall
construct a sidewalk along the northern side of Hackney Prairie Road
which shall terminate on the western edge of Timber Ridge Trail. OCPS
shall not make any road improvements on Hackney Prairie Road beyond
the western edge of the Water Treatment Plant's driveway. The road and
sidewalk improvements described in this section 8(A) are more
specifically shown in attached Exhibit "G ", (hereinafter "Hackney Prairie
Road Improvements ").
ii. Traffic Analysis. The City will be provided with a copy of any traffic
analysis which may be required by the County and will be given an
opportunity to provide comments with respect thereto. In this regard, the
Hackney Prairie Road Improvements will address traffic signage,
pedestrian warning signals, and turn lane improvements at Rich Drive and
Timber Ridge Trails and any other matters identified in any such traffic
analysis.
iii. Right -of -Way: To the extent necessary to construct the Hackney Prairie
Road Improvements, OCPS shall donate to the County the minimum right -
of -way necessary. However, under no circumstances, shall OCPS be
required to obtain additional real property for right -of —way.

B. TIMBER RIDGE TRAIL. The following improvements shall be made to Timber
Ridge Trail at the sole cost of OCPS:
i. Improvements & Sidewalks: The City has requested and OCPS has
agreed that OCPS shall improve Timber Ridge Trail as a public street
from its existing southern terminus at the Sawmill subdivision to the
northern edge of Hackney Prairie Road. OCPS shall construct a sidewalk
on the western side of Timber Ridge Trail. The road and sidewalk
improvements described in this section 8(B) are more specifically shown
in attached Exhibit "H ", (hereinafter the "Timber Ridge Trail
Improvements ").
ii. Right -of -Way: To the extent necessary to construct the Timber Ridge
Trail Improvements, OCPS shall donate to the County the minimum right -
of -way necessary for a public street. However, under no circumstances,
shall OCPS be required to obtain additional real property for right -of —
way.
iii. Conveyance of Tracts J & L: The City owns fee simple title to (i) Tract J
of the Plat of Sawmill Phase II, according to the Plat thereof as recorded in
Plat Book 25, Pages 86 -88 of the Public Records of Orange County,
Florida ( "Tract J "), and (ii) Tract L of the Plat of Sawmill Phase II,
according to the Plat thereof as recorded in Plat Book 25, Pages 86 -88 of
the Public Records of Orange County, Florida ( "Tract L "), Tracts J and
L intersect with Timber Ridge Trail, have never been improved and are
vacant land. The City agrees that it is in the public interest to incorporate
Tract L into the School Site for access thereto and for Tract J to be
conveyed to the County as a public roadway. Therefore, the City shall
convey by quit claim deed Tract L to OCPS and Tract J to the County
within sixty (60) days following the date of final approval of the DP by the
County if DP is approved. Such conveyance shall be expressly subject to
matters of record, including matters shown on the Plat of Sawmill Phase II
and matters set forth in the deed from Sawmill Homeowners Association,
Inc. to the City as recorded in Official Records Book 5273, Page 1692,
Public Records of Orange County, Florida. Such conveyances shall be "as
is, where is ", without any warranty or representations being made by the
City.
C. RICH DRIVE. Subject to satisfaction of the condition of City approval, the
following improvements shall be made to Rich Drive at the sole cost of the
OCPS:
i. Improvements & Sidewalks: Rich Drive currently dead -ends on the south
side of Hackney Prairie Road and does not connect to Hackney Prairie
Road. Rich Drive is a City maintained right -of -way. The City has

requested that OCPS: (a) extend Rich Drive north to connect to Hackney
Prairie Road, (b) extend the sidewalk located to the west of Rich Drive to
the southern edge of Hackney Prairie Road, (c) construct curbing and
guttering to the east and west of that portion of Rich Drive which OCPS
constructs to match the existing curbing and guttering along Rich Drive
and (d) construct a pedestrian crosswalk from the southern side of
Hackney Prairie Road to the new sidewalk on the north side of Hackney
Prairie Road. The road, sidewalk, curbing and guttering improvements
described in this section 8(C) are more specifically shown in attached
Exhibit "I ", (hereinafter the "Rich Drive Improvements "). OCPS agrees
to make the Rich Drive Improvements.
ii. Right -of -Way: The Rich Drive Improvements shall be designed and
constructed so as to be located within the existing right -of -way.
iii. Improvements Not Approved: Should the City not approve the entirety of
the Rich Drive Improvements, OCPS shall make those improvements
called for in Section 8(C)(i)(b) upon City's approval of same.
9. SOVEREIGN IMMUNITY. Nothing herein shall be construed as a waiver of
OCPS's, the County's or the City's sovereign immunity provided under Section 768.28, Florida
Statutes, as same may be amended from time to time. The terms of this paragraph shall survive
any termination of this Agreement.
10. MISCELLANEOUS PROVISIONS
A. No Entitlement. The parties agree that this Agreement shall not be construed to
provide development approval for any activity connected to the School Site. Exhibits E and F,
attached hereto, are conceptual and for illustration purposes only and are not deemed to be
approved by this Agreement. The Conceptual LUP and Conceptual DP for the School Site shall
be subject to final review and approval as provided in this Agreement.
B. No Other Parties. The parties acknowledge that approval of any plans for this
area and School Site are subject to independent approval by the appropriate Boards and staff.
Therefore, this Agreement is an administrative agreement generated solely for the benefit of the
parties hereto and no right or cause of action shall accrue by reason of or for the benefit of any
third party. Nothing in this Agreement, expressed or implied, is intended nor shall it be
construed to confer upon or give any person or entity any right, remedy, or claim under or by
reason of this Agreement or any provisions or conditions hereof, other than the parties hereto and
their respective representatives, heirs, successors, and assigns.
C. Laws of Florida. This Agreement shall be construed, interpreted and controlled
according to the laws of the State of Florida.
D. Settlements in Orange County. All disputes regarding this Agreement shall be
processed in accordance with Florida Statutes Chapter 164, Governmental Disputes, if and as

applicable. In the event legal action results after all efforts are made at resolution of any dispute,
venue shall be in the 9 judicial circuit, Orange County Florida.
E. Entire Agreement. This Agreement constitutes the entire agreement between the
parties and supersedes all previous discussions, understandings and agreements with respect to
the matters set forth herein. No amendment to the Agreement shall be made except in writing
signed by the parties hereto.
F. Severability. If any sentence, phrase, paragraph, provision or portion of this
Agreement is held invalid or unconstitutional by a court of competent jurisdiction, such portion
shall be considered an independent provision and the finding shall have no effect on the validity
of the balance of this Agreement.
G. Effective Date. This Agreement shall be effective upon execution by the parties
hereto.
H. Non - Waiver. The failure of any party to insist upon the other party's compliance
with its obligations under this Agreement in any one or more instances shall not operate to
release such other party from its duty to comply with such obligations in all other instances.
I. Execution in Counterparts. This Agreement may be simultaneously executed in
counterparts, each of which shall be an original and all of which shall constitute the same
instrument.
J. Incorporation of County Policies. This Agreement shall be read in conjunction
with and subject to County regulations, policies, resolutions and ordinances, unless otherwise
exempt under Florida law.
11. NOTICES. All notices required under this Agreement shall be in writing and shall be
given by hand delivery, acknowledged electronic transmission or United States mail, first class
postage prepaid, addressed as follows (or to any such other address or office as a party may
designate in writing):
