Department Director: Contact Number: 407 - 905 -3100, ext. 1504 City Manager: f`^ Subject: Interlocal Agreement between Orange County and the City of Ocoee Regarding Jurisdiction to Operate and Maintain Certain Local Roads (City Wide) Background Summary: For the past fifteen years the City of Ocoee and Orange County have been negotiating language to set parameters for an Agreement to be able to transfer the operation and maintenance jurisdiction of certain local roads from Orange County to the City. During that time period there have been many areas within the City limits where property is still zoned as being within Orange County and as it develops the property is annexed into the City. The adjacent roads which were the County's jurisdiction were not annexed or transferred. Orange County had been attempting to transfer portions of roads by simply writing a letter to the City telling staff that a particular portion of a road from an intersection to the next intersection was now the City's jurisdiction. Florida Statutes require that roadway transfers between the County and the City be done by mutual Agreement. The Interlocal Agreement allows for the transfer of local County roads to the City based upon the annexation of property into the City. When the property along both sides of a portion of road between two intersections that is within and /or has been annexed into the City exceeds 50% of the road length between those intersections, then the operation and maintenance of that portion of road will transfer from the County to the City. Exhibit A of the Agreement identifies eleven road segments that this 50 +% Rule would already apply. It is understood that some of these segments may have been constructed for the City (Le.: north end of Clarke Road), but the County has them listed as their jurisdiction. Additionally, some of the road segments have been maintained by the City for years and are shown on the County's road system. See the attached figure for the location of these road segments. Exhibit B of the Agreement identifies roads that are excluded from falling under this Interlocal Agreement. Those roads are the numbered County Roads (CR 437 — Ocoee - Apopka Road and CR 439 — Clarcona -Ocoee Road) and portions of roads that lay along the boundary of the Joint Planning Area between the City and the County (McCormick Road, Parkridge -Gotha Road, and Good Homes Road). These road segments are also shown on the included figure. The Agreement also includes the transfer of the Road Impact fees paid by Unicorp, Inc. to Orange County for the development of the Maguire Shoppes phase II (Walgreen's and the multi -use commercial building). Those Road Impact fees total $346,376.43 and have been earmarked for the improvements to Roberson Road at the intersection with Maguire Road. Issue: Should the City approve the Interlocal Agreement between Orange County and the City of Ocoee Regarding Jurisdiction to Operate and Maintain Certain Local Roads? Recommendations Staff recommends that the City Commission approve the Interlocal Agreement between Orange County and the City of Ocoee Regarding Jurisdiction to Operate and Maintain Certain Local Roads and authorize the Mayor and City Clerk to execute the Interlocal Agreement. Attachments: Interlocal Agreement between Orange County and the City of Ocoee Regarding Jurisdiction to Operate and Maintain Certain Local Roads Financial Impact: Approval and execution of the Interlocal Agreement will not have any additional affect on the City's Budget because the City has already been maintaining these roadway segments for many years. RECITALS WHEREAS, the County has authority pursuant to Section 125.01, Florida Statutes, to enter into agreements; WHEREAS, the City has authority pursuant to Section 166.021, Florida Statutes, to enter into agreements; WHEREAS, all roads which are open and available for use by the public and dedicated to public use, according to law or by prescription, are declared to be and established as, pursuant to Section 335.01(1), Florida Statutes, public roads; WHEREAS, a "road" is defined by Section 334.03(23), Florida Statutes, as "a way open to travel by the public, including, but not limited to, a street, highway, or alley. The term includes associated sidewalks, the roadbed, the right -of -way, and all culverts, drains, sluices, ditches, water storage areas, waterways, embankments, slopes, retaining walls, bridges, tunnels and viaducts 1 necessary for the maintenance of travel and all ferries used in connection therewith "; WHEREAS, the term "road" as defined by Section 334.03(23), Florida Statutes, also implicitly includes, but is not limited to, curbs, guardrails, landscaping, and traffic control devices (such as signals and signs); WHEREAS, according to Section 335.01(2), Florida Statutes, public roads are divided into four systems, including the "county road system" and the "city street system "; WHEREAS, the "county road system" is defined by Section 334.03(8), Florida Statutes, as "all collector roads in the unincorporated areas of a county and all extensions of such collector roads into and through any incorporated areas, all local roads in the unincorporated areas, and all urban minor arterial roads not in the State Highway System "; WHEREAS, the "city street system" is defined by Section 334.03(3), Florida Statutes, as "all local roads within a municipality, and all collector roads inside that municipality, which are not in the county road system "; WHEREAS, a "collector road" is defined by Section 334.03(4), Florida Statutes, as "a route providing service which is of relatively moderate average traffic volume, moderately average trip length, and moderately average operating speed. Such a route also collects and distributes traffic between local roads or arterial roads and serves as a linkage between land access and mobility needs "; WHEREAS, an "urban minor arterial road" is defined by Section 334.03(33), Florida Statutes, as "a route that generally interconnects with and augments an urban principal arterial road and provides service to trips of shorter length and a lower level of travel mobility. The term includes all arterials not classified as `principal' and contain facilities that place more emphasis on land access 2 than the higher system "; WHEREAS, a "local road" is defined by Section 334.03(15), Florida Statutes, as "a route providing service which is of relatively low average traffic volume, short average trip length or minimal through - traffic movements, and high land access for abutting property "; WHEREAS, pursuant to Section 335.0415(1), Florida Statutes (2009), the "jurisdiction of public roads and the responsibility for operation and maintenance within the right -of -way of any road within the State, county, and municipal road systems shall be that which existed on June 10, 1995 "; WHEREAS, under Section 335.04(2), Florida Statutes (1993), the predecessor statute to Section 335.0415, Florida Statutes, each local government's responsibilities were expressly described therein, and the responsibility of a county for the operation and maintenance of any roads under its jurisdiction that extended into and through a municipality was limited to the roadbed, curbs, culverts and drains, but did not include sidewalks, embankments and slopes; WHEREAS, pursuant to Section 335.0415(2), Florida Statutes, any change of the jurisdiction of a public road after July 1, 1995, that is a part of a county road system or a city street system is governed by Section 335.0415(3), Florida Statutes; WHEREAS, pursuant to Section 335.0415(3), Florida Statutes, subsequent to July 1, 1995, public roads within the respective road/street systems of a county or a city may be transferred between those jurisdictions only by mutual agreement of those local governmental entities; WHEREAS, all the roads, or segments thereof, identified in Exhibit "A," attached hereto and incorporated herein by reference, are "local roads "; WHEREAS, by this Agreement the City desires to formally acknowledge that it is accepting and assuming jurisdiction over, to own in fee simple or accept dedication of (whichever is 3 applicable), and to operate, maintain, control, and have responsibility over, all the local roads, and segments thereof, identified in Exhibit "A," upon the effective date of this Agreement, pursuant to the terms of Section 2.A of this Agreement; WHEREAS, also, this Agreement is intended to address other local roads, and segments thereof, not identified in Exhibit "A," and presently in the County road system, for purposes of acting as a formal acknowledgement by the City of its jurisdiction and authority to operate and maintain those local roads, or segments thereof, upon annexation along those other local roads, and segments thereof, pursuant to the terms of Section 2.B of this Agreement. WHEREAS, this Agreement is not intended to apply and shall not be construed as applying to the subject of which party has jurisdiction to control traffic at intersections and along local roads (see Section 316.006, Florida Statutes); and WHEREAS, furthermore, this Agreement is not intended to apply and shall not be construed as applying to the subject of which law enforcement authority (the City's law enforcement authority or the Orange County Sheriff's Office) has jurisdiction to enforce traffic laws (see Section 316.640, Florida Statutes). NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the parties hereto agree as follows: 1. Recitals. The foregoing recitals are true and correct and are hereby incorporated herein by reference. 4 2. Jurisdiction of Certain Local Roads, and Segments of Local Roads; Effect of Certain Annexations; Excluded Roads. A. Local Roads Identified in Exhibit "A." The City accepts and acknowledges jurisdiction over the local roads, and segments of local roads, identified in Exhibit "A" attached hereto. B. Annexations Along or Adjacent to Other Local Roads; 50+% Rule. Additionally, the City accepts and acknowledges jurisdiction over any local road, or segment thereof, between two intersections if and when the City annexes land along or adjacent to such local road, or segment thereof (annexations that happen individually or cumulatively, whether before and/or after the effective date of this Agreement), where such annexation results in more than fifty percent (50%) of the total linear frontage along both sides of such local road, or segment thereof, between those two intersections being annexed into the City. For purposes of this Agreement, the total linear frontage along both sides of a local road, or segment thereof, between two intersections being annexed into the City means the total linear frontage along both sides of the local road, or segment thereof, between the east right -of -way line of the intersecting road on the west right -of -way line of the intersecting road on the east (or between the south right -of -way line of the intersecting road on the north to the north right -of -way line of the intersecting road on the south). C. "City Streets." The local roads, and segments thereof, that the City accepts and acknowledges jurisdiction over pursuant to Section 2.A and Section 2.B shall be referred to herein as "City Streets." D. Excluded Roads Identified in Exhibit `B." This Agreement does not apply to and shall not be construed as applying to any roads other than the local roads and segments thereof 5 discussed and described in Section 2.A, Exhibit "A," and Section 2.B. The County shall retain the authority and responsibility to operate, maintain, control, repair and improve the roads, or segments thereof, partially situated within the municipal boundaries of the City on the effective date of this Agreement, identified in Exhibit `B" attached hereto, none of which are local roads, and those roads, or segments thereof, are and remain a part of the "County road system" for purposes of operation and maintenance. 3. Jurisdiction over City Streets; Liability for Torts. A. Jurisdiction. The City's jurisdiction over the City Streets means the authority and responsibility to operate, maintain, control, repair, or improve such City Streets, as the term "road" is defined by Section 334.03(23), Florida Statutes, and to regulate, wam, or guide traffic on such City Streets, regardless of any future alteration, realignment, construction, extension, widening, or renaming of any of the City Streets. Therefore, the City Streets are deemed to be a part of the "City street system" for purposes of operation and maintenance. Pursuant to Section 337.29(3), Florida Statutes, the City shall have the same governmental, corporate, and proprietary powers with relation to the City Streets that the City has with relation to other public roads and rights -of -way within the City, except as may be otherwise provided by law or this Interlocal Agreement. B. Liability for Torts. Pursuant to Section 337.29(3), Florida Statutes, to the extent that sovereign immunity has been waived (if at all) and with neither party waiving sovereign immunity, liability (if any) for torts for the City Streets shall be in the City, except that liability (if tY� Y (� Y) Y Y P Y (� any) for torts shall be in the County for any traffic accidents on a City Street that may have occurred prior to when the City accepted and acknowledged jurisdiction under Section 2.A or Section 2.B of 6 this Agreement. 4. Dedication and Acceptance; Deed; Right -of -Way Map. A. Dedication and Acceptance. For any City Street or portion thereof that was dedicated to the County and that the County heretofore accepted, the County dedicates the City Street or portion thereof to the City, and the City accepts such dedication. B. Deed. The County shall execute, record in the Official Records of Orange County at the County's expense, and deliver to the City a County deed in favor of the City substantially in the form attached hereto as Exhibit "C" for any City Street or portion thereof that the County holds, or may hold, in fee title, which City Street or portion thereof shall be specifically described in a legal description and sketch of description to be attached to such County deed as an Exhibit "A." The County and the City deem this Agreement as constituting the application required to be made by the City as a municipality of the State of Florida under Section 125.38, Florida Statutes, for conveyance of County property for the public interest or welfare, and also as constituting the resolution required to be adopted by the Board of County Commissioners of the County under Section 125.38 when the County conveys property to a municipality for a public purpose. C. Right -of -Way Map; Vesting of Title. The legal description and sketch of description attached as Exhibit "A" to a County deed described in Section 4.B of this Agreement shall constitute the right -of -way map required under Section 337.29(3), Florida Statutes, in order to vest title in a City Streets or portion thereof in the City. Accordingly, upon the recording of such a County deed and Exhibit "A" thereto pursuant to Section 4.B, title in the City Street or portion thereof shall vest in the City pursuant to Section 337.29(3). 7 5. Transfer of Road Impact Fees for the `Belmere PD." The City Streets that the City is accepting and acknowledging jurisdiction of under Section 2.A of this Agreement include the segment of Roberson Road from Maguire Road west to Wesmere Parkway (the "Roberson Road Segment "). The City heretofore entered into an Annexation and Development Agreement (Belmere Planned Development) dated August 5, 2008 with Maguire Shoppes II, LLC, Maguire Roberson, LLC and Maguire Shoppes Commercial Owners' Association, as recorded in Official Records Book 9741, Page 8367, Public Records of Orange County, Florida (the `Belmere Annexation Agreement "). The Belmere Annexation Agreement contemplated that certain deferred road impact fees associated with building permits issued by the County prior to annexation into the corporate limits of the City would be paid to the City rather than to the County (the "Deferred Road Impact Fees ") so that the City could use those funds to pay for (or reimburse Maguire Shoppes II, LLC and/or Maguire Roberson, LLC for) the "Roberson Road Improvements" (as defined in the Belmere Annexation Agreement) which improvements are intended to be made to the Roberson Road Segment. The County was not a party to the Belmere Annexation Agreement. Upon notification of that Belmere Annexation Agreement, the County notified the City that County regulations required that the Deferred Road Impact Fees be paid to the County. Prior to the effective date of this Agreement, the County received a total of Three Hundred Forty -Six Thousand Three Hundred Seventy -Six and 43/100 Dollars ($346,376.43), representing all of the Deferred Road Impact Fees. The County agrees that, within thirty (30) days from the effective date of this Agreement, it shall deliver to the City the Deferred Road Impact Fees in the amount of Three Hundred Forty -Six Thousand Three Hundred Seventy -Six and 43/100 Dollars ($346,376.43), subject to the condition that such funds may only be used for the purpose of paying for (or reimbursing Maguire Shoppes II, 8 LLC and/or Maguire Roberson, LLC for) costs associated with the Roberson Road Improvements. 6. Miscellaneous. A. Validity. The County and the City each represents, warrants, and covenants to and with the other its respective authority and power under Florida law to enter into this Agreement, and acknowledges the validity and enforceability of this Agreement. The County and the City each hereby represents, warrants and covenants to and with the other that this Agreement has been validly approved by its respective governing body, and that this Agreement constitutes a legal, valid and binding contract enforceable against each party in accordance with the terms hereof (assuming the due authorization, execution and delivery hereof by the other party hereto). B. Entire Agreement. This Agreement, along with its exhibits, constitutes the entire Agreement between the parties regarding the subject matter hereof. Any prior oral or written agreements (or portions thereof) or understandings of any kind between the parties relating to the subject matter hereof are null and void and have no further effect. C. Amendments. This Agreement may be amended only by express written instrument approved by the Board of County Commissioners of the County and the City Commission of the City, and executed by the authorized officers of each party. D. Counterparts. This Agreement and any amendments thereto may be executed in one or more counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same instrument. E. Ambiguities. Both parties have been allowed equal input regarding the terms and wording of this Agreement, and have had the benefit of consultation with their respective legal counsel prior to its execution, such that all language and wording herein shall be construed equally 9 against the parties. F. Headings. The headings or captions of sections or subsections used in this Agreement are merely for the convenience of the parties for reference only and are not intended to define or limit their contents, nor are they intended to affect the construction of or to be taken into consideration in interpreting this Agreement. G. Severability. The provisions of this Agreement are declared by the parties to be severable only to the extent that the remaining provisions can effectuate the purpose and intent of the parties. H. Governing Law; Venue; Attorney's Fees and Costs. (1) This Agreement shall be governed by and construed in accordance with laws of the State of Florida. (2) Venue for any action arising out of or related to this Agreement shall be in the Circuit Court for the Ninth Judicial Circuit in Orange County, Florida. (3) In the event a party deems it necessary to take legal action to enforce any provisions of this Agreement, each party shall bear its own attorney's fees and costs at both the trial and appellate levels. I. Notices. This Agreement shall become effective on the date of execution by the County or the date of execution by the City, whichever date is later.
