Background Summary:
The City of Ocoee purchased the Withers- Maguire House in 1984 and over several years, restored the
house to serve as a meeting place and museum of the city's history. Beginning in 1995, the operation of
the Museum was performed by the Ocoee Historical Commission (OHC) under the terms of a
Management Agreement with the City. The Agreement also provided rules governing the acceptance,
preservation, and disposition of artifacts donated and loaned for use in the Museum. After losing its
federal tax - exempt status in 2011, OHC was no longer able to provide curator services and the
Management Agreement was terminated on November 7, 2011.
As part of their process of winding down operations, OHC contacted persons who had loaned artifacts to
the Museum and arranged for the return of those artifacts when requested. Concerned that some items
owned by the Museum were being dispersed, the City took control of the House. OHC filed articles of
dissolution with the Florida Secretary of State's office on February 16, 2012. A successor group, called
the Friends of Ocoee Historic Preservation, is presently being formed to continue the work begun by
OHC. In order to resolve the question of artifact ownership, the City Commission established a 60 -day
public notice period for persons who believed they owned artifacts in the Museum to file a claim seeking
the return of their property.
Pursuant to a legal notice placed by the City Clerk in the West Orange Times on June 6, 2012, claims
were filed by the following organizations and persons for the return of artifacts purportedly loaned to the
Withers- Maguire House Museum:
1. Ocoee Historical Commission filed a claim for all items in the House.
2. Friends of Ocoee Historic Preservation filed an identical claim for all items in the House as the
successor organization.
3. Lester Dabbs seeks the return of dining room furniture and china.
4. Germaine Pounds has asked that an ice cream table and chairs loaned to the Museum by her
husband be returned.
5. Harriot Roberts filed a claim seeking multiple items, including Singer sewing machine, child -size
iron black wood stove, fireplace gas burner, and 1940s radio.

6. Dean Maguire, acting for Elizabeth Maguire, filed a claim for golf clubs, tennis racquet, teacher's
book with student handwriting, fireplace screen, andirons, and Seminole Indian dress.
Prior to this claiming period, Beth Thomas filed a request for the return of artifacts with the Ocoee
Historical Commission and did retrieve a number of items on November 26, 2011; however, she has not
returned to pick up the remaining items and did not make such a filing with the City during the public
notice period, so her request for the return of loaned artifacts will not be considered here.
Issue:
Should the City return the requested items to the claiming parties?
Recommendations
Staff reviewed and evaluated the six claims filed with the City and offers the following findings and
recommendations:
1. Ocoee Historical Commission — Based on the language of the Management Agreement and the
forms for donations and incoming loans to the Museum Collection, OHC was, at all times, operating as
an agent of the City. The language of the Collection Policies and the forms executed by the individual
donors clearly convey artifact ownership to the City. Items on the artifact registry and not claimed by the
loaning party are City property under the terms of the Collection Policies and the forms executed by the
parties. Items in the House that were not included in the artifact registry, such as cleaning supplies,
office equipment, and similar operational items, are the property of OHC and should be returned to that
organization. Staff suggests that OHC be given 30 days during which to remove these items from the
House or donate them to the City. Any items not removed during that period would become City property.
OHC also seeks the return of the Museum inventory documents. Staff recommends that these
documents be retained by the City, as they are City property under the terms of the Management
Agreement by which they were created.
2. Friends of Ocoee Historic Preservation — Claims made by this organization are derivative of those
by OHC. It is up to these two organizations to identify the one that is to receive the property owned by
OHC within the context of the City Commission's direction. City staff continues to work with the Friends
group to develop a number of operating scenarios for later consideration by the City Commission in
establishing the manner in which the House will be available for meetings and other events while
preserving its use as a Museum.
3. Lester Dabbs — Based on documents provided by OHC, Mr. Dabbs donated and /or sold all
claimed items to the City of Ocoee. However, the Collection Policies grant the City the discretion to
return these items to him. Staff recommends that the items be returned to Mr. Dabbs.
4. Germaine Pounds — Museum documents support this claim for an ice cream table and chairs,
which were loaned to the Museum by Ms. Pounds husband, Edwin Pounds, in 1997.
5. Harriot Roberts — Ms. Roberts' claimed property is not always unambiguously identified in her
letter, which includes such references as "Mason jars," of which there are many in the House Those
items that could be clearly identified were shown to have been donated by others; Ms. Roberts name
does not appear anywhere in the records. Absent additional information to substantiate her claim, such
as something showing that she is the successor to one or more persons who did make donations and /or
loans to the Collection, her claims should be denied. Staff recommends that she be given 10 days to

supply such documentation.
6. Dean Maguire for Elizabeth Maguire — Artifact documentation shows that some items (golf clubs
and teacher's book with student handwriting) were donated to the Collection by other persons; these
claims should be rejected. The record shows the tennis racquet was supplied by Harold and Elizabeth
Maguire and can be returned to Ms. Maguire. The fireplace screen and andirons were listed as the
property of OHC at the time of donation; this claim should be rejected. No evidence could be found
related to ownership of the Seminole Indian dress, which has been traditionally presented as being
originally owned by Lillian Maguire. Other artifacts in the Collection originally owned by her were
donated by Nancy Maguire, so the inference is that this item may have been, as well. However, absent
specific documentation to the contrary, this claim should be honored and the dress given to Ms. Maguire.

Financial Impact:
There is no direct cost to the City under the proposed distribution of artifacts. To the extent possible
given the available documents, staff found no evidence that City funds were used to acquire any
Museum artifacts. OHC did purchase some artifacts using funds it raised. Those items were
subsequently donated to the Museum (City).

Recommendations on Resolving Historical Artifact Claims
1. The Ocoee Historical Commission (OHC), through its Vice President and Secretary Peggy
Vandergrift, filed a claim on August 3rd for "all remaining artifacts and other miscellaneous
items in the Withers- Maguire House & Museum. Some items were purchased and others
donated to us. ... We have receipts and records to prove ownership of these artifacts."
Attached to the claim were many pages listing hundreds of items. They also provided a
box containing several notebooks prepared over the years OHC operated the House
Museum describing the collection of artifacts.
We recommend that this claim be accepted in part and rejected in part. OHC claims
ownership through historical artifact donations and the direct purchase of other items, such
as a vacuum cleaner. OHC operated the House Museum as Curator of the Collection for
the City of Ocoee under the terms of a Management Agreement executed in November
1995 and revised on March 5, 1996. Staff recommends the City Commission accept the
claims for operating supplies and other items not related to the Museum Collection, but
recommends rejecting claims for artifacts donated to the Collection or on loan to the House
Museum for display.
With regard to ownership of historical artifacts, Section 2 of the Management Agreement
appoints OHC as Museum Curator and says:
By acceptance of this appointment, the Curator shall have the authority, subject to
the terms and conditions set forth in this Agreement, to manage and operate the
Museum on a daily basis; conduct programs and activities; raise funds; request and
receive gifts, and bequests of money; acquire, receive, and hold funds, objects of
value or other personal property; and make expenditures to or for the direct benefit
of the Museum; all on behalf of and for the benefit of the City (emphasis added).
Section 4 of the Management Agreement requires OHC "to operate the Museum pursuant
to the Withers - Maguire House Museum Collection Policies (the `Collection Policies'), a
copy of which is attached hereto as Exhibit 'B' and incorporated herein by this reference,
as amended by the City from time to time, and in the City's sole and absolute discretion."
This language clearly establishes that the City, alone, has control over the Collection. The
Preface to the Collection Policies included in the Management Agreement says that OHC
"may properly acquire, document, display, conserve, manage, and utilize collections on
behalf of and for the benefit of the City of Ocoee (the `City') for the Withers- Maguire
House Museum." It concludes by saying, "the City hereby adopts these Collection Policies
to provide policies and procedures for the operation and management of the Withers -
Maguire House Museum by the Curator on behalf of and for the benefit of the City."
Again, the Management Agreement unambiguously says the operation of the Museum by
OHC is as an agent of the City.
All items donated to the House Museum '"must be accompanied by a Deed of Gift executed
by the Donor. All objects accepted as gifts on behalf of the City by the Withers- Maguire
House Museum shall become the property of the City. At the time of accession of an

object to the Collection, the Curator shall complete and Artifact Registration Form"
(Section 6.1 of the Collection Policies; emphasis theirs). Ten ring binders provide
extensive documentation of artifact donations and loans utilizing the forms provided in the
Collection Policies.
The Deed of Gift form included in the Collection Policies says, `'I, my assigns and heirs
unconditionally give, donate, bestow and set over all rights, titles, and literary and
copyrights held by me in and to the items listed below to the City of Ocoee to be retained,
exhibited, loaned or disposed of in such manner as, at the discretion of the City of Ocoee,
is in the best interests of the City of Ocoee and its responsibility to the public." On the
reverse side of the form, under the heading, "Conditions Governing Gifts," donors are
advised that donations may not be displayed in the Museum and the City may "dispose of
the object in anyway (sic) deemed best for the institution."
Items may also be loaned to the Museum and a form is included in the Collection Policies
to use in such instances. Section 10.2 of the Collection Policies describes the rules and
procedures governing incoming loans. A process for returning items loaned to the
Museum is provided in Paragraphs 10.2.2.7 - 10.2.2.12. Among the policies included is a
provision for the loaning party's failure to retrieve the artifact to be interpreted as
"forfeiture of the loaned object to the City and any further claim of title to the objects
indicated on the Incoming Loan Form ... in effect making the loan an unconditional
donation" (Paragraph 10.2.2.9). Similar language is included on Page 2 of the form, which
is included as Attachment 4 to the Collection Policies.
A July 28, 1995, memorandum from David P. Barker, Assistant City Attorney, provides
feedback on the draft Management Agreement. Section 3 advises the City to word the
Agreement such "that all objects in the collection be owned solely by the City of Ocoee. "
This recommendation was in response to the original language, which provided joint
ownership of all donated artifacts by OHC and the City. As shown above, that change was
made to the Management Agreement.
The foregoing notwithstanding, there is support for some items in the House to be the
property of OHC. For example, Section 6 of the Management Agreement grants OHC the
right to use one of the rooms in the House as its operating office, with the implicit
expectation that equipment and supplies for its operation would be kept on site. In
addition, the Management Agreement recognizes that OHC would have its own funds.
Section 8 says, in this regard, "All funds collected or derived by the Curator in connection
with operation of the Museum, including any entrance donations and promotional fees,
shall be retained by the Curator." It further notes that only the expenditure of those funds
collected as a result of selling items in the Collection require City approval. Section 10 of
the Management Agreement says OHC "shall be responsible for all cleaning and dusting of
the Museum and the Museum Collection," which provides the expectation that OHC will
own the equipment and supplies necessary to do so.
Collectively, the relevant provisions in the Management Agreement and the Collection
Policies that governed the operation of the House Museum by OHC all demonstrate that, in
operating the Museum and accepting donations and loans, OHC was acting for and on
behalf of the City and, as a result, all artifacts in the Collection are owned solely by the
City. In its role as Curator, OHC could not accept items into the Collection except on
behalf of the City. The fact that the City never added the items contained in the Collection
to its official inventory of personal property is an administrative omission and not one that
renders inoperative all the many provisions of the Management Agreement and the
Collection Policies related to ownership of the artifacts. Thus, no item in the Collection
can belong to OHC. All that OHC should own are items that were not part of the
Collection.
The record of what artifacts are part of the Collection are provided by the many notebooks
compiled and maintained by OHC over the years of its operating the Museum, which
contain completed Deed of Gift, Incoming Loan, and Artifact Registration forms, along
with other relevant notes and documents. Accordingly, any item described on an executed
Deed of Gift form or any item on loan to the Collection and not claimed should be
considered to be the property of the City. Items on loan will be described on an Artifact
Registration form and /or an Incoming Loan form. This finding means that all claims can
be settled by applying the following rules:
A. An item listed on a valid Deed of Gift form is the property of the City.
B. An item listed on an Incoming Loan form and not claimed by the loaning party is the
property of the City.
C. An item listed on an Incoming Loan form and claimed by the loaning party should be
returned to that party.
D. An item listed on an Artifact Registration form is part of the Collection and, in the
absence of a valid Deed of Gift, should be treated as an incoming loan that can be
claimed by the loaning party.
E. An item not listed on a Deed of Gift, Incoming Loan, or Artifact Registration form
and for which a claiming party can provide documentation supporting the original
possession of the item by that party may be treated as an incoming loan and returned
to that party.
F. Items in the House that are not listed on one of the documents named in Items A -E,
above, may be considered to be property OHC acquired for itself as part of its
operating the House Museum and returned to OHC.
The records do show a number of items purchased by OHC that were either artifacts
themselves or supported presentation of historical artifacts. These items are listed in an
Artifact Registration Log. Some are also shown on individual Artifact Registration forms,
but none were found on Deed of Gift or Incoming Loan forms. Applying Rule D, above,
leads to the conclusion that these artifacts can be treated as incoming loans and should be
returned to OHC. Items not in the Collection but contained in the House can be returned to

OHC as "operating items." Such items include office and cleaning supplies and similar
things for which documentation supporting identification of ownership does not exist. It
will be a significant undertaking to identify those artifacts that can be considered OHC
property, as the proof is often provided by the absence of documentation.
OHC also seeks the return of the documentation it supplied to support its claim. We must
recommend against doing so. Under Section 11 of the Management Agreement, "All such
original records shall be and will remain the property of the City. ... The Curator
acknowledges that all records shall be public records and shall be maintained as such in
full compliance with the provisions of Chapter 119, Florida Statutes." Thus, we find that
the records supplied by OHC are actually those of the City and must be retained by us.
2. The Friends of Ocoee Historic Preservation (FOHP) filed a claim for all Collection
artifacts as the successor organization to OHC. Except for differences in wording of the
transmittal letter, FOHP submitted the same claim as OHC for historical artifacts contained
in the House. Reportedly, OHC has filed a Plan of Asset Distribution with the Florida
Secretary of State that includes a provision for all artifacts owned by OHC to be transferred
to FOHP; however, no such document was provided by OHC or FOHP and one was not
available on the sunbiz.org website. In the absence of such a document, this claim must be
rejected in its entirety.
3. Lester Dabbs claims dining room furniture and china. We have a signed Deed of Gift form
dated June 15, 1998, showing that he provided the claimed items. Applying the rules
stated above, this claim should be rejected, as the claimed items are the property of the
City. However, there is a provision in Section 8.7 of the Collection Policies that allows the
City to return donated items to the donor following consideration of several possible
aspects of the request. Arguing against using this provision in the Collection Policies is a
printed list titled, "Items purchased by the OHC," that lists a dining room table, six chairs,
sideboard, china cabinet and serving table being acquired for $5,000. These appear to be
the same items sought by Mr. Dabbs. If the dining room furniture was actually purchased
rather than donated, then the provisions of Section 8.7 cannot apply.
In reviewing the Artifact Registration forms for these furniture items, we noted they were
some of the few to actually record a monetary value. There is also one artifact described as
a picture frame that "holds certificate dedicating dining room to Nancy Dabbs." Many
artifact forms included the notation, "Donated by Lester Dabbs and family in honor of his
wife." (One of the considerations to be made in deciding to return a donated item is
whether the donation has been publicly announced.) There is no reference to the items
being purchased by OHC in the artifact registry, although several forms include a statement
as to where Mr. Dabbs bought the item. His purchase price may be the source of the
valuations assigned to the dining room furniture. It is within the City Commission's
discretion to return these donated items to Mr. Dabbs.
4. Germaine Pounds, as heir to the estate of Edwin Pounds, claims an "ice cream table and
four chairs." An unsigned Incoming Loan form prepared in 1997 lists these items and
others as coming from Edwin Pounds. They also appear on an Artifact Registration Form

with the same asset numbers, which include a portion identifying the donor. (Mr. Pounds
was Donor 35.) We, therefore, support the return of the requested items to Ms. Pounds
under Rule D, above.
5. Harriot Roberts claims a number of items using descriptions that are often ambiguous, like
"Hat boxes" and "Mason jars." As noted above, the records compiled by OHC include a
numeric identifier for each donor or loaning party; one notebook includes a list of all such
persons and their identifier. Ms. Roberts name is not on this list, nor is there anyone with
the last name of Roberts or a first name of Harriot, so we could not immediately identify
any items she might have donated or loaned to the Collection. We next looked to specific
items that are well defined and not common, such as a Singer sewing machine in a cabinet
that was on her list of claimed items. The only such sewing machine we could find listed
on an Artifact Registration form was donated by Jack Marsden (Donor 24) on June 25,
1996. We recommend that Ms. Roberts be asked to provide additional documentation to
support her claims, such as to identify the original donor or loaning party and her right as
successor. Absent such documentation, her claim should be rejected.
6. Elizabeth Maguire, through Dean Maguire, filed a claim for several items, which must be
addressed individually since the evidence supports different recommendations for each:
• The golf clubs are shown on an Artifact Registration form as an unconditional
donation from Josephine Maguire Supman on January 5, 1996. We conclude it is
part of the Collection and was not donated by Ms. Maguire. We recommend that this
claim be rejected.
• The tennis racquet is documented by an Artifact Registration form listing Harold and
Elizabeth Maguire as the source but with no reference as to whether this item is a
donation or a loan. We recommend that it be considered as a loan and returned under
Rule D, above.
• The teacher's book is described on an Artifact Registration form as being provided
by Nancy Maguire with no indication as to the nature of the donation. We conclude
that it is part of the Collection in so far as Elizabeth Maguire was not the original
donor and cannot claim its return.
• The fireplace screen and andirons are shown on an Artifact Registration form as
being unconditionally donated by OHC following their purchase from the Maguires.
We also find them on a long list of items acquired from Harold and Elizabeth
Maguire. Ms. Maguire's claim for this property should be rejected.
• The Seminole Indian dress and other clothing contained in the upstairs bedroom
closet could not be located in the Collection documents. It is our understanding that
the dress was originally the property of Lillian Maguire and was provided to the
Museum by Nancy Maguire. However, the lack of documentation supports a
recommendation for the dress to be given to the claimant.

According to the Internal Revenue Service code, donors are solely responsible for the appraised value
for any donation and that benefiting institutions cannot provide appraisals or estimates of fair market
value. Consequently, the Ocoee Historical Commission and the City of Ocoee cannot provide
appraisals or fair market value evaluations either expressed or implied for donations. The Ocoee
Historical Commission recommends that the donor consult with their attorney, the Internal Revenue
Service or a licensed appraiser should any questions concerning tax deductible donations or appraisals
arise.
The collections in the Withers - Maguire House Museum are composed of objects used

exhibit, these items are routinely rotated from exhibit to controlled storage conditions. For these
reasons there can be no guarantee that any itern will be displayed at any one time or that any item will
remain on exhibit permanently.

LOANI CONDITIONS
The Lender is the individual or organization furnishing the object(s) for a tecnporary period to the Ocoee Historical
Commission and the City of Ocoee
1. The on period may not exceed one year, however, loans may he renewed annually upon written notification
of both parties.
2. The Lender agrees to notify the Ocoee Historical Commission in writing within (30) Days of a change of
address. The lack of written notification on the part of the lender shall constitute forfeiture of the loaned object
to the City of Ocoee and any further claim of title to the objects indicated on the Incoming Loan Form and on
any addendum thereto, in effect making the loan an unconditional donation. If the loan becomes an
unconditional donation, the Lender, its assigns and heirs, unconditionally gives, donates, bestows and sets over
all rights, titles and literary and copyrights held by them in and to the object(s) to the City of Ocoee to be
retained, exhibited, loaned or disposed of in such manner as, at the discretion of the City of Ocoee, is in the
best interests of the City of Ocoee and its responsibilities to the public.
3. The Ocoee Historical Commission will make two documented written notifications to the Lender whose
signature appears on the reverse of the Incoming Loan Form. The second notice shall be sent no earlier than
fifteen (15) days but not later than thirty (30) days after the date of the first notice. If within thirty (30) days
after the second notification the Lender does not contact the Ocoee Historical Commission, then the items in
question will become an unconditional donation with the same Conditions as provided in Paragraph 2 above.
4. In the event the Lender will maintain the insurance coverage on the object for the duration of the loan, the
Lender must provide evidence of such insurance to the Ocoee Historical Commission and the City of Ocoee at
the time of the loan. If the Lender elects to maintain his /her /its own insurance coverage, then prior to shipping,
the Ocoee Historical Commission and the City of Ocoee must be supplied with a Certificate of Insurance from
the Lender's insurance company naming the Ocoee Historical Commission and the City of Ocoee as an
additional insured. The City of Ocoee shall not be responsible for error or deficiency in information furnished
to the Lender's insurer or for any lapses in coverage.
5. If insurance is waived by the Lender, this waiver shall constitute agreement of the Lender to release and hold
harmless the Ocoee Historical Commission and the City of Ocoee from any liability for theft, damage to or loss
and deterioration of the loaned object. It is the responsibility of the Lender to notify the Ocoee Historical
Commission and the City of Ocoee of changes in insurance valuations or insurance coverage thirty (30) days
prior to the effective date of such change.
6. The right of the Ocoee Historical Commission to return any incoming loan object shall occur absolutely on either
the expiration of the term of the loan, or when the Ocoee Historical Commission no longer desires the loan.
In such event, a written notice shall be provided to the Lender. If the Lender does not withdraw such loan
objects within thirty (30) days from the date of such notice, the Ocoee Historical Commission shall exercise
the same care with respect to incoming loan objects that it does in the safekeeping of comparable property in
the Withers- Maguire House Museum collection.
7. In the event the Ocoee Historical Commission does not receive a written response from the Lender upon the
expiration or termination of the Loan after proper notice has been sent by the Ocoee Historical Commission,
then such failure to withdraw the loaned object shall constitute forfeiture of the loaned object to the City of
Ocoee and any further claim of title to the objects indicated on the Incoming Loan Form.
8. The City of Ocoee and the Ocoee Historical Commission shall not be responsible for any damage to a particular
item incurred during the loan period.
