Wheeler, P.E. 407-905-3100, ext. 1505 Reviewed By: ' Department Director: City Manager: Subject: Ocoee Crown Point PUD Conservation Easement to St. Johns River Water Management District (District 1- Commissioner Hood) Background Summary: The City of Ocoee, in partnership with the Orange County Public Schools (OCPS), purchased the Coke Property in 1998 with the intent of developing the property into a multi -use development consisting of residential, commercial, and educational parcels some to be owned by the City and some to be owned by OCPS. The City employed VHB, Inc. to plan and develop a joint master plan for the property and to determine what permits would be needed from the St. Johns River Water Management District (SJRWMD) and the Army Corps. Of Engineers (ACOE) while working in and/or around the wetlands adjacent to Lake Apopka and its tributaries. As part of the overall project, a wetlands mitigation plan was proposed to SJRWMD and ACOE that would require mitigating some land adjacent to Staten Branch, one of those tributaries, to offset the proposed work for the overall project. That mitigation plan generally included the clearing and grubbing of approximately 2.5 acres of land along the south side of Staten Branch, planting that cleared land with wetland species plants, maintaining that land and those plants for a five year period and providing annual reports to both agencies. The mitigation and monitoring work was authorized by the City Commission on February 7, 2006. On April 6, 2010, the City Commission approved changing scope and reallocating funds from the wetland mitigation and monitoring phase of the project to consider changing the wetlands mitigation program to allow for preservation instead of the proposed five year maintenance and monitoring program. SJRWMD staff had recommended a modification of the listed permits to eliminate the enhancement provision in the permits and instead offer preservation. Successfully modified permits would eliminate the need to spend additional funds to reestablish the mitigation area that has died and to spend significant dollars on maintenance, monitoring and reporting for the enhancement areas over the next five years. VHB, Inc. and the City approached SJRWMD to review the site and the proposed plan and were able to develop an alternative that would allow the wetlands mitigation to be performed as one process which would relieve the City of the five year maintenance and monitoring program. In August of this year the City received the permit modification (Permit No. 4-095-83494-6) from SJRWMD. As a condition of that permit, the City must grant the SJRWMD a Conservation Easement over certain areas of the Ocoee Crown Point PUD property. All of those areas are either wetlands, upland buffers, or sovereign submerged lands. Those areas are identified on the attached drawing. The Conservation Easement document is also attached and includes the sketches and descriptions of those designated areas. The Conservation Easement prohibits activities within those areas unless permitted by the SJRWMD, but does allow for routine maintenance of the creek and drainage ways for the prevention of flooding. The Conservation Easement also allows for a future boat ramp, boardwalk pier, and boardwalk trails along the Lake Apopka. Issue: Should the City consider granting the St. Johns River Water Management District a Conservation Easement over the designated areas of the Ocoee Crown Point PUD property? Recommendations The Engineering and Development Services staff recommends that the City of Ocoee grant the St. Johns River Water Management District a Conservation Easement over the designated areas of the Ocoee Crown Point PUD property and that City Commission authorize the Mayor and City Clerk to execute the Conservation Easement. JOHNS RIVER WATER MANAGEMENT DISTRICT, a public body existing under Chapter 373, Florida Statutes, having a mailing address at 4049 Reid Street/Highway 100 West, Palatka, Florida 32177 ("Grantee"). WITNESSETH: WHEREAS, Grantor solely owns in fee simple certain real property in Orange County, Florida, more particularly described in Exhibit "A" attached hereto and incorporated by this reference (the "Property"); WHEREAS, Grantor grants this conservation easement as a condition of permit number 4-095-83494-6 issued by Grantee (the "Permit"), solely to off -set adverse impacts to natural resources, fish and wildlife, and wetland functions; and WHEREAS, subject to the routine maintenance of the existing creek and drainage ways, in accordance with the terms and conditions of the Permit, Grantor desires to preserve the Property in its natural condition in perpetuity; NOW THEREFORE, in consideration of the above and the mutual covenants, terms, conditions and restrictions contained herein, and pursuant to the provisions of section 704.06, Florida Statutes, Grantor hereby voluntarily grants and conveys to Grantee a conservation and drainage easement in perpetuity over the Property of the nature and character and to the extent hereinafter set forth (the "Conservation Easement"). Grantor fully warrants title to said Property, and will warrant and defend the same against the lawful claims of all persons whomsoever. 1. Purpose. The purpose of this Easement is to assure that the Property will be retained forever in its existing natural condition and to prevent any use of the Property that will impair or interfere with the environmental value of the Property. 2. Prohibited Uses. Any activity on or use of the Property inconsistent with the purpose of this Easement is prohibited. Without limiting the generality of the foregoing, the following activities and uses are expressly prohibited: (a) Construction or placing buildings, roads, signs, billboards or other advertising, utilities or other structures on or above the ground. (b) Dumping or placing soil or other substance or material as landfill or dumping or placing of trash, waste or unsightly or offensive materials. (c) Removing or destroying trees, shrubs, or other vegetation. (d) Excavating, dredging or removing loam, peat, gravel, soil, rock or other material substances in such a manner as to affect the surface; provided, however, that the foregoing shall not preclude routine maintenance of the creek and drainage ways, in accordance with the terms and conditions of the Permit. (e) Surface use, except for purposes that permit the land or water area to remain predominantly in its natural condition. (f) Activities detrimental to drainage, flood control, water conservation, erosion control, soil conservation, or fish and wildlife habitat preservation. (g) Acts or uses detrimental to such retention of land or water areas. (h) Acts or uses detrimental to the preservation of the structural integrity or physical appearance of sites or properties of historical, architectural, archaeological, or cultural significance. 3. Reserved Rights. Grantor reserves unto itself, and its successors and assigns the following: (a) All rights accruing from its ownership of the Property, including the right to engage in or permit or invite others to engage in all uses of the Property, that are not expressly prohibited herein and are not inconsistent with the purpose of this Easement. (b) Notwithstanding any provisions in this Easement to the contrary, Grantor reserves the right to perform routine maintenance of the creek and drainage ways within the property, such maintenance to include snagging of stumps and removal of silt and debris 2 necessary to maintain the natural flow of water in the creek and preventing the obstruction of same as permitted by the Department of Environmental Regulation (the "Maintenance Activities"). (c) Notwithstanding the prohibitions contained in Section 2, Grantor reserves unto itself and its successors and assigns, the right to construct and maintain a boat ramp, boardwalk pier and boardwalk trails (the "Improvements"). The Improvements shall be constructed in accordance with the Permit and the following specifications: (i) The boardwalk pier and boardwalk trails will be constructed at least four feet above the Ordinary High Water Elevation (OHWE) of Lake Apopka, and the boardwalks will meander around trees that are four inches or greater in diameter at breast height (dbh). (ii) The boards of the boardwalk trails will be spaced approximately one (1) inch apart. (iii) Hand railing shall be installed and maintained around the entire perimeter of each boardwalk to prevent docking or mooring of vessels. (iv) Trash containers will be installed along the boardwalk trails every two hundred (200) feet. (v) The portion of the boardwalk extending through the upland conservation area shall be elevated a minimum of 3 feet above land surface. (vi) The width of the boardwalk shall not exceed 4 feet through the land conservation area. 4. Restrictions on Maintenance of Staten Branch Creek. The Mai Activities are subject to the following restrictions: (a) The Maintenance Activities (including staging of equipment and remo al of silt and debris) will be restricted to the stream channel, and will not disturb any bank vegetation within the wetland or upland mitigation areas. (b) Any silt or debris that is removed will be transported and deposited outs de of the Conservation Easement area. (c) Grantor will obtain written permission from Grantee prior to the remo al of any vegetation. Grantor agrees that such written permission is required even if a F orida Department of Environmental Protection aquatic plan removal permit is issued. (d) In the event vegetation within any portions of the mitigation areas is dist rbed, the Grantor will report such disturbance to Grantee's compliance staff. Grantor agr es to replace any disturbed vegetation pursuant to a plan approved in writing by the Grantee. 3 5. Rights of Grantee. To accomplish the purposes stated herein, Grantor conveys the following rights to Grantee: (a) To enter upon and inspect the Property in a reasonable manner and at reasonable times to determine if Grantor or its successors and assigns are complying with the covenants and prohibitions contained in this Easement. (b) To proceed at law or in equity to enforce the provisions of this Easement and the covenants set forth herein, to prevent the occurrence of any of the prohibited activities set forth herein, and require the restoration of areas or features of the Property that may be damaged by any activity inconsistent with this Easement. 6. Grantee's Discretion. Grantee may enforce the terms of this Easement at its discretion, but if Grantor breaches any term of this Easement and the Grantee does not exercise its rights under this Easement, such Grantee's forbearance shall not be construed to be a waiver by Grantee of such term, or of any subsequent breach of the same, or any other term of this Easement, or of any of the Grantee's rights under this Easement. No delay or omission by the Grantee in the exercise of any right or remedy upon any breach by Grantor shall impair such right or remedy or be construed as a waiver. Grantee shall not be obligated to Grantor, or to any other person or entity, to enforce the provisions of this Easement. 7. Grantee's Liability. Grantor will assume all liability for any injury or damage to the person or property of third parties which may occur on the Property arising from Grantor's ownership of the Property. Neither Grantor, nor any person or entity claiming by or through Grantor, shall hold Grantee liable for any damage or injury to person or personal property which may occur on the Property. 8. Acts Beyond Grantor's Control. Nothing contained in this Easement shall be construed to entitle Grantee to bring any action against Grantor for any injury to or change in the Property resulting from natural causes beyond Grantor's control, including, without limitation, fire, flood, storm and earth movement, or from any necessary action taken by Grantor under emergency conditions to prevent, abate or mitigate significant injury to the Property or to persons resulting from such causes. 9. Recordation. Grantor shall record this Easement in a timely fashion in the Official Records of Orange County, Florida, and shall rerecord it at any time Grantee may require to its rights. Grantor shall pay all recording costs and taxes necessary to record this Easement in the public records. Grantor will hold Grantee harmless from any recording costs or taxes necessary to record this Easement in the public records. M 10. Successors. The covenants, terms, conditions and restrictions of this Easement shall be binding upon, and inure to the benefit of the parties hereto and their respective personal representatives, heirs, successors and assigns and shall continue as a servitude running in perpetuity with the Property.
