HomeMy WebLinkAbout01-16-90 WS ~ MINUTES OF THE CITY OF OCOEE BOARD OF COMMISSIONERS WORKSHOP HELD JANUARY 16, 1990 Mayor Dabbs called the workshop to order at 6:05 p.m. in the City Hall conference room, and then announced that the reason for the meeting was to consider action regarding a contract with City Manager Ellis Shapiro. Mayor Dabbs briefed the new commissioners regarding the evaluation process which was started in September and advised that the decision to be made was whether or not to have a contract and the conditions of that contract, as City Manager Shapiro had agreed to work for a set amount for the first year without a raise and that year will be completed in February. PRESENT: Mayor Dabbs, Commissioners Combs, Foster, Woodson, City Manager Shapiro, City Clerk Grafton. was Reg Fontenot from the Winter Garden/Ocoee Sun. Johnson and Also present ABSENT: None City Manager Shapiro went over the evaluation form and gave an overview of the results of his administration for the last year. Commissioner Johnson stated that the City Manager should be the highest paid employee, and further, that he has earned his salary and more this past year. Commissioner Johnson said he has no '- problem with a contract as that will help add to the stability of leadership. Commissioner Combs said that he has no problem with a contract, and that he had found City Manager Shapiro to be a man of his word and highly capable, just as the people he had interviewed in Cape Coral had advised that he would be. Commissioner Combs stated that his earlier reservations regarding a possible problem with friendship between the Johnson family and Shapiro had not materialized. Commissioner Foster said that he considered City Manager Shapiro to be a good leader, but it did take three hints before he came across with a City watch. Commissioner well as the answers. City Manager Shapiro asked Commission to consider releasing him from the City Pension Plan in favor of the ICMA Retirement Plan and also to let him have one week vacation in pay because he had been advised that all City employees have just one week of vacation the first year of employment and the fact is that all City employees have two weeks the first year. City Manager Shapiro stated for the record that he appreciates the confidence shown to him by the Commission and that he has never had a better Christmas present or letter than the one he received from Mayor Dabbs. Mayor under joint Dabbs said that the Commissioners should take the contract consideration and meet again February 3, 1990 after the meeting being held at Colony Plaza Hotel from 5 to 7 p.m.. I Date EXHIBIT TO MINUTES JANUARY 16, 1990 AGREEMENT \... THIS AGREEMENT is made between the City of Ocoee, hereinafter referred to as the "City." a municipal corporation organized and existing under the laws of the State of Florida, with its office located at City Hall, Ocoee, Florida, and Ellis Shapiro, hereafter referred to as the "Employee." In consideration of the mutual promises and covenants herein contained, the parties agree as follows: SECTION ONE CITY MANAGER'S DUTIES The Employee shall be employed by the city as the City Manager. and the Employee shall devote his full time to act as City Manager for the City of Ocoee and to carry out to the best of his ability all the duties imposed upon him by the Charter and the Ordinances of the City of Ocoee and such other duties as the City Commission from time to time may require of him. SECTION TWO COMPENSATION - DATE OF SERVICES ~ 1. BASE SALARY: In consideration for the services rendered under this Agreement, the Employee shall receive a base salary of $57,500 commencing on 2/16/90. Furthermore, the Employee shall receive a salary of $60,000 commencing 2/17/91 and $62,500 commencing 2/16/92. It is understood and agreed by both parties that the Employee shall be compensated at least 10% greater than any other regular employee of the City during the term of this Agreement. 2. FRINGE BENFITS: A. Vacation: Vacation shall be 10 days per year and shall accrue each month of employment the same as all other employees. b. Sick Leave: Shall be the same as all other employees of the City. c. Holiday: Holidays are the same number and accrue like all other employees of the City. d. Health Insurance: The City shall provide a comprehensive health insurance coverage to all members of the Employeets family. ~ \.- e. '-" Automobile: The City will provide an automobile for the Employee during the terms of this Contract. f. Dues and Subscriptions: The City will pay all appropriate professional dues and subscriptions on behalf of the Employee for purposes of allowing his continued and full participation in direct job related national, regional, state and local associations and organizations necessary and desirable as will permit his professional participation, growth and advancement for the good of Ocoee. Florida. g.. Life Insurance: The City will pay the annual fees necessary to provide term life insurance on the Employeets life in the amount double employee annual salary. h. Deferred Compensation: The City agrees to assist the Employee in removing himself from the Cityts retirement plan and enter him into the ICMA Retirement Plan at a rate of 10% of salary to include current year and all future years of this agreement. SECTION THREE SEVERANCE In the event the City wishes to terminate this agreement without cause the city may do so by an affirmative vote of the majority of the City Commission and shall pay the Employee six (6) months' severance pay. SECTION FOUR TERM This agreement is for a period of three (3) years starting on February 18, 1990 and ending on February 19, 1993. Six months before the ending date of this agreement the City and the Employee may negotiate a renewal agreement. \., SECTION FIVE NOTICES Any notices required to be given under this agreement shall be sufficient, if in writing to be send 30 days prior, sent by ~ \.- '-' registered mail to the Mayor of Ocoee or the Employee's last known residence. SECTION SIX MISCELLANEOUS Governing Law: This agreement shall be interpreted, constructed, and governed according to the laws of the State of Florida. Amendments: No amendment or variation of the terms or conditions of this agreement shall be valid unless in writing and signed by the parties. Assignability: The Employee's rights and obligations under this agreement are personal and not assignable. Invalid provision: The invalidity or unenforceability of any particular provision of this agreement shall not affect the other provisions hereof, and this agreement shall be construed in all respects as if such invalid or unenforceable provisions \'lere omitted. f !
