Scott Nylander Department Director: Chief C' r • n Contact Number: X3315 City Manager: Rob Frank ///f ' Subject: Fifth Amendment To City of Ocoee Services Two Phase Agreem: t with American Traffic Solutions, LLC (ATS) Pertaining to Red-light Running Camera Enforcement System Background Summary: The City of Ocoee desires to ensure the safety of the citizens that travel the roadways within the city limits. The disregard of traffic control signals within intersections poses a threat to all citizens who travel our roadways. The current contract with American Traffic Solutions (ATS) expires on December 02, 2017. However, the City of Ocoee and the Contractor desire to extend the term of the Agreement for an additional five (5) years, with the option of the City, in its sole discretion, to further extend the term of Agreement for an additional two, one (1) year extensions. Accordingly, following execution of this Fifth Amendment to Agreement, the term of the Agreement shall expire and terminate on December 02, 2022, subject to further extension as provided in the Agreement, unless earlier terminated as provided herein. Currently American Traffic Solutions (ATS) has the most contracts awarded in the State of Florida and has been a partner with the City of Ocoee since December of 2008. Over the past nine years the City of Ocoee has developed a close working relationship with ATS. It is both the desire of the City and ATS to keep this continuity between both parties and continue this relationship moving forward. Since 2008, the ATS staff has provided the city with top notch customer service and state of the art technology. ATS will be implementing "ATS Live", which will allow the police department to perform remote video retrieval and video streaming from any camera system. ATS currently utilizes the highest quality mega pixels within their cameras. This is of the upmost importance when it comes to video and still photo quality, as these items are used as evidence in a hearing. ATS is currently incorporating automated license plate readers (ALPR's) with their red light technology. This will allow the City of Ocoee to stay current with new technology and implement ALPR's around the City as part of a future city camera surveillance plan, if desired. Prior to considering a contract extension with ATS, the Ocoee Police Department, reviewed other contracts with other cities to ensure Ocoee is getting the most favorable terms and conditions. In that review, the Ocoee Police Department obtained and reviewed an RFP from the Town of Orange Park, FL. and the August of 2017, agreement between the City of Apopka and ATS. The more favorable terms & conditions are those between ATS and the City of Apopka. ATS has agreed to extend these terms and conditions to the City of Ocoee. issue: Should the Honorable Mayor and Board of City Commissioners waive the bid requirements of the City's purchasing code and approve this Fifth Amendment to the Agreement with ATS, thus adopting the same terms and conditions contained in the City of Apopka's latest contract with ATS? Recommendations: Section 21.5C of the Ocoee Code, allows the City Commission to waive the standards in City Code by a majority vote for commodities or services in excess of $50,000.00. Therefore, pursuant to the authority stated in section 21.5C of the Ocoee Code, it is the recommendation of staff that the Honorable Mayor and Board of City Commissioners waive the bid requirements of the purchasing code and approve the fifth amendment to the agreement with ATS. Staff believes this is the best interest of the City due to the overall cost of the program and to prevent the possible downtime of removing existing camera poles and installing new ones. In addition, to continue with the current vendor eliminates the need for training all employees utilizing a new system. The staff is confident in this recommendation due to the City's experience with ATS, their overall experience in the industry and the customer service they have provided the City of Ocoee since 2008. Furthermore, under the proposed Fifth Amendment to the Agreement, the terms and conditions extended to the City of Ocoee are more favorable than that of our existing agreement with ATS. Attachments: Agreement and the First, Second, Third, and Fourth Amendments thereto City of Apopka agreement Financial Impact: The Fifth Amendment to the Agreement provides: • Monthly camera operation cost is decreased from $4750 per camera to $4250 per camera. • If the City has 10 or more operational cameras, the monthly camera fee will decrease to $3900 per camera. • ATS will waive the $1650 per camera fee to add system enhancements to each camera, which includes ATS Live. • ATS will provide customized, customer letter design and delivery at no additional cost.
