Background Summary:
The selected firm will assist the City of Ocoee in reviewing the City's Utilities Department current and
future revenues and expenditures for sufficiency. A key task of the Firm's work shall be the development
of a financial model capable of being revised based on ongoing expenditures and revenues by City staff
and annually updated by the Firm.
Issue:
Award of RFO #0702 to provide a Utilities Revenue and Expenditure Sufficiency Study to the top-ranked
firm recommended by the Selection Committee.
Recommendations
Staff recommends that the City Commission award the Contract for RFO #0702 to Public Resources
Management Group, Inc., and authorize Staff to proceed with contract negotiations with PRMG, and
authorize the Mayor, City Clerk, and Staff to execute all necessary contract documents.
If contract negotiations are unsuccessful with the top-ranked firm, staff shall terminate negotiations and
initiate negotiations with the second-ranked firm, and so on, until an agreement is reached.

ISSUE
Award of RFQ #0702 to provide a Utilities Revenue and Expenditure Sufficiency Study to the top-ranked firm
recommended by the Selection Committee.
BACKGROUND/DISCUSSION
In compliance with the policies and procedures of the City of Ocoee Purchasing Code Chapter 21, a Request for
Qualifications (RFQ) was advertised with the intention to award a contract to one (1) qualified Professional
Financial or Accounting Firm to assist the City of Ocoee in reviewing the City's Utilities Department current
and future revenues and expenditures for sufficiency. A key task of the Firm's work shall be the development of
a financial model capable of being revised based on ongoing expenditures and revenues by City staff and
annually updated by the Firm.
The Finance Department reviewed the qualifIcation packages and all were considered responsive. Complete
copies are available in the Finance Department for your review. The qualification packages were evaluated by
the RFQ Selection Committee, which consisted of four (4) members: Charles Smith, Utilities Director; Jamie
Croteau, Assistant City Manager; Wanda Horton, Finance Director; and David Wheeler, City Engineer.
The public RFQ Selection Committee meeting was held on December 5,2006 to evaluate the four (4) responses.
The Selection Committee evaluated and ranked the firms from 0-400 points on specific evaluation criteria. The
Selection Committee recommends contracting with the top-ranked firm. The Respondents and their rankings are

Dear Ms Tolbert:
Public Resources Management Group, Inc. (PRMG) is pleased to respond to the City of
Ocoee's (the "City") request for Qualifications (RFQ) relating to financial and accounting
services for utilities revenue and expenditure sufficiency study. PRMG requests that the City
consider our proposal and qualifications to provide such utility rate consulting services. Our
proposal is based upon our understanding of the utility system's financial and rate consulting
service needs as set forth in the City's RFQ.
PRMG offers highly specialized capabilities, skills and experience necessary to successfully
deliver the financial, rate, and management consulting services required by the City. A brief
summary of our capabilities follows:
Based on our review of the City's request for proposals, it is our understanding that the major
services required by the City include: i) a revenue sufficiency analysis for the City's water,
wastewater, and reclaimed water rates; ii) assistance with the development of a financing plan
to fund the capital projects that have been identified by the City; iii) development of a rate and
financial model to support the revenue sufficiency analysis and allow for the evaluation of
alternative operating and capital expenditure scenarios to assist in financial planning and
decision making; and iv) annual updates of the financial model.
We believe that the consulting team we offer to the City has the highly specialized capabilities,
skills and experience required to successfully deliver the services required by the City. The
qualifications that PRMG offer are as follows:
. PRMG has extensive experience in revenue sufficiency, cost allocation and pricing studies
for publicly owned water and wastewater utility systems throughout the State of Florida.
Our experience will result in solutions that will enhance the City's credibility with ratepayers,
regulators and members of the financial community. PRMG has a track record of providing
our clients with rate and fee structures that can be effectively implemented and
administered with results that: i) are politically acceptable; ii) are equitable and defensible;
iii) promote financial stability; iv) provide adequate capital for renewal and replacement of
utility assets and expansion of facilities; and v) encourage the conservation of water
resources.

. We have provided similar rate and financial consulting services for numerous utilities in
Florida, including the Cities of Fort Pierce, Haines City, Winter Park, West Palm Beach,
Miramar, Marianna, Lake Worth, Lake Mary, Panama City Beach, Winter Garden, Winter
Springs, Leesburg, Largo, Mount Dora, Oldsmar, Ocala, Oviedo, Plant City, Stuart,
St. Cloud, St. Pete Beach, Sanford, West Melbourne, Titusville and Tequesta; member
owned systems such as Bonita Springs Utilities, Inc., the Greater Pine Island Water
Association, Destin Water Users, Inc., South Walton Utilities Corporation, Regional Utilities

. Members of PRMG staff have been involved in the preparation of project feasibility studies
involving the issuance of over $2 billion in utility revenue bonds for utilities located
throughout the State of Florida. Our project team members have also prepared capital
finance plans for State Revolving Loan applications and participated in presentations before
bond rating agencies to help ensure that our client's receive the most favorable credit rating
possible.
. PRMG has experience in assisting utility systems with financial issues related to system
expansion such as water and sewer connection fees, guaranteed revenue charges, service
availability charges, capacity reservation fees, and line extension charges, all of which are
designed to help fund the cost of facilities required to serve to new users. PRMG has also
assisted in the preparation of developer agreements and utility connection policies. PRMG
has provided assistance with these issues for clients, such as the Fort Pierce Utilities
Authority, Charlotte County, Hillsborough County, Martin County, and the Cities of West
Palm Beach, Haines City, Miramar, and Tequesta.
. PRMG has extensive experience in utility acquisitions and valuations and have performed
these services for clients such as the City of Palm Coast, the Florida Keys Aqueduct
Authority, Martin County, Lee County, Charlotte County, Volusia County, and the Florida
Governmental Utility Authority.

# 0702. Burton & Associates specializes in water resources economics for local governments in Florida.
The fmancial and rate structure components and overall fiscal management of water, wastewater, stormwater
and reclaimed water utilities is the primary focus of our practice. As such, we bring to this project extensive
experience in water, wastewater and reclaimed water revenue sufficiency and rate program development
and rate design, cost allocation analyses, system and property valuation and service charge analysis and
development.
Revenue Sufficiencv and Cost of Service Analvsis - Our approach to providing comprehensive water,
wastewater fmancial consultation services is to use F AMS, our automated financial model discussed herein,
to explore numerous financial plan, rate structure and cost allocation scenarios to develop a logical and
defensible fmancial management plan and rate structure, in the context of predicted customer impact, market
reality, public acceptability and political reality. A unique aspect of our approach is that we do this in
interactive workshops with City staff, with our computer models up-and-running.
Our development and use of our automated, interactive process allows very cost effective integration of City
staff into the fiscal planning process of a utility while reducing substantially the man hours and calendar time
which would otherwise be necessary. Most importantly, this process gives you a clear vision through
graphical representations, as to the implications of alternative scenarios upon key fmancial indicators as well
as the impact upon customers in terms of their monthly water and wastewater bill.

addresses your required scope of services. However, if we are selected, we will meet with you to more fully
understand your desires regarding the actual tasks associated with this project and we can adjust this proposed

Raftelis Financial Consultants, Inc. ("RFC") is pleased to submit our qualifications for Financial and
Accounting Services for Utilities Revenue and Expenditure Study ("Study") for the City of Ocoee ("City").
This submission is in response to the City's Request for Qualifications ("RFQ"), RFP No. 0702. We
appreciate the opportunity to submit our qualifications, which detail our understanding of the engagement,
our project approach to meet the City's objectives, and our qualifications and experience within the water
and wastewater industry.
Project Understanding
Like many other utilities across the country, the City is faced with the extraordinary challenge of establishing
a fair and equitable pricing structure that recovers increasing operation and maintenance costs associated
with current operations and funds capital improvement programs associated with increasing capacity needs
and regulatory requirements, while also assuring the long-term financial health of the utility. The City has
identified approximately $15.6 million in water and wastewater capital improvement projects to be
completed over the next five years. The majority of the project costs are to be recovered from current rates.
The City has elected to engage a consultant to develop a model which will project the operation and
maintenance costs and capital costs of the water, wastewater and reclaimed utilities and determine the
sufficiency under current rates and charges, and potential rate adjustments in order to meet the projected
costs.
The City's current rate structure includes both a ftxed and volumetric component. The City assesses a
monthly base charge for water, wastewater and reclaimed water which varies based on meter size. An
increasing block rate structure is assessed per 1,000 gallons of water and reclaimed water usage, in an effort
to promote conservation. A uniform wastewater rate is assessed based on water flow. The City has
different rates for residential and non-residential customers. RFC will create a [mancial planning and rate
model ("Rate Model") designed specifically for the City that will incorporate the City's existing rates and

rate structure to calculate the estimated revenues from these rates based on the projected water and
reclaimed water usage, in order to determine the sufficiency of these revenues to meet the City's projected
expenditures.
RFC has assembled a team of professionals with unparalleled experience and expertise in the field of water
and wastewater finance, cost allocation and pricing, and management. Drawing on nearly 75 years of
combined experience, our team differentiates itself from the competition by providing [mancial and rate
consulting services specifically tailored to the needs of government-owned utilities.
Weare confident that through the use of the carefully crafted scope of work that we present in the attached
qualifications, we can leverage our extensive knowledge and experience to provide the City and its
customers, fair and equitable rates and fees that will support the utility's long-term operational and capital
requirements. In addition, we believe that our skills and experience in developing models will ensure that
the City's objectives are met.
As described in our qualifications, we have assisted a broad range of water and wastewater utilities across
the country to meet these and numerous other rate setting objectives in previous projects. Specifically, we
have completed approximately 150 water and wastewater rate studies in the last five years, which
demonstrates our extensive experience providing similar services for utilities in Florida and across the
country. RFC also has more data on rates, rate structures, and impact fees for utilities across the United
States than any other firm as a result of the biennial water and wastewater rate survey that we conduct with
the American Water Works Association ("AWWA"). We have enclosed a copy of the 2004 Survey with this
proposal.
As a Vice President of RFC, I will serve as the Project Manager for this engagement and will be responsible
for the day-to-day management of the project and our Project Team and all representations to the City,
including contracts and fee arrangements. We will commit the necessary resources to ensure that any and all
of the assistance the City may request is completed in a timely and efficient manner in order to exceed the

utility rate matters.
How to provide for service provision cost recovery during a time of growth is at the heart of our
proposal. Our solution is to develop a financial plan that will help the City meet its objectives of
conducting Financial Accounting Services for Utilities Revenue & Expenditure Study to
accurately cover system costs while generating reasonable charges. Our results will provide
defensible and quality client deliverables for high levels of integrity and outcomes. We will
develop a sophisticated user-friendly Excel model that will illustrate the current rate structure and
have the flexibility to perform sensitivity analyses to determine other rate options. We will work
closely with City staff members to ensure that the final rate structure is both useful and reliable.

The City of Ocoee (City) is soliciting statements of qualifications from interested Professional Financial or
Accounting Firms to assist the City of Ocoee in reviewing the City's Utilities Department current and future
revenues and expenditures for sufficiency. A key task of the Firm's work shall be the development of a
financial model capable of being revised based on ongoing expenditures and revenues by City staff and
annually updated by the Firm. (Firm) or (Respondent) means any individual, firm, partnership, corporation,
association, or other legal entity permitted by law to practice finance or accounting in this state.
The City intends to award a contract to one (1) qualified finance or accounting Firm to perform the required
services. In determining whether a Firm is qualified, the City shall consider such factors as the Firm's locale
and similar project experience, Firm's past project performance in terms of scheduling and budget compliance,
abilities of the professional Firm's project personnel; and the Firm's project approach.
Qualification packages must be received no later than 2:00 p.m., local time, on November 7, 2006. Any
qualification package received after the above noted time will not be accepted under any circumstances and
shall be returned unopened. Any uncertainty regarding the time a qualification package is received will be
resolved against the Respondent.
Firms interested in providing the required professional services shall submit one (1) original and five (5) copies
of their qualifications to the City of Ocoee Finance Department by the submission deadline to the attention of:

services for a public entity, may not be awarded a consultant contract and may not transact business with a
public entity for services, the value of which exceeds Category Two for a period of 36 months from the date of
being placed on the convicted vendor list.

A. INTRODUCTION
1. The City of Ocoee (City) is soliciting statements of qualifications from interested Professional

2. All Qualification Packages must be received by the City at the location stated in paragraph 4 of

Qualification Package received after the above stated time and date shall not be considered. It
shall be the sole responsibility of the Respondent to have the Qualification Package delivered to
the Ocoee City Hall by U.S. mail, hand delivery, or any other method available to them. Delay
in delivery shall not be the responsibility of the City. Qualification Packages received after the
deadline shall not be considered and shall be returned unopened. Any request to withdraw a
Qualification Package must be addressed in writing. Such requests must be received by the
City prior to the deadline of the submission
3. Each Respondent shall examine all Qualification Packages and shall determine all matters
relating to the interpretation of such documents. All contacts shall be made to Joyce Tolbert,
Purchasing Agent, in writing, no later than 5:00 P.M., local time, on October 31, 2006. Firms
should not contact City staff, with the exception of the Purchasing Agent, or other City

5. The interested and qualified firms shall submit a Statement of Qualifications describing their
qualifications and experience in the type of work requested. Submissions shall be limited to a
total of twenty (20) 8.5"x 11" pages (including resumes and 2-page cover letter but excluding
front and back covers, dividers, and Company Information Form), single-sided, portrait
orientation, 12-point font. The person signing the RFQ on behalf of the Respondent shall have
the legal authority to bind the Respondent to the submitted Qualification Package.
6. All expenses for providing Qualification Packages to the City shall be borne by the Respondent.
7. Action on Qualification Packages is expected to be taken within ninety (90) days of the due date;
however, no guarantee or representation is made herein as to the time between receipt of the
Qualification Package and subsequent Commission action.
8. The City reserves the right to accept or reject any or all Qualification Packages, to waive
irregularities and technicalities, and to request resubmission or to re-advertise for all or any part
of the RFQ. The City shall be the sole judge of the Qualification Package and the resulting
negotiated agreement that is in the City's best interest. The City's decision shall be final.
9. All applicable laws and regulations of the United States, the State of Florida, and the City of
Ocoee will apply to any resulting agreement. The provisions of the Consultant's Competitive
Negotiations Act (Section 287.055, Florida State Statutes) shall apply, where applicable.
10. The successful Respondent shall be required to execute an agreement, in form and content
acceptable to the City, indemnifying and holding harmless the City, its officials, officers,
employees, and agents from all claims.
11. The successful Respondent shall be required to provide evidence of both General (Public &
Property) Liability and Professional Liability Insurance in the form of a certificate of insurance
issued on behalf of the City of Ocoee and naming the City as an additional insured, by
companies acceptable to the City at the following minimum limits and coverage's with
deductible amounts acceptable to the City:
INSURANCE TERMS AND CONDITIONS
The Consultant shall not commence any work in connection with an Agreement until all of the following
types of insurance have been obtained and such insurance has been approved by the City, nor shall the
Consultant allow any Subconsultant to commence work on a subcontract until all similar insurance
required of the sub consultant has been so obtained and approved. Policies other than Workers'
Compensation shall be issued only by companies authorized by subsisting certificates of authority issued
to the companies by the Department of Insurance of Florida which maintain a Best's Rating of "A" or
better and a Financial Size Category of "VII" or better according to the A.M. Best Company. Policies
for Workers' Compensation may be issued by companies authorized as a group self-insurer by F.S.
440.57, Florida Statutes.
a) Loss Deductible Clause: The City shall be exempt from, and in no way liable for, any sums of
money which may represent a deductible in any insurance policy. The payment of such deductible

shall be the sole responsibility of the General Consultant and/or sub consultant providing such
Insurance.
b) Workers' Compensation Insurance: The Consultant shall obtain during the life of this Agreement,
Worker's Compensation Insurance with Employer's Liability Limits of $500,000/$500,000/$500,000
for all the Consultant's employees connected with the work of this project and, in the event any work
is sublet, the Consultant shall require the subconsultant similarly to provide Workers' Compensation
Insurance for all of the latter's employees unless such employees are covered by the protection
afforded by the Consultant. Such insurance shall comply fully with the Florida Workers'
Compensation Law. In case any class of employees engaged in hazardous work under this contract
for the City is not protected under the Workers' Compensation statute, the Consultant shall provide,
and cause each subconsultant to provide adequate insurance, satisfactory to the City, for the
protection of the Consultant's employees not otherwise protected.

c) Consultant's Public Liability and Property Damage Insurance: The Consultant shall obtain during the
life of this Agreement COMMERCIAL AUTOMOBILE COVERAGE, this policy should name the
City of Ocoee as an additional insured, and shall protect the Consultant and the City from claims for
damage for personal injury, including accidental death, as well as claims for property damages which
may arise from operations under this Agreement whether such operations be by the Consultant or by
anyone directly or indirectly employed by the Consultant, and the amounts of such insurance shall be
the minimum limits as follows:

D. SUBMITTALS
Qualification Packages shall be designed to portray to the City how the Respondent's range of services
can best achieve the anticipated Scope of Services. In order for the City to evaluate the Qualification
Packages, each Respondent shall provide information relative to their ability to provide services that will

E. SELECTION CRITERIA
Qualification Packages will be reviewed and evaluated by a Selection Committee and a short-list of
qualified firms may be invited to make a formal presentation. The Qualification Packages will be
reviewed and evaluated in accordance with the following criteria and weighting factor:
1. Firm/Team's project members' experience 15 %
2. Firm/Team's past experience on similar projects including 50 %
financial modeling
3. Project Approach 20 %
4. Ability to meet time and budget requirements 10%
5. Office Location 5 %
F. SELECTION PROCEDURES & CONTRACT NEGOTIATIONS
The criteria for selection shall be based on the selection criteria above, including the firm's
qualifications, location, past performance, and reference check. The City reserves the right, before
awarding the contract, to require a Respondent to submit such evidence of its qualifications, as it may
deem necessary. The City shall be the sole judge of the competency of Respondents.
A City selection committee will evaluate each respondent's qualifications and will short-list and
recommend to the City Commission up to three firms based upon the selection committee's evaluation
of the proposals and interviews. The City Commission's decision shall be final.
The City will attempt to negotiate an agreement with the top-ranked Respondent. If no agreement is
reached with the top-ranked Respondent, negotiations will be terminated and initiated with the second-
ranked Respondent, and so on, until an agreement is reached.
The successful Respondent shall be required to execute an agreement. Upon the successful negotiation
of an agreement, a formal contract will be prepared and submitted to the City Commission for approval,
and executed by both parties.

H, BID PROTESTS
The City's Finance/Purchasing Department will consider Bid Protests seeking contract award, damages,
and/or any other relief. Any Bidder seeking to file Bid Protest SHALL use the following procedures:
1. A bidder SHALL file a written Bid Protest under this Article, or be barred any relief.
2. A Bid Protest: (a) must be in writing (oral protests will NOT be acknowledged); (b) the content
of the Bid Protest shall fully state the factual and legal grounds for the protest and the legal basis
for the relief requested; and (c) The Bid Protest shall be filed with the Purchasing Agent not later
than three (3) calendar days after the posting of the notice of intent to award or recommendation
of award by staff.
3. After a Bid Protest has been properly filed with the City, the City, by and through its Purchasing
Department shall make a determination on the merits of the protest not later than five (5)
business days after receipt of the protest. If the City denies the protest, the City may proceed
with award of the Contract unless enjoined by order of a Court of competent jurisdiction.
4. A Bid Protest SHALL be limited to the following grounds: (a) issues arising from the
procurement provisions of the Project Manual and/or the Bid Package or Contract Documents;
and/or (b) applicable federal, state or local law. No Bid Protest may be based upon questions
concerning the design documents. The Bidder shall clarify all such questions concerning the
design of the project prior to submitting its bid.
