Background Summary: The Lakeshore Center Expansion project was designed by Rhodes + Brito, architects, under a continuing services contract with the city. Given the complexity of the project, procurement of a construction firm to build the facility was undertaken using the construction manager at risk method (CM at Risk), as provided in §255.103, Florida Statutes. This relatively new way of hiring a contractor uses the same qualifications-based approach (Request for Qualifications, or RFQ) used for hiring licensed professionals, such as architects and engineers. This selection method was used because it requires the contractor to be involved in the design of the building, which provides two benefits. First, the contractor can provide input to the design process that could lower the difficulty and cost of construction. Second, the extensive interaction with the plans prior to providing the city with a price for the construction work allows the builder to become very familiar with the plans and for the city to avoid issues related to typical low-bid procurements. Failure of the contractor to understand the plans was a source of continuing difficulty with the building's original construction. Seven firms responded to the CM at Risk RFQ solicitation and the Ocoee City Commission ultimately adopted the selection committee's rankings, with The Collage Companies being the top-ranked firm. A lump sum price (LSP) contract was executed by the parties and pre-construction services were secured from The Collage Companies. Those services were well provided. In particular, the company did an exceptionally good job securing vendor and subcontractor price proposals for the work in a difficult market. Section 255.103, Florida Statutes, allows the city to select one of two possible construction pricing options: LSP or guaranteed maximum price (GMP): "At the option of the governmental entity, the construction management entity, after having been selected and after competitive negotiations, may be required to offer a guaranteed maximum price and a guaranteed completion date or a lump-sum price and a guaranteed completion date, in which case, the construction management entity must secure an appropriate surety bond pursuant to §255.05 and must hold construction subcontracts" [§255.103(2), Florida Statutes]. In its RFQ, the city indicated that it intended to use GMP and a sample of such a contract was included in the solicitation; however, subsequent to the solicitation being concluded, staff determined that it could be to the city's advantage to use LSP. The advantages to the city of the GMP approach is that it allows the possibility for cost savings, if the cost of construction is less than the GMP. The advantage presented by the LSP is its simplification of the construction cost management process, which reduces the cost of project administration for both parties. At the time the original work for pre-construction services was awarded, it was felt that LSP was the better option, and that was the form of agreement that was executed; however, both parties left the door open to revisit that decision once the point was reached when construction was to begin. The current construction cost estimate is $3,492,279. This price is based on bids received from vendors and subcontractors using the 95% plans. As of today, some design details are still being addressed, including changes requested by the city following completion of the construction documents, and the final precise cost of some finish items is not yet known, particularly those items needed later in the project. The building footprint and early elements of construction are well defined and can proceed without prejudicing the parties as they resolve elements of construction that occur later in the schedule. Under these conditions, staff has determined that the GMP method of pricing the construction phase is in the city's best interest, as it protects the city from increases in pricing while offering the benefits of potential cost savings. In addition, authorizing the contractor to begin work now will increase the likelihood that exterior construction will finish before the area is needed for Founders' Day activities in early-November. Issue: Should the City Commission authorize the Mayor to execute the CM at Risk agreement with Collage Design & Construction Group, Inc., d.b.a., The Collage Companies, for construction services related to the Lakeshore Center Expansion project at a cost of up to $3,600,000? Recommendation: Staff recommends that the City Commission authorize staff to negotiate an early start effort by the CM at Risk firm to begin construction of the foundation and to take such other initial project work elements as may be clearly defined and for which a price may be established by the parties as they work with the architect to complete the construction documents and negotiate a complete final agreement using the general form of the GMP contract contained in the RFQ solicitation. Staff further recommends that the City Attorney be allowed to make changes in the specific wording of the agreement within the context of the overall presentation of terms and conditions and the Mayor be authorized to execute the resulting construction services agreement with the Collage Design & Construction Group, Inc., d.b.a., The Collage Companies, for construction services related to the Lakeshore Center Expansion project at a cost not to exceed $3,600,000. Contained within this limit is a Contractor's Contingency of $95,000, plus up to $50,000 for products and services the city may acquire directly, such as appliances and fixtures. Attachment: • Construction phase cost estimate from the CM at Risk firm. Financial Impact: The proposed expenditure of up to $3,600,000 is included in the Lakeshore Center Expansion project budget funded by the 2017 General Fund Capital Bond Issue. The current unencumbered balance for the project budget is $3,731,316.80.
