Womack, ►�00 Department Director: Development Engineer Contact Number: 407-554-7081 City Manager: eid/f/ Subject Approval of the Mattamy Homes Preserve at Crown Point Public Access Multi-Use Trail Easement Commission District# 1 —Commissioner Grogan Background Summary: Mattamy Orlando, LLC, a Delaware limited liability company ("Mattamy"), is the owner and developer of Ocoee Crown Point PUD (the Preserve at Crown Point Subdivision). Mattamy Orlando, LLC was required to construct an eight (8) foot wide public access multi-use trail along the west side of the Preserve at Crown Point Subdivision in the upland area adjacent to Lake Apopka. Ultimately, this trail will provide a scenic pedestrian connection from the West Orange Trail to a future City of Ocoee waterfront park on Lake Apopka. The multi-use trail was platted on the Preserve at Crown Point Phase 2A plat as Tract PA. Upon completion of the subdivision, a review of the As-Built drawings revealed that the multi-use trail was not constructed within the platted trail tract, Tract PA. This discrepancy between the originally planned location of the trail and the As-Built location of the trail was due to unforeseen grading challenges along the Lake Apopka upland buffer. City Staff has worked with the City Attorney's Office and Mattamy Homes to provide an updated public access easement to cover the multi-use trail as constructed. The easement document will create a non- exclusive public access multi-use trail easement over the trail as constructed. The City will have the right to provide maintenance of the trail; however, the Preserve at Crown Point Homeowners Association will retain ownership and maintenance responsibilities. Issue: Should the Honorable Mayor and City Commission approve and authorize the Mayor to execute the Public Access Multi-Use Trail Easement thus allowing public access on the multi-use trail through the Preserve at Crown Point Subdivision? Lakeshore Drive Ocoee, Florida 34761 For Recording Purposes Only EASEMENT THIS EASEMENT ("Easement") made this day of , 2018, between THE PRESERVE AT CROWN POINT HOMEOWNERS ASSOCIATION, INC., a Florida not for profit corporation, whose address is 1900 Summit Tower Blvd #500 Orlando, Florida 32810(the"GRANTOR"), and the CITY OF OCOEE, a Florida municipal corporation, whose post office address is 150 North Lakeshore Drive, Ocoee, Florida 34761 (the "GRANTEE"). WITNESSETH WHEREAS, GRANTOR is the Fee Owner of certain real property located in Orange County, Florida, as more particularly described in Exhibit "A," attached hereto and incorporated herein by this reference(the"Easement Property"); and WHEREAS, the Easement Property is subject to that certain Plat of Preserve at Crown Point Phase 2A, recorded June 5, 2017 in Plat Book 92, Pages 97 through 106, Public Records of Orange County, Florida (the"Plat"); and WHEREAS, the Plat depicts and describes Tract PA and grants to the GRANTEE, for the perpetual use of the public, a non-exclusive public access multi-use trail easement over Tract PA in accordance with the terms and conditions of that certain Declaration of Covenants, Conditions, Restrictions and Easements for The Preserve at Crown Point recorded in Official Records as Doc# 20170311277, Public Records of Orange County, Florida (the "Declaration"); and WHEREAS, the multi-use trail improvements (collectively the "Trail Facilities") as constructed are not wholly contained within the boundaries of Tract PA; and WHEREAS, the Trail Facilities are located within the Easement Property; and WHEREAS, GRANTEE desires to grant to GRANTEE for the perpetual use of the public, a non-exclusive public access multi-use trail easement over the Easement Property in accordance with the terms and conditions of the Declaration; and Page 1 WHEREAS, GRANTOR, its heirs, successors, agents, assigns, lessees, and tenants, covenants that it is prohibited from interfering with or creating a conflict with the Trail Facilities and covenants that no buildings, structures, or other man-made obstructions or obstacles shall be located, constructed, excavated, or created by GRANTOR within the Easement Property that may interfere with the normal operation or maintenance of the Trail Facilities. NOW, THEREFORE, GRANTOR, in consideration of the sum of $10.00 and other good and valuable consideration, the receipt whereof is hereby acknowledged, does hereby give and grant to the GRANTEE for the perpetual use of the public a non-exclusive, perpetual public access multi-use trail easement over the Easement Property in accordance with the terms and conditions of the Declaration, subject to the terms and conditions of this Easement, hereinafter set forth, to-wit: 1. The foregoing recitals are true, correct, and are incorporated herein by this reference. 2. GRANTOR does hereby give and grant to the GRANTEE for the public a non-exclusive, perpetual public access multi-use trail easement over the Easement Property. The Easement Property shall be owned and maintained by GRANTOR or its successors or assigns in accordance with the Declaration. 3. GRANTEE shall have the right to clear and keep clear all trees, undergrowth, and other obstructions that may interfere with normal operation or maintenance of the Trail Facilities. GRANTOR, its heirs, successors, agents, assigns, lessees, and tenants, covenants that no buildings, structures, or other man-made obstructions or obstacles shall be located, constructed, excavated, or created by GRANTOR within the Easement Property that may interfere with the normal operation or maintenance of the granted Easement. 4. GRANTOR agrees to indemnify and hold harmless GRANTEE from and against any and all claims, actions, causes of action, loss, damage, injury, liability, costs, or expenses (including attorney's fees) attributable to its negligent acts or omissions or those of its officials and employees acting within the scope of their employment or arising out of or resulting from the indemnifying party's negligent performance under this Easement. The foregoing shall not constitute an agreement by either party to assume any liability for the acts, omissions, or negligence of the other party. Nothing contained herein shall constitute a waiver of sovereign immunity or the provisions of Section 768.28, Florida Statutes,by GRANTEE. Page 2 { 5. GRANTOR hereby warrants to GRANTEE that GRANTOR has fee title to the Easement Property subject to easements, reservations, restrictions, and rights-of-way of record, if any, and that GRANTOR has full power and authority to grant this Easement as to the Easement Property. 6. This Easement shall be construed and enforced in accordance with the laws of the State of Florida, without regard to g principles or conflicts of laws thereof. The exclusive jurisdiction and venue for any action or dispute arising hereunder shall lie in the appropriate court having jurisdiction in Orange County, Florida. GRANTOR and GRANTEE hereby irrevocably consent to such exclusive jurisdiction and venue. 7. If any term or provision of this Easement or the application thereof to any person or circumstance shall, to any extent, be invalid and unenforceable, the remainder of the Easement or the application of such term or provision to persons or circumstances other than those as to which it is invalid or unenforceable shall not be affected thereby and each term or provision of this Easement shall be enforced to the fullest extent permitted by law. 8. Notwithstanding any other provision herein to the contrary, GRANTOR hereby reserves for the benefit of the GRANTOR, its successors and assigns, the right to use the Easement Property for any and all purposes that do not unreasonably interfere with GRANTEE's rights herein conveyed. 9. This Easement may be executed in as many counterparts as may be required and it shall not be necessary that the signature of, or on behalf of, each party, or that the signatures of all persons required to bind any party, appear on each counterpart. It shall be sufficient that the signature of, or on behalf of each party, or that the signatures of the persons required to bind any party, appear on one or more of such counterparts.
