I am in receipt of the City of Ocoee's proposal to retain me as the City's interim City
Manager. I'm honored to be considered in such a way as to assist you in this time of
transition.

As per our previous discussions, as I am in the employ of DRMP, Inc. we would propose
working
through DRMP as a consultant to the City of Ocoee on this assignment.

Therefore, I would like to propose the following:
• g • Contractual agreement with DRMP for my services as interim City Manager, on a

week to week basis, at the discretion of the City.
Professionalscope� • services to include acting as City Manager on an interim basis and
assisting the City in recruiting a new permanent City Manager.
• • On call service to the City with responsibilities per the attachments, with the
understanding that my physical presence at City Hall will be in the 20 to 30 hour per

week range in order to allow me'to continue my commitments and responsibilities
• with DRMP.
. 1 • The City will provide office space and computer equipment as necessary for the
I performance of this assignment.
o Lump Sum Si-weekly payment to DRMP based upon a rate equivalent to $110,000

annually. (The City of Ocoee would no longer pay FICA on the $103,000). This
• would equate to a lump sum of$2,115.38 per week.
• Fringe benefits do not apply.
• Hire and termination shall be pursuant to City Charter § C-23
0 • Powers and duties shall be pursuant to City Charter§ C-24
• • No severance pay upon termination or resignation.
• Effective date, Monday, March 22,2004.
