The lease term is for a period of ten (10) years; rent is $3,500.00 per month. The City and TNXL now desire to amend the Lease Agreement to allow for the City and TNXL to negotiate for TNXL to leave the structure on the property at the end of the lease term and to include the costs of building permit fees and impact fees in the monthly rental fee paid by TNXL to the City. More specifically, at the termination of the Lease, if the parties agree that the structure will remain on the site, the City and TNXL agree to negotiate a price for the City to pay to acquire the structure taking into account the capital outlay by the City at the inception of the Lease. The inclusion of the building permit fees and impact fees is established as an incentive for full performance under the Lease and will be prorated over the initial ten year term of the Lease; if the Lease Agreement is terminated before the end of the initial ten year term, TNXL will pay the City the prorated amount remaining due on the. building permit fees and impact fees. Issue: Should the Honorable Mayor and City Commission approve the First Amendment to the Lease Agreement and authorize the Mayor and City Clerk to execute the amendment? Recommendations: Staff recommends that the Honorable Mayor and City Commission approve the First Amendment to the Lease Agreement and authorize the Mayor and City Clerk to execute the amendment. Rebecca Roberts N/A Reviewed by N/A 2 FIRST AMENDMENT TO LEASE AGREEMENT THIS FIRST AMENDMENT TO LEASE AGREEMENT ("First Amendment") is made and entered into on the day of , 20 , by and between the CITY OF OCOEE, a Florida municipal corporation, whose address is 150 Lakeshore Drive, Ocoee, Florida 34761 ("Landlord"), and TNXL ACADEMY DUCKS LLC, a Florida limited liability company,whose address is 14680 Scott Key Drive, Winter Garden,Florida 34787 ("Tenant"). RECITALS A. Whereas, Landlord and Tenant entered into a LEASE AGREEMENT (the "Lease"), effective July 1,2019; and B. Whereas, Landlord and Tenant desire to amend and clarify certain provisions of the Lease as it pertains to the installation and alteration of Tenant's baseball training facility at 1701 Adair Street(the"Facility"); and C. Whereas, Landlord and Tenant have agreed to a modification of the Lease, prescribing the costs of building permit fees and impact fees will be included in Tenant's monthly rental payment, to be amortized over the initial ten(10)year term. NOW, THEREFORE, for and in consideration of the foregoing, the mutual promises, covenants, and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,the parties hereto agree as follows: 1. All capitalized terms shall have the same meanings as defined in the Lease unless otherwise defined herein. 2. Section 4 of the Lease is hereby amended to include the following language as a new subsection (d): "(d) Agreement for Payment of Fees. Landlord agrees the costs of building permit fees and impact fees relating to the installation of the Facility is included in Tenant's monthly rental payment; subject to the reimbursement as provided below, Tenant shall have no obligation to pay building permit fees or impact fees relating to the Facility. The total cost of building permit fees and impact fees, as amortized over the initial ten (10) year term of the Lease, totals $179.96 per month for the 120 month period. In the event this Lease is terminated prior to the end of the initial ten (10) year period, all applicable building permit fees and impact fees remaining due, as prorated over the ten (10)year initial Lease term,will become immediately due and payable." 3. Section 6, paragraph(a)of Lease is amended to read as follows: (a)Upon receipt of all necessary governmental permits and approvals,Tenant shall have the right to install the Facility in the locations depicted on Exhibit "A" of the Lease and in accordance with the terms and conditions provided in Exhibit`B"to the Lease. Unless Landlord consents to retaining Facility, the Tenant shall remove the Facility upon the expiration or earlier termination of the Lease, provided that Tenant repairs all damage occasioned by the removal thereof. In the event Landlord consents to retaining the Facility on the Premises at the expiration of the Lease, Page 1 of 4 Landlord and Tenant agree to engage in negotiation of a mutually agreed upon price for the Facility, taking into account the capital outlay by the City on behalf of Tenant's project at the inception of the Lease. At the time the City acquires the Facility, Tenant shall execute and deliver a bill of sale for the Premises. 4. All of the terms, covenants, conditions, and provisions of the Lease hereby remain in full force and effect, except as modified by this First Amendment.
