Background Summary: City/CRA staff applied for a WOHD grant in the amount of $3,000,000 to
construct Wellness Park.($2,250,074.16 in grant funds) and support the overall construction of the
Bluford Trail ($749,925.84 in grant funds). On June 22, 2021, the WOHD Board agreed to grant the
City of Ocoee/Community Redevelopment Agency $3,000,000 for the aforementioned projects. The
grant agreement includes the following requirements/terms:
• WOHD grant payments will be made in three (3) draws of $1,000,000 each following the
acceptance of Project Completion Reports at 25%, 50%, and 75% project completion.
• Project should be completed within three (3) years.
• Park name will be Ocoee's Healthy West Orange Wellness Park. (see attached sign)
• Healthy West Orange branding will be incorporated throughout Wellness Park (i.e., exercise
stations, walking path) and along the trail segments constructed using WOHD funds.
• City/CRA to support wellness objectives including taking periodic attendance counts, conduct
biannual on-site surveys; and the City/CRA, in cooperation of others offer wellness programs
and activities at the Park and along the trail that promotes the general health and welfare of the
community, thus reducing overall community health risks.
• City/CRA will support the Healthy West Orange movement by following the Healthy West
Orange on social media, including displaying the Healthy West Orange logo and provide a link
to the movement's website https://healthywestorange.org on the City/CRA's websites.
• For a period of five (5) years after the project completion, the City/CRA will provide to the
District, on or before August 15 of each year an annual report outlining the attendance and
special activities/events held at the park to further wellness objectives.
Issue: Should the honorable Mayor and City Commission accept the requirements identified in the
WOHD Agreement and authorize the Mayor to execute the agreement on behalf of the City? It is
noted that the CRA's Executive Director will sign the agreement on behalf of the CRA:
Recommendations: Staff recommends the honorable Mayor and City Commission accept the
requirements identified in the WOHD Grant Agreement and authorize the Mayor to execute the
agreement on behalf of the City.

Financial Impact: The $3,000,000 grant from the WOHD will allow the CRA to reallocate the
$2,224,852.86 .that is currently identified for the construction of Wellness Park to the S. Bluford
Avenue Complete Street Project and Trail. The WOHD grant and the reallocation of CRA funds were
presented to the CRA at their May 5th Board meeting.

THE WEST ORANGE HEALTHCARE DISTRICT
and the
CITY OF OCOEE
and the
OCOEE COMMUNITY REDEVELOPMENT AGENCY
This Grant Agreement("Agreement")is dated July 21,2021 (the"Effective Date")and
is among the West Orange Healthcare District (the "District"), an independent special district
and political subdivision of the state of Florida,the City of Ocoee,a Florida municipal corporation
and the City of Ocoee, Ocoee Community Redevelopment Agency, (the "CRA") a
redevelopment agency established by the City (collectively the City and the CRA are referred to
herein as the"Grantee").
WHEREAS, the District is an independent special district of the State of Florida
established by Chapter 2000-450,Laws of Florida(the"Act") to serve residents of West Orange
County through the establishment, purchase, sale, construction, operation and maintenance of
hospitals and other healthcare facilities to promote and provide for the health and welfare of the
residents of the District.
WHEREAS, the Grantee has been approved to receive a grant from the District and has
been awarded grant funding in the amount of Three Million and No/100 Dollars ($3,000,000.00)
(the "Grant Funds") which will be used by Grantee to fund a portion of the construction of the
Healthy West Orange Wellness Park(located South of SR 50 and North of Old Winter Garden Rd)
and to support the construction of the new S. Bluford Trail, connecting the Healthy West Orange
Wellness Park to Lakefront Park in Downtown Ocoee(the"Project").
WHEREAS,the Act provides that the Board of Trustees of the District(the"Board")has
all the powers of a body corporate, including the power to contract and be contracted with, as the
Board may deem proper or expedient for the preservation of public health and for the public good
and for the use of the public of the District.
WHEREAS, the Grantee has represented to the Board that the Project will promote the
health and welfare of the residents of the District and West Orange County.
WHEREAS,the Board has determined that providing financial support to the Grantee for
the Project is consistent with and furthers the District's purpose and mission under the Act to
promote the health and welfare of the residents of the District and West Orange County.
WHEREAS, the District and the Grantee now desire to enter into this Agreement to
describe the terms and conditions under which the District will provide the grant funding to the
Grantee for the Project.

NOW,THEREFORE,the parties agree as follows:
1. Recitals. The above recitals are true and correct and are hereby incorporated into this
Agreement by reference.
2. Description of the Project.
a. The Grant Funds will be used by Grantee to develop an approximate five (5) acre
park designed to provide health and fitness opportunities including the installation of
an approximate half mile multipurpose path,gathering areas for health-related events
and four(4)wellness stations.The two(2)largest wellness stations include composite
suspension-fitness equipment and a water bottle fountain,and benches and bike racks
will be located in close proximity to the stations. The park will be landscaped,
including the installation of aquatic vegetation at the pond's waterline, contain
seating areas throughout the park and a boardwalk connecting the east and west sides.
The boardwalk will include a large covered seating area containing environmental
and community health interpretive signage.Adjoining the park will be a new one and
a half(1.5)mile trail approximately ten to twelve(10'-12')feet wide,connecting Old
Winter Garden Road to Downtown Ocoee's existing trail to provide a safe facility
to walk, run,bike and skate,and will connect the heart of the City's Redevelopment
District to Downtown Ocoee. The trail will also play an important role in providing
a safe route to school for students in nearby developments.
b. The new Wellness Park will be officially named the"Healthy West Orange Wellness
Park" and will support the District in meeting the goals of Healthy West Orange by
providing a central location for health and wellness programs for the residents of
West Orange County. The Healthy West Orange logo and/or name will be
prominently and permanently placed throughout the park and along the new trail
connectors. The Project is estimated to cost Nine Million, Seven-Hundred and Fifty
Thousand and No/Dollars ($9,750,000.00), and is depicted and further described in
the grant documents attached hereto as Attachment A,and collectively incorporated
herein(the"Project Expenses").
c. The Term of this Agreement begins on the Effective Date and shall continue until the
District's receipt and approval of the final report required by section 5 below.
Construction of the Project shall begin within 18 months of the Effective Date of this
Agreement and shall be completed within three(3)years of the Effective Date of this
Agreement.
3. The District's Commitment.
a. Grant Funds. The District agrees to provide grant funding pursuant to the terms of
this Agreement for the Project in an amount of Three Million and No/Dollars
($3,000,000.00) (the "Grant Funds"). Any costs of the Project in excess of the Grant
Funds shall be the responsibility of the Grantee.

b. Payment of the Grant Funds. The Grant Funds shall be paid in three (3) funding
draws to the City via check disbursements within thirty (30) days after the District
receives and approves the Project Completion Reports as defined in section 5, and
outlined below: •
Payment 1: $1,000,000,First Project Completion Report
Payment 2: $1,000,000, Second Project Completion Report
Payment 3: $1,000,000,Third Project Completion Report
4. The Grantee's Commitments.
a. Use of Grant Funds. The Grantee agrees to use the Grant Funds solely in conformance
with the Grant Application and Presentation attached hereto as Attachment A, and to
complete the Project as set forth in Attachment A. Failure of the Grantee to complete
the Project as outlined and depicted in Attachment A and in accordance with the terms
of this Agreement or to the satisfaction of the District may be considered a material
breach and shall entitle the District to require the Grantee to promptly repay some or
all of the Grant Funds. This provision will survive the termination or expiration of this
Agreement.
b. COVID-19. In the event that Grantee is unable to use some or all of the Grant Funds
as a result of COVID-19, Grantee shall provide, in writing to the District CEO, a
proposal for the revised use of the Grant Funds. The District CEO will respond, in
writing, to the Grantee approving in whole or in part,or disapproving the proposal for
the revised use of the Grant Funds within 30 calendar days. The Parties will cooperate
in good faith and use commercially reasonable efforts to amend this Agreement relating
to the new use of Grant Funds.
c. Budget.The Grant Funds shall be used by Grantee towards the Project. The following
is the complete budget for the Project(the"Project Budget"):

d. Project Objectives. Grantee will take periodic attendance counts to determine usage
of the park and trail portions of the Project during peak and non-peak times. On-site
surveys will be conducted biannually to ascertain where the Project users are coming
from and provide a baseline understanding of the use of the Project. In addition,
physical activity will be documented as percentage of users engaged in sedentary,
moderate,or vigorous activity. Grantee,in cooperation with others,will offer wellness
programs and trail activities. During these activities, participation counts will be
conducted. The Project Objective is to promote the general health and welfare of the
community and reduce overall community health risks.
e. Healthy West Orange.
i. Grantee shall provide permanent and prominent Healthy West Orange
branding throughout the Wellness park including exercise areas and trail
signage. The Grantee will also include Healthy West Orange information in
future health and wellness programming and educational materials, all in a
form acceptable to and approved by the District CEO or her designee.
ii. The District is one of the founding champions of the Healthy West Orange
movement with the goal to make West Orange the healthiest community in
the nation. Grantee will support the efforts by joining the movement, and
following Healthy West Orange on social media, such as Facebook, Twitter
and Instagram. Grantee shall display the Healthy West Orange logo on
Grantee's website and provide a link to the movement:

iii. Pending further planning by Healthy West Orange,a kiosk for HUBB may be
placed in the Project area by Healthy West Orange. Grantee will allow for
such additions to the Wellness Park and maintain any physical assets
purchased for inclusion by Healthy West Orange. This provision will survive
the termination or expiration of this Agreement.
5. Reporting Requirements.
a. At any time during the term of this Agreement, the District may request and will be
provided access to Grantee's plans,documents,contracts,financial books and records,
reports and any other information relating to the Project and Grant Funds.
b. The City shall provide four written reports to the District, which shall include a
narrative description of the work completed and construction progress, receipts,
budgetary versus actuals accounting for funding and how the Grant Funds were used
and any other pertinent documentation as requested by the District. The City shall
provide the District a report upon (i) approximately twenty-five (25% percent of
Project completion (the "First Project Completion Report"); (ii) approximately fifty
(50%) percent of Project completion (the "Second Project Completion Report"); (iii)

approximately seventy-five(75%)percent of the Project completion(the"Third Project
Completion Report"); and (iv) approximately one-hundred (100%) percent of the
Project Completion(the"Fourth Project Completion Report")(collectively,the Project
Completion Reports"). The Fourth Project Completion Report shall include a
reconciliation of the Project Expenses compared to the Project Budget,a final narrative
description of the work completed,and a summary of planned programming.
a. For a period of five(5)years after the Project completion, the City will provide to the
District, on or before August 15 of each year, annual written reports with a narrative
description of the health and wellness outcomes and measures determined the prior
year at the Healthy West Orange Wellness Park (the"Annual Reports"). The Annual
Reports shall include an outline of services provided and/or made available,the number
of attendees, outcomes, and other information relating to the Project Objectives
described above. This provision will survive the termination or expiration of this
Agreement.
6. Notices.
a. For a notice or other communication under this Agreement to be valid, it must be in
writing, and signed by the sending party, and sending party must use one of the
following methods of delivery:(1)personal delivery;(2)registered or certified mail,in
each case return receipt requested and postage prepaid; or (3) nationally recognized
overnight carrier, with all fees prepaid. Delivery via facsimile or e-mail is also
permitted provided it is followed by delivery via one of the methods(1)-(3)above and
any such delivery via facsimile or e-mail shall not be deemed to have been received
pursuant to subsection 6.c. until such delivery pursuant to methods(1)-(3) above shall
be deemed to have been received pursuant to subsection 6.c.
b. For a notice or other communication under this Agreement to be valid, it must be
addressed to the receiving party at the addresses listed below for the receiving party or
to any other addresses designated by the receiving party in a notice in accordance with
this section 6.

c. A valid notice or other communication under this Agreement is effective when received
by the receiving party.
7. Assignment. Neither party may assign this Agreement.
8. Press Releases.Neither Party shall issue a press release with respect to this Agreement without
the prior review and written consent of the other party. Any press release issued shall be
mutually agreed to by both parties.
9. Amendments, Waiver. With the exception of the provisions in Subsection 4.b., above, no
change or modification to this Agreement shall be valid unless the same is in writing and signed
by all parties hereto.No amendment shall be binding on the District or the Grantee unless(i)
it is in writing, and(ii)it is formally approved by the District's Board of Trustees.
10. Indemnification; Limitation of Remedies and Liability.
a. The Grantee shall defend, indemnify, and hold harmless the District, its officers,
directors,trustees, agents and employees from and against all claims,damages,losses,
liens, and expenses, (including but not limited to reasonable fees and charges of
attorneys or other professionals and court and arbitration or other dispute resolution
costs) to the extent arising out of or resulting from (i) breach of the terms of this
Agreement by the Grantee, (ii)violations of applicable law by the Grantee relating to
the Project and/or Chapter 119, Florida Statutes, and related laws, and/or (iii) the
activities occurring at the Project location. The provisions of this section shall survive
the expiration or termination of this Agreement for any reason.
b. Grantee waives all claims against the District for injury,death,damage,or loss arising
from or related to activities conducted under this Agreement. The District is not liable
to the Grantee for indirect,special,or consequential damages,including,but not limited
to, loss of revenue, loss of profit, cost of capital, or loss of opportunity regardless of
whether such liability arises out of contract,tort(including negligence), strict liability,
or otherwise.
c. The Grantee acknowledges that the District does not waive the limitation oftort liability
as provided in Section 768.28 of the Florida Statutes,as applicable and amended from

time to time, and nothing in this Agreement shall act as a waiver of the District's
entitlement to sovereign immunity as to tort claims as a matter of statutory and common
law.
11.Entire Agreement. This Agreement sets forth all of the promises, agreements, conditions,
understanding,warranties or representations among the parties with respect to the matters set
forth herein,and there are no promises,agreements,conditions, understandings,warranties or
representations, oral or written, express or implied, among them with respect to such matters
except as set forth herein.
12.Applicable Law; Venue. This Agreement shall be construed in accordance with the laws of
the State of Florida. Any dispute arising out of or relating to this Agreement shall be subject
to the exclusive venue of the United States District Court for the Middle District of Florida or
the Ninth Judicial Circuit, in Orange County, Florida.
13. Public Records.
a. To the extent the Grantee is acting on behalf of the District as provided under
Subsection 119.011(2)of the Florida Statutes,the Grantee shall:
i. Keep and maintain public records required by the District to perform the
services under this Agreement.
ii. Upon request from the District's custodian of public records, provide the
District with a copy of the requested records or allow the records to be
inspected or copied within a reasonable time at a cost that does not exceed the
cost provided in Chapter 119 of the Florida Statutes or otherwise provided by
law.
iii. Ensure that public records that are exempt or confidential and exempt from
public records disclosure requirements are not disclosed except as authorized
by law for the duration of the Agreement term and following completion of
the Agreement if the Grantee does not transfer the records to the District.
iv. Upon completion of the Agreement, transfer, at no cost, to the District all
public records in possession of the Grantee or keep and maintain public
records required by the District to perform the service. If the Grantee transfers
all public records to the District upon completion of the Agreement, the
Grantee shall destroy any duplicate public records that are exempt or
confidential and exempt from public records disclosure requirements. If the
Grantee keeps and maintains public records upon completion of the
Agreement,the Grantee shall meet all applicable requirements for retaining
public records. All records stored electronically must be provided to the
District, upon request from the District's custodian of public records, in a
format that is compatible with the information technology systems of the
District.
b. If the Grantee fails to provide the public records to the District within a reasonable time
the Grantee may be subject to penalties under Section 119.10 of the Florida Statutes.

14. Compliance with Federal,State and Local Laws.In the performance of this Agreement,the
parties shall comply with all federal,state and local laws,rules and regulations,which may be

15. Severability.If any provision of this Agreement is found by a court of component jurisdiction
to be invalid or unenforceable to any extent, the remainder of this Agreement shall not be
affected thereby and shall remain enforceable to the greatest extent permitted by law.

Project Description
There are numerous national, state and local studies that have documented that with
increased access to public parks and trails rates of chronic illnesses are reduced. The
CRA and the City are partnering to build a Wellness Park and complete the S. Bluford
Trail with the intent on improving overall community health of our residents and the
local workforce.
The project includes the development of an approximate five (5) acre park designed to
provide health and fitness opportunities. Opportunities will include activating, what is
today a stormwater pond through the installation of a 1/2 mile perimeter multipurpose
path, gathering areas for health-related events and four wellness stations. The two
largest wellness stations include what is known as composite suspension-fitness
equipment; where multiple people can work out simultaneously on the same piece of
equipment. Suspension training is very effective because it aims to increase strength,
balance, flexibility and core stability. With almost 50 exercises, it is one of the most
versatile pieces of exercise equipment on which all muscle groups can be trained in a
functional and effective way, no matter what the fitness level of the user. The other two
stations include individual circuit training equipment, including a bike, body flex wheel,
chest press, arm bike and squat/shoulder press. Each of the stations are equipped with
safety surfacing, as well as, a shade sail to protect the users from direct sun exposure,
limiting time spent under UV rays. A water bottle fountain, benches and bike racks will
be located in close proximity to the stations.

The park will be beautifully landscaped, including the installation of aquatic vegetation
at the pond's waterline, creating a more natural setting. Seating areas will be located
throughout the park and a boardwalk will connect the east and west sides. The
boardwalk has a large covered seating area where environmental and community
health interpretive signage will be located. Properly placed seating will provide tranquil
areas for mental relaxation and exercises that serve to calm and restore one's spirit.
This transformation of an ugly pond to an urban park, offering fitness opportunities,
will be welcomed by our community, especially by those living or working within a 1h-1-
mile radius. Wellness Park will be only the second City park to be built south of SR 50
and the first park to be built as part of the Ocoee Redevelopment Agency's work
program to reduce blight while enhancing community health and wellness.
Adjoining the park will be a new 1.5 mile, 1 0'-12'wide trail,which will connect Old Winter
Garden Road (future trail location) to Downtown Ocoee's existing trail, creating a trail
over 2 miles in length. This new trail connection not only provides a safe facility to walk,
run, bike or skate, it will connect the heart of the Redevelopment District to Downtown,
where there are future plans to extend the trail to the West Orange Trail. The trail will
also play an important role in providing a safe route to school for students in nearby
developments. For example, there are a number of children that are being bused to
Ocoee Elementary and Ocoee Middle schools from the Oasis Apartments, since the
direct route does not include safe sidewalks or pathways. We want to change this by
completing the S. Bluford Trail between Old Winter Garden Road to Ocoee's existing
Downtown Trail at Delaware Street.
Both the park and the trail are identified in the City of Ocoee's Trails Master Plan as well
as, in the Healthy West Orange Trails Initiative.
Grant Funding Requested
$3,000,000
Provide a complete description of the project, including target demographic,
population served, need, reach, community impact and sustainability.
The typical population served for a 5-acre park, is usually within a 1/2 mile radius;
however, specialty parks, such as, Wellness Park, are considered destination facilities;
meaning people will travel further to access the facility. Having the S. Bluford Trail
adjacent to the park, will also increase the number of individuals that chose to walk or

bike to the park. Wellness Park is located in close proximity to numerous employers;
several of whom have employee walking or"Get Moving to Better Health" programs.

Based on the Healthy Model ran for WOHD boundaries by MetroPlan; population within
the service area of the proposed park and trail demonstrates moderate to high risk
health factors for the following:

Health Impacts
National research, by such groups as the National Recreation and Parks Association
(NRPA) and Robert Wood Johnson Foundation, conclude that trails, greenspaces and

and outdoor fitness parks, we can increase community exposure and positive health
impacts. The City of Ocoee and the CRA will partner to provide on-site programming
and events to increase facility awareness, providing for health and wellness activities.
In addition, the City/CRA will work with local physical trainers to use the S. Bluford Trail
and Wellness Park to hold sessions or classes. When people see people working out,
then it increases the likelihood those observing the activities will return to participate
in them.

Describe the target population for services.
Wellness Park and the S. Bluford Trail will serve residents and those working in primarily
the zip codes 34761 and 34734. Located within the City of Ocoee's Fifty West
Redevelopment Area, the park and trail will be in near proximity to nearly 8,000
employees, many of whom work for healthcare providers.
As described in previous responses, Wellness Park and the S. Bluford Trail will primarily
serve residents and workers within a 1/2 to 1-mile radius of the facilities. Through
outreach activities, the City and CRA plan to reach out to local employers to discuss
employee fitness programs that can be offered at both the park and trail. Children living
within the Oasis Apartments and the future City Center, will be able to safely walk and
bike to school, instead of being bused; increasing physical activity and thereby reducing
such health conditions as childhood obesity.

including those living with the City, as well as, in Gotha (unincorporated Orange County).

In addition to our relationship with the WOHD, the City of Ocoee and the Ocoee
Community Redevelopment Agency are partnering to construct Wellness Park and the
S. Bluford Trail. Once constructed, the City's Parks and Recreation Department will
oversee park maintenance and programming and the Public Works Department will
maintain the S. Bluford Trail.
Being that the proposed park and trail are located adjacent to the City of Ocoee's Police
Department, the facilities will have an active security presence, creating a safe location
to exercise and recreate. Our officers plan to use Wellness Park and the trail to host
special events, as well as, for physical conditioning on a daily basis.
Once the facilities are operational, the CRA and Parks and Recreation Department will
build relationships with different organizations, including the WOHD, in order to offer
wellness programs and special events throughout each year. In addition,we are looking
to develop relationships with other organizations such as ParkRX America. ParkRX is a

non-profit organization whose mission it is to "decrease chronic disease and increase
health and happiness, and foster environmental stewardship, by prescribing Nature
during the routine delivery of healthcare by a diverse group of health care
professionals". Wellness Park and the S. Bluford Trail will be located within a stone's
throw of Orlando Health's Health Central Campus and numerous healthcare providers.
We hope to promote the program and get area professionals to provide prescriptions
to use the City's parks and trails.

Available Funding
The Ocoee CRA has funded the design and engineering for Wellness Park and the
portion of the S. Bluford Trail between the Old Winter Garden Road (OWG RD) and
Geneva Street. The City is funding the engineering of the Trail between Geneva Street
and Delaware Street.
The CRA has funded in FY 2021, $2,224,852.86 for constructing Wellness Park and a
portion of the trail that is adjacent to the park, south of SR 50. At this time, there are no

construction dollars allocated for the construction of the trail north of SR 50. Based on
available revenue, the CRA will earmark funding for the construction of the portion of
the trail that is located south of Geneva Street in FY 2022 & 2023. Currently, the City
does not have funds earmarked or identified for completing the trail north of Geneva
Street.
If the City of Ocoee and the Ocoee CRA are awarded a grant for the $3,000,000 we will
be able to construct Wellness Park and good portion of the trail, south of SR 50. The
CRA would then move its funds currently budgeted for Wellness Park to the S. Bluford
Trail project to construct the trail north of SR 50 to Geneva Street. The CRA Board would
then request additional funds to complete the S. Bluford Trail to Geneva Street, if
revenues permit. The trail north of Geneva would be the City's responsibility and would
need to be funded; however, funding does not appear to be available at this time. The
other option would be for WOHD to pledge $1,000,000 to the park and $2,000,000 in
funding could be directed to the City's portion of the trail, north of Geneva Street.
Describe the project's outcome measures, including number of individuals were
impacted.
Funded by a grant from the Robert Wood Johnson Foundation, the Center of Disease
Control (CDC) identified specific measurements for public parks and trail facilities.
These measurements are: level of physical activity, visitation, frequency, and duration.
Once the park and the trail are constructed, the City will take periodic attendance
counts to determine usage during peak and non-peak times. On-site surveys will be
conducted at least biannually to see where the users are coming from; this will assist to
provide a baseline understanding of the true service area. In addition, physical activity
will be documented as percentage of users engaged in sedentary, moderate, or
vigorous activity. The City and CRA, in cooperation with others will offer wellness
programs and trail activities. During these events, participation counts, and activity
focus will be document.
The ultimate goal is to activate our community to "Get Out and Get Active". If all goes
as planned, we hope to see a reduction in overall community health risks.
