The original drainage easement is documented in OR Bk 5949, Pg. 3800, and was established on February 16,
2000, by Heller Bro Groves. The Drainage Easement was needed to cover a drainage pipe that runs from the City
of Ocoee pond on Maguire Road east to the drainage pond at Lake Lilly. The property for the existing and proposed
drainage easement revision is located on parcel number 29-22-28-0000-00-007.
The Drainage Easement revision is required in order to cover the underground drainage pipes that are being re-
routed around a proposed building on the Alibi Apartment site. The pipe connects the stormwater from the City of
Ocoee's Drainage Pond on Maguire Road to tract A (retention pond to the east) of the Lake Lilly Development.
ISSUE:
Should the City approve and sign the Alibi Apartments Drainage Easement Revision?
RECOMMENDATIONS:
The Development Services Department recommends the approval of 1. Alibi Apartments Drainage Easement
Revision by the City Commission and to authorize the Mayor and City Clerk to sign the Alibi Apartments Drainage
Easement Revision.

DRAINAGE AND OUTFALL EASEMENT

THIS INDENTURE is made and entered into as of the 16" day of February, 2000, by
HELLER BROS, GROVES, a Florida general partnership, whose address is 288 South 9'h
Street, Winter Garden, Florida 34787, and WEST END PROFESSIONAL PARK
PROPERTY OWNERS ASSOCIATION, INC., a Florida not for profit corporation, whose
address is 288 South 9' Street, Winter Garden, Florida 34787 (hereinafter collectively referred
to as the "Grantor") for the benefit of the CITY OF OCOEE, a Fiorida municipal
corporation, whose mailing address is 150 North Lakeshore Drive, Ocoee, Florida 34761
(hereinafter referred to as the "Grantee").
(Wherever used herein the terms "Grantor" and "Grantee"
include all the parties to this instrument and the heirs, legal
representatives and assigns of individuals, and the successors and
assigns of corporations, partnerships [including joint ventures),
public bodies and quasi -public bodies.)
WITNESSETH:
THAT the Grantor in consideration of TEN DOLLARS ($10.00) paid by the Grantee
and ,other valuable considerations, the receipt and sufficiency of which is hereby
acknowledged, does hereby give and grant to. Grantee and its assigns, a perpetual nonexclusive
drainage and outfall easement, with full authority to enter upon, construct, operate, repair, and
maintain, as the Grantee and its assigns may deem necessary, underground drainage pipes and
facilities and other related appurtenances over, under, and upon the following described lands
situate in Orange County, Florida:
See Exhibit "A" attached hereto and by this reference made a part hereof
(hereinafter referred to as the "Drainage Easement Property").

SUBJECT TO restrictions, reservations, easements and other matters of record, if any.
TO HAVE AND TO HOLD said easement unto the Grantee and its assigns forever.
The Easement granted herein and the underground drainage pipes to be located by the
Grantee within the Drainage Easement Property is for the sole purpose of (a) providing a
drainage outfall to Tract A of the Plat of West End Professional Park Unit 1 as recorded in Plat
Book 34, Page 139, of the Public Records of Orange. County, Florida from (i) Professional
Center Boulevard, (ii) Lot 1 of the Plat of Medcare Center, as recorded in Plat Book 18, Page
i . 136, of the Public Records of Orange County, Florida, and (iii) a 100 year retention pond to be
i constructed by Grantee, as part of the Maguire Road Widening Project, on certain lands
adjacent to the Drainage Easement Property which are being conveyed by Grantor to Grantee
of even date herewith, and (b) providing a drainage and outfall to said Tract A from certain
proposed lots to be located adjacent to the Drainage Easement Property to the extent such
outfall is needed for development of said proposed lots.

Subject to the terms, conditions and limitations set forth herein, the Grantee and its
assigns shall have the right of ingress and egress over, upon and across the Drainage Easement
Property at all times for the purpose of constructing, operating, repairing and maintaining the
underground drainage pipes and facilities and other related appurtenances and for further

have the right to clear and keep clear all trees, undergrowth, and other obstructions that may
interfere with normal operation or maintenance of the underground drainage pipes and facilities

the Grantor agrees not to build, construct, or create, nor permit others to build, construct, or
create any buildings or other structures on the Drainage Easement Property that may interfere
with the use of the Drainage Easement Property for the purposes set forth herein or with the
normal operation or maintenance of the underground drainage pipes and facilities and other
related appurtenances.
Except as expressly set forth herein, the Grantor reserves the right to utilize the
Drainage Easement Property for any purpose which does not interfere with the use of the
Drainage Easement Property for the purposes set forth herein.
Grantor warrants and represents that it has fee simple title to the Drainage Easement
Property and that it has full right, authority and capacity to grant this easement; that the
Drainage Easement Property is free and clear of all liens, mortgages and encumbrances
whatsoever, except for real property taxes not delinquent; and that it will defend the same
against the claims of all parties.

Agreement").
WHEREAS, Lake Lilly is entering into this Amendment as the successor owner of the
property previously owned by Heller, which is subject to the terms and conditions of the Easement
Agreement.
WHEREAS, Grantor and Grantee desire to amend Exhibit "A" to the Easement Agreement,
as further set forth herein.

NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, Grantor and Grantee

1. Exhibit "A". Exhibit "A" to the Easement Agreement is hereby deleted in its entirety
and replaced with the Exhibit "A" attached hereto and by this reference made a part
hereof (hereinafter referred to as the "Drainage Easement Property"). All references
in the Easement Agreement to the Drainage Easement Property shall hereafter be deemed
to refer to the real property described in Exhibit "A" to this Amendment.
2. Modification / Conflict. Except as modified by this Amendment, all of the terms and
conditions contained in the Easement Agreement remain in full force and effect. In the
event of any conflict between the terms and conditions of this Amendment and the terms
and conditions of the Easement Agreement, the terms and conditions of this Amendment
shall prevail.
3. Counterparts. This document may be executed in multiple counterparts, each of which
shall be an original, but all of which together shall constitute one and the same
instrument.
