Public Works recommends approval of the Railroad License Agreement, Issue: Request the City Commission approve and sign the Florida Central Railroad License Agreement for the amount of $166,374.00. Reviewed by Finance Director Roberts 11/29/22 0/& 2 THIS AGREEMENT FOR REMOVAL OF THE TEEPEE LEAD (the "Agreement") is made and entered into as of this _ day of _, 2022 (the "Effective Date") by and between FLORIDA CENTRAL RAILROAD COMPANY, LLC., a Florida corporation with an address of 3001 W. Orange Avenue, Apopka, FL 32703 ("FCEN") and THE CITY OF OCOEE, a municipal corporation of the State of Florida with an address of I N. Bluford Avenue, Ocoee, FL 34761 ("OCOEE" and "Licensee"). WHEREAS, the Licensee is desirous of creating certain streetscape improvements within a portion of FCEN's leased right-of-way that includes the area known as Oakland Ave DOT # 621881D ATB 32.25 that contains the railroad spur known as the Teepee Lead (the "Tepee Lead") that traverses Oakland Avenue (the "Crossing") approximately fifty (50) feet west of DOT 621881D as depicted on the 90% Design Plans of August 19, 2019, as prepared by CPH Inc. of Sanford, Florida (the "Plans") attached hereto as Exhibit "A" and incorporated herein by this reference. WHEREAS, FCEN has granted Licensee a license under a separate agreement, OCOE- 35-004, to use portions of FCEN's right of way created by that certain lease agreement between FCEN and CSX Transportation, Inc. dated 11/21/1986 and recorded in Orange County Florida OR BK 5098 P4983 (the "CSX Lease") for the benefit of Licensee and the general public but without establishing, claiming, or possessing any estate or interest therein (a "License"). OCOE-35-004 is included herein as reference only. WHEREAS, FCEN agrees to the removal of further portions of the TEPEE LEAD (the "Spur") as set forth below. WHEREAS, Licensee is willing to pay the reasonable costs, fees, and expenses of Licensee's for the removal of the Spur. NOW THEREFORE, in consideration of the mutual promises contained herein the parties agree as follows: I RAIL REMOVAL AND ROAD CROSSINGS. FCEN or FCEN contractors shall remove rail from the switch located approximately 215' North of Oakland Ave to Kissimmee Avenue and, with the exception of Oakland Ave., rail will remain in place at the road crossings (the "Road Crossings") until such time that FCEN and OCOEE can coordinate road improvements that include, but are not limited to, paving over rail or removing rail and improving roadway beneath. The area of rail to be removed and the area of rail to remain is shown on Exhibit "B" attached hereto and incorporated herein. Ocoee shall have the right to remove rail at Mcl",ey, Floral and W. Ohio Roads and either stage for removal by FCEN or Ocoee may dispose of same 451542.1 upon notification to FCEN. Ocoee shall have the right to remove rail ties upon notification to FCEN. 2. LICENSE GRANTED This Agreement for Spur Removal grants Licensee and the general public the right to cross over and through the License Area (the "License Area") which is defined as the railroad property where the above mentioned at grade crossings have been removed. 3. PROPERTY OWNERSHIP AND FUTURE RIGHTS Property beneath the rail will remain property of FCEN, subject to the terms of the CSX Lease. FCEN reserves the right to reconstruct the rail and structure at any time. Terms of Road Crossing Agreements of record and covering Crossing maintenance agreements shall remain valid upon the completion of the Spur removal, while leaving crossings in place, and Ocoee will assume all maintenance and liability of the crossing areas whether or not covered by previous agreement once rail has been removed. FCEN reserves the right to reinstall rail within the above -described right-of-way should any need arise in the future. In said event, the terms of this Agreement shall terminate. 4. SWITCH REMOVAL FCEN shall remove the switch, from the location defined above, and align the track structure to accommodate the switch removal. In addition, FCEN will see to the removal of the Cantilever System located at McKey St., identified as DOT #622141 C. SUBJECT TO MASTER LEASE AGREEMENT This Agreement shall be subject to the terms and conditions of the CSX Lease, a memorandum of which is recorded in the public records of Orange County at Official Records Book 5098, Pages 4983 and 4984. STATUS OF SUBCONTRACTORS For purposes of this Agreement, all references to Ocoee shall include the City of Ocoee, its contractors, subcontractors, agents, officers, employees, and others acting under its or their authority. 7. CROSSING'S COST AND EXPENSE The Road Crossings shall be maintained in good condition by Licensee at Licensee's sole cost and expense, in a manner and with such materials as are reasonably satisfactory to FCEN, as long as the Road Crossings remain in place as set forth in Paragraph 10 below. FCEN and Licensee shall coordinate a time to remove rail from the Road Crossings at a future date, but said removal shall not be more than nine (9) months from the Effective Date, with the exception of 622142J and 622143R. During the removal of rail from the Rail Crossings, Licensee shall be solely responsible for maintenance of traffic (MOT) and repair to any and all crossing surfaces and approaches. 451542.1 2 8. FEES Within thirty (30) days upon receipt of an invoice by FCEN, Licensee sly. FCEN the cost of the above referenced work estimated to be One hundreL six thousand three hundred and seventy-four dollars ($166,374.00). 9. TERM The term of this Agreement shall run fora period of one (1) year commencing on the Effective Date. Thereafter, this Agreement shall automatically renew for successive one-year periods unless or until it is terminated as provided below. In no event shall the term of this Agreement exceed the term of the CSX Lease. 10. TERMINATION If Licensee fails to keep or perform any such covenants, terms and/or conditions as contemplated within this Agreement, FCEN shall have the right to terminate this Agreement upon written notice to Licensee of such breach after providing Licensee thirty (30) days to cure such breach. The curing of such breach within the said time period shall negate the said notice of termination and the failure to cure within the said period shall be conclusive termination, whereupon Licensee will, at Licensee's expense, restore, under supervision of FCEN, the License Area to its original condition, if required by FCEN. 11. MAINTENANCE The Road Crossings and rail corridor, including the usual appurtenances such as approaches, roadway, curbs, pathways or sidewalks, travel lanes or utilities, gutters, shoulders, slopes, fills and cuts, shall be maintained by Licensee at the sole cost and expense of Licensee. Licensee shall be solely responsible for keeping all vegetation, cut to a height not to exceed one foot (P) above ground level, and free of parked or standing vehicles or debris. 12. CONTINUING OBLIGATION As long as this Agreement remains in effect, Licensee shall bear the expenses or maintenance as hereinabove set forth. 13. FJSK, LIABILITY, INDEMNITY Excluding the negligent and intentional acts of FCEN, its owners, affiliates, officers, shareholders, directors, employees, and agents, the Licensee shall defend, hold harmless and indemnify FCEN, its owners, affiliates, officers, directors, shareholders, employees, and agents from and against any and all liability, loss, claim, suit, damage, charge or expense (including reasonable attorney's fees) which any such party may suffer, sustain, incur, or in any other way be subjected to, on account of death or injury to any person and for loss of or damage or destruction to any property, arising out of or from, or in any way connected to or with, the use by any person, of any and all of the Road Crossings and License Area, and Improvements, but only to the extent as provided in Florida Statutes Section 768.28 451542.1 OCOE-35-004 14. THIRD PARTIES Neither this Agreement nor any provision hereof or herein shall operate or be construed as being for the benefit of any third person. 15. NOTICES All notices on the part of Licensee to FCEN shall be given in writing to the FLORIDA CENTRAL RAILROAD COMPANY, LLC., 3001 W. Orange Avenue, Apopka, FL 32703 All notices on the part of KEN to Licensee shall be given in writing to the Attn: City Manager, THE CITY OF OCOEE, FLORIDA, 150 N. Lakeshore Drive, Ocoee, FL 34761. All notices shall be sent in person, or via overnight courier, or email. 16. NO WARRANTIES This License is herein granted without any warranty, express or implied, and Licensee hereby agrees that no damages shall be recoverable from FCEN because of any dispossession of Licensee or because of any failure of, defect in, cancellation of, or termination of, FCEN's property interest in the License Area. 17. ASSIGNMENT No assignment of rights or privileges hereunder by Licensee shall be valid unless the written consent of FCEN is first obtained. 18. FUTURE PARTIES This License shall inure to the benefit of, and be binding upon, the Parties hereto and their respective, heirs, legal representatives, successors, and assigns. 19. REMEDIES The remedies under this Agreement are cumulative and shall not exclude any other remedies to which any party may be lawfully entitled. The failure or delay of any party to insist upon the strict or timely performance of a covenant hereunder or any obligation hereunder, shall not be a waiver of such party's right to demand strict compliance therewith in the future. 20. CAPTIONS All titles or captions are inserted for convenience only and they in no way shall be construed to define, limit, or describe the scope of this Agreement or any provision thereof. 21. SEVERABILITY If any clause or provision of this Agreement shall be deemed to be invalid or unenforceable under present or future laws, then, in that event it is the intention of the Parties that the remainder of this Agreement shall not be affected thereby. 451542.1 4 22. CHOICE OF LAW This instrument is being delivered and is intended to be performed in the state of Florida and shall be construed and enforced in accordance with the laws of that state. Any aggrieved party may proceed to enforce its rights in the appropriate action at law or in equity. Venue for all suits arising out of this instrument shall lie exclusively in the Courts of Orange County, Florida. By execution or adoption of this agreement, each party hereby submits itself to the inpersonam jurisdiction of the Courts of Orange County, Florida. 23. MODIFICATION All modifications or waivers to this License Agreement must be in writing and executed by both parties. 24. MERGER This Agreement represents the final, complete, and exclusive understanding of the Parties of the subject matter hereto. 25. LICENSEE'S AUTHORITY TO EXECUTE THIS AGREEMENT Licensee represents and warrants that it has taken all necessary actions required in order to enter into this License Agreement and cause it to be fully enforceable against Licensee, and that its agent below is authorized to execute this License Agreement.
