Ltd. Background Summary: Last January 1, the City entered into an agreement for legislative consulting services with Alcalde and Fay. The contract term was for one year at a cost of $60,000 annually plus expenses. Specifically, the firm was to assist the City with public works, transportation infrastructure, water resources, and Federal appropriations and grant programs administered by the Federal Government. Staff has worked with the firm over the past year and has items pending for appropriations or grants including the Wastewater Infrastructure Project/West Side Sewer Loop in the Water Resources and Development Act of 2010 and the Wurst Road Extension in the Transportation/Highway Reauthorization Bill. The current agreement with Alcalde and Fay expires on December 31, 2009. Staff would like to enter into a new agreement with Alcalde and Fay effective January 1, 2010. The new agreement would be at the same rate of $5,000/month or $60,000 annually. The contract can be terminated upon 30 days written notice, with or without cause. The City also has a contract with Gray Robinson to provide local and state legislative consulting services. This contract commenced on October 1st of 2007 and is set to expire on September 301h of 2010. The annual cost of this contract is $42,000 plus expenses not to exceed $4,200 per year. This contract can be terminated with 30 days advance notice. Issue: Should the City enter into a new agreement with Alcalde and Fay, Ltd.? Reviewed by () N/A N/A N/A 2 M DRAFT AGREEMENT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF OCOEE, FLORIDA AND ALCALDE A.ND FAY, LTD. The following is an agreement between the City of Ocoee, Florida, hereinafter referred to as "CITY" and the firm of Alcalde & Fay, Ltd., a Virginia corporation, hereinafter referred to as "CONTRACTOR". WHEREAS, CONTRACTOR has duly qualified experts in the field of public works, transportation infrastructure, water resources, housing and Federal appropriation and grant programs; and WHEREAS, in the judgment of the Ocoee City Council, it is necessary and desirable to employ the services of the CONTRACTOR to assist the CITY with public works, transportation infrastructure, water resources, housing and Federal appropriation and grant programs administered by the Federal government. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows: PART I - SPECIFIC PROVISIONS A. SERVICES TO BE PROVIDED: CONTRACTOR will consult and advise, as requested, on public works, transportation infrastructure, water resources, housing and Federal appropriation and grant programs, including but not limited to: 1. Developing strategies to obtain and maximize funding for public works, transportation infrastructure, water resources and housing programs. 2. Coordinating funding, legislation and policy related activities with the United States Congress and Federal agencies; 3. Securing authorizations and funding from the United States Congress and Federal agencies to implement the CITY'S projects; 4. Maintaining direct and frequent contact with key United States Senators and Representatives; 5. Advocating CITY interests during the United States legislative and regulatory process; 6. Providing the CITY with a written report of activities and attending CITY meetings upon the CITY'S written request. B. PAYMENT: CONTRACTOR'S compensation for the services provided hereunder shall be $5,000.00 per month. CONTRACTOR shall submit the monthly $5,000.00 fee invoice at the first of each month, beginning on January 1, 2009. The CITY shall reimburse CONTRACTOR for reasonable expenses incurred in connection with the CONTRACTOR'S work at actual cost. Expenses that are to be reimbursed include, but are not limited to photocopying, postage, telephone, delivery, and telecopy charges. Expenses will be reimbursed to CONTRACTOR on a monthly basis. All travel expenses will be incurred only following written approval by CITY. Q DRAFT C. KEY PERSONNEL: CONTRACTOR has represented to CITY that CITY will have L.A. PART II. GENERAL PROVISIONS A. ASSIGNMENT AND DELEGATION; Except as above, neither party hereto shall assign or delegate any interest in or duty under this Agreement without written consent of the other, and no assignment shall be of any force or effect whatsoever unless and until the other party shall have so consented. B. STATUS OF CONTRACTOR: The parties intend that CONTRACTOR, in performing the services hereinafter specified, shall act as an independent contractor and shall have control of the work and the manner in which it is performed, CONTRACTOR is not to be considered an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides its employees. In addition, special proceeding or other proceeding that may be brought arising out of, in connection with, or by reason of this Agreement, the laws of the State of Florida shall be applicable and shall govern to the exclusion of the law of any other forum G. MEDIATION: All controversies, claims, and disputes between the parties arising out of or related to this Agreement or the interpretation thereof, will first be submitted to mediation by a mediator certified by the Supreme Court of Florida, which mediator shall be selected and retained by the CITY. The cost of the mediator's fee shall be borne equally by the parties. The mediation process shall be invoked by written notice from either party. The CITY shall retain the mediator and schedule mediation within thirty (30) days of sending or receiving the written notice, or on a date as agreed by the parties. Mediation shall be a condition precedent to filing a lawsuit by either party. H. ATTORNEY'S FEES; COSTS; VENUE: In the event that any party hereto shall bring an action or proceeding for an alleged breach of any provision of this Agreement, the prevailing party shall be entitled to recover, as part of such action or proceeding, reasonable attorney's fees, paralegal fees, and court costs at both trial and appellate levels. For the purpose of any suit, action or proceeding arising out of or relating to this Agreement, the parties hereby consent and agree to the jurisdiction and venue of the Circuit Court of Orange County, Virginia. I. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements. The purpose of this letter is to confirm the terms of our engagement, based on the tasks laid out in the City's Request for Proposal. We acknowledgement receipt of the City of Ocoee Request for Proposals RFP #07-003 for Legislative Consulting Services (the "RFP"). In response to the RFP, we submitted our proposal dated May 17, 2007 (the "RFP Response"). The RFP and the RFP Response are incorporated herein by this reference and made a part of this Engagement Agreement. We agree to comply with all of the requirements set forth in the RFP and our RFP Response and to perform the Scope of Work as set forth in the RFP for the fee set forth herein. I will be principally responsible to handle this matter assisted by attorney Chris Carmody, consultants Robert Stuart, Chris Hansen, and other members of our firm. We will not change the personnel principally responsible for this matter without your prior approval. For this representation, we will charge an annual flat fee retainer of $42,000.00, payable in monthly installments. For the installments of February, March, and April, the retainer will be $5,000.00 per month. For all other installments, the retainer will be $3,000.00 per month. If, at any time, you desire that we perform any additional work, outside of the Scope of Work in the RFP, we will enter into a separate fee agreement for any such additional representation. However, we will not perform any work for which an additional fee will be charged without your express written authorization. We acknowledge that our engagement by the City is non-exclusive and that the City may, in its sole discretion, award any additional services, whether in the areas covered by the Scope of Services, or in any additional areas, to any third party, or such services may be performed by the City employees. The attorney -client privilege can be lost if our written or oral communications are shared inappropriately with others. We should discuss in advance any intention you have to include others in this confidential relationship. At the same time, we understand that our written communications with the City are subject to the Florida Public Records Law and we agree to comply with all of the requirements of such law. We will invoice the City monthly for the retainer and reimbursable expense. Payment for our services shall be due within 30-days of receipt of each invoice in accordance with the Florida Prompt Payment Act. Our statements may include charges for related expenses and services, such as photocopying, computerized research, travel, long distance telephone, telecopy, document production and binding and delivery service to the extent required by the particular assignment. These charges will be itemized and charged in accordance with the reimbursable cost outline set forth in our RFP Response. We will seek your authorization in advance for any reimbursable expense payment of $250 or more. Travel expenses shall not exceed $50.00 per day. Our aggregate reimbursable expenses in any month will not exceed 10% of the agreed upon retainer for that month and will not exceed $4,200 per year, unless we obtain your prior written approval to exceed these amounts. Should you have a question about any statement, please call me. The term of our engagement will be for a one (1) year term commencing on October 1, 2007 and terminating on September 30, 2008. By written notice to us, the City may extend the term of this Engagement Agreement for two (2) additional one (1) year terms. As in any professional relationship where mutual trust and confidence are essential, it is appropriate for you and for Gray Robinson, P.A. to be able to terminate our engagement at any time by reasonable written notice. In any such event we agree to provide the City with at least thirty (30) days prior written notice of any such termination. If our engagement is terminated, we understand that you will take whatever steps are necessary to evidence that we are free from any obligation to perform further, and to pay us for unpaid fees for legal services rendered and charges or related expenses and services incurred to the date of termination. Because of the size of our firm and our representation of other clients, it is possible that there may arise in the future a dispute between another client and City of Ocoee. Our acceptance of the current representation will preclude us from accepting future representations adverse to you which involve matters substantially related to the work we perform in the course of this engagement. Sealed proposals for RFP #07-003 will be received by the City of Ocoee, hereinafter called "The City", by any person, firm, corporation or agency submitting a RFP for t the services proposed, hereinafter called "Respondent". Each Respondent shall furnish the information required on the proposal form supplied and each accompanying sheet thereof on which an entry is made. Respondents are cautioned that any other source by which a respondent receives information concerning, explaining, or interpreting the RFP Documents shall not bind the City. I. J. CONVICTED VENDOR LIST (PUBLIC ENTITY CRIME). A person or affiliate who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a proposal on an award to provide any goods or services to a public entity, may not submit a proposal on an award with a public entity for the construction or repair of a public building or public work, may not submit proposals on leases of real property to a public entity, may not be awarded or perform work as a Contractor, Supplier, Subcontractor, or Consultant under an award with any public entity, and may not transact business with any public entity in excess of the threshold amount provided in section 287.017 for Category Two ($25,000.00 and greater) for a period of 36 months from the date of being placed on the convicted vendor list. The Respondent agrees that a breach of this certification will be a violation of the Equal Opportunity clause in any contract resulting tfrom acceptance of this Proposal. Policies other than Workers' Compensation shall be issued only by companies authorized by subsisting certificates of authority issued to the companies by the Department of Insurance of Florida which maintain a Best's Rating of "A" or better and a Financial Size Category of "VII" or better according to the A.M. Purpose The City of Ocoee invites all interested, qualified Firms with municipal experience to submit a proposal to provide professional consulting services for representing the City of Ocoee in legislative matters at the State and, as needed, at the Federal level. Implicit responsibilities of the successful Respondent will be to advise the City of the impacts of proposed regulatory and legislative changes and to identify areas where State or Federal funding is available. The Contract will be for one (1) year with two (2) one (1) year renewal options. B. Scope of Work The successful firm will have municipal experience in providing legislative and lobbying services at the State and Federal level to assist the City of Ocoee in developing a legislative agenda and securing funding. This agenda will include areas of general municipal government, including but no limited to: telecommunications, sanitation waste disposal, parks and recreation services, economic development, streets and transportation, sanitary sewer, stormwater, infrastructure, finance and taxation, police and fire services, homeland security, grants, growth management, planning, legislative issues that restrict the powers of local government such as eminent domain and annexation, and other issues affecting municipalities as more fully described in the RFP. The successful firm must agree to be available at all times upon reasonable request to meet ' with City Commission, City staff and others as specified in order to perform the responsibilities assigned; and to attend meetings, represent the interest of the City, and act as liaison between the City and all branches, departments, and agencies of the State and Federal government. Work with the City Commission, City Manager and designated staff to develop special or general legislation in keeping with, or the City adopted Legislative Program. 11. Develop and evaluate strategy for the support, opposition, or amendment of pending legislation. 12.Testify and lobby before State and Federal legislative and appropriations committees as necessary on behalf of the City, during the annual legislative session, extended, or special session(s) and at legislative committee meetings if directed by the City. 13.Appear and testify before agency hearings, rule making proceedings and other administrative agency or legislative meetings, as required, to promote, oppose, and seek passage of legislation affecting the City or its citizens, and specific legislation contained in the City's Legislative Program. 14. Coordinate appointments or meetings between the City Commission and/or City Staff, other designated individuals, and Congressional leaders. 15.Assist the City in drafting any needed letters to State and Federal Congressional leaders regarding issues of interest and concern to the City of Ocoee. 16. Provide written monthly updates and quarterly status reports on the firm's achievements as they relate to the goals and objectives set forth in the City's Legislative Program. 17.Other required reports may include, but not necessarily be limited to, personal briefings and information bulletins pertinent to any legislation, rules, or regulations and other State or Federal policies or programs that affect the City and its citizens either directly or indirectly. 18. While the Legislature is in Session, a written summary report shall be submitted at the end of each week detailing legislative action taken during the week, status of legislative issues, anticipated action for the upcoming week, and suggestion action that City staff or elected officials may implement. 19.A written report that summarizes the status of the City's Legislative Program shall be provided within one (1) week of the closing of the session and a more detailed final written report on specific legislation and new requirements affecting the City shall be provided within a reasonable time period, not to exceed thirty (30) days from the close of session. RFP #07-003 Legislative Consulting 17 20. When the Legislature is not in Session, the successful firm shall provide periodic reports (at least monthly) on issues of interest or concern to the City. Such information may include, but necessarily limited to: action taken at interim committee meetings, rule making hearings, status of studies underway, and advance notice of legislation being proposed. Legislative sessions include but are not limited to scheduled, extended, or special legislative sessions or meetings and State or Federal administrative and agency hearings, meetings, or rule meeting proceedings. 21.In addition to representing the City as a whole through legislative sessions the respondent shall also work on local issues, if requested by the City. C. Submittals ' The City of Ocoee requires comprehensive responses to every section within this RFP. To facilitate the review of the responses, Firms shall follow the described proposal format. The intent of the proposal format requirements is to expedite review and evaluation. It is not the intent to constrain Firms with regard to content, but to assure that the specific requirements set forth in this RFP are addressed in a uniform manner amenable to review and evaluation.
