Subject: Award the contract for website development and support to Icon Enterprises, Inc. d /b /a
CivicPlus in the amount of $30,501.00
Background Summary:
The FY 2013 Budget includes an allocation of $31,000 to develop and host a new website for the City
to better interact with its citizens. Support Services staff explored the two basic options of building a
new City website from scratch using all custom code or creating a website using a commercially
available platform. Given the cost of custom coding and the continuing need for consulting services
to stay up to date with web technology, it was determined that the lower cost approach was to base a
new website on an existing commercial platform that provides core functionality and the individual
look of custom coding. Support Services staff then reviewed a number of commercial products and
selected CivicPlus from Icon Enterprises, Inc. (Manhattan, KS) as the platform providing the greatest
existing functionality and custom appearance while also being within the established budget.
To confirm this selection, Icon Enterprises provided an online demonstration of the software using a
number of local government websites as operating examples. Among the sites viewed were Mount
Dora, FL, Tequesta, FL, Palm Springs, FL, Hollywood, FL, Augusta, GA, Roswell, GA, Athens - Clarke
County, GA, Maui County, HI, Castle Rock, CO, and Cameron, MO. Each site appeared to be very
different and absent a "cookie- cutter" look as if developed using a common template. Staff from all
the major City departments that are expected to use more advanced functions available in the product
were involved in this demonstration and had the chance to ask questions. Among the more
significant module functions we expect to use are:
• Agenda Center can be used alone and with the Document Center to assemble and broadcast
the agenda package for the City Commission and advisory boards
• Alerts Center & Emergency Alerts Notification provides the means to supply information about
weather and other emergency situations directly to citizens, who can sign up for e-mail notices
• Business & Resource Directory will enhance support of iShopOcoee
• Citizen Request Tracker is similar to our present WebQA program; this function accepts
comments and questions from the public
• Job Postings provides a unified employment center with the multiple job applications required
by various job classes
• News Flash provides immediate posting of important news
• Media Center with Live Streaming Video supports up to 40 hours of online TV programming
and will be used to put Ocoee TV on the air for live broadcasts of meetings
• Notify Me eMail and SMS Text Subscriptions allows citizens to sign up for notification via e-
mail when various events occur, such as new Movie -in- the -Park being announced.
• Licenses and Permits — in addition to providing a unified front -end appearance to SAGE
software now being used by Development Services, this module will also provide access to
other routine permitting processes
• Facilities and Reservations Module will be used with the ePayment Center to check availability
of rental facilities and accept payments using credit cards
• Opinion Poll and Community Voice modules enhance the ability of citizens to provide feedback
and participate in the legislative process
The website automatically recognizes the type of device that is seeking access so it can change the
page being provided to fit within the form available. For example, it will send a different page with
less content to an iPhone than to a desktop computer so that the information and manner of
presentation is appropriate to the device screen. Both Apple and Android devices are supported.
Creating and revising website content by staff editors will be much simplified through direct online
editing and testing to see if the page looks the same in all browsers. The product is integrated with
social media, like Twitter and Facebook, and will be directly registered with all the major search
engines. CivicPlus also is highly integrated with ArcGIS, which will allow greater use of mapping
functions within the website, and can separately offer a secure intranet website for City staff use.
Issue:
Should the City Commission approve the proposed contract with Icon Enterprises, Inc. to develop a
new City website using CivicPlus?
Recommendations:
The Support Services Department recommends the City Commission approve the proposed
agreement with Icon Enterprises, Inc. The selection of CivicPlus has been endorsed by the City's IT
Steering Committee at the technical and policy levels, and the proposed agreement includes all the
language proposed by the City Attorney.

Financial Impact:
The proposed procurement, at a cost of $30,501, is within the available project budget of $31,000.
This procurement complies with City Purchasing Rules in that CivicPlus is available through the U.S.
General Services Administration and the proposed contract pricing is consistent with the GSA terms
of procurement by local governments under Schedule 70 and Contract No. GS- 35F- 0124U.

AGREEMENT
THIS AGREEMENT (the "Agreement') is made and entered this day of , 2013 by and between the City of
Ocoee, Florida, a Florida Municipal Corporation (the "Client'), whose address is 150 N. Lakeshore Drive, Ocoee, Florida 34761 and
Icon Enterprises, Inc. d /b /a CivicPlus ( "CivicPlus "), a Kansas corporation whose mailing address is 317 Houston Street, Suite E,

Terms & Conditions
Client Deliverable
1. CivicPlus will create a unique website for the Client that includes all functionality as defined in Exhibit A — CivicPlus Project
Deliverables, attached hereto and incorporated herein by this reference.
2. After 48 consecutive months under these terms and associated pricing, Client becomes fully eligible for a CP Basic Redesign
at no additional cost. See Exhibit B attached hereto and incorporated herein by this reference for complete details.
Additional Services
Client may contract with CivicPlus for additional Consulting, Website Design, Setup, Programming, site modification, Training
services (Project Development Services), Additional Page and /or Graphic Design that exceed those defined in Exhibit A.
CivicPlus will invoice Client for the additional services immediately prior to project Go -Live. Services that involve billable time
beyond the contracted amount will be documented and invoiced. Written approval by the Client is necessary before billable
time is incurred.
4. Client may contract with CivicPlus for additional Annual Support, Maintenance & Hosting services that exceed those defined in
Exhibit A. CivicPlus will invoice Client for annual services immediately prior to project Go -Live. Project Go -Live ( "Go- Live')
means that the production website approved by the Client has been released for use, is available on the Internet through the
established domain name ( www.ocoee.org ), and is performing in accordance with established requirements. Modules that
incur additional usage fees may be purchased and activated at any time.
Billing & Payment Terms
5. One -third of the total First Year Fee will be billed upon completion of design; one -third of the total First Year Fee will be billed
upon completion of content. The remainder of the total First Year Fee and any additional Project Development services will be
invoiced after training has been completed.
6. The Client shall sign a project completion and acceptance form prior to project go -live. At the time of project acceptance, and
immediately prior to website go -live, if the Client does not agree that CivicPlus has delivered a fully functioning government
website, CivicPlus will refund any fees paid, or cancel any project development invoices outstanding, and cancel this
agreement completely, with no remaining obligations. By signing the project acceptance form, the Client agrees that CivicPlus
has created a fully functioning government website; at that time Client's website will go -live. The go -live date may be extended
if material system or operational failures are encountered.
7. First Year invoices are due by the first of the following month, but no later than 30 days from invoice date. Project Development
will be discontinued if payment is not made within 30 days after the invoice due date.
8. Invoicing for Year 2 Annual Support, Maintenance & Hosting begins one (1) year from go -live date.
9. Annual Support, Maintenance & Hosting invoices may be prorated in order to correlate with the Client's budget year, and are
invoiced prior to the period of service applicable to that portion of the budget year.
10. After project go -live, if the Client's account exceeds 60 days past due, Support, as defined below under that heading, will be
discontinued until the Client's account is made current. If the Client's account exceeds 90 days past due, Annual Support,
Maintenance & Hosting will be discontinued until the Client's account is made current. Client will be given 30 days notice prior
to discontinuation of services for non - payment.
11. CivicPlus' invoices to the Client will have a notarized statement that all contracted phase requirements have been met on each
submitted invoice for payment and will be mailed via USPS at no additional cost to the Client..
12. Unless otherwise limited by law, a finance charge of 1 percent ( %) per month, will be added to past due accounts. Payments
received will be applied first to finance charges, then to the oldest outstanding invoice(s).

13. Provided the Client's account is current, at any time the Client may request an electronic copy of the website graphic designs,
the page content, all module content, all importable /exportable data, and all archived information ( "Customer Content "). Client
agrees to pay $250 per completed request. Provided the Client's account is current, upon termination of services Client may
request a complimentary electronic copy of website Customer Content and CivicPlus Government Content Management
System ( "GCMS ") software.
Agreement Renewal
14. This Agreement shall remain in effect for a period of one year (12 months) from signing. In the event that neither party gives 60
days' written notice prior to the end of the initial or any subsequent term, this Agreement will automatically renew for an
additional Agreement term. After 48 consecutive months under the terms of this Agreement and associated pricing, Client will
be fully eligible for a CP Basic Redesign at no additional cost.
15. Either party may terminate the agreement at the end of the Agreement term by providing the other party with 60 days written
notice prior to the Agreement renewal date.
16. In the event of early termination of this Agreement by the Client, Client forfeits eligibility for the CP Basic Redesign and all
funds applied to such eligibility and full payment of the remainder of the Agreement is due within 15 days of termination.
17. Beginning in Year 3, each year this Agreement is in effect, a technology investment and benefit fee of 5 percent ( %) of the total
Annual Support, Maintenance & Hosting costs will be applied.
Support
18. CivicPlus will provide unlimited telephone support Monday- Friday, 7:00 am — 7:00 pm (Central Time) excluding holidays, for all
trained Client staff. Emergency Support is provided on a 24/7/365 basis for emergency contacts named by the Client. Client is
responsible for providing CivicPlus with contact updates.
19. Support includes providing technical support of the GCMS software, application support (pages and modules), and technical
maintenance of Client's website. Following initial setup, additional page design, graphic design, user training, site modification,
and custom programming may be contracted separately for an additional fee.
20. During the period of this agreement and subsequent annual renewals, CivicPlus warrants that it will, without additional charge
to the Client, take action to correct any problems or defects discovered in the GCMS software and reported to CivicPlus by the
Client, such warranty to include ongoing maintenance upgrades and technical error correction.
21. CivicPlus provides online website statistics software at no extra charge. If Client desires to use other website statistic software,
CivicPlus will provide the necessary log file access.
Marketing
22. Client will work with the CivicPlus Marketing Department to make a reasonable attempt to gather information and meet
deadlines associated with website award contest entries throughout the term of this agreement, and to create a case study
related to their website.
23. Client permits CivicPlus to include an example of the Client's home page and a link to the Client's website on the CivicPlus
corporate website.
24. Client will make a reasonable attempt to work with the CivicPlus Marketing Department to create a news item to be released in
conjunction with their project Go -Live date. Client will provide CivicPlus with contact information for local and regional media
outlets. CivicPlus may use the press release in any marketing materials as desired throughout the term of this Agreement.
25. Client allows CivicPlus to display a "Powered by CivicPlus" insignia and web link at the bottom of their Home web page. Client
understands that the pricing and any related discount structure provided under this Agreement assumes such perpetual
permission during the period of time covered by the Agreement.

Intellectual Property, Ownership & Content Responsibility
26. Upon full and complete payment of submitted invoices for the Project Development and launch of the website, Client will own
the Customer Content, as well as the GCMS software.
27. Upon completion of the development of the site, Client will assume full responsibility for website content maintenance and
content administration. Client, not CivicPlus, shall have sole responsibility for the accuracy, quality, integrity, legality, reliability,
appropriateness, and intellectual property ownership or right to use of all Customer Content.
28. Client shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make
available to any third party the GCMS software in any way; (ii) modify or make derivative works based upon the GCMS
software; (iii) create Internet "links" to the GCMS software or "frame" or "mirror" any GCMS administrative access on any other
server or wireless or Internet -based device; or (iv) reverse engineer or access the GCMS software in order to (a) build a
competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the GCMS software, or
(c) copy any ideas, features, functions or graphics of the GCMS software.
29. Client and its contractors' have the right to develop extensions to the basic website being supplied by CivicPlus through
CivicPlus' development API. Client plans to build a better front -end to the SAGE software from Clear Village, which is their core
permit application and review workflow back -end server product.
30. The CivicPlus name, the CivicPlus logo, and the product and module names associated with the GCMS software are
trademarks of CivicPlus, and no right or license is granted to use them.
Liabilities
31. CivicPlus will not be liable for any act, omission of act, negligence or defect in the quality of service of any underlying carrier or
other service provider whose facilities or services are used in furnishing any portion of the service received by the Client.
CivicPlus will not be liable for any failure of performance that is caused by or the result of any act or omission by Client or any
entity other than CivicPlus that furnishes services, facilities or equipment used in connection with CivicPlus services or
facilities.
32. Except as expressly provided in this Agreement, CivicPlus makes no expressed or implied representations or warranties,
including any warranties regarding merchantability or fitness for a particular cause.
Miscellaneous
33. Force Maieure No party shall have any liability to the other hereunder by reason of any delay or failure to perform any
obligation or covenant if the delay or failure to perform is occasioned by force majeure, meaning any act of God, storm, fire,
casualty, unanticipated work stoppage, strike, lockout, labor dispute, civic disturbance, riot, war, national emergency, act of
Government, act of public enemy, or other cause of similar or dissimilar nature beyond its control.
34. Effective Date. The Effective Date of this Agreement shall be the date on which the last of the parties executes this
Agreement.
35. Waivers The failure by either party to insist on strict performance by the other party of any provision of this Agreement shall
not be a waiver of any subsequent breach or default of any provision of this Agreement.
36. Governing Law/Venue This Agreement shall be subject to and governed according to the laws of the State of Florida,
regardless of whether either party is or may become a resident of another state. The parties agree that the venue and
jurisdiction shall be exclusively in the state and federal courts located in the County of Orange in the State of Florida.
37. Binding Effect This Agreement shall be binding upon and shall inure to the benefit of the parties hereto, their respective
successors, assigns or other legal representatives.

38. Assignment CivicPlus shall not assign any portion of this Agreement without written consent first obtained from the Client.
The Client shall not unreasonably withhold its approval of a requested change in ownership, so long as the transferee is of
known financial and business integrity for the undertaking.
39. Severabilitv If any portion or portions of this Agreement shall be for any reason invalid or unenforceable, the remaining
portion(s) shall be valid and enforceable and carried into effect unless to do so would clearly violate the present legal and valid
intention of the parties hereto.
40. Headings The headings used in this Agreement are for convenience only and do not limit the contents of this Agreement.
41. Survival Any provisions of this Agreement creating obligations extending beyond the term of this Agreement shall survive the
expiration or termination of this Agreement, regardless of the reason for such termination.
42. Authorization for Aqreement All necessary laws, resolutions, and corporate actions have duly authorized the execution and
performance of this Agreement and this Agreement constitutes the valid and enforceable obligations of the parties in
accordance with its terms.
43. Notices Any notice required or permitted to be given pursuant to any provisions of this Agreement shall be given in writing,
and deposited with the United States Postal Service, postage pre -paid, registered or certified mail, return receipt requested, or
by a nationally recognized overnight courier service, addressed as follows:

44. Entire Agreement This Agreement constitutes the entire agreement and understanding between the parties with respect to
the subject matter hereof and supersedes any previous agreements or understandings, whether oral or written.
45. Amendments Any amendments to this Agreement shall be effective only if in writing and signed by authorized
representatives of both parties.

46. Counterparts This Agreement may be executed in several counterparts, each of which shall be an original, but all of which
shall constitute one and the same instrument.
47. No Third Party Beneficiary No party intends in any manner whatsoever to create an interest or beneficiary in a third party.
48. Exhibits All Exhibits referenced herein are incorporated into this Agreement in their entirety. Agreement when used
throughout this Agreement shall include all referenced Exhibits.
49. Dispute Resolution In the event of a dispute, the parties will consider the use of mediation to resolve the dispute prior to the
commencement of litigation.
50. Sovereign Immunity Nothing contained in this Agreement shall be considered or deemed a waiver of Client's sovereign
immunity protections as provided in Section 268.76, Florida Statutes, as may be amended from time to time or as a waiver of
any other defense or immunities to lawsuits.
51. Public Records CivicPlus acknowledges that Client is subject to the provisions of the Florida Public Records Act, Chapter
119, Florida Statutes.
52. Funding Obligations Notwithstanding anything to the contrary stated elsewhere in this Agreement, the Client shall have no
obligation to fund any part or parts of the services provided for herein by a pledge of revenues contrary to the provisions of the
Constitution of the State of Florida. There are no implied funding obligations of the Client.

Definitions
The following terms have the prescribed meaning within the context of this Exhibit A:
1. Content development — the act of deciding which items of informational substance are to be incorporated into the
new website
2. Standard page — a single page of content developed by CivicPlus
3. Supporting element — a weblink, photo, design, or text selection that appears on a standard page and is stored
within its own file; e.g., jpg, gif, pdf, pic, etc.
4. Module content — the functional inputs included in one of the 30 CivicPlus modules, (e.g. agendas for the agenda
center, videos and video channels for the media center, or documents for the document center)
